FACTS:

Magdalena Vda. de Ramirez instituted a civil case against the

Magdalena Estate Inc. (Corporation) requiring the latter to deliver andsurrender the certificate of title of land situated in Cubao !C and to

recover damages. "he alleged that her deceased husband and

Magdalena Estate entered into a contract #hereb$ the latter promisedto sell the lot to Mr. Ramirez. Mr. Ramirez died but Mrs. Ramirez

completed the pa$ment of the full price of said lot. "he also paid the

e%penses for the issuance of transfer certificate of title in her favor butthe corporation refused to deliver the certificate of title.

In their an#ers the corporation alleged that the$ refused to deliver

the title to Mrs Ramirez because the spouses Espineli had alsodemanded the title of the same lot b$ virtue of deed of absolute sale

e%ecuted b$ Rosita and &ulio Ramirez' as the alleged sole heirs of thedeceased Mr. Ramirez.
