We are excited for the opportunity to help minimize the City’s cost of risk, and enhance your safety practices. the year established, ownership, and principal officers. Arthur J. Gallagher & Co. – History of our firm Founded in 1927, Arthur J. Gallagher & Co., our parent company, has been in business for 85 years. Gallagher was one of the first brokers to transition from simply selling insurance to providing true risk management services – by identifying exposures, then developing and implementing ways to reduce those risks. Clients benefited from this approach, which allowed them, rather than the insurers, to direct their own activities. Reducing the financial and human cost of risk would become a cornerstone for Gallagher, as the firm helped create the universe of self-insurance and alternative markets.

With this pioneering spirit, in 1938 Gallagher designed the first retrospective rating program, which gave customers credit for holding down their losses. A) South Florida City: $3 million reduction in Total Cost of Risk

• Challenge: City’s cost of risk was almost $7 million and climbing

• Objective: Gallagher was asked to help the City by: o Implementing Safety Training throughout City departments

o Assigning Claims Advocacy to work with the City’s Legal Counsel and TPA to reduce claims costs

o Continually restructuring the insurance program to maximize the changing market

o Helping to obtain a Reasonableness Letter to enable FEMA hurricane assistance.

• Challenge: Insurers are using new hurricane loss modeling software that is increasing loss projections, and clients’ cost of property insurance.

• Objective: Gallagher was asked to help the City by:

o Working with several City departments, through Risk Management to obtain newly required construction information and secondary factors.

o Recoding the City’s Statement of Values to new industry standards

o Positioning the City for a favorable renewal, despite the hardening market.

• Result: Through a team effort, we helped our client City reduce their loss projection by almost 20%. This resulted in a reduction in their cost of property insurance.

C) City and County Risk – Two-Towered Property Program

• Challenge: Increasing cost of property insurance

• Objective: Obtain proper credit for Utilities properties, which tend to be low-risk.

• Result: Gallagher introduced a property insurance program that separated Municipal Property from Utility Property. This created a two (2) tower insurance program that reduced costs and increased limits for wind coverage.

Craig Fainstein has been in the insurance industry since 1990 and prior to joining Gallagher in 2008, served for eight years as an account manager and sales professional with another global broker. Craig’s experience includes managing traditional and alternative risk financing programs for large enterprises, public entities, and private equity clients. Craig holds a Master of Business Administration degree with a concentration in Finance

from Nova Southeastern University, and a Bachelor of Arts degree in Economics from Florida International University. Craig also holds the Chartered Property Casualty Underwriter, Associate in Risk Management, Associate in Surplus Lines Insurance, and Associate in Reinsurance designations, a 220 general lines insurance license, and is currently working on his Registered Professional Liability Underwriter designation. Craig is active with the Risk and Insurance Management Society, the Public Risk and Insurance Management Association (former member of the education committee), and other local civic and humanitarian organizations.

Jori Van der Voort has over 18 years experience in the insurance industry and 15 years specifically working with Public Entities. Jaymee Brown is one of the newest members of Gallagher’s Public Sector Division. Jaymee graduated from The Florida State University, Tallahassee, FL in 2012 with a Bachelor of Science in Risk Management/Insurance and a Bachelor of Science in Marketing. Jaymee

began her experience in the insurance industry in 2011 by completing the Gallagher Internship Program and working with the self insurance clients. Tara Morrone Client Service Representative – NFIP Flood Insurance Arthur J. Gallagher Risk Management Services, Inc.

Tara has been in the insurance field since 1988 and has worked at Gallagher for the past six years. After obtaining her B.S. in Business from Wagner College, NY in 1987, she started her insurance career in one of Florida’s largest firms’ Risk Management Departments. After obtaining her 220 Property & Casualty License, Tara spent the next 10 years in the property and casualty field working as an account manager

& underwriter, of which 5 of those years she worked at another global broker expanding her knowledge by working on international accounts. Tara brings vast knowledge of the industry to our team and prides herself on providing our clients with the highest level of customer service.

Gary Van der Voort Area Chairman Arthur J. Gallagher Risk Management Services, Inc. Gary Van der Voort, Area Chairman of the Miami office provides direct management, support and leadership to the entire team. Gary’s 30+ years of experience in the Florida Public Entity marketplace provides the Gallagher Team invaluable expertise and knowledge. He is available to

Tony Abella Jr. Area Vice President Arthur J. Gallagher Risk Management Services, Inc. Tony Abella, Jr. currently leads the South Florida Public Sector Division. Michelle Barrow Area Vice President Arthur J. Gallagher Risk Management Services, Inc. Michelle Barrow is Regional Professional Standards & Training Coordinator for the Florida Region. Michelle has over 32 years of professional experience in the insurance industry. She maintains all necessary resident and non-resident license. Ms. Barrow is experienced in public entity, scholastic and large commercial risk

management accounts. She has handled all aspects of servicing and producing these types of risks. She is managing four direct reports from the South Florida Branch – Miami Location which are responsible for servicing and managing our clients. She is also the Regional Professional Standards Coordinator responsible for training and monitoring of all Florida offices insuring compliance with Corporate Professional Standards Guidelines. Her knowledge and expertise with all of the above gives her credibility with our markets, as well as the ability to service large complex types of industries.

Jim Smith Director of Risk Control Arthur J. Gallagher Risk Management Services, Inc. Jim is a leading figure in risk control and safety in Florida and in the United States. Jim will work closely with the City of North Miami Beach to implement and maintain Best Practice safety programs, and target and minimize losses in any areas of concern. In addition, Jim will attend loss control meetings with insurance company personnel and assist with

the interpretation of and response to loss control recommendations. Jim will assist the City with a broad range of loss reduction and safety program consultations, to aid City engineers in their efforts to protect property, employees and members of the public. Among other accolades, Jim serves on the board of directors of the American Society of Safety Engineers.

Bart Douglas Area Vice President Arthur J. Gallagher Risk Management Services, Inc. Bart will work closely with the City of North Miami Beach, attending and participating in claim reviews, and assisting the service team in the claims settlement process. Bart will also provide advice and counsel in the handling of claims affecting the

City. In the event of a significant loss, Bart will step in to assist the City as your professional advocate, dealing directly with the claims adjusters who represent the City’s insurers. Bart has 25 years experience in the field of risk management and claims, including serving as the Risk Manager for a Fortune 500 company.

Craig is a member of Gallagher’s Public Sector Division and will share the overall responsibility for the City’s program. His expertise includes program design, marketing, consulting, self-insurance and account oversight.

KEY RESPONSIBILITIES • Program design and self-insurance approaches • Review and quantify client exposures and characteristics • Work with the City to establish goals, strategies, marketing and renewal activities • Develop risk financing options to minimize client’s total cost of risk • Negotiate with carriers on behalf of the client • Compare program options and make recommendations • Draft and review policies and contracts to obtain the most favorable terms for the

client • Participate in renewal meetings, and other meetings as may be necessary

D. DESCRIPTION OF COMPANY AND SERVICES 7. Explain your strategy when bidding out the plan, how often will your firm bid out the

insurance plans? Describe the firm’s methods for development of specifications to obtain competitive insurance policy quotes and the means of communicating with the City’s administration the results. Outline the calendar for the process to be followed.

We believe that the best strategy is when the client is involved in the marketing process. Therefore, we begin the marketing process six months prior to renewal by meeting with the client to determine the best approach at that time. We will bid out the various components of the City’s insurance program as often as the City asks us to, and we will provide the City with the information necessary to make this decision. From a strategic perspective, we do not believe that it is in the City’s best interest to bid out the insurance program every year, simply for the sake of bidding it out. We believe that as the times dictate, the City should select one, or a few insurers, and subsequently develop relationships with them. We highly recommend that our clients meet their underwriters face-to-face. As has been evident in recent years, when the market begins to tighten, and coverage becomes more expensive, long term relationships pay off.

When we go to market, we provide all viable insurers with the information necessary to obtain their best offer to cover our clients’ risks. This is in accordance with the individual specifications that we develop with our client’s input. Our submission to the market includes:

• A detailed narrative describing our clients’ operations and needs. • Details on exposures and loss history, always placing the client in a positive light. • Detailed coverage specifications, including manuscripted provisions. • A summary of why it makes sense for the carrier to offer their best terms, in order to

win the client’s business.

Through several rounds of negotiations, with all competitive insurers, we develop an optimal program based on the best pricing and coverage available.

Once we have obtained terms to present to the City, we will convene in a face-to-face

meeting, with all interested parties. We will present an executive summary of the overall program, along with our recommendations. Such a summary typically includes premium, rate and coverage comparisons, as well industry benchmarking so the City can analyze its program in context with its peers. laws and contracted agreements. Describe your firm’s commitment to the responsibility for representing accurately the scope of coverage being made available by the carriers recommended and selected in the quoting process. As a leading professional services firm, we adhere to a codified set of professional standards, and quality assurance is inherent in every step of our service process. The process begins when we meet with our clients to understand their needs, and continues into our submission to the markets, and throughout the marketing and servicing process: 1. We initially meet with our clients to understand their

risk issues, specific needs, and program goals. 2. We incorporate this understanding into our marketing

submission, and specifically enumerate the coverages, limits, terms, and conditions, that we are seeking, in order to provide the most comprehensive insurance program to meet our clients’ needs.

3. We then carefully review the quotes we receive from the markets to ensure that they comply with the requested program specifications. Since every insurer is unique, we make certain to document deviations from the requested coverages, as well as any enhancements offered.

4. The results of our marketing efforts will be presented to the City in the form of customized proposal which will provide specific detail on every aspect of the options that we are presenting. Every Gallagher proposal follows professional standards, and undergoes multiple reviews to ensure accuracy before being presented to our client. In addition, our presentation will also be in summary format, covering the major points, so that the City clearly understands the information it needs in order to make an informed decision.

5. Once the City has decided on the program that it wants to proceed with, we will ask you for a written and detailed authorization to bind, listing the specific options selected, which will ensure clear communication of the requested coverage.

6. Upon receipt of the City’s authorization to bind, we will immediately request binders from the carriers, and follow up for their timely issuance. We then check the binders to ensure they conform to negotiated and proposed terms.

7. We then follow up to ensure that the carriers issue our clients’ policies in a timely manner. Once the policies are received, they undergo two reviews: A. A basic policy check, performed by the Gallagher Service Center, ensures that the

policy has been issued in accordance with the terms negotiated and proposed. B. A detailed policy check, performed by the City’s local account management team,

verifies the GSC findings, and that the program conforms to our client’s needs. 8. This effectiveness of our professional standards process is reinforced by periodic audits

which are performed at a local, as well as national level. Any discrepancies noted are immediately addressed and corrected by the local account management team.

E. FEE The City will only consider a flat fee. All payments related to these services are to be billed directly to the City. No commissions, bonuses or indirect payments from insurance providers should be accepted for any reason. You are to represent the interests of the City. In our experience, the potential dollar savings that the City can realize from our risk management services far outweighs the fee that we propose. The annual fee that we propose for providing all services detailed in this RFP response is $55,000 at annual adjustment factor of 4%. Our services will be related to the lines of coverage that are as listed in the RFP document, and as clarified in the 11/16/12 Pre-Bid meeting (i.e. the City advised us that you do not purchase Auto coverage, nor is the Police Department covered under the program), and are as follows:

• Liability Insurance • Workers Compensation Insurance • Property Insurance • Windstorm • Inland Marine

For lines of coverage and placements that are extraordinarily dissimilar to those described above, we agree to negotiate with the City an appropriate amount of additional compensation. We respect the City’s requirement for all policies to be placed without commission, however it is the position of the Federal Emergency Management Agency (FEMA) that rebating commissions on National Flood Insurance Program (NFIP) policies is not allowed (see memo on the following pages). Nevertheless, it is important to note that NFIP Flood policies are standard and the rates are prescribed by FEMA. They are not subject to to a system of uniform national pricing (the coverage and cost of these policies are the same, regardless of the insurance company or broker from whom they are purchased). Therefore, our compensation for the placement of any policies in the National Flood Insurance Program will be derived from the insurer in the form of a commission. We are happy to discuss this further with you. Arthur J. Gallagher Risk Management Services, Inc. (AJGRMS, the RFP respondent) agrees to provide all services outlined in this response, net of commission (except for NFIP Flood Insurance, as described above). Please note that there are numerous insurers, who may be advantageous for the City to consider, that can only be accessed through an intermediary or wholesaler. That intermediary/wholesaler may, or may not, be a company related to AJGRMS. The intermediary/wholesaler will be compensated based on usual and customary commissions. This will be fully disclosed to the City allowing the City to make the ultimate decision. We invite further discussion on this topic. Please note that Gallagher has a policy of complete transparency. Any and all compensation that is earned by us, or any of the intermediaries or wholesalers we utilize for placing the City’s coverage (whether related to us or not), will be specifically disclosed to you in our proposal.

that enable the City to succeed in its overall financial planning and budgeting. Coordinate with actuarial efforts and provide comprehensive information on market conditions and trends. Support innovation in design of financing mechanisms.

meet with the City’s Risk Manager to present a marketing report. This report is to provide the City with: current program evaluation; marketing timetable; ratings of markets to be approached; broker recommendations and reasons; and anticipated rates and premium. Organize the presentation of the risk financing plan and exposures to the appropriate markets. Review the presentation plan and documents with the City’s Risk Manager for approval to proceed. Advise the City on methods of optimizing and developing high quality relationships with the markets as a trusted client. Negotiate best terms, rates and conditions. Monitor the financial condition of insurers, including their ability to pay claims promptly, and advise the City whenever any insurer is downgraded by any rating agency.

between the City’s Risk Manager, and the City’s existing and potential underwriters. As has been evident in recent years, when the market begins to harden, and coverage becomes scarce, long-term relationships pay off.

7. Insurance Proposals: Prior to submission, prepare a matrix of insurance proposals

received, to include an evaluation of coverage, limits and cost. Submit recommendations no less than 45 days prior to the policy expiration dates. Please confirm that you can adhere to these dates or advise as to exceptions.

14. Contract Review: Provide a thorough review and recommendations on contracts, leases and other agreements to assess the adequacy of insurance, assumption of liability and other risk management issues. For purposes of RFPs, the broker will receive a draft of the RFP that is scheduled to be issued and will be asked to suggest how the insurance section should be worded. The broker will also need to advise if the indemnity and hold harmless provisions are adequately worded to protect the interests of the City. The broker should anticipate a consistent volume of these reviews and at times they may need to be completed the same day. Assistance on certificates of insurance will also be requested on an as-needed basis. Understood and agreed.

15. Special Events: The broker will be asked to comment and recommend what coverage requirements should be required of third parties requesting use of City owned property. In your response, please offer a narrative of your experience with various types of events and your methodology behind how you determine the types of coverages and limits that may be required. We understand this issue, and have a great deal of experience in dealing with it in its many variations. Most of our clients, being public entities, have a societal obligation to allow members of the public to use their facilities and grounds. Such use might be for special events, sporting events, parties, political meetings, commercial purposes, as well as a host of other reasons, and are usually outside of our clients’ normal scope of operations. In some cases, our clients might run a business enterprise and have tenants with commercial activity on our client’s site. Such uses create a potential for liability, which could result in monetary claims against our clients, who are the facilities and grounds owners. Since our clients tend to be self insured, this means that they (or their claims administrators) need to handle the claims, as well as pay for claims from their own funds. All of this comes at a direct cost to our clients, and we therefore recommend that our clients require facilities and grounds users to maintain liability insurance, as well as name our clients as Additional Insureds on such policies. Our recommended coverage requirements vary by situation, and are outside of the scope of this response, but such requirements can include General Liability, Liquor Liability, Workers Compensation, Auto Liability, Environmental Liability, Professional Liability, and many other specialty coverages that exist for a variety of business operations. We also recommend that our clients obtain indemnification and hold harmless agreements, as well as require waivers of subrogation, primary and noncontributory wording, and coverage for cross suits on their facilities users’ insurance. Most businesses typically have insurance, and complying with these requirements typically does not cost anything (or is at a nominal cost). However, for many non-business users, such as those holding a wedding at a City event hall, obtaining the required insurance for a one-time event could be costly, and inefficient. To deal with these cases, especially for low-hazard activities, we recommend our clients set up a TULIP (Tenant User Liability Insurance Program). Continued on the next page…

ACKNOWLEDGMENTS / ADDENDUM 1 SCOPE OF SERVICES Subject to underwriting approval, TULIP is a “turn-key” solution where prospective facilities users log onto a website where they can price and purchase the insurance necessary to comply with the TULIP sponsor’s requirements. Once a user purchases coverage, using their credit card, the TULIP provider automatically forwards evidence of insurance to the sponsoring organization (e.g. the City), thus ensuring that the user has secured the required coverage, and allowing them to comply with the City’s requirements. Pros and cons of this approach include:

*TULIP is not intended to cover athletic participants. It is suggested that athletic events be allowed based on District-determined guidelines, and that the facility or grounds user provide Sports Accident Insurance to cover participant injuries.

Specific responsibilities include but are not limited to the following: As needed, perform all professional services related to negotiating the best insurance premiums. Prepare summary reports with comparative analysis of all rates, coverage’s and service guarantees. A. Obtain and analyze periodic reports of claims and other pertinent information from

service providers. Identify claim trends and anomalies in a timely manner and prepare recommendations to the City on actions to be taken, if any. Understood and agreed.

that enable the City to succeed in its overall financial planning and budgeting. Coordinate with actuarial efforts and provide comprehensive information on market conditions and trends. Support innovation in design of financing mechanisms.

meet with the City’s Risk Manager to present a marketing report. This report is to provide the City with: current program evaluation; marketing timetable; ratings of markets to be approached; broker recommendations and reasons; and anticipated rates and premium. Organize the presentation of the risk financing plan and exposures to the appropriate markets. Review the presentation plan and documents with the City’s Risk Manager for approval to proceed. Advise the City on methods of optimizing and developing high quality relationships with the markets as a trusted client. Negotiate best terms, rates and conditions. Monitor the financial condition of insurers, including their ability to pay claims promptly, and advise the City whenever any insurer is downgraded by any rating agency.

between the City’s Risk Manager, and the City’s existing and potential underwriters. As has been evident in recent years, when the market begins to harden, and coverage becomes scarce, long-term relationships pay off.

7. Insurance Proposals: Prior to submission, prepare a matrix of insurance proposals

received, to include an evaluation of coverage, limits and cost. Submit recommendations no less than 45 days prior to the policy expiration dates. Please confirm that you can adhere to these dates or advise as to exceptions.

14. Contract Review: Provide a thorough review and recommendations on contracts,

leases and other agreements to assess the adequacy of insurance, assumption of liability and other risk management issues. For purposes of RFPs, the broker will receive a draft of the RFP that is scheduled to be issued and will be asked to suggest how the insurance section should be worded. The broker will also need to advise if the indemnity and hold harmless provisions are adequately worded to protect the interests of the City. The broker should anticipate a consistent volume of these reviews and at times they may need to be completed the same day. Assistance on certificates of insurance will also be requested on an as-needed basis. Understood and agreed.

15. Special Events: The broker will be asked to comment and recommend what coverage requirements should be required of third parties requesting use of City owned property. In your response, please offer a narrative of your experience with various types of events and your methodology behind how you determine the types of coverages and limits that may be required. We understand this issue, and have a great deal of experience in dealing with it in its many variations. Most of our clients, being public entities, have a societal obligation to allow members of the public to use their facilities and grounds. Such use might be for special events, sporting events, parties, political meetings, commercial purposes, as well as a host of other reasons, and are usually outside of our clients’ normal scope of operations. In some cases, our clients might run a business enterprise and have tenants with commercial activity on our client’s site. Such uses create a potential for liability, which could result in monetary claims against our clients, who are the facilities and grounds owners. Since our clients tend to be self insured, this means that they (or their claims administrators) need to handle the claims, as well as pay for claims from their own funds. All of this comes at a direct cost to our clients, and we therefore recommend that our clients require facilities and grounds users to maintain liability insurance, as well as name our clients as Additional Insureds on such policies. Our recommended coverage requirements vary by situation, and are outside of the scope of this response, but such requirements can include General Liability, Liquor Liability, Workers Compensation, Auto Liability, Environmental Liability, Professional Liability, and many other specialty coverages that exist for a variety of business operations. We also recommend that our clients obtain indemnification and hold harmless agreements, as well as require waivers of subrogation, primary and noncontributory wording, and coverage for cross suits on their facilities users’ insurance. Most businesses typically have insurance, and complying with these requirements typically does not cost anything (or is at a nominal cost). However, for many non-business users, such as those holding a wedding at a City event hall, obtaining the required insurance for a one-time event could be costly, and inefficient. To deal with these cases, especially for low-hazard activities, we recommend our clients set up a TULIP (Tenant User Liability Insurance Program). Continued on the next page…

Subject to underwriting approval, TULIP is a “turn-key” solution where prospective facilities users log onto a website where they can price and purchase the insurance necessary to comply with the TULIP sponsor’s requirements. Once a user purchases coverage, using their credit card, the TULIP provider automatically forwards evidence of insurance to the sponsoring organization (e.g. the City), thus ensuring that the user has secured the required coverage, and allowing them to comply with the City’s requirements. Pros and cons of this approach include:

*TULIP is not intended to cover athletic participants. It is suggested that athletic events be allowed based on District-determined guidelines, and that the facility or grounds user provide Sports Accident Insurance to cover participant injuries.
