July 23, 2020

1) A Quorum being present the virtual meeting was called to order at 8:32 a.m. by board

president Mark Denison.

2) Members attending: Mark Denison, Randy Sedlacek, Elsie Russell, Barb Stewart, Kimberlea

Miller, Mel Climer, Nitia Musico and Kathy Pryor

Board members not in attendance: Zac Duce and Lexie Rains

3) A. Diana Theall requested a correction to the Chamber Clay Shoot event to reflect the event

is scheduled for August 21, 2020. Randy Sedlacek moved to then approve the Main Street

Advisory Board Minutes from the May, 28, 2020 regular meeting minutes. Kimberlea Miller

seconded the motion. The motion passed.

B) Donna Dow presented information regarding the update on the 2021 Calendar of Events for

Downtown Denison. The 2021 calendar will mirror the 2020 calendar as much as possible.

With the Fall Fest being cancelled the discussion was directed from Diana Theall regarding

possible options to have a Spring Fling 2021 type event in place of the cancelled/postponed Fall

Fest event. After discussion, the end of February may be a possible time frame to plan a Spring

Home and Garden Show. More planning will be discussed by the Chamber Board and staff to

plan and coordinate the possibility of this event.

Ms. Dow reviewed the events for 2020 that have been cancelled or postponed due to Covid 19.

C) Mr. Denison provided an update regarding the Public Arts forms and policies. The Design

Committee is reviewing the policy that mirrors the mural policy for other sculptures and public

art. Input was requested. The Arts Council is requesting any feedback on their policies for those

requesting funding and documents.

SPECIAL PROJECT REPORTS

A. Donna Dow provided a report on the Eisenhower Birthday Celebration. Discussions are

continuing for the best and safest way to adjust this event for attendees. Possibly, some

of the event could be provided virtually. The event is scheduled on October 10, 2020.

B. Ms. Dow shared information about D3 – TIRZ #3 Report. Piazza Construction was

awarded the D3 bid for Construction Manager at Risk. They are in the process of asking

their pre-planning questions, and meeting with the Utility companies departments.

October 2020 could begin to see some pre-construction activity. The end of the year or

1st of the fiscal year is a goal to actually begin. They will be able to provide more

information in October 2020.

C. Mark Denison reported that Alley Activation continues and updated on the dumpsters

being completed in Phase 1 and reviewed the Alley Access grant. The Denison Arts

council is seeking to help with this project. Ms. Dow reported on how the grants are

working and the process.

D. Donna Dow provided updated information on the (previously cancelled) visit from Jon

Schallert to Denison for the Attendees of the Colorado Bootcamps. Because of Covid 19,

they are discussing that this might have to be scheduled as a virtual visit instead of in-

person. More information will be provided at a later date.

E. Donna Dow reported that the Eisenhower Trail project will hopefully be moved to the

calendar year 2021.

F. Ms. Dow shared that the Eisenhower Legacy Trip is not finalized as of yet. It is a

possibility that this trip may be postponed to 2021 for the school group. The memorial

dedication is set for September 2020.

G. Mr. Denison provided an update on the Art/Downtown Brochure. Mel Climer and the

Arts Council are coordinating, but it is on hold for the moment for budgeting reasons.

Barb Stewart provided that the Arts Council will provide $250.00 towards the project.

Budget options are being explored.

A) DDI: Kathy Pryor provided the Downtown Denison, Inc. report. There have been no

physical meetings due to Covid 19. The DDI board has been corresponding. Ms. Pryor

updated that the transfer of the Park has not been finalized as of this date. The DDI

Downtown Loft tours are still on the calendar for December 2020, at this time.

B) Diana Theall reported information regarding the upcoming Chamber Clay Shoot on

August 21, 2020. Ms. Theall also updated the plans for the New Teachers Breakfast (In-

service) in August. Also, that applications are being accepted for the Leadership

Denison classes. The graduation celebration for the most recent graduates of the

Leadership Denison class was held at Hey Day Entertainment. Ms Theall also reported

that the Christmas parade was still in the planning process at this time. They are also

planning to continue with the successful Hot Chocolate event, at this time.

C) Ms. Dow reported for the City of Denison Marketing and Tourism that there is a

possibility that a Visitor Center office may be located on Main St. and a focus group will

be put in place to review spaces and planning. Donna, also updated that the Red River

Museum was in need of support. They are seeking volunteers and funding to keep the

museum open. There will be a public meeting regarding the Red River Museum on Aug.

9, 2020. The RRM Board invites everyone to attend this public meeting to help.

Barb Stewart reported that the Arts Council will be installing an art installation named

Color Condition beginning September 2020 and will be available for viewing through

November 2020 for the Dia De Muertos Event.

Ms. Dow reported that Tourism, Parks, and Main Street are promoting businesses and

restaurants during the events they are having at THF park. Team Denison!

D) Elsie Russell and Donna Dow provided updates on behalf of the Promotions Committee.

The board was updated by Ms. Dow reporting that Music on Main was going well with

the venue changed to Forest Park with drive in options. Social distancing is being

observed as grids were placed in the Park to provide visuals to help control the distance

recommendations. Ms. Dow reported that the staff was working on fine-tuning the

process with all the changes, and that the Happy Hour was also implemented. Ms. Dow

reported that the City was not accepting any application for special events for the

remainder of 2020 due to Covid 19. Ms. Russell reported that the committee discussed

ideas and options/promotions for shoppers to visit downtown and still be safe.

Monsters on Main remains on the calendar for now.

E) Melanie Truxal, Main Street Coordinator provided the report for the Economic

Restructuring Committee. Ms. Truxal reported that Ms. Tommi Homuth, Tracy Realty,

was sharing videos of available lofts for lease in downtown and was putting them on

Facebook. Ms. Truxal continues to update the DowntownTX.org site with properties

available for lease/sale in the downtown historic district.

F) Mark Denison spoke on behalf of the Design Committee. He shared that Mary Karam

was working on an inventory of the Art Banners that line Main St. and are installed on

the lamp posts. Mr. Denison also reported that the slipcover was being removed from

the front of the building located at 208 W. Main St. and Mary Karam was installing new

windows to the upstairs façade of her building located in the 400 block of Main St. Mr.

Denison also shared that the property located at 400 W. Main St. is working towards

replacing the existing metal façade with stucco. The Sully mural is completed and the

scaffolding will be moved to the former Ashburn building in the 600 block for Mr. Bohall

(artist) to provide a refresh to the original Ashburn’s mural located on the East side of

the building. Jenna Zapata will be installing a mural on the North side of her building

located in the 100 Block of Woodard. Frank and Lola’s Taco Restaurant is still a work in

process. Mr. Denison reported that Nitia Musico, Rugs n Stuff, has been repairing the

US flags that are displayed on Main St. Ms. Dow mentioned that some flags may not be

able to be repaired and may need to be replaced.

G) Ms. Dow reported on behalf of the Organization Committee that there are hopes of

recruiting volunteers and assisting with planning a fundraiser for the Railroad Museum.

DIRECTOR’S REPORT:

Ms. Dow reported that due to Covid 19, Tailgating at Forest Park is still being discussed and she

is not sure it will happen. The first football games are on the schedule but not sure if they may

be delayed. Ms. Dow shared that there will be a Virtual Q&A – Navigating Covid 19 for the

Businesses with Mayor Gott and City Manager Jud Rex on July 29, 2020 at 10:00 a.m and to

please submit your questions ahead of time. Mayor Gott shared that she wants to hear updates

from the local businesses on how they are managing and navigating during Covid 19.

There being no other old or new business for consideration the meeting was adjourned at 10:08

SCULPTURE GUIDELINES

INTRODUCTION

Thank you for your interest in having a decorative sculpture in the City of Denison. Sculpture projects are an investment in cultural capital that goes far beyond tourism, improved aesthetics, increased business traffic and building occupancy, and eradication of blight. Sculptures are an investment in a city’s unique identity and its cultural cohesiveness, and contribute to its public art. To effectively implement a successful sculpture program, which will ensure consistency and aesthetic value in the community; it is important that applicants adhere to the following guidelines, which will ensure the best possible results. The application process and guidelines that follow are intended to provide sculpture applicants with a reasonable process that will safeguard the interests of the community, as well as those of the individual property owner. Allowance of sculptures is intended to extend public art into commercial areas of the City of Denison in

order to enhance the cultural experience of the public.

Applications for sculpture designs in the City of Denison must be approved by the Denison Main Street Design Committee and Historic Preservation Board through the Sculpture Approval Process described below. The completed Certificate of Appropriateness Application can be submitted to the Denison Main Street

Director at [email protected] .

SCULPTURE PROGRAM GUIDELINES

1) Theme / Design Criteria:

a) Sculptures must reflect the character, culture, heritage and history of the area/neighborhood. b) Appropriate thematic and other relationships to the surrounding environment. c) Appropriateness of scale. d) No design or subject matter that could be construed as advertising, copy, symbols or references directly promoting any product, business, brand, organization, service, cause, or political messages. 2) Planning / Considerations:

a) Once a sculpture is installed in an outdoor location, it becomes public art. There are a number of factors that need to be taken into consideration before a sculpture is started. b) The artist and the property owner should agree upon the content of the sculpture with an estimate of the cost. c) A written contract should be signed between all parties involved, i.e. artist, property owner or leaser) prior to work beginning. d) The contract should designate the lifetime of the sculpture (minimum of five years), that the sculpture will be left undisturbed.

3) Access The site shall be accessible to the general public, with particular attention paid to handicap access; a) Work displayed in exterior public spaces should be accessible to the public 24 hours per day. If a work is sited in a park or similar setting, it should be accessible during the normal operating hours of that site or facility. Placement should occur in an amenity zone where applicable. Amenity zone is that portion of the public Right-of-Way, adjacent to the sidewalk but outside the pedestrian walking area, which includes streetscape elements, street furniture, landscaping, and/or street trees. b) Site access should consider Americans with Disabilities Act (ADA) requirements, providing appropriate ingress and egress for the site and ensuring site does not impede movement; c) Site access should consider vehicular and pedestrian traffic patterns; d) Site access should consider the impact of public accessibility on the artwork, including potential for damage. 4) Impacts to be considered a) Operational Functions i. Artwork should not block windows or entranceways, nor obstruct normal pedestrian circulation in and out of a building (unless such alteration is specifically a part of the experience or design of the artwork). b) Adjacent Property Owners i. Impact on adjacent property owners’ views. 5) Implementation Design of the art: If the piece will be openly displayed without supervision, the pieces should be constructed with consideration given to the following points: a) No sharp points, corners or edges that could cut or puncture b) Absolutely no protrusions or projections that could entangle clothing, possibly causing strangulation c) The absence of pinch, crush or shearing points that could entrap a body part or clothing d) The artwork design shall not cause hazards that could trap a child’s head i. Completely bound openings greater than 3.5 inches and less than 9 inches fall into this hazard. e) Tripping hazards that may cause a fall, or cause injury if fallen upon must be avoided f) Suspended hazards that could injure if capable of entangling or striking a member of the public cannot be a part of the artwork g) The art should be securely anchored to avoid toppling A review process should take place to evaluate the art piece. Approval committee members should ask the following questions: a) Is it suitable content for public display in accordance with community standards? b) Does it pose any physical hazards, such as those stated above? c) Could it be easily damaged? d) Should it be accessible for the public to touch, or should such access be prohibited? e) Even if such access is prohibited is it likely that people, especially children, would attempt to play on or around the art piece, especially if it is an unmonitored location?

6) Maintenance Performed according to a scheduled piece-specific plan to clean, repair, and preserve each piece in the public collection. This plan will include measures to assess the ongoing effectiveness of preservation. 7) Approval Criteria Sculptures in the Denison Historic District will be approved based on the following criteria:

a) Completed Certificate of Appropriateness application has been submitted to the Design Committee.

b) The applicant has provided signed permission from the property owner who must commit to keep the sculpture unchanged for a minimum of 5 years and to help maintain the sculpture during that time

c) Artistic quality: Strength of the artist’s concept and demonstrated technical skills and experience d) Context: Appropriate to the architecture, geographic, socio-cultural and historic setting in scale

and expression e) Feasibility: Reasonable budget, timeline, qualifications of participants f) Originality: Unique expression g) Permanence: Uses high quality materials that will last a minimum of five years, and are resistant

to weather and ultraviolet deterioration. Review the intended display location of each art piece. Approval should consider the following points:

h) a) Avoid situating pieces near playgrounds, which may invite children to play on the art piece, unless the art piece was designed for that purpose.

i) b) Consider the proximity to roadways so that the art piece does not obstruct traffic line of sight or risk being struck by traffic.

j) c) Consider signage that warns of climbing or touching the art k) i. Not a Play Structure l) ii. Do Not Climb m) iii. Do Not Lean on Case n) iv. Please Keep Off o) d) Once the art is on display, an inspection checklist and schedule should be in place to ensure

ongoing safety. If a piece is damaged, it should be repaired or removed immediately. p) e) This safety policy should be provided to any artist as part of the public art bid process. q) f) The artist should sign a Release/Waiver to hold harmless and indemnify the City in order to

participate in the art display program, if the art is being loaned to the City. r) g) If the artist of loaned artwork believes the piece holds a high value, the artist should obtain

his/her own appraisal and insurance.

8) Sculpture Approval Process a) Applicant submits a Certificate of Appropriateness Application which includes:

a. Concept drawing of proposed sculpture with colors and dimensions b. Photographs of site and physical surroundings c. Written description of the proposed sculpture, site, wall preparation, specific processes and materials to be used and protective coating d. Written description of individuals and groups involved and how they will participate e. Evidence of support such as letters from the property owner, adjacent neighbors, and businesses f. Project timeline g. A plan that addresses safety of the artists and the public during construction and installation of the sculpture h. Contact person for the project

b) The Denison Main Street Director will bring the proposal to the Denison Main Street Design Committee. c) The Denison Main Street Design Committee confirms that there are no outstanding issues and forwards approved Certificate of Appropriateness Application to Historic Preservation Board. d) The Certificate of Appropriateness Application is reviewed by the Historic Preservation Board at its next scheduled meeting. If the proposal is approved, the Main Street Director or designee sends the artist a Notice of approval and a Notice to Proceed

a. In the case that a sculpture is not approved, the Main Street Director or designee will communicate to the applicant in writing the reasons for the decision. The applicant is encouraged to address the concerns and submit a revised proposal.

e) Property owner commits to keep the sculpture unchanged for a minimum of 5 years and maintain the sculpture during that time. f) Artist begins sculpture construction/installation. g) Applicant contacts the Main Street Director or designee when sculpture is completed in accordance with the approved project timeline or on a mutually agreed upon modification of the timeline. h) Applicant provides digital images of completed sculpture for the Denison Arts Council and Main Street Design Committee public art collection records. i) If a sculpture needs to be repaired, the property owner should contact the artist to make the repairs. If the artist is unavailable or unwilling to make the repairs, the property owner can seek the help of Denison Arts Council to find a suitable artist to do the repairs. j) Alterations to or removal of the sculpture must be approved by the Main Street Design Committee and Historic Preservation Board. k) At the conclusion of the 5-year Agreement, Applicant and the Main Street Design Committee review the condition of the sculpture and, based on the condition, either allow it remain or make plans to remove or modify the sculpture.

9) Sculpture Relocation and Removal On occasion, circumstances warrant relocation or removal of a work of art in the City’s Historical District. The Main Street Design Committee and Historic Preservation Board shall follow a process for relocation or removal to ensure that the integrity of the artwork and the interests of the artists and the public are respected. Consideration of removal or relocation of artwork must involve the same degree of careful review as the decision to install the artwork. At the beginning of the process, a reasonable effort will be made to notify any living artist whose work is being considered for removal or relocation. Removal should be considered only after five years have elapsed from the date of installation for permanent works or acceptance of the artwork in the case of portable works (unless otherwise specified in the artist’s contract). Removal or relocation may also be considered under special circumstances such as when artwork has been damaged or nearby construction could damage the artwork or inhibit construction. Relocation of the artwork. If the work was designed for a specific site, relocation must be to a new site consistent with the artist’s intention. CRITERIA FOR RELOCATION/REMOVAL A. Removal or relocation of artwork may be considered for one or more of the following reasons: 1. The condition or security of the artwork cannot be reasonably guaranteed. 2. The artwork has been damaged, or has deteriorated, and repair is impractical or unfeasible. 3. The artwork endangers public safety. 4. In the case of site specific artwork, no suitable site is available, or significant changes in the use, character, or design of the site have occurred which affect the integrity of the artwork. 5. The artwork requires excessive maintenance or has faults of design or workmanship and repair is impractical or unfeasible. 6. There has been sustained and overwhelming public objection to the artwork. 7. Written request from the artist. 8. Necessary construction could damage the artwork or inhibit construction. APPLICATION OF RELOCATION/REMOVAL CRITERIA 1. Upon receipt of a relocation/removal request, (which we don’t have…can we utilize an existing form?) the Main Street Design Committee will review the request and forward to Historic Preservation Board for approval. 2. If possible, the artist will be advised of the circumstances prompting the review. The artist’s contract, along with any other agreements or pertinent documents, will be reviewed. 3. If reasonable efforts to resolve the concern have gone as far as they can go and have failed to resolve the concern, relocation or removal should be pursued. 4. Upon final decision, the Main Street Director’s Office will coordinate the relocation or removal activities including notifying the appropriate departments of the decision.

PLEASE NOTE: Once the Main Street Design Committee and Historic Preservation Board have approved the proposed sculpture design, the artist may not make additional changes to the design without returning to the Design Committee for recommendation of Board approval of the changes prior to implementation of the sculpture. Portfolio of each artist involved in the project.

Signature of artist(s).

Six (6) digital images of the artist’s original work that shows ability as a sculptureist. (E-mailed or provided on CD or flash drive).

Artist’s rendering of the proposed sculpture with dimensions.

History of the sponsoring organization (if applicable) including a brief narrative, date established, community served and contact information.

If working on the sculpture involves blocking a public right of way such as a sidewalk or street, or the use of scaffolding or ladders, include a plan for insuring the access and safety of the public and the artists.

Consistent maintenance is extremely important to the durability of outdoor sculptures. It is recommended that a regular maintenance plan be devised for each sculpture.

Property owner commits to keep the sculpture unchanged for a minimum of 5 years and maintain the sculpture during that time.
