CONFIRMATION LETTER TO CONTRACT No ……………… Today, …..March 2010, after friendly discussions, the BUYER, Messrs. CHITTAGONG CITY CORPORATION , accepted the following proposals of the SELLER , Messrs. CIB SA, related to the offer for a processing plant suitable for the production of Tomato Paste at 28°Bx, 2.150 kg/h, Pineapple Juice Concentrate (PJC) at 60°Bx, 1.000 kg/h And Mango Concentrate at 28°Bx, 2.500 kg/h filled into aseptic bag-in-drums. 1. The total amount price of the supply discounted after negotiation is EUR 14,150,000.00= (Euro FORTEEN MILLION ONE HUNDRED FIFTY THOUSAND only). 2. The Letter of Credit for the purchase of the equipment shall be opened from a first class

bank in ……………………. on Credit Suisse, Trade Finance Center, Lugano, Switzerland, in favor of CIB SA, not later than .. of March 2010.

3. If the L/C from the buyer cannot be validated before .. of ……… 2010 the terms of this

PURCHASE CONTRACT No ………………..

This contract is made on this .. day of March 2010 between CHITTAGONG CITY CORPORATION hereinafter called BUYER on one side and CIB SA hereinafter called SELLER on the other side, on the basis of a friendly negotiation on the conditions and terms set forth hereunder. ARTICLE 1 SCOPE OF THE CONTRACT SELLER will supply to BUYER a complete JBT TROPICAL MULTI FRUIT PROCESSING PLANT, REFERENCE INLET CAP. 15.600 KG/HR OF FRESH TOMATO, 10.000 KG/HR FRESH PINEAPPLE and 10.000 KG/HR FRESH MANGOES & OTHER TROPICAL FRUIT with necessary accessories, spare parts and the required services hereunder mentioned. The details and the technical specification of the line are as per attachment "A" which is an integral part of this contract. ARTICLE 2. ARTICLE 3 TOTAL VALUE OF THE CONTRACT The total value of the contract is: EUR 14,150,000.00= The price is understood CIF Chittagong Port, Bangladesh According to INCOTERMS 2000. ARTICLE 4 PAYMENT CONDITIONS Within 5 (five) Swiss working days from the request of BUYER, SELLER will open through Credit Suisse a not operative irrevocable, revolving, not cumulative at sight buy-back letter of credit, as per Annex 2 of contract N ………………., in favor of BUYER, for the payment of the Tomato Paste at 28 °Bx, Pineapple Juice Concentrate at 60°Bx and Concentrated Mango puree at 28 °Bx filled into aseptic bag-in-drums (hereinafter called “the PRODUCT”). This letter of credit will become operative upon receipt by the SELLER from the BUYER of an irrevocable, confirmed, transferable, at sight Letter of Credit issued by a prime bank in ………., for the purchase of the equipment. The letter of credit for the purchase of the equipment must be issued by the BUYER and accepted by the SELLER within and not later than 30 (thirty) Swiss working days after issuance date of the buy-back letter of credit, otherwise the buy-back letter of credit will become null and void. The value of the letter of credit for the purchase of the equipment will be: EUR 14,150,000.00= The value of the buy-back letter of credit for the purchase of the PRODUCT will be: EUR 14,150,000.00= ARTICLE 5 TIME OF SHIPMENT The goods shall be delivered Ex Works Manufacturer (INCOTERMS 2000) within 240 days after receipt of the Letter of Credit by SELLER. The date of delivery is the date of the Bill of Lading. ARTICLE 6 PACKING As the goods have to be dispatched by sea, rail and transshipment will occur while on route, the packing of the goods shall be selected in accordance with the way of transportation and specialties of goods and shall meet the requirements from the place of dispatch to the place of destination in order to ensure the safety and sound conditions of the goods in transshipment and lengthy storage in the course of long distance transportation and multi transit. Efficient measures shall be taken against humidity and rust according to the specialties of the goods. ARTICLE 7 SHIPPING MARKS On each package the following must be clearly indicated in English with non-fading paint: the contract number, the consignee, gross weight, place of destination, the dimension of the case. According to the specialties of the goods the following warning notes must be clearly stenciled: "RIGHT SIDE UP", "HANDLE WITH CARE", "ANTI HEAT", "ANTI HUMIDITY", "FRAGILE" etc. ARTICLE 8 PASSING OF PROPERTY The property of the goods shall pass on delivery of the shipping documents . ARTICLE 9 GUARANTEE OF QUANTITY The quantity check up of the received goods shall be performed with the participation of the SELLER’s (or MANUFACTURER’s ) representatives. Protocol of the check up shall be put down in the claim in case of such occurrence and shall be signed by the representatives of the BUYER and the SELLER (or the MANUFACTURER ). The BUYER shall lodge his claims against the goods quantity, if any, within three (3) weeks after the goods arrived at the BUYER’s place of destination, enclosing the irregularity Report to his claim.

ARTICLE 10 GUARANTEE OF QUALITY The MANUFACTURER guarantees that the machines and equipment delivered under this contract will be manufactured according to the up to date technologies and according to the technical requirements, conditions and specifications of this contract described under attachment “A” and, if supplied with good quality of input product, will produce EXPORT QUALITY Tomato Paste at 28° Bx, Pineapple Juice Concentrate at 60°Bx, Tomato Paste at 36 °Bx,Concentrated Mango puree at 28 °Bx filled into aseptic bag-in-drums. The MANUFACTURER shall guarantee the goods delivered for a period of 12 months after commissioning -acceptance test-, but not more than 18 months after the last shipment, whichever comes first. Should the goods when received by the BUYER or within the period of guarantee be found in damaged conditions due to improper design, inferior quality of materials or poor workmanship or other causes for which the MANUFACTURER is liable, the BUYER shall immediately notify the MANUFACTURER by writing together with all documentation in relation hereto. All expenses in connection herewith shall be for the MANUFACTURER’s account. If the MANUFACTURER fails to take all necessary measures as soon as possible in order to remove the reported defects and to advise the BUYER accordingly, then the BUYER will be entitled to eliminate the defects by himself. All direct expenses connected with the elimination of such defects and reasonably justified will be borne by the MANUFACTURER . Guarantee time for the machinery and equipment or defected parts will be prolonged according to the protocol signed by the parties. The MANUFACTURER’s guarantee does not cover damages resulting from: • Incorrect operation, poor maintenance, negligence, mishandling, accidental damages,

repairs and modifications not agreed with the MANUFACTURER . • Damage which is attributed to transport conditions. • The MANUFACTURER’s guarantee does not cover elements supplied by the BUYER. After completion of the erection, trial running and putting the line into the operation, the protocol confirming the taking over of the line by the BUYER and the fulfillment of MANUFACTURER’s contractual obligations will be signed by the representatives of the parties. The date of signing the protocol will be considered as the starting date for the guarantee period which will not exceed 18 months from last shipment. ARTICLE 11 SHIPPING DOCUMENTS Detailed in the Letter of Credit opened by the bank of the BUYER.

ARTICLE 12 FORCE MAJEURE The SELLER and the MANUFACTURER shall not be held responsible for any delay in delivery or non-delivery of the machinery and equipment under this contract due to Force Majeure. However, the SELLER and the MANUFACTURER shall advise the BUYER immediately of such occurrence and, within twenty-one (21) days thereafter, they shall send by airmail to the BUYER, for his acceptance, a certificate issued by the chamber of commerce in the place where the accident occurs as evidence thereof. Under such circumstance the SELLER and the MANUFACTURER , however, are still under obligation to take all necessary measures to hasten the delivery of the machinery and equipment under this contract. In case the accident last for more than ninety (90) days the matter of further execution of the contract will be settled through friendly negotiation between both parties and an agreement shall be reached as soon as possible. ARTICLE 13 INSTALLATION AND RUNNING TEST The BUYER will inform the SELLER/MANUFACTURER when the goods arrive in the port of Thailand in order to organize the departure of MANUFACTURER 's technicians (and their visa) leaving to Bangladesh for installation. The local custom authority will open the case/containers in presence of both BUYER's officials and SELLER/MANUFACTURER's technicians. The scope of obligations of the MANUFACTURER's staff in technical service are according to the specification of Attachment “A” and are hereunder summarized: * Information about construction of the equipment and about its work, checking, supervision and training on the same time of BUYER staff in assembly of the MANUFACTURER’s equipment. * Obligation for supervision and checking of matching the MANUFACTURER’s equipment with auxiliary equipment provided by BUYER. * Putting it into mechanical operation without charge, regulation of equipment and training of the BUYER staff. * Supervision and training of BUYER staff, instruction for technological parameters, instruction about all conditions for production control test etc. * Obligation to obtain the guaranteed capacity and quality data. * SELLER will provide MANUFACTURER’s technicians with prepaid return air tickets to Dhaka airport. * BUYER will provide local transports, living and lodging expenses at the site for MANUFACTURER technicians.

ARTICLE 14 ARBITRATION Should any disagreement occur between BUYER and SELLER (or MANUFACTURER ), they will try to settle it amicably. If they can not solve the matter, all disputes arising in connection with the present Contract shall be finally settled under the Rules of Conciliation and Arbitration of the International Chamber of Commerce in London, by one or more arbitrators appointed in accordance with the said rules. ARTICLE 16 OTHERS Pre shipment Inspection of the machinery will be made by SGS or Lloyds or Bureau Veritas at BUYER’s charge. This contract is done in English in three originals. Each party will provide for all taxes, duties and tariffs in connection with the execution of this contract inside their own country. Any supplement or amendment to this contract shall be made in writing and shall be considered as effective after being signed by all parties.

Notes: All requirements for raw material as above mentioned are necessary condition for processing line. Anyhow, in order to give the final confirmation for the specification's products, the Customer has to supply to JBT information to the raw material as following:

1. kind of cultivars, variety of fruit, 2. average dimension of fruit, 3. average weight of fruit, 4. the acid content, 5. the pH, 6. specified colour (peel and pulp), 7. the Brix degree. The effective yield is dependent upon variety, quality, ripeness and storage conditions of the fruit which are conditions beyond JBT’s control; These parameters can be achieved providing the Customer supply sufficient quantity and quality (ripe and sound) raw material suitable for fruit paste production; The attached description of the goods refers to brand new and of latest design equipment; In terms of energy and utility consumption the described equipment herein are of world advance design, environmental and user friendly; The finished product produced by JBT line meets International and World Advanced Quality Standards; Measuring units conform to International Standards and the Electrical components conform to IEC Standards. The production line is designed for continuous juice extraction, concentration and aseptic filling in 3 working shifts for a daily production of 24 hours, 250 days per year.

CONCENTRATED PINEAPPLE JUICE

Is obtained by mechanical process, from sound, ripe pineapple (Ananas comosus L.). The soluble pineapple solids content of pineapple juice shall be not less than 10% v/v as determined by refractometer at 20 °C, uncorrected for acidity and read as °Brix on the International Sucrose Scales. The juice might contain finely divided insoluble solids but it does not contain pieces of shell or other coarse or hard substances. Data exposed here below, can be achieved only if characteristics of inlet raw material are:

- fruit variety: smooth cayenne, - fruit uniform in size (Kg 2/fruit to achieve the maximum yield) with ratio peels/pulp

obtained in laboratory ≥ 75% w/w - well ripened and freshly picked (5 degree of ripening), - sound and not affected by insects, without split, diseases or fermented, - dark specks free (from flowers), - pulp must be bright yellow - already carefully de-crowned (without crown/flower)

Process Description

Pineapple Processing Plant has a capacity of 10 tons per hour depending to the processed varieties of pineapple . Processing “Queens” variety for example the capacity per hour is smaller whilst the capacity with the varieties “Smooth Cayenne” or “Big Sumatra” is higher.

The recovered juice extracted has to be partial depulped. This will be effected by refiner and decanter.

Filling takes place into aseptic 'bag-in-drum' filling unit.

FRUIT RECEIVING

The fruit are delivered bulkwise by lorry from the plantations to the Processing Plant.

After weighing on a lorry balance (excluded from quotation) the lorries are emptied by means of a lorry dumper (excluded from quotation) into concrete storage area. Then the fruits will be fed to the washing machine by the infeed roller conveyor (item A0.1).

The pineapples without crown will dump into the washing machine (Item A0.2). The elevator conveys the pineapples straight to the brushing section (Item A0.4)

Washing machine is equipped with disinfectant dosing unit (item A0.3) and water recycling system (item A0.2).

On the 3 tier belt conveyor (item A0.5) is possible the final fruits manual trimming before discharging into the hopper of the bucket elevator (item A0.6).

A three ways discharging hopper (item A0.7) feed fruit to different processing phases.

PINEAPPLE PULP EXTRACTION

The bucket elevator (item A0.5) provides to feed the pineapples to sizer-grader (item A1.1) which selects fruits into three main diam. Sizes. Fruit are then fed to the 3 pineaplle peelers (item A1.4). Peeled pineapples are collected by a belt conveyor(item A1.7) and fed to the hammer mill (item A2.3) by the dedicated bucket elevator (itemA1.8). OTHER FRUIT PULP EXTRACTION By the three ways discharging hopper (item A0.6) fruit with stones are processed into the mango destoner (item A2.1) and pulper (item A2.2) while stoneless fruit are sent directly to the hammer mill (item A2.3). Obtained pulps fall into the collecting bin (item A2.5) from where by mono pump (item A4.2) sends pulps/juices to next processing phase

PULPOSITY CONTROL The pineapple pulp obtained is pumped through the preheater (item A4.7) which warms the pulp up to prefixed temperature in order to obtain the maximum yield in the refiner (item A4.4): higher preheating temperatures have the only results to damage the organoleptic properties. Other fruit pulps are pumped (item A4.2) through the preheater (item A4.7) which warms the product up to required temperatures, different for each fruit variety. Outlet from refiner the juice with 10/15 % of suspended solids is fed to the centrifugal separator "decanter" (item A4.11), where is possible to reduce the value of pulposity to the desired parameter. After the depulping section the juice arrives at the concentration section. T.A.S.T.E. PROCESS DESCRIPTION Introduction TASTE evaporators are designed to produce quality clear juice concentrates at minimum operating cost. These evaporators operate on the principle of high temperature, short time exposure and a thermally accelerated descending flow. Flow patterns and other design features may be changed to suit the particular application. Description

The TASTE Evaporator is a single pass with multiple effects and stages, flash cooler and barometric condenser. The number of effects are normally four to seven and the number of stages are six to eight. For your application we are offering four effects, four stages. Juice flow • The clear juice at ambient temperature or warm is fed to the evaporator through feed tank (

a buffer tank should be able to hold a 30 min. of juice production ). The standard juice flow pattern is a "mixed" flow pattern. Juice enters the evaporator and travels through interstage preheaters and essence condenser. The juice goes to the first stage which is at an intermediate temperature to provide a very efficient deaeration and fresh aroma stripping. The juice stabilizer ( pasteurizer ) is prior to the hottest stage;

• As the juice is pumped into any of the stages, it will pass through a nozzle ( or nozzles ). At this point the incoming juice will flash into the distribution section. This flash causes a sudden expansion of the feed, thus atomizing the liquid. This fog-like mixture of vapor and atomized liquid fills the distribution area and enters the tubes in the stage body, under turbulent flow conditions. The mixture accelerates downward through the tubes as it absorbs heat from the tube walls. Because heating is at a constant pressure (within a particular stage) the evaporation takes place at constant temperature. As the juice evaporates the velocity of mixture in the tube increases. Some stages are composed of more than one tube bundle. This is to allow fewer or smaller tubes and therefore higher velocities at the beginning of the travel through the stage;

• The juice and evaporated water vapor exit the tube nest at the bottom. The vapour enters a cyclone type separator where the vapor is separated from entrained product. The juice then is transferred by pump or by gravity to the next stage;

• Each stage is similar in that the juice enters the top through a nozzle (or nozzles), flashes, is accelerated downward as a turbulent flow through the tubes until the evaporated vapor is separated from entrained juice in the separator;

• Each effects does approximately the same amount of evaporation. When juice travels to a higher temperature effect, the juice passes through a reheater to raise its temperature as required to obtain the flash into the next stage;

• The concentrate flows from the last stage to the flash separator where it is flashed to the pressure of the high vacuum section of the condenser. This lowers the temperature to the higher vacuum in the condenser. After the flash separator, the concentrate flows to the flash cooler. Here it enters through a nozzle into a high vacuum chamber;

• The concentrate flashes there, lowering its temperature to approximately 10 to 15ºC. The high vacuum is by the cooling booster.

Vapour flow Steam enters the shell side of the last preheater and the first effect. This steam is normally at atmospheric pressure, but for special application can be vacuum. Vapor that is evaporated in the first effect becomes the heating vapor for the second effect. Vapor evaporated in the second effect is the heating medium for the third effect and so on through the evaporator. Vapor evaporated in the last effect is condensed in the condenser. Steam condensate The steam condensate exits the first effect at the bottom. It is returned to the boiler feed water tank. The vent for the first effect is just above the steam condensate drain. If steam is blowing out of this vent, then too much steam is being used. Vapor condensate Vapor condensate from the second effect is flashed through orifices into the third effect, and so on to the last effect from the last effect the condensate may pass through a condensate stripper to remove aroma compounds present in the water. Venting The non-condensable vents of the 2nd effect and beyond go to the aroma recovery system. Barometric condenser The water supply to the barometric condenser required a constant flow. The flow is adjusted with a normal throttling valve. The tail leg water temperature is generally 40 to 43 °C. Clean filtered water is required in small amounts for the pump seals.

Operating procedure There are two primary operating adjustments on a TASTE evaporator. 1) Juice flow adjustment:

The juice flow is adjusted by changing the set point or by manually adjusting the micrometer valve. This is the capacity adjustment.

2) Adjusting temperature will raise or lower the Brix: (there is a time lag in the system of several minutes). The steam supply for the heating steam should be fairly constant. The vacuum jets and cooling booster are nozzled for the specific plant steam supply pressure.

Evaporator control With the juice feed set to the desired rate, adjust the Brix by making small adjustments in the temperature setting by means of a temperature controller. As the evaporator runs the temperature settings may require slight adjustments to match changing juice characteristics. Pump out control The product pump removes the concentrate from the flash cooler and is run by a varispeed motor. The speed control will be automatic. Safety controls All T.A.S.T.E. Evaporators are equipped with safety controls. The purpose of these is to stop the flow of heating steam into the evaporator if there is a failure in the feed pressure, if any of feed or stage transfer pumps stop or if the preset temperature is exceeded in the thermostat placed in one of the effects in the evaporator. If any of the above should happen, the solenoid valve in the air operated steam feed valve will be de-energized, thus dumping the air from the diaphragm which closes the steam valve. When this happens the horn will sound. Safety control by-passes are required for start-up, cleaning of the evaporator and emergency conditions. Assembly and shipping • T.A.S.T.E. Evaporators are completely assembled as one single unit in the factory and are

pressure tested to assure shipment of a trouble free piece of equipment. • Due to their physical dimensions, larger units must be split into two or more modules for

shipment. • Each of these modules is a self supporting structure and has in the four corners of the

upper platform, four lifting lugs from which the total weight can be suspended. • These modules are transported to the plant site lying horizontally. Upon arrival, they

should be inspected to determine orientation and order in which they are to be lifted in place.

Installation • There are numerous ways of erecting these modules. They can be lifted directly from the

truck or rail car or can be set on the ground first. Likewise, one single crane or two cranes can be used to do the lifting.

• Once the module or modules have been erected, and it has been determined that they are perfectly vertical, they should be welded to the base plate in the foundation.

• If the evaporator consists of several modules, they should be welded to one another along the meeting flanges. The prefabricated vapor, condensate and juice transfer lines should be reconnected.

• Once this has been completed, steam, water, air, CIP and juice lines must be connected to the evaporator. Steam condensate, vapor condensate and concentrate should be piped out to the desired location. All down legs must be extended into the hot well.

Electrical work must be done as required, depending on whether the evaporator is equipped with factory installed switch gear. This procedure is rather simple and the entire installation should take few days depending again, on the size of the machine.

Heating section Heating section using coaxial concentric 4-tube pipe in pipe with flanged joints. The coaxial tubes are connected together so that the superheated water flows in counter flow to the product. All the parts in contact with the product are mirror polished and constructed in stainless steel AISI 316L. The tubular modules are complete with dilatation joints to adsorb thermal dilation and with scientifically disposed fins inside the annular space, acting as static mixer, to ensure a more uniform and effective heat exchange by convection also at low product speed. Design according PED pressure vessel code. Holding section Holding section consisting of tubular modules. All the parts in contact with the product are mirror polished and constructed in stainless steel AISI 316L. During production, the product is sent forward if it has reached the right sterilization temperature, otherwise it is recycled back into the deaerator / feed tank (see under cooling) through this valves group. Located after the holding section, far away from the filling heads to avoid recycled product damages (burning) and valves back pressure shocks. Set of service valves, complete of pneumatic on/off 3-ways deviation valve for product coming from heating section at high pressure. The valves permits the flow of product into section or otherwise the recirculation into the

JBT Aseptic Process Control The offered control system consists of a PLC processor, connected to an HMI Touch Screen display with software developed by JBT for Aseptic Process Control. The PLC processor panel board and I/O will be mounted into the above stainless steel cabinet located adjacent to the processing system. The panel board includes intra-panel materials (pre-wired terminal blocks, fuses, etc.). The PLC includes all required chassis, I/O cards, and ancillary control hardware for the process control functions of the machine. The provided hardware controls:

• Process steps for Cleaning In Place (CIP); • Process steps for Sterilization In Place (SIP); • Process steps for product temperatures balance; • Production start-up and shut-down procedures of the system; • Aseptic filling and automatic controls of the aseptic conditions; • Automatic controls as temperature indications and monitoring, self-

Remote connection conditions by modem The JBT’s Engineering and Service employees, upon the Customer’s written authorization, can provide remote assistance via modem with a direct link from JBT Parma Facilities to the JBT equipment based to the Buyer’s location in order to solve technical issues. The Customer has the full responsibility to verify that no operators are working on the equipment and has the engagement to authorize in written (by email or by fax) before that the JBT’s technicians will dial a remote connection. The Customer declares that any damages (including potential hackers actions) that the remote connection will generate to the operators, to the JBT equipment or to the product cannot be addressed to JBT because it will be Customer’s full and exclusive responsibility. Section B2: Steam Production

B2.1 2 Steam Boiler Steam boilers, each for production of 6 t/h of steam, pressure 12 Bar; Description; - Wet back without any refractory material in order to eliminate maintenance

costs and heat losses due to irradiation and overheating of the rear tube plate; - Downward furnace tube eccentricity to favour the circulation inside the boiler

and increase the steam chamber volume; - Absence of pipes in the lower part to facilitate cleaning of the water side, - Large diameter furnace tube (Fox-type corrugated in the series PB-F) to

improve yield and observe the environmental standards for flue exhausts; - Three smoke turns to increase yield; - Hot flanged tube plates. Flanging absorb the body and tube nest expansion

uniformly acting as compensators; - Smoke pipes are expanded only at tube plates. Inside each hole, proper off

lets are provided to allow each pipe to act both as studs and compensators at the same time;

Boiler frame - The boiler is housed in a stout structure made of steel sections on which the

feeding means and control board are installed; Smoke chambers. The two front and rear smoke chambers are supplied each with 2 hinged doors which are openable completely in order to ensure an easy inspection of the smoke side. The smoke exhaust coupling is obtained in the upper side of the rear smoke chamber. In order to meet special requirements, the exhaust coupling can also be fitted in the lower part. Thermal insulation The thermal insulation boards of the cylindrical shell are obtained through 100 mm thick mineral wool boards. The insulation is protected by stainless steel panels fitted on spacers. Spacers between the cylindrical body and the outside are insulated with pressed insulating material. Gangway and ladder For easy access to the valves, the generator is supplied with gangway and ladder. N.1 Gas Burner modulating design, complete with gas valve train, joint, filter and stabilizer, gas pressure at the burner 300 mbar; N.1 cylindrical chimney made of stainless steel, thickness mm 2, 6 meter long, made in two pieces, complete with fitting ring and cap. Water infeed assembly The infeed assembly is fitted completely onto the generator and consists of: - N.2 horizontal axis centrifugal pumps, which are coupled directly to a three-

phase electric motor of appropriate power, suitable to feed the above generator with water at a temperature of 80°C and dimensioned according to ISPESL standards in force, with stainless steel disk check valve on the delivery pipe. Motor protections are fitted inside the electric board.

valve for quick drainage; - N.1 steel sheet plate to fix the burner to the boiler; Regulation and safety equipment for level and pressure Probe-type water level self-regulator, electronic operation, suitable to control the motor-driven feed pump to maintain water in the boiler at an optimal level, consisting of: - N.1 electrode for minimum level inside boiler (feed pump start); - N.1 electrode for maximum level inside boiler (feed pump stop); Probes are contained inside a drum supplied with tap for mud drainage. N.2 electronic probes, one for low level signal, the other for safety and stoppage, suitable to stop the burner and start a visual alarm and an acoustic one when water level lowers below the minimum level inside the boiler. When the normal level is restored, a manually operable push-button placed on the control board allows the operation restart. Stop and safety pressure switch, suitable to stop the burner operation and to start a visual alarm and an acoustic when the maximum admitted pressure is exceeded. Manufactured according to the standards in force CEI EN 60439-1 (CEI 17-13/1 boards ANS), the electric board is mounted on the boiler; electric connections between the board and burner, motor-driven pump and control-safety equipment are obtained through a high insulation cable suitable for high temperatures, contained in a sheath with high mechanical strength and resistance to acids. The manufacturing of the electric switch board is made using only equipment according to EMC Directive. Joints on the sealed branching-offs are obtained from special couplings. Electric plant design temperature: +5÷+40°C. The eventual low level signal cables are adequately protected from external disturbs with equipotential shielding. Steam reducer groups, steam distribution with relative support, and condensate collecting system are not included.

Critical Spare parts The critical spare parts list included as lump sum in this offer will be delivered by JBT after contract coming into force. During the warranty period faulty parts will be replaced with new good quality parts which are to be delivered in the shortest time. Upon JBT request, the faulty parts will be returned to JBT country destination. Log sheets plant registration of the production parameters have to be kept at JBT disposal for all the duration of the warranty period: missing the log sheets will end the warranty period. Log sheets will be delivered by JBT Food Tech after contract coming into force. If the replacement of the faulty parts is carried out during the warranty period, it will be extended for a period corresponding to the time taken to remove the defects. The 'mechanical warranty' does not include the usual wearing parts and faults due to lack of responsibility or insufficient care of the machines. With JBT, End User can rely on a fast delivery of spare parts, fabricated to our high standard manufacturing specifications. The extensive efforts JBT has put in the organization of the Spare Parts department assures the following benefits: • quick delivery of stock parts • all critical machine parts are manufactured in the JBT state-of-the-art machining centres,

Technical specifications Scope of supply – Utilities required The above described proposal is based on the following general technical requirements from the customer.

Electrical power

Voltage 380 V (+10% / -6%) frequency 50 Hz (3-phase + earth) Electrical motors IP55 The control board/s is/are equipped with magnetothermic master cut-out. The electric panel boards will be according to CEI – IEC directives. If not otherwise specified the electric panel boards do not include connecting cables from the panels to the motors and the instruments in field. Power supply to JBT FoodTech control boards :TN-S network ; neutral conductor and earth conductor completely separated in the network The power supply lines upstream the master cut-out, all the measures required to protect the lines, as well as the execution and laying of all protections against direct and indirect contacts are at Customer’s charge. When the installed power exceeds 50 kW and differential protections are set in place, or in presence of frequency converters, a protection featuring time constant and current adjustable should be adopted.

The equipment required for earth connection will be accomplished by the Customer; JBT FoodTech will provide the connecting points on equipment.

To be supplied filtered and water shall comply with the following parameters: ph 7- 9,5 ; hardness < 80 mg/l CaCo3 , chlorides < 30 mg/l. JBT FoodTech reserves the right to approve the quality of the water available at Customer’s once the analysis on it has been carried out

Services Technical documentation Documents from Customer to JBT Within 1 week from contract signature, Customer shall send to JBT: - Confirmation and acceptance of the equipment installation layout - The main characteristics, analysis and quantity of the raw material to be processed - Confirmation of the utilities available, as specified in JBT proposal.

For each utility Customer shall confirm the required characteristics including voltage, frequency, flow rates, pressure, etc.. In particular Customer will send the report analysis to confirm water complying to the characteristics indicated in “Technical specification” paragraph.

- Drawings, features and samples of the containers to be handled on the machines to be supplied.

- Any further information necessary to design and manufacture the machines included in the proposal.

Any delay in the receiving the above documents, will entail the same delays in JBT machine delivery. JBT will supply a complete list of this information when contract coming into force. In case the datas received differ from those on which the proposal is based, JBT reserves the right to evaluate the suitability of the machines envisaged to the specification received. The costs of analyses, delivery of samples and or documents will be at Customer’s charge. Documents from JBT to Customer The supply of the machines described above includes the technical documents necessary for their proper installation, start-up and operation. Particularly JBT will deliver to the Customer, according to a time schedule to be agreed: - Detailed equipment installation layout; - The data required for the calculations of the civil works required for machine installation; - Layout with the utilities connection points: steam, water, compressed air and electric

power; - The drawings necessary for machine installation; - The use and maintenance manuals. Each manual comes in 2 copies including: - The instructions for installation; - The machine safety information; - The technical data; - The operator’s instruction; - The maintenance information; - The lubrication information; - The machine cleaning information; - Electrical wiring diagrams.

Supervision to installation, start up, commissioning Supervision and assistance during installation shall be carried out by qualified JBT technicians. Customer shall provide the skilled staff and unskilled labour, required tooling and site conditions. Training during erection, start-up, commissioning During supervision to installation, start up JBT technicians will train the Customer’s technicians. The JBT technicians will have the only goal to supervise & support the Customer staff. The Customer’s staff will be entrusted with the machine/s operation and will be fully responsible to comply with the operating parameters set by the Production and Quality Managers of the Customer itself as far as production requirements, quality and quantity characteristics of the raw material available and the final product to be obtained are concerned. Technical assistance during commissioning JBT technicians immediately after the completion of the installation and start-up will accomplish the commissioning with Customer staff, according to the agreed procedure. Working time JBT technicians will work for 10 hours / day for 6 days/week. If additional days and/or daily extra times are necessary for any reasons beyond JBT responsibility, these will be calculated separately and invoiced to Customer at the JBT standard rates. Travelling time is included in the estimated time. Travelling costs The travelling costs for JBT technicians from JBT factory to Customer’s will be at JBT’s charge. Board and lodging costs The following costs, born during JBT technicians’ stay, will be at Customer’s charge: - Board and lodging according to good International Standards; - Local transportation; - Phone, Internet and fax facilities to contact JBT. General terms and conditions for Site running Upon contract coming into force, JBT will hand over to Customer a document setting out the general terms and conditions for Site management in the machine installation and testing stage, including the staff training stage. Such a document, based on Orgalime International Standards, will be an integral part of the contract and it will fix the following topics: - Terms and conditions for machinery delivery; - Procedures for materials unloading and storage at the Site; - Customer obligations and duties prior to starting installation; - Safety on the Site; - JBT staff; - Conditions for JBT personnel; - JBT equipment - Required Customer personnel (number , skills , timing) - Required Customer equipment (cranes , forklift , welding equipment etc) - Services required in the Site

- Installation schedule - Conditions for unexpected additional installation costs Boxing and Transportation Delivery conditions and terms are CIF Chittagong port in Bangladesh (INCOTERMS 2000), boxed. Boxing will be carried out with the purpose to mechanically protect the goods and it will be suitable for normal international transport conditions including a safety handling. If special protective packaging is required with the purpose to protect the goods against heavy and critical transport conditions this offer shall be updated and extra costs will be necessary. The containers used are to be intended as hired to the shipping company and not purchased. Costs or fees for inspection by Control Authorities and/or Consular Visa, if any, are not included and are at Customer charge, as well as Demurrage Costs in case of extra time containers storing.

Commissioning – Acceptance Test - conditions and methods Test targets The purpose of the tests is to check the performances declared in this Project. Only the parameters listed at “Performance” paragraph will be applied to determine conformity of the machines supplied to the specifications contracted. It is however understood that machine proper running can be affected by conditions beyond JBT control including, but not limited to, the conditions listed under section “Test conditions”. Test conditions The conditions for test execution shall be such as to allow of: A. The machines supplied by JBT to be installed, used and serviced according to the provisions of the related use and maintenance manuals. B. No condition to occur that may affect proper running, such as:

• Insufficient feeding of product or raw material • Poor produce quality or unsuitable raw material • Difference between the characteristic declared and the actual ones in terms of

product, samples of containers and/or consumables. • Insufficient supply of electric power, steam, water or compressed air or

incorrect feeding conditions. • Machine improper operation, including cleaning and lubrication. • Staff poorly trained or not sufficiently prepared for machine operation • Inadequate support by the Quality Control or laboratory personnel

C. Not all of the agreements and commitments undertaken by the BUYER on contract signing have been actually implemented. Test methods After contract coming into force, JBT will deliver a document specifying the times and procedures to be adopted to check and calculate the test parameters. The commissioning – Acceptance test - will be performed immediately after the completion of erection on 1 product, 2 hour test with a maximum number of two tests. Different Products / Containers The times mentioned above refer, unless otherwise specified, to the start-up with one product (the first available, immediately after the completion of the installation) and one container, only. If the machine/s object of this Proposal is/are intended for processing more than one product and/or several containers, the extra times and costs for machine start-up – commissioning with other products and/or containers, as well the related travel, board and lodging expenses will be quoted and invoiced separately.

Exclusions This proposal does not include: • The gaining of all Authorities, permissions and licenses required to execute the Project;

• All buildings, foundations and civil engineering works, included foundation plates,

reinforcement and similar items, wastes treatments, CIP units, lighting system in the premises intended for machinery installation;

• All connections ( pipes, cables etc. ) to supply utilities at the specified conditions from the

main sources up to JBT battery limits, which are: - flanges on JBT machines for waters, steam, condensate; - terminal blocks on JBT electrical panel boards for electricity and compressed air;

• Thermal & acoustic insulations, cladding and supports, paintings or other extra protective coatings;

• Water cooling & recycle systems, circulation pumps & piping from/to cooling towers & chillers;

• Provision of drains of adequate capacity at points to be agreed; • All supporting frames for the above piping and connections;

• All disconnecting and protection devices for the lines feeding JBT control boards and field

wiring, e.e. earthing system; • Offloading and final positioning of equipment according to final approved lay out, lifting

equipment to assembly the machines; • The supply of personnel safety equipment, emergency lighting and fire fighting equipment,

local insurances; • Unskilled labour and technical staff, tooling such as welding machines, drilling machines,

grinding, etc. needed during machines installation, start-up, testing, commissioning; • Supply and disposal of electric power and any other utilities, laboratory analysis, chemical

detergents, products, containers used during plant assembling, start-up, testing and commissioning;

• Any other goods or services not otherwise specified and necessary for completion of the

Project.

TECHNICAL ASSISTANCE FOR AGRICULTURE AND PRODUCTIO N

1 - AGRONOMIST AND AGRICULTURAL TECHNICIANS ASSISTA NCE Agronomist and agricultural technicians will assist and supervise local farmers, they will receive production inputs, know how on modern crops and technical assistance, their production will supply the processing facilities, complementing the project’s own agriculture production. The Team will promote agriculture diversification, through intensive production of tomato, vegetable and cereal. For the Agronomist and agricultural technicians the following will have to be provided by BUYER: _ Board and lodging according to good international standards. _ International and local Transports and local taxes (if required) _ Medical assistance. _ Personnel in charge of the agricultural sector. 1.1 - SERVICE 1) Team give support and assistance to the local teams in every professional technical and administrative managerial aspect concerning the farming aspect, within the best existing and efficient methods available. 2) Team will directly train the local farmers specialists in every subject related to the correct operation of the cultivation to transfer newest knowledge and updated technology that will help them to run the farm in due time at its best. 3) Team will give evidence and assistance to the farmer to select the most suitable site for the different cultivation and relative rotation, required for the project. 4).Team will undertake to supply the technical and professional knowledge and details necessary for the following: a) Agriculture machinery and equipment. b) Selecting seed varieties c) Irrigation system and equipment. d) Fertilizers, insecticide, pesticide. e) Nursery. 5) Team will undertake the running in the operation of the agricultural and the equipment of the Farm, and will supervise the correct operation and maintenance of the said equipment during the entire period.

6) Team will undertake to prepare the multi-annual field crops growing programs, sowing and harvesting programs and will be responsible for the implementation of these programs together with the local teams that will be trained and educated for these tasks. 7) Team will undertake the operation of the irrigation equipment and the correct implementation of this equipment in the field. 8) Team will transfer knowledge and know-how that is accumulated in many years of agricultural in different parts of the world and as well as in countries where tomatoes are modern and advanced. 9) Team develop farming on diversification of the agricultural activity in the area, reactivating vegetables production and fruits. 1.2 - TIME SERVICE The above Team is include on the project for no. 1 year from the COMING INTO THE FORCE OF CONTRACT. 2 - PRODUCTION TECHNICIAN ASSISTANCE Production Technician will assist and supervise local production team, providing production inputs, know how on modern processing technologies and technical assistance For the Production Technician the following will have to be provided by BUYER: _ Board and lodging according to good international standards. _ Transports and local taxes (if required) _ Medical assistance. _ Personnel in charge of the technologist running of the lines. 2.1 - TRAINING Upon ending up the acceptance test / commissioning of the processing plant, the industrial production will start. Whereas SELLER sets up a factory, as per contract No …………….. dated .. ….. 2010 for an amount of EUR 14.150.000,00= for the production of Tomato Paste at 28 °Bx, Pineapple Juice Concentrate at 60°Bx , and Concentrated Mango puree at 28 °Bx filled into aseptic bag-in-drums (the PRODUCT). Whereas, as means to reimburse the financing of such equipment, SELLER wants to sell the manufactured PRODUCT for export, outside Bangladesh. Whereas BUYER is in a position to trade the PRODUCT in the international market and therefore provide SELLER with a hard currency income. Whereas SELLER and BUYER have discussed the basis of such co-operation.

Now the Parties have agreed as follows: Article 1. SELLER undertakes to manufacture the PRODUCT reserved for export in a sound, loyal, internationally merchantable quality according to the specification stated in Annex 1, which forms an integral part of this Contract. SELLER also undertakes to manufacture the PRODUCT reserved for export in a quantity sufficient to cover the total amount of EUR 14.150.000,00= Article 2. SELLER undertakes to sell to the BUYER which undertakes to purchase, for five years (or for longer terms to be agreed), under the conditions hereafter mentioned, a quantity of PRODUCT F.O.B., Chittagong Port Bangladesh (INCOTERMS 2000) equivalent to the maximum total value of EUR 14.150.000,00= Article 3. SELLER shall keep BUYER continuously informed about the quantity, quality and the specifications of the PRODUCT under production by submitting the data sheets during all the production season. SELLER undertakes to supply to BUYER, upon its first request and in any case not later than 30 days after the end of each campaign, several representative samples of the production. The SELLER will provide the representative samples with analysis Certificate made at the factory laboratory. BUYER will not have any obligation to purchase the product if the quality is not as per Annex 1. However, BUYER will try his best to purchase the PRODUCT not corresponding to the specifications of Annex 1, at the best possible price. Article 4. BUYER undertakes to give a price based on the international market price available in the

country of final destination, for the product corresponding to the analyzed samples and to the specifications indicated in the Annex 1, within 30 days from the receipt of the representative samples. The sample will be analyzed by the respective laboratories, and if any discrepancies is found the test should be repeated. The price are valid during 3 (three) weeks from the date of submission of the offer, for the quality and quantity mentioned in the offer. SELLER must reply within these three weeks, and, if the offer is approved, SELLER shall have to deliver the PRODUCT to BUYER or his nominees. If SELLER receives a better offer from another buyer, he should advise BUYER within the said three weeks and BUYER will have the priority to purchase the product at that price, or SELLER will be free to sell, after the refusal of BUYER, to this new buyer; the amount of such trade shall be deducted from the yearly engagement of BUYER. Article 5. SELLER will provide BUYER with all necessary export documents required by BUYER such as quality and quantity, origin, non radiation and customs certificates. All taxes or duties payable in Bangladesh shall be for SELLER account. Article 6. BUYER undertakes to open an irrevocable letter of credit in favor of SELLER for payment against presentation of the necessary conform documents such as: - Order Form duly signed by BUYER and SELLER - Commercial invoices (6 copies) - Full Set of Bills of Lading - Certificate of competent authority proving that the products are conforms to the specification stated in Annex 1. - Certificate of Origin - Non radiation Certificate Article 7. BUYER shall bear no responsibility whatsoever with regard to the quality or the quantity of the PRODUCT delivered FOB Chittagong Port Bangladesh. Should any claim be lodged against BUYER by his purchaser of the PRODUCT, for quality or delay in execution or in case of non execution imputable to SELLER, SELLER shall indemnify BUYER against such claim and hereby authorizes BUYER to deduct the amount paid to his purchaser as a consequence of such claim from the following payment to SELLER .

Article 8. SELLER hereby grants to BUYER the priority for its products for export in the international market. However SELLER shall be free to sell goods covering the compensation part to third parties, at price which shall not be below the prices offered by BUYER. The contractual engagement of BUYER shall be automatically reduced for an amount corresponding to these trades. Article 9. Each Contract related to the contractual quantities shall be written and signed within 3 (three) weeks after acceptance of the PRODUCT. Article 10. This contract is valid for the PRODUCT specified in the Annex 1, but may be extended to other products manufactured by SELLER , following to a written Contract to that effect between SELLER and BUYER. Article 11. In case SELLER is unable or has no interest, during any of the contractual campaign, to supply to BUYER the PRODUCT in a quantity and quality as per specifications in Annex 1, sufficient to cover the amount mentioned in Article 1, than both parties will be deemed to have however fully executed their undertakings under this Contract for this contractual campaign, even if the amount referred to the Article 2 is not reached during this campaign, without penalty or claim for either party determined in Article 15. Article 12. Should the occurrence of any adverse events or circumstances render the execution of this Contract in all cases impracticable for either party they will inform each other by e-mail or fax within 10 (ten) days and then SELLER and BUYER will meet and discuss remedies. If they cannot find a viable solution, this Contract may be subject to early termination; any way if not decided together the contract will terminate only after the decision of Arbitration. Article 14. In spite of the fact that, according to the Swiss banking rules for the revolving documentary credit, if an installment is not delivered/negotiated or completely delivered/negotiated within the fixed conditions this credit ceases to be available for the subsequent installments, BUYER hereby irrevocably and unconditionally undertakes to keep the Buy-back letter of credit available for the whole contractual duration regardless to the full or partial delivery of any installment. Article 15. Arbitration. Should any disagreement occur between the parties, they will try to settle it amicably. The juice might contain finely divided insoluble solids but it does not contain pieces of shell, seeds, or other coarse or hard substances or dark speks.

2. PACKAGING ‘BAG-IN-DRUM' Outer: Drums. With reference to the Buy Back Contract Nr ……………. dated ………………. for EUR ………………. both parties hereby agree also to sign this Buy Back Arrangement for Excess Quantity covering the Buy Back of Tomato Paste at 28° Bx, Pineapple Juice Concentrate at 60°Bx and Concentrated Mango puree at 28 °Bx filled into aseptic bag-in-drums (the PRODUCT). produced in addition to the basic Buy Back Contract. Now the Parties have agreed as follows: Article 1. PARTY A undertakes to manufacture the PRODUCT reserved for export in a sound, loyal, internationally merchantable quality according to the specification stated in the Contract No ……………….. Article 2. PARTY A undertakes to sell PARTY B which undertakes to purchase, for five years, or for such period as may be extended mutually every year under the conditions hereafter mentioned, all the quantity of PRODUCT produced in addition to the basic Buy Back Contract attached in Contract No…………………. PARTY A shall keep PARTY B continuously informed about the quantity, quality and the specifications of the PRODUCT under production by submitting the data sheets during all the agreed period. PARTY A undertakes to supply to PARTY B upon its first request several representative samples of the production. PARTY B undertakes to give a price based on the international market average price of quotation coming from Europe for the product corresponding to the analyzed samples and to the specifications within 30 days from the receipt of the representative samples. The sample will be analyzed by the respective laboratories, and if any discrepancies is found the test should be repeated, in presence of the PARTY A if demanded. The price are valid during 3 (three) weeks from the date of submission of the offer, for the quality and quantity mentioned in the offer, subject to extension on mutual agreement. PARTY A must reply within these three weeks, and, if the offer is approved, PARTY A shall have to deliver the PRODUCT to PARTY B or his nominees.

If PARTY A receives better offer from another buyer it should advise PARTY B within the said three weeks and PARTY B will have the priority to purchase the product at that price, or PARTY A will be free to sell this buyer after the refusal of PARTY B ; the amount of such trade shall be deducted from the yearly engagement of PARTY B. Article 5. PARTY A will provide PARTY B with all necessary export documents required by PARTY B such as quality and quantity, phytosanitary, origin, non radiation and customs certificates. All taxes or duties payable in Bangladesh shall be for PARTY A account. Article 6. PARTY B undertakes to open or to obtain to open from a third party an irrevocable letter of credit in favor of PARTY A for payment against presentation of the necessary conform documents such as: - Order Form signed by PARTY B and PARTY A - Commercial invoices (6 copies) - Set Bill of Lading - Certificate of Origin - Phytosanitary Certificate - Non radiation Certificate - Analysis certification. But except for the problem of quality caused during the process of transportation and careless handling any claim should not be lodged after arrival of the ships to the port of destination plus one month.
