If you select additional options for your vehicle, you will be responsible for the additional costs. You will not be paid a refund or rebate for these expenses upon return of the vehicle.

Eligibility & Motor Vehicle Record Check

We’re happy to be able to offer a company car program to those of you whose positions require a great deal of business travel by automobile and that have achieved positions that merit that level of compensation (see positions listed below).

Initial EligibilityTo be eligible for a company-provided leased vehicle, you must:

• Have a valid, non-restricted license

• No substance related violations or license suspensions in the past 12 months, no more than (one) such violation in your driving history*. If you have had a license suspension or a substance related violation, you must have had a full 12 months of clear driving history with a valid license.

• Be actively employed full-time with Chipotle

• Have a most recent performance rating of 3 or higher

• Currently in one of the following positions:

• Restaurateurs.

• General Managers with more than four years of uninterrupted employment with Chipotle and who was a GM or Apprentice prior to March 2, 2009.

• Field employees that drive more than 15,000 business miles annually. Employees new to this category must demonstrate their eligibility for a company-provided vehicle when 1,250 or more business miles per month are consistently driven over a six-month period.

• Area Managers/Team Leaders/Apprentice Team Leaders.

• Team and Staff Directors.

• Regional and Executive Directors.

Ongoing Eligibility To continue to remain eligible for a company-provided leased vehicle, the above criteria remains the same. Additionally, if you receive a substance related violation or certain license suspensions, it will result in the loss of your company vehicle. To become eligible again, you must prove 3 years of a clear driving history with a valid, non-restricted license.

*Chipotle reserves the right to deny a company-provided leased vehicle based on any other adverse driving history, including having a high number of violations or one or more serious violations such as reckless driving.

Vehicle Ordering & Delivery

Process for new orders1. Go to clients.arifleet.com/chipotle, select the top tab (Vehicle Ordering/Transferring), enter all

information, then hit submit. An email notification will then be sent to ARI and the approving manager. The manager must approve the order.

2. Once the manager approves the order, you will receive an email from ARI to complete the MVR (Motor Vehicle Record) process online. Enter all of your license information and authorize for a MVR check. A MVR check needs to be run before you can receive a company-provided vehicle. MVRs will be checked for all drivers annually and by random selection.

3. Once your MVR has been approved, ARI will send you an email with instructions to place your order. Go to ARI’s website to select your vehicle and submit your order. Vehicle orders generally take 15 weeks from this point, so please be patient. ARI will email you once the vehicle is ready to be picked up at the dealership. You can track the status of a new vehicle order at any time by calling 877-9CHIPOTLE, e-mailing [email protected] or by accessing status via ARI’s website. Fuel and maintenance coupons will be sent separately to you within two weeks of delivery.

4. Upon arrival of your new vehicle, a dealer will contact you to arrange pick up. You will need proof of insurance, which you will receive directly from ARI via e-mail. You will be required to sign for the vehicle indicating its delivery. Your spouse or domestic partner is not authorized to sign for you. ARI is responsible for ordering the license, title and registration for all company-provided vehicles. Typically, you should receive the license plates at your home address within 90 days of vehicle delivery (depending on the state you live in). Questions regarding titling can be directed to the ARI titling department at 877-9CHIPOTLE or e-mailing [email protected].

Personal Use Contribution

Similar to many of your other benefits, this program is a shared cost. Therefore, Chipotle will deduct a biweekly amount from your paycheck while you possess a company-provided vehicle. These deductions defray some of the costs of offering the program, which is why we are able to offer it to such a wide variety of employees. You must approve this deduction by sending a completed and signed Vehicle Cost and Deduction Authorization form. Deductions begin once your vehicle is delivered. Employees are responsible for making sure their deductions have started on their first paycheck following vehicle delivery. If, for some reason, the deduction is delayed, payroll may need to make up the deductions on future checks. The following are the after-tax deduction amounts for each vehicle:

Please note: Personal use deductions are not pro-rated to the day you picked up your vehicle, but generally begin at the start of the pay cycle when you pick up your vehicle. There can be up to a two week differential for processing.

Vehicle Operation & Maintenance

It is expected that your company vehicle will be primarily driven by you. On occasion, your spouse or domestic partner is authorized to drive your company-provided vehicle. Your spouse or domestic partner must have a valid unrestricted driver’s license that is issued in the residing state and they need to adhere to the same policies and procedures outlined in this document.

Coworkers and friends are not authorized to drive your company vehicle. While company-provided vehicles may be used for non-business related purposes, all policies and procedures must be complied with at all times. Company vehicles are not to be used for secondary employment. Failure to comply with such requirements may result in forfeiture of the company-provided vehicle (i.e. you could lose the car).

• Seat belts must be worn at all times by the driver and all passengers in company-provided vehicles. Failure to do so may result in loss of worker’s compensation for injuries received as a result, depending upon the state where the accident occurred.

• Any child riding in the vehicle must be restrained in car seats or by seat belts as required under applicable laws.

• Unless specifically authorized by the manufacturer or Chipotle, the vehicle is not to be modified in any way, including exterior color or decals and the installation of any devices or equipment.

• Under no circumstances should you or anyone else smoke in your company vehicle. Violation of this can result in loss of company vehicle and/or a fine of up to $1,000, paid by the employee.

• Employee will adhere to all state laws regarding use of cell phone/texting.

Operating and Maintenance Costs Chipotle covers the cost for all operating expenses on leased vehicles including:

• Lease payments • Insurance

• Car washes ($30 or less/month) • Preventative maintenance

• License and registration fees • Most collision repairs

Fuel coverage varies based on position. Contact your Manager/Director to find out if you qualify for a fuel card.

If you qualify, you will receive a fuel card at your home address 1-2 weeks prior to delivery. For those receiving a fuel card, you will need to call ARI Fleet Administration at 877-924-4768 (877-9CHIPOTLE) or e-mailing [email protected] to obtain your driver ID. Use this card for all fuel purchases; it is accepted at 9 out of 10 gas stations in America. Directions on how to use your card will be included. Fuel should never be put on your p-card (unless you are in a rental vehicle) and your fuel card should only be used for your company vehicle. Non fuel purchases are not authorized on your fuel card.

Chipotle will reimburse no more than 2 vehicle washes each month and will not pay more than $30 in total per month. If you do not have a company credit card to charge these washes to, be sure to keep your receipts and submit them at least monthly on an expense report. Anything exceeding $30 per month should be paid by the employee. Vehicle detailing is only allowed prior to a vehicle being transferred to a new driver and should not exceed $100 and requires approval from a Fleet Administrator. Any other vehicle detail is at the employee’s personal expense.

Chipotle does not cover the cost of vehicle waxing or polishing or interior physical maintenance. You are responsible for maintaining the physical appearance of your company-provided vehicle, except as described in this policy.

Accessories such as specialized floor mats, an ice scraper, additional wiper fluid or air freshener are the responsibility of the employee and are not reimbursable expenses.

Preventative MaintenanceWhile you possess a company-provided vehicle, it is your responsibility to ensure that all preventative maintenance is performed according to the specifications in your vehicle Owner’s Manual. Failure to do so could lead to immediate forfeiture of the vehicle and/or you will be responsible for the cost associated with such damages.

To help ensure that regular maintenance is being performed on all company-provided vehicles, each vehicle will be supplied with ARI Maintenance Coupons and instruction booklet for services such as oil and filter changes, multi-point inspections, tire rotations, etc. The Maintenance Booklet has a national list of approved vendors where these types of services should occur. Please keep the booklet in the glove box of your company-provided vehicle. All maintenance must be completed at an authorized maintenance provider using the coupons provided. Do not go elsewhere or perform the maintenance yourself. If the engine, transmission or other major operating system fails and the driver cannot show they performed the required maintenance at an authorized vendor, they may be charged personally for up to the full cost of repairs. Any questions regarding preventative maintenance and/or national vendors should be directed to ARI at (800) CAR-CARE.

The maintenance schedule intervals are based on normal driving conditions and operation. If your company-provided vehicle needs frequent additional service, cost of these services is not covered by the warranty and may not be reimbursed by Chipotle.

Vehicle Warranties and RepairsCompany-provided vehicles typically have a basic manufacturer’s warranty that covers all parts and labor for a predetermined period of time. Under the basic warranty, any authorized dealer will perform the covered repair on your vehicle at no expense. Questions about warranty coverage for your company-provided vehicle should be directed to ARI at (800) CAR-CARE.

Chipotle will pay for certain types of non-warranty repairs such as: tire replacement, brake repair and replacement, and glass repair and replacement. Chipotle will only pay for these types of repairs, however, when you follow the proper procedure listed below:

• Take the vehicle to an authorized dealership or national vendor as listed in the preventative maintenance book and obtain an estimate for the repair work.

• You will receive a maintenance coupons from ARI, which are to be used for all preventative and mechanical repairs. Present the maintenance coupon to the repair shop each time you take your vehicle in for service.

Chipotle will not pay for any repairs if the damage is due to the driver’s negligence or abuse. Failure to complete required routine maintenance my result in loss of your company vehicle.

Emergency Road Service If your company-provided vehicle is broken down and not drivable, you should contact ARI at (800) CAR-CARE (7 days a week/24 hours a day). They can assist you in obtaining towing and any necessary repairs. The maintenance booklet mentioned above can be used to pay for any necessary towing expenses.

Leave Of Absence

Operating Costs During Leave of Absence: While an employee is on a leave of absence, sabbatical or vacation, the employee is responsible for their personal use charges and the cost of fuel and washes. All other vehicle expenses will continue to be paid by Chipotle.

Accidents, Violations And/Or Loss

Obviously, Chipotle is committed to the safety of all its employees. We want you to be safe, but you must take on some personal responsibility.

AccidentsIn the event of an accident involving your company-provided vehicle, call our Vehicle Insurance Claims Center at (800) 981-4500 immediately. Information to have close by when calling should include:

• The vehicle make, model, year and serial number of your company-provided vehicle

• Your driver’s license number

• Driver’s license numbers for any other parties involved

• Information regarding any tickets issued

You must also notify your supervisor about any accidents involving your company vehicle.

Under no circumstances should you authorize any repair work to the company-provided vehicle. The insurance company claims adjuster will authorize this. In the event of an accident that occurs while you are driving the vehicle for personal use, you may be financially responsible for any damage to persons or property that exceed the limits of Chipotle’s insurance policy, in addition to any insurance deductible (currently $1,000). This also could apply for any incomplete claims reported.

Rental CarsIf for whatever reason, your company-provided vehicle is not drivable and you are unable to use your personal vehicle, you may need to rent a car. You will need to call ARI at 877-924-4768 (877-9CHIPOTLE) or e-mailing [email protected] to arrange for a rental vehicle. Payment for the rental vehicle can be made using your maintenance booklet. All drivers must be 21 years of age and provide a credit card in their name.

Excessive Wear and TearExcessive wear and tear on a vehicle, or failure to maintain the physical appearance of the vehicle, will be treated as if the vehicle had been involved in an accident. You may be required to pay the full amount of any charge assessed when it is time to turn in the vehicle.

Parking and Moving ViolationsChipotle has a firm policy requiring that all parking violations incurred with the vehicle be paid promptly. Failure to pay a violation may affect your record or eligibility for registration renewal. Unpaid parking violations carry significant risks. Some states and municipalities impound vehicles if outstanding violations are not paid. The same policy applies to payment for moving violations and toll violations. Chipotle will not reimburse you for any expenses due to parking/moving violations, toll violations or vehicle impounding. Additionally, any parking or toll violation received directly by Chipotle’s leasing company will be paid by them and the cost of those violations plus an additional $30 will be deducted from your paycheck.

Some states have cashless toll lanes, where the toll fee is either paid through an account or billed directly through the mail. If you go through one of these without a pass, the cost of the toll, plus an additional $12 will be deducted from your paycheck. You are responsible to know your state’s requirements and obtain the appropriate pass/toll payment method. Chipotle will reimburse for business related toll charges.

Loss Related to the VehiclePersonal items stolen from a company-provided vehicle are covered under your own personal insurance coverage (if purchased). Please check with your insurance carrier to see how coverage applies to stolen items. Chipotle’s coverage does not cover stolen personal items.

ParkingChipotle will reimburse for business required parking.

Year-End Tax Reporting/Imputed Income

Under current law, the personal use of a company-provided vehicle is considered a taxable fringe benefit. Therefore, Chipotle is required to include the value of this fringe benefit as part of your year-end income. The percent of personal miles you drive multiplied by the fair market value of the vehicle will be used to determine the value of your personal use of the vehicle on an annual basis. This value will be added to your final two paychecks at the end of the year and could affect your net income on your final paychecks (or your W-2 if you are no longer employed by Chipotle). You will receive monthly e-mails from ARI asking you to report your business and personal mileage. In case of an audit, you should keep a written record of all business and personal mileage. Failure to report mileage timely could result in loss of company car and/or fuel card. Additionally, mileage not reported (or reported late) will be assumed at 100% personal use.

Please Note:Business mileage consists of any driving you do for the benefit of Chipotle between your first and last business destinations of each day. This does not include mileage from your home to the first business destination of the day or mileage from your last business destination of the day to your home.

The following are two examples of a year-end tax calculation. One is for an employee who has driven a Prius for an entire year including 6,300 personal miles and 15,000 business miles (30% personal use). The other is for an employee who has driven a Prius for an entire year including 2,400 business miles and 9,600 personal miles (80% personal use). (Note: fuel does not apply to Restaurant Managers)

Returning The Vehicle

There are a number of scenarios under which you may be required to return your company-provided vehicle including:

• The vehicle is not properly maintained in a mechanically safe working condition and in good physical condition, repair and appearance (normal wear and tear excepted), or the manufacturer’s maintenance schedule has not been followed. Care for it like you own it or you will lose it.

• You are convicted of driving under the influence of alcohol or drugs, whether driving a company-provided vehicle, rental car or any other vehicle.

• If your spouse or domestic partner is convicted of driving under the influence of alcohol or drugs, whether driving the company-provided vehicle, rental car or any other vehicle, he/she will no longer be eligible to drive the company-provided vehicle.

• Your driver’s license is revoked, restricted or suspended for any reason.

• If your spouse or domestic partner’s license is revoked, restricted or suspended, he/she will no longer be eligible to drive the company-provided vehicle.

• You allow an unauthorized person to drive the company-provided vehicle.

• You have three or more accidents for which you are liable during any continuous 36-month period.

• If your spouse or domestic partner has three or more accidents for which he/she is liable during a continuous 36-month period, he/she will no longer be eligible to drive the company-provided vehicle.

• You receive four or more moving violations during a continuous 36-month period.

• If your spouse or domestic partner has four or more moving violations during a continuous 36-month period, he/she will no longer be eligible to drive the company-provided vehicle.

You must promptly report any of the above to your HR LEAD and your Manager/Director immediately. Failure to report any violation is grounds for losing eligibility to drive a company-provided vehicle and may result in disciplinary action up to and including termination.

Reinstatement of EligibilityShould you lose the company car privilege due to a violation; you may qualify again in certain circumstances. If you have lost your vehicle due to vehicle accidents or multiple moving violations, you may qualify again by demonstrating a clean driving record for a 12 month period of time. During this entire 12 month period, you must have a valid, non-restricted license. The 12 month period begins from the day you turn in your vehicle or the day your license is fully reinstated, whichever is later. Employees would not be eligible for a company vehicle in cases of driving under the influence for a minimum of three years, and would have to prove a clean driving record with a valid license during that period. These employees may qualify for the transportation allowance program in certain circumstances.

Transfer or Promotion If you have been assigned a company-provided vehicle and then receive a transfer or promotion to a position that does not qualify for a company-provided vehicle, you will be required to return the vehicle within 30-days of the transfer/promotion date. If you currently are not eligible for a company-provided vehicle and you are transferred or promoted into a position that does qualify for a company-provided vehicle, you may be provided with an available vehicle in Chipotle’s fleet rather than a new vehicle. This will only be until the lease term of the available vehicle is completed.

If you are promoted to a level with different vehicle choices, you may be required to finish the term of your current lease prior to ordering the upgraded vehicle.

Returning The Vehicle (continued)

TerminationUpon termination of employment with Chipotle, the Company may in its sole discretion offer you the option of purchasing your company-provided car or returning it to the Company on your final day. If the company gives you this option and you choose to purchase the car, Jenn Bowman will obtain a final price on the vehicle, and then you will work with Enterprise Fleet Services, PHH or ARI for payment arrangements. The company vehicle must be turned in to Chipotle while you are completing payment arrangements. If you choose to turn in your company-provided vehicle on your final day, please have your car keys, insurance card, and maintenance book available.

Vehicle Lease Terms and Purchase OptionsMost company-provided vehicles will be replaced at approximately 48 months or 75,000 miles. Chipotle reserves the right to replace the vehicle sooner or later than these thresholds. Additionally, Chipotle reserves the right to replace a vehicle with another vehicle in its fleet rather than order a new vehicle. At the end of each lease, the current driver of the vehicle always has first right to purchase it for the present trade in value and/or start over again with a new company-provided vehicle.

Returning Leased VehiclesOnce a vehicle is ready to be given back to Enterprise/PHH/ARI, the driver of the vehicle must complete a Disposal Request Form (found in Public Folders). Once that is completed, it can be e-mailed to Jenn Bowman. If the employee fails to return the vehicle within 30 days, the driver will be responsible for the monthly lease cost of the vehicle to be turned in.

Prior to a vehicle being turned in to the leasing company, or being transferred to another driver, the manager must complete a vehicle condition report (found on the ARI website).

Note: Maintenance coupons and fuel card remain with vehicle at all times.

Transportation Allowance Program

Some employees also have the option of enrolling in the Transportation Allowance Program rather than ordering a company-provided vehicle. Employees that choose this option will be solely responsible for:

• Monthly lease/loan payments • Insurance premiums

• Fuel and washes • Preventative maintenance

• License and registration fees • Repairs

Your car allowance will be included in every paycheck and will be taxed at your normal tax rate.

Upon eligibility, you may opt for the Transportation Allowance Program rather than the Company Car Program and will begin receiving the allowance on the first paycheck following your eligibility. You can also submit an expense report for reimbursement for mileage exceeding the limits listed above. To enroll in this program, you must complete the Transportation Allowance Authorization Form and have the appropriate director or officer sign for approval. Once the form is complete, fax it to attention: Jenn Bowman at (303) 222-2538. Paperwork must be received within two weeks of eligibility. Retro checks dating farther back will require officer approval.

Employees who consistently are submitting high business mileage reimbursements might be required to take a company vehicle or go on a flat allowance. Business mileage does NOT include driving to and from your first point of business and last point of business during the work day.

* Business mileage is considered anything beyond your normal work commute. Mileage to and from your first point of business is not reimbursable. If you work from a home office and your first and/or last point of business exceeds 25 miles, you may submit for reimbursement beyond the 25 miles each day.

** General Managers with more than four years of uninterrupted employment with Chipotle and who was a GM or Apprentice prior to March 2, 2009.

Frequently Asked Questions & Answers

Q. What if I don’t like any of the vehicle choices in my category? A. You are limited to ordering the vehicles listed in this guidebook, or opting for the car allowance, if eligible.

Q. Can I upgrade to options not listed on the order form? A. Only the options listed on the order form are available to employees.

Q. Can I pay for upgrade charges with a credit card? A. Yes. You can pay for upgrade charges by credit card (via ARI website), check, money order, payable to ARI

(Automotive Resources Intl).

Q. Where do I go to get my oil changed or for other maintenance? A. One to two weeks after your vehicle is delivered, you will receive a maintenance booklet for all ongoing

maintenance as well as a list of approved vendors (included on back of card). Simply present the card to the vendor when maintenance is performed, and the vendor will bill Chipotle directly.

Q. Are state emission tests paid for by Chipotle? A. Yes, but only for company-leased vehicles (not Transportation Allowance participants).

Q. Who else can drive my company car? A. It is expected that you are the primary driver of your company vehicle. On occasion, your spouse or

domestic partner may drive your company vehicle. Friends and/or coworkers are not authorized to drive your company car.

Q. What happens if I terminate employment with Chipotle? A. You will be required to turn in your car on your final day or you may be offered the choice to purchase your

company vehicle. If offered the choice and you elect to purchase the vehicle, you must turn in your car until final payment is made.

Q. Will I have any tax liability for the personal use of my company car? A. Yes. The IRS treats your company-provided vehicle as a fringe benefit, so the value of your personal use

of the vehicle must be included on your annual income tax statement. The biweekly deductions from your paycheck help to offset this year-end taxation. The amount of your tax liability will depend on the amount of miles driven for personal use. You are responsible for keeping track of personal mileage.

Q. Can I count mileage to and from work as business miles? A. No. Based on IRS standards, miles to and from work are considered personal miles. Additionally, for

employees not working in an office, the mileage to and from home and their first business stop of the day does not constitute business mileage.

Q. Are traffic violations reimbursed (i.e. speeding ticket, parking ticket, court costs)? A. No. All incurred traffic violations are at the expense of the employee. All employees are required to operate

What To Do If You’re In An Accident

We hope you’ll never need to use this information, but in case you do, here are the steps you should follow if you are involved in an automobile accident.

1. Get medical attention Determine if you are injured and seek appropriate medical help right away.

2. Call the police File a police report and be sure to get a copy of the report.

3. Get all appropriate information Make sure you have all the information you’ll need from the other party such as:

• The other driver’s insurance company name and phone number.

• The other driver’s license plate number.

• The other driver’s address and phone number.

4. Investigate Get witnesses’ names, addresses, home and work phone numbers.

5. Notify your Manager
