There are several protective Easement Agreements on the adjoining and surrounding lands, which assure that the incredibly beautiful setting and views from the Property are protected forever.

The View Easement and the Conservation Easement in particular are extremely valuable -- these are recorded covenants which run with the surrounding land in perpetuity. There are no Conservation Easements or View Easements on the Property itself.

V I E W E A S E M E N T

This Property (identified as ‘Lot 2’) is protected by a View Easement, which has been placed on Lots 1A and 1B on a ‘Plan of Minor Subdivision Lot Line Change Plan’. This Plan was prepared by Chester Valley Engineers, and is recorded in Chester County as Plan 19129, last revised Aug 12, 2011.

Lot 1A totals 4.60± acres, contains a single residence of approximately 7100±, and adjoins the Subject Property along the “southwestern” boundary. Lot 1B totals 4.10± acres of open land, and adjoin the Subject Property along the “southeastern” boundary. These two adjoining lots -- 1A and 1B -- together comprise the area shown on the Plan as the ‘View Easement Area’.

The View Easement grants to the owners of the Subject Property (‘Lot 2’) the “full and free right to an unobstructed view … over and across … the View Easement Area … no building, structure, objects, fences, shrubbery, trees, or any other improvement or vegetation may be placed in the View Easement Area … except fences which are of an open structure, not to exceed 4’ in height, and aesthetically in keeping with the rural character of the Property … “ (excerpted)

This Property is also protected by perpetual conservation easements which have been placed on the meadows along the Private Road. The easement document is identified as the ‘Grant Of Easement And Declaration Of Restrictive Covenants’, recorded in Chester County on December 30, 2002. The Document ID number is 10167803, and it is found in Deed Book B-5512 Page P-975.

The conservation easement is placed on Lots 5, 6, and 9 (tax parcel IDs 07-0015.06, 07-0015.07, and 07-0015.08 respectively). These three parcels form the ‘Conservation Easement Area’.

‘Lot 5’ forms the open meadow to the “west” of the Private Road at the stone bridge.

‘Lot 6’ and ‘Lot 9’ adjoin each other, and are located along the “north” side of the Private Road. These two adjoining parcels together form the open meadow in this area.

Within the ‘Conservation Easement Area’, the Easement seeks to preserve the natural features of the land, and to prohibit uses, activities and improvements which are not consistent with this intent.

For example, the Easement prohibits the construction of any “building, structure or improvement” in the ‘Conservation Easement Area’ -- subject to permitted exceptions which include, for example, a Stable of up to four (4) stalls and a maximum footprint of 2000 SF ; a three-sided Run-in Shed of up to a maximum footprint of 400 SF ; post and rail fencing up to a maximum of 4’ ; and an access driveway and utilities to serve these permitted structures.

The Easement provides that the ‘Conservation Easement Area’ may be subdivided and conveyed, provided that the original intent of the Easement is not violated, and subject to a review and approval process described in the Easement.

A Licensee may have the following business relationships with the consumer :

Seller Agency

Seller Agency is a relationship in which the Licensee, upon entering into a written agreement, works only for the Seller. Sellers’ Agents owe the additional duties of :

■ Loyalty to the Seller by acting in Seller’s best interests.■ Confidentiality, except that a Licensee has a duty to reveal known material defects about a property.■ Making a continuous and good faith effort to find a buyer for the property, except while the property is subject to an existing agreement.■ Disclosure to other parties in the transaction that the Licensee has been engaged as a Sellers’ Agent.

A Seller’s Agent may compensate other brokers as subagents if the Seller agrees in writing. Subagents have the same duties and obligations as the Sellers’ Agent. Sellers’ Agents may also compensate Buyers’ Agents and Transaction Licensees who do not have the same duties and obligations as Sellers’ Agents. If you enter into a written agreement, the Licensees in the real estate company owe you the additional duties described above under Seller Agency. The exception is designated agency. See the designated agency section in this notice for details.

Buyer Agency

Buyer Agency is a relationship in which the Licensee, upon entering into a written agreement, works only for the Buyer. Buyer’s Agents owe the additional duties of :

■ Loyalty to the Buyer or Tenant by acting in Buyer’s best interest.■ Confidentiality, except that a Licensee is required to disclose known material defects about the property.■ Making a continuous and good faith effort to find a property for the Buyer, except while the Buyer is subject to an existing contract.■ Disclosure to other parties in the transaction that licensee has been engaged as a Buyer’s Agent.

A Buyers’ Agent may be paid fees, which may include a percentage of the purchase price, and even if paid by the Seller, will represent the interests of the Buyer. If you enter into a written agreement, the Licensees in the real estate company owe you the duties described above under Buyer Agency. The only exception is designated agency. See the designated agency section of this notice for more information.

Dual Agency

Dual Agency is a relationship in which the Licensee acts as the agent for both the Seller and the Buyer in the same transaction with the written consent of all parties. Dual Agents owe these additional duties :

■ Taking no action that is adverse or detrimental to either party’s interest in the transaction.■ Unless otherwise agreed to in writing, making a continuous and good faith effort to find a Buyer for the property and a property for the Buyer, unless either is subject to an existing contract.■ Confidentiality, except that a Licensee is required to disclose known material defects about the property.

Designated Agency

In Designated Agency, the employing broker may, with your consent, designate one or more licensees from the real estate company to represent you. Other licensees in the same company may represent another party and shall not be provided with any confidential information. The Designated Agent shall have the duties as listed above under ‘Seller Agency’ and ‘Buyer Agency’. In Designated Agency, the employing broker will be a Dual Agent and have the additional duties of :

■ Taking reasonable care to protect any confidential information disclosed to the Licensee.■ Taking responsibility to direct and supervise the business activities of the Licensees who represent the Seller and the Buyer, while taking no action that is adverse or detrimental to either party’s interest in the transaction.

The designation may take place at the time the parties enter into a written agreement, but may occur at a later time. Regardless of when the designation takes place, the employing broker is responsible for ensuring that any confidential information is not disclosed.

Transaction Licensee

A Transaction Licensee is a broker or salesperson who provides communication or document preparation services or performs other acts for which a license is required, WITHOUT being the agent or advocate for either the Seller or the Buyer. Upon signing a written agreement or disclosure statement, a Transaction Licensee has the additional duty of limited confidentiality in that the following information may not be disclosed :

■ The Seller will accept a price less than the asking or listed price.■ The Buyer will pay a price greater than the price submitted in a written offer.■ The Seller, or the Buyer, will agree to financing terms other than those offered.

Other information deemed confidential by the consumer shall not be provided to the Transaction Licensee.

Other Information About Real Estate Transactions

The following are negotiable and shall be addressed in an agreement or disclosure statement with the licensee :

■ The duration of the employment, listing agreement, or contract.■ The fees or commissions.■ The scope of the activities or practices.■ The broker’s cooperation with other brokers, including the sharing of fees.

Any Agreement of Sale must contain the zoning classification of a property, except in cases where the property is zoned solely or primarily to permit single family dwellings.

A Real Estate Recovery Fund exists to reimburse any person who has obtained a final civil judgement against a Pennsylvania real estate licensee owing to misrepresentation, fraud or deceit in a real estate transaction and who has been unable to collect the judgement after exhausting all legal and equitable remedies.
