    Anti-money laundering

    Proposal for a new Anti-Money Laundering Directive

    The EuropeanCommission aims to present a proposal for anewAnti-MoneyLaunderingDirectivebetweenSeptemberandDecember2012 .TheCommissioniscurrentlycarryingoutanimpactassessmentonthe3rdMoneyLaunderingDirective .Thismustbecompletedbeforeanynewlegislationcanbeproposed .TheCommissionexpectstheimpactassessmenttobecompletedinSpring2012,andfollowingthis,theCommissionwillpresentits proposal . The revised Directive will also incorporate thechangesmadetotheRevisedFATF40Recommendationsthatwereconcludedon16February(mentionedbelow)

    TheCommissionhaspreparedareportontheapplicationoftheDirective .Thisreportcontainsaspecificpartonthetreatmentoflawyers .ThereportanalyseshowthedifferentelementsoftheDirectivehavebeenapplied,andconsidershow theDirectivemayneedtobechanged .Thereportdealswiththefollowing:

    -- AccommodatingchangestotheFATFinternationalstandardsinordertoincorporatemorerisk-basedelementswhichshouldallowamoretargetedandfocusedapproachtoassessingrisksandapplyingresourcestowheretheyaremostneeded;

    -- Thepossibleextensionof the scopeof theDirective (with thepossible incorporationof tax crimesasanewpredicateoffenceformoneylaundering);

    -- Issuesregardingcustomerduediligence,andinparticular,ensuringthatsimplifiedproceduresarenotwronglyperceivedasfullexemptionsfromcustomerduediligence;

    -- Incorporatingnewprovisionstodealwithpoliticallyexposedpersons(PEPs)atadomesticlevelandthoseworkingforinternationalorganisations;

    -- StrengtheningpowersandcooperationbetweenthedifferentnationalFinancialIntelligenceUnits(FIUs)whosetasks are to receive, analyse and disseminate to competent authorities reports about suspicions of moneylaunderingorterroristfinancinginordertofacilitatetheircooperation

    -- ClarifyinghowAMLsupervisorypowersapplyincross-bordersituations;-- Incorporatingnewprovisionsondataprotection,inthelightoftheCommissionproposalspublishedinJanuary2012

    TheCommissionhasinvitedcommentsby13June .TheCCBEwillbesubmittingitscomments .

    Michaudcase

    InJanuary2011,aFrenchlawyer,PatrickMichaud,tookacasetotheEuropeanCourtofHumanRightstocomplainaboutthe lackofconformitywiththeConventionbetweentherulesonsuspiciousreportingandtheright to legaladvice .ThiswillbethefirstcasebeforetheStrasbourgCourtonthequestionofcompatibilitybetweenthelawyer’sreportingdutiesunderthemoneylaunderinglegislationandArticle8oftheEuropeanConventionofHumanRights .TheCCBEhasbeenadmittedasaninterveningpartyinthiscaseandtheCCBEinterventionwassenttotheCourtofHumanRightsinMarch .

    MonacoBar

    TheOrdredesAvocatsDefenseursetAvocatspres laCourd’AppeldeMonaco(MonacoBar)has takenacaseto theEuropeanCourt ofHumanRightsagainst thegovernmentofMonaco .TheMonacoBarbelieves that theanti-moneylaunderinglegislationenactedbythegovernmentofMonacoviolates,amongotherissues,therighttoprofessionalsecrecy,andiscontrarytovariousarticlesoftheEuropeanConventiononHumanRights .ThecaseraisessimilarissuetothoseraisedintheMichaudcase .Duetothesimilarities,theCCBEalsorequestedpermissionfromtheCourttointerveneinthiscase .TheCCBEwasgivenpermissiontointerveneandtheCCBEinterventionwassubmittedinApril .

    Alternative Dispute ResolutionTheCCBEispreparingcommentsontheCommission’sproposalsonAlternativeDisputeResolution(ADR)andOnlineDisputeResolution(ODR)publishedattheendof2011 .

    The Commission’s proposal for a Directive onADR for consumerdisputes(amendingRegulationNo2006/2004andDirective2009/22/EC) aims to ensure a European coverage with ADR entities fordomesticandcross-borderdisputes .

    The proposal for a Regulation on online dispute resolution (ODR)for consumer disputes aims to create an EU-wide online platform(‘ODRplatform’)providingconsumersandbusinesseswithasinglepointofentryforresolvingcrossborderdisputesconcerningon-linepurchases .

    Bothlegalactsaimatimprovingtheinternalmarket .TheCommissionenvisionstheADRDirectivebeingimplementedfirst,tobefollowedbytheODRRegulation .

    Background

    InitsresponsetotheCommission’sconsultationlaunchedin2011,theCCBEunderlined,amongotherissues:

    - theimportanceofraisingconsumerawarenessofexistingdomesticADRschemes,- the existence of various forms of ADR – encompassing non-binding mechanisms such as mediation andconciliationaswellas“collaborativelawyerproceedings”and“participative”proceedingsormechanismswithabindingoutcome,suchasarbitrationorcertainombudsmanschemes,

    - thedangerofimposingonpartiesamandatoryattemptatADR,asitcouldhindertheireffectiveaccesstojustice,- theimportanceofhavingindependentandqualifiedarbitrators/thirdpartydecision-makers/mediators,boundbyethicalrules .

    Proposal for an optional Common European Sales Law – CCBE preliminary position paper

    The European Commission’s proposal for a Common EuropeanSalesLaw(CESL),publishedinOctober2011,hasraiseddivergentreactionsfromvariouspartiesregarding,amongothers,thelegalbasischosenbytheCommissionandtherelationshipoftheproposalwithArt .6oftheRegulationonthelawapplicabletocontractualobligations(“RomeI”) .On16February2012theCCBEadopteditspreliminarypositionpaperonthisissuewhereitindicatedthatalthoughtheCCBEis not in a position to prejudge these legal issues, it neverthelessfeelsthatattheveryleastthereareseriousdoubtsthatcouldresultin legaluncertaintyandconfusion forbothconsumersand traders .“Inpreviously issuedpapers, theCCBEhasexpressedsupport fortheworkof theEuropeanCommission in theareaofContractLawand Sales Law, and eventually it will present a full response onthe substance of the proposal”, said theCCBEPresidentMarcella

    Prunbauer-Glaser .“However, theacceptanceoftheCESLRegulationwouldbeheavily impairedif therewerenosolidgroundforitsenactment .”TheCCBEtherefore,inapreliminaryposition,calleduponEUinstitutionstoengageinanin-depthanalysisoftheseissuesbeforeproceedingfurtherwiththelegislativeprocess .

    CCBE event - Common European Sales LawTogether with the Consiglio Nazionale Forense (the Italian BarAssociation), the CCBE organised a conference in Rome on11Aprilon “TheproposedCommonEuropeanSalesLaw– thelawyers’view” .Theaimoftheconferencewastopromoteadebateamonglegalpractitionersregardingthemainlegal issuesoftheproposal .SpeakingattheconferencewereLuigiBerlinguer,Co-RapporteurattheEuropeanParliament,andDirkStaudenmayer,Headof therelevantUnitat theEuropeanCommission,aswellasexpertlawyersfromdifferentjurisdictionsacrossEurope .Theconferencewascharacterisedbyalivelyandfruitfuldebate,withbothMrBerlinguerandMrStaudenmayershowingopennesstodifferentviewpoints .

    In her opening address, Marcella Prunbauer-Glaser recalledthe CCBE’s early interest in a European contract law and itscall,alreadyin2009,forEUsaleslawapplicableinbusiness-to-businessandbusiness-to-consumercontractsandnotlimitedtocross-bordercontracts .

    Professional qualificationsTheCCBEadoptedapositionpaperontheCommissionlegislativeproposalformodernisingDirective2005/36/EContherecognitionofprofessionalqualifications1 .TheobjectiveoftheCommission is to further facilitatemobility of professionals across the EU . This proposalfollowsaconsultationandagreenpaperlaunchedbytheCommissionin2011towhichtheCCBEresponded .

    TheCCBEsuggestsamendmentstotheCommission’sproposalaimingat(a)underliningthevoluntarybasisoftheEuropeanProfessionalCard,(b)includingnon-remuneratedtraineesin traineeships,c) limiting theobligation torecognise traineeships inotherMemberStatesto temporarymobility, forsomeprofessionssuchas lawyersandnotaries,andd)deletingtheassumptionthatanactivityexercisedasanautonomousactivityinoneMemberStateisseparableinotherMemberStates,inordertoavoidconfusionforconsumers .

    Commission studies on the professionSeveralDirectoratesoftheEuropeanCommissionhavebeenorareundertakingstudieswhichareofconcerntothelegalprofession .

    InJanuary2012,DGInternalMarketpublishedastudyonreservedactivities .The aims of the studywere to: a) provide a legal inventory of reservedactivities linked to professional qualifications in 3 sectors (construction,businessservices,tourism)across13EUMemberStates;andb)tocarryoutanassessmentoftheeconomicimpactsofreservedactivitieslinkedtothepossessionofspecificprofessionalqualificationsintheabovesectors .Theauthorsofthestudy-theCentreforStrategy&EvaluationServices,UK – concluded that: “Although the economic analysis provides some interesting results, based on the available data, it does not show that there is a clear impact of reserved activities on economic performance for the three sectors examined” .

    DGResearchhascommissionedSERVICEGAPtoproduceacomprehensivestudyontheimpactofmarketservicesonaggregateeconomicgrowthintheEUanditscomparativeperformancerelativetocompetitorregions,especiallytheUS .TheAustrianInstituteforAdvancedStudies(IHS),whichisoneof13institutionsworkingontheSERVICEGAPproject,willupdateinthiscontextits‘professionalservices’studyof2003,whichwaspreparedatthetimeforDGCompetition .TheCCBEcriticised the IHSstudystronglybecauseof themethodologyusedand theflaws in theresearch,whichweresuchthatitwasnotsafetobasepolicyconclusionsonit .

    DGJusticehasrecentlycommissionedastudyfromtheCouncilofEuropewhichwilllookattheefficiencyofjusticebasedonbroadindicatorssuchasbacklogbeforecourts,resourcesandADRprocesses .

    Company LawAttheendofMarch,theCCBEpublisheditscommentsontheCommission’sproposedRegulationandDirectiverelating to the specific requirements regarding statutory audit of public-interest entities . Once again, the CCBEemphasisedthatlegaladvice,whichbynaturegivesrisetoaconflictofinterest,shouldnotbecarriedoutconcurrentlywithauditservices .Furthermore,theCCBEwelcomedtheproposalstoinvolveseveralauditfirmsintheauditofthesamepublic-interestentityandtohavearotationofauditfirms,whichitseesasanincentivetoexhibitandpromotesmallandmedium-sizeauditfirms .

    Criminal Law

    Proposal for a Directive on the right of access to a lawyer in criminal proceedings and on the right to com-municate upon arrest

    On8June2011,theCommissionpresentedaproposalforaDirectiveontherightofaccesstoalawyerincriminalproceedingsandontherighttocommunicateuponarrest .TheCommissionproposalisthethirdinalineofmeasurescalledforbytheEUCounciltoensurethatcitizenshavethesamebasicrightsintheirdealingswithcriminaljusticesystems, regardlessof theMemberStatewhere theyare suspectedoraccusedofhavingcommitteda criminaloffence .

    TheCCBEwelcomedtheproposalof8June,whichwouldcreateforthefirsttimeanEUenforceablerighttohaveearlyandcontinuousaccesstoalawyerthroughoutcriminalproceedings .TheCCBEhasdraftedanumberofpapersontheproposaland,asthisisa“live”andchangingtext,theCCBEhas had a number ofmeetingswithCommission and Parliamentrepresentativesinresponsetoproposedchangestothetext .

    TheprojectFind-A-Lawyer(FAL)officiallyconcludedon3April2012 .Nevertheless, theCCBEcontinuestoworkwith theFAL search engine asmore bars are continuing their adaptations to fully join FAL .At thismoment, 15barsbelongingto14MemberStatesaretotallyintegratedinFAL:Belgium(OBFGandOVB),Cyprus,theCzechRepublic,Denmark,Finland,France,Germany(DAV),Greece,Hungary,Lithuania,Luxembourg,TheNetherlands,Poland,andtheUnitedKingdom(LawSocietyofScotland) .

    Copenhagen seminar

    Troika

    Last December, the CCBE wrote jointly with the American Bar Association to themanaging Director of the International Monetary Fund (IMF), Christine Lagarde, toalert her to the consequences of Troika (European Commission-European CentralBank-InternationalMonetaryFund)initiativesonthelegalprofession .TheCCBEletterfocusedonthedevelopmentsinIrelandwheretheIrishMinisterofJusticeproposedinOctober2011far-reachingreforms,unprecedentedinEurope:theMinister’sproposalprovidesforsettingupanewRegulatoryAuthority-composedofgovernmentappointedmembers-whichwouldhaveallpowersofregulationincludingconduct,disciplineandcomplaintshandling(seealsoCCBElettertoIrishauthorities) .TheCCBEalertedDGJustice,whichistheCommission’sDirectoratelookingat justiceissuesinconnectionwiththeTroikaactions,tothesedevelopmentsanddiscussedtheIrishreformsinmoredetailatameetinginJanuary2012 .

    TheIMFrepliedtosaythat there isno intentionof theIMFthat the independenceofthelegalprofessionbeunderminedbyanyoftheTroikameasures .DGJusticetoldtheCCBEthattheyarelookingattheseissuesverycloselyandthattheyweregratefulfortheprofession’sviews .

    On 24 January 2012, the CCBEwrote toMarioMonti, President of the Council ofMinisters,andtoPaolaSeverino,MinisterofJustice,toraiseconcernsabouttheItalianStabilityLawandmoreparticularlyaboutitsprovisionsonalternativebusinessstructures .TheStabilityLaw,whichwasadoptedbytheItaliangovernmentinNovember2011aspartofitsinitiativestocounterthefinancialcrisis,providesinteraliaforexternal(non-lawyer)partnershipinlawfirms,withnolimitationsfortheparticipationofnon-lawyers .AfterdiscussionsatParliamentlevel inMarch2012,therulesonthemembershipofprofessionalfirmswereamendedsotoputaceilingonnon-lawyerparticipation:non-lawyersmayownandhavearepresentationinthegoverningbodiesofsuchstructuresofupto1/3 .TheLawdoesnotprovideforanysafeguards,however,inordertoensurethatnon-professionalownershipdoesnotimpactonthecorevaluesoflawyerssuchasindependenceorconfidentiality .TheItaliangovernmentwillcontinuelookingintothelawyers’profession .Furtherreformsareexpectedforlaterthisyear .

    Commission proposals on data protection reform

    On 25 January 2012, the European Commission published its legislative proposals on data protection reformconsistingof:

    - aRegulation(replacingDirective95/46/EC)settingoutageneralEUframeworkfordataprotection;and- aDirective(replacingFrameworkDecision2008/977/JHA16)settingoutrulesontheprotectionofpersonaldataprocessedforthepurposesofprevention,detection,investigationorprosecutionofcriminaloffencesandrelatedjudicialactivities .

    InadditiontofurtherharmonisingtheEUframework,asevidencedbythechoiceofaregulationasoneofthelegalinstruments,thetextaimstomeetthechallengesof the digital environment . “The Commission willcreateagenuinedigital singlemarket forbusinessesand consumers,” commented Justice CommissionerVivianeReding .

    This reform is a follow-up to the public consultationwhich the European Commission held in November2010 following the publication of its Communicationcalled “A comprehensive approach on personal dataprotectionintheEuropeanUnion” .Initsresponsetothatconsultation,theCCBEurgedtheEuropeaninstitutionsto take into account a number of guidelines whenshapingEurope’slegalframeworkonthefundamentalrighttoprotectionofpersonaldata .

    Asforthecurrentproposal,theCommissionintendstoendthefragmentationoftheEUdataprotectionframeworkbychoosingtoharmonisenationallaws .Companiesparticularlyappreciatethisaspect,sinceatthemomenttheyhavetotakeaccountof27differentnationallaws .

    Thedrafttextprovidesthatcompaniesestablishedinseveralmemberstateswilldealwiththecontrolauthorityinthecountrywheretheyhavetheirmainplaceofbusiness .ItalsoproposestodeletenotificationobligationsimposedondataprocessorsbyDirective95/46/EC . Inexchange, the text imposes the implementationofproceduresandmechanismsthatfocusonprocessingoperationsthatpresentspecificrisks .Thesemeasuresareexpectedtoleadtosavingsofnearly€2 .3billionayear,accordingtotheCommission’sdata .

    Technological choices of the CCBE in the electronic identification of EU lawyers

    On1stFebruary,theCCBEissuedareportproducedbyPeterHomokion“Technologicalchoices of the CCBE in the electronic identification of EU lawyers” . This report wascommissionedbytheCCBEfordifferentreasons,themostimportantofwhichisthatthegrowthinuseoftechnologymeansthatitisonlyamatteroftimebeforelawyerswillbeableto,andinduecoursemaybeobligedto,conductcross-borderelectronictransactions .TheCCBE,therefore,needstobereadywithEU-widesolutionsforthis .Inaddition,theEUhasbeguntocontemplateelectroniccross-borderlegaltransactions,andhasinvestedmillions of euros in the e-CODEX project (e-Justice Communication via Online DataExchange)toinvestigatehowthiswillhappen .e-CODEXisaMemberStates’project,withtheCCBEasanactiveprojectpartner .Thee-CODEXprojecthasnowreachedthepoint

    Since2010,theCCBEhasbeenassistingtheBaroftheFederationofBosniaandHerzegovinainrelationtotheissueoffiscalcashregisters .On12April2010,theCCBEtogetherwiththeUnionInternationaledesAvocats(UIA)sentalettertotheauthoritiesoftheFederationofB&Htoalertthemaboutdangersofintroducingfiscalcashregisters .

    A CCBE representative, Marc Jobert, took part in the meeting of the working group of the Council of Europe“Professionaljudicialsystems”on14-15February2012inStrasbourg .

    The meeting gathered representatives from public authorities and Bars and a number of experts: the expertshadbeenanalysingthelawsonthelegalprofessionineachoftheEasternPartnershipcountries .TheyanalysedwhetherthelawsareuptoEuropeanstandards .TheymeasuredthemagainsttheUNbasicprinciples,theEuropeanConventionofHumanRights,theCouncilofEuroperecommendationsonlawyers,theCCBECodeofConductandotherrelevantinstruments .Thedraftreportpreparedbytheexpertworkinggroupfocusesonthefollowingtopics:theroleofBars;accesstotheprofessionoflawyer;initialandcontinuoustrainingoflawyers;disciplinaryliabilityoflawyers;andoverviewofdevelopmentsandmaintrends,mainobstaclesandrecommendationsforimplementationofEuropeanstandardsintheEasternPartnershipcountriesasregardstheprofessionoflawyer .

    Permanent delegation to the Luxembourg Courts (PD Lux)

    Revision of the Rules of Procedure of the Court of Justice – oral hearing

    FollowingitsdetailedcommentsonthedraftRulesofProcedureoftheCourtofJustice(fromSeptember2011),thePDLuxhascontinuedtofollowdevelopmentsregardingtheRules . Withregardtooneaspectof the latestversion, thePDLuxisconcernedthattheproposalindraftArticle76(2)willpermittheCourttodispensewithanoralhearingifitconsiders“that it has sufficient information to give a ruling”.

    InApril, theCCBEPresidentsubmitteda letter to thePresidentof theCourtofJusticeand to thePermanentRepresentations inBrusselsmentioning theimportanceoftheoralhearing .Theletterprovidedthat,asregardsopenjustice,a public hearing has characterised the vast majority of court proceedingsthroughout the EU, and such public hearings are particularly important forthegeneralacceptanceofEUlaw .ItisalsothecasethattheabolitionoftheReportfortheHearingandtheincreasingnumberofcasesinwhichthereisnoOpinionfromanAdvocateGeneralmeanthattheoralhearingisofincreasing
