EXHIBIT D COMPENSATION

1. COMPENSATION

1.1 Total Compensation. In no event shall the total compensation and costs under thisContract exceed PHP xxxx without the prior written consent of Company.

1.2 Basis of Compensation.

(A) Compensation. The compensation payable by Company to Contractor for the performance of the Services is as follows:

(1) Fixed service rate PGPC PHP xxxx/month

Fixed service rate for the vehicles with driver, inclusive of oneDispatcher, for providing service for the first eight hours from Mondayto Saturday. This excludes fuel, toll fees, parking and other incidentals

which will be reimbursed based on actual cost.

(2) Reimbursement of actual quarterly vehicle safety inspections byAccredited Service Center subject to Company's approval. A copy of theinspection report together with the Quarterly Maintenance vehiclechecklist signed by the inspector of the Accredited Service Center will be

provided as attachment to invoice.

(3) Company Assignment Allowance Contractor shall be paid PHP 500.00/ month for assignment of dedicated driver to Company. In case of lessthan one month cumulative dedicated driver assignment, 2 weeks shall

be the minimum eligibility wherein the payment shall be done on a

prorated basis. Payment shall be contingent with the Companys definedBest Driver criteria index.

(4) Additional vehicle rental and replacement units during Unified VehicularVolume Reduction Program days (banned plate number) will be chargedas follows:

(a) Car: PHP xxx / day

(b) Van: PHP xxx / day

(5) Rate for Sunday/Holidays or working during day-off for the first eighthours or less PHP xxx/ day

(6) Service in excess of eight hours from Monday to SaturdayPHP xxx / hour

(7) Service in excess of eight hours for Sundays/Holidays or working duringday-off PHP xxx / hour

(8) Allowance for trips outside Metro Manila that requires overnight stayPHP xxx / night

(9) Company shall pay the following incentives to Contractor for achievingZero preventable Incident in support of Companys motor vehicle safety

program:

(a) PHP 500.00 / month for 100% compliance to the Best DriverCriteria Index for that month.

(b) PHP 1,000.00 additional to all PGPC assigned drivers formaintaining 3 successive months of 100% compliance to theBest Driver Criteria Index.

(10) Contractor drivers assigned to Company shall be limited to 6 days work per week. Any exception shall be coordinated and approved byCompanys Authorized Representatives.

(11) The insurance premium for Automobile Liability insurance policy will be billed separately upon submission of Insurance policy.

(12) Contractors contract price has taken into consideration the currentminimum wage prescribed by law. In no event of a substantialadjustment of the contract price, subject to the approval of the Company.Requests made beyond one (1) month of issuance of DOLE wage orderwill not be entertained.

(13) All invoices for completed services shall be submitted within 90 calendardays from date of acceptance of the completed work by Company.Contractor shall not be paid for late invoices beyond specific duration. A

supporting document requested by the Company shall be attached to allinvoices.

(14) All prices incorporated are Zero VAT rated.

(B) Reimbursable Expenses. To the extent that certain costs related toImport/Export Charges are subject to reimbursement by the National PowerCorporation (NPC) under the existing service contract between Company and

NPC, these costs shall not be considered in computing Contractor s totalcompensation, without prejudice to the provisions of Section 10.14 of thisContract.

1.3 Daily Rates. If daily rates are specified in this Exhibit D Compensation, the rates beginon the date Contractor leaves the Point of Origin to commence the Services and end whenContractor returns to the Point of Origin or arrives at another destination as Contractormay elect (but not exceeding the time it would take to return to the Point of Origin). Nocharges may be made after the date that Contractor could have reached the Point ofOrigin using the most expedient route. If travel to or from the Point of Origin is notapplicable, the rates begin as provided in this Exhibit D Compensation.

Point of Origin means from the assignees residence/office

1.4 Travel Costs. Unless otherwise provided in this Contract, Company shall reimburseContractor for the actual documented cost incurred by Contractor for transportation toand from Point of Origin and the Services location and any other required travel pre-approved by Company. Unless previously agreed in writing by Company Representative,the cost of air transportation travel shall not exceed the lowest available economy classfare by the most direct route to the Area of Operations from the Point of Origin (or other

place pre-approved by Company Representative). Equipment shipments by air freightshall be pre-approved by Company Representative.

1.5 Per Diems. Unless otherwise provided in this Contract, Company shall either:

(A) Reimburse Contractor for the actual documented cost incurred for reasonablefood, lodging and ground transportation at the Area of Operations required for its

personnel.

(B) Pay a per diem rate as per Compensation rates.

1.6 Performance Bond .

1.7 Wire Transfer Information . Company shall pay funds to Contractor by wire transfer tothe account of Contractor as follows:

1.8 Address for Receipt of Invoices . Contractor shall deliver invoices to Company at thefollowing address:

1.9 Accelerated Payment Program . The Accelerated Payment Program is not applicable tothis Contract. Any payment of an undisputed invoice made by Company prior to the

payment term set out in Section 6.3(A) of this Contract shall be subject to a discount as

set out in Section 1.9 of this Exhibit:

(A) Company will deduct the amount computed in accordance with the percentagesset out below if Company s date of payment of Contractor s invoice is within[Insert Number of Days, if applicable] days from submittal of the invoice online.

(B) Both of the following apply to Company s payment:

(1) The date of payment is calculated for purposes of this provision from thesubmission date of an online invoice that satisfies all of the requirementsspecified in Section 6.2 of this Contract. If an invoice is returned toContractor because it does not meet all of the specified requirements,then the date of payment calculation begins when Contractor corrects thedeficiency and resubmits the corrected invoice.

(2) Payment as used in Section 1.9 of this Exhibit means the date whenelectronic notification is sent to Company s disbursement bank.

(C) If Company has the right to pay on a discounted basis as set out in Section 1.9 ofthis Exhibit but fails to pay within the time period designated in Section 1.1(A)of this Exhibit, then Company s loses its right to discount the payment of a

particular invoice and instead Company shall pay the full amount of theundisputed invoice on the basis set out in Section 6.3 of this Contract and thisExhibit D Compensation.
