STIPULATIONS OF THE PARTIES

The parties agree and stipulate as to the following:

I.

This is a civil trial that will be tried before a jury. The Plaintiff is Carlin George, and the Defendant is Naylor Stagram. The cause of action on trial is a claim for fraud; specifically, that the Defendant defrauded the Plaintiff through promotion of an event called the Satyre Spectacle. This will be a bifurcated trial, and the parties will only try the issue of liability. Should the Defendant be found liable, there will be a separate trial on the issue of damages at some future date. Monetary damages are, therefore, not at issue in this trial and not to be argued.

II.

There are no defects in the pleadings. Defendant has properly appeared and answered. The court has both subject matter and in personam jurisdiction over the parties. All questions of fact will be submitted to a jury, and all questions of law will be decided by the court.

III.

All exhibits included in the case materials are authentic and are accurate copies of the originals. No objections to the authenticity of the exhibits will be entertained. The only exhibits to be used at trial are those included in the case packet. The signatures on the witness statements and on all other documents are authentic. The Addenda are signed on the day of trial, and no continuances have been granted in this case.

An exhibit which may qualify as a business record, such as order forms or invoices, qualifies as a business record under the Rules of Evidence.

IV.

Carlin George, Murphy Edwards, and Chase Ford are to testify on behalf of the Plaintiff. They may not testify for or be called on behalf of Defendant. Naylor Stagram, Shawn Wallace, and Jackie Gleason are to testify on behalf of the Defendant. They may not testify for or be called on behalf of the Plaintiff.

V.

The Plaintiff suffered physical injuries that were caused by dehydration and waterborne bacteria. The Plaintiff’s symptoms included stomach cramps, nausea, vomiting, and hallucinations. The Plaintiff was admitted to Texoma Coast Hospital at 6:58 p.m. on July 1, 2018 and released three days later after receiving treatment.

VI.

Exhibit 1 contains chirps from the Defendant’s Chirpster account, @NaylorStagram. The chirps in Exhibit 1 prior to June 18, 2018 are a selection of chirps that the parties have agreed to include, but Exhibit 1 contains all of the Defendant’s chirps from June 18 to June 30, 2018 that are relevant to this lawsuit. During trial, no witness or attorney may reference any chirps that do not appear in Exhibit 1. All times on Exhibit 1 are in Texoma Time Zone. All of Texoma, including Yarbro Island, fall within Texoma Time Zone.

VII.

The parties stipulate that Exhibit 8 is admissible.

VIII. The Charge of the Court and the Jury Questions are accurate and complete in all respects,

and no objections to them will be entertained.

IX.

The Court’s Charge to the Jury: The Plaintiff, Carlin George, has alleged that the Defendant, Naylor Stagram, committed fraud

under Texoma law related to the promotion of an event known as the Satyre Spectacle. The Defendant is liable only if you, the jury, find that the Plaintiff has proven by a preponderance of evidence that:

(1) The Defendant made a material statement of opinion as a positive assertion;

(2) The statement was based on a false fact, which the Defendant knew was false at the time

of the statement, and made with the intent that a person act upon it;

(3) The Plaintiff reasonably relied on the statement and acted upon it; and,

(4) As a result of such reliance, the Plaintiff suffered an injury.

“Preponderance of the evidence” means the greater weight and degree of credible evidence admitted in this case.

“Material” means information that a reasonable person would attach importance to and would

be induced to act on when determining what actions to take in the matter.

FACT STATEMENT OF CARLIN GEORGE 1 2 My name is Carlin George. I am 25 years old and live right here in Texoma. I like to think of 3 myself as a real “free spirit,” and I’m glad not to be tied down by a relationship…unless you count 4 my cat! I gotta pay the bills somehow, so I work a boring 9-to-5 job at Texoma Regional Bank as 5 a bank teller. I still live with my parents, though, so I can follow my one true love: comedy. I like 6 to think I’m pretty funny (my cat laughs at ALL my jokes), but for now I stick to going to comedy 7 shows and festivals to learn the craft. 8 9 As a millennial, I’m pretty savvy with social media and follow lots of people on Chirpster. That 10 includes N. Stagram (@NaylorStagram) who always seemed to have the inside scoop on the best 11 events and would recommend the best products. And I’ve bought it all, from watches to sunglasses 12 and from weight loss tea to the Chuckle Box (which is a cool “subscription box” for comedy fans). 13 My only complaint is that the tea didn’t really help me lose any weight, but I guess you can’t mess 14 with perfection. I think I probably “liked” every single chirp N. Stagram made—until July 1, 15 2018. Some examples of N. Stagram’s chirps are in Exhibit 1. It honestly felt like N. Stagram 16 and I were the best of friends even though we’d never met. 17 18 I saw N. Stagram traveling around the world for events, parties, and just living life to the fullest. 19 I admit it used to make me feel kinda gloomy after a long week cashing checks and talking to 20 customers about their bank accounts, but now I know N. Stagram is a total fraud. Back then I was 21 a big fan, especially after N. Stagram became friends with Jackie Gleason and some of my other 22 favorite comedians. So when N. Stagram started chirping about this upcoming comedy festival 23 called Satyre Spectacle in April 2018, I was totally interested. After all, it was basically in my 24 backyard…you couldn’t ask for a better spot than Yarbro Island right here in Texoma! 25 26 As soon as N. Stagram’s first chirp about the event came out, I checked the details of the event 27 and the ticket prices online. The “Select” tickets were a bit too steep at $2,500 each, and the VIP 28 tickets at $50,000 were laughably out of my price range, but I figured I could afford a regular 29 admission ticket for $500 after a month or two of good savings. My savings plan worked, and I 30 bought a regular ticket using the link on N. Stagram’s chirp dated May 1, 2018—the one where N. 31 Stagram claimed to never steer anyone wrong. Irony, right? The regular ticket included the ferry 32 ride from Texoma, accommodations (which were described as fit for “glamping,” or glamorous 33 camping), and food and drinks during the event. I was just so glad there were tickets left because 34 it seemed like everyone and their dog were going. I chirped that I bought a ticket, and I was so 35 excited when N. Stagram rechirped that post, which you can also see in Exhibit 1. N. Stagram 36 chirped about the Satyre Spectacle tons of times. Then the bank announced we would all be getting 37 mid-year raises, and I decided to upgrade my ticket to the “Select” package after seeing N. 38 Stagram’s chirp on June 18. I clicked the link on N. Stagram’s chirp from that day and upgraded 39 my ticket for the $2,000 difference—the receipt for that is Exhibit 2. The “Select” tickets said you 40 would stay in a Villa that looked like Exhibit 3, gave you closer seats, and had the opportunity to 41 meet some of the comedians. I thought I might get to meet N. Stagram too. 42 43 I couldn’t wait for June 29, 2018 (that’s when Satyre Spectacle was scheduled to start) because 44 the setup looked awesome and the lineup of comedians scheduled to perform was incredible. There 45 were tons of stand-up sets, improv sketches, and even a roast of Jackie Gleason set for the last day 46

of the festival. I was so jealous that N. Stagram was friends with Jackie. With my upgraded 1 access, I really thought I’d get the chance to learn from the best in the biz, you know? Honestly, 2 who could say no to two full days of the best comedy, killer beach parties included, and the chance 3 to #LaughItUP with #MyBeaches (isn’t N. Stagram so good at misleading hashtags?). 4 5 When the big day rolled around, I grabbed my bag and headed for the spot where the ferries would 6 take us to Yarbro Island. I got there at around 9:00 a.m. There were a TON of people waiting to 7 catch the ferry, but I managed to snag a spot right at the front when the ferry launched about an 8 hour later. I wanted to be one of the first to see the Satyre Spectacle firsthand (and maybe even 9 N. Stagram waiting there to greet us). The ferry was rustic, to say it nicely, but no one cared – we 10 had comedy ahead! I do remember a helicopter flying overhead as the ferry headed toward Yarbro 11 Island, but I didn’t think anything of it at the time. As we approached the island, I checked my 12 mePhone and saw so many chirps about people going to the event. But there was nothing from N. 13 Stagram, who I figured was en route to the island—not hiding like a coward as I know now. 14 15 Once on Yarbro Island, everything seemed fine at first. The staff wouldn’t let us drop off our stuff 16 at our tents yet—I just thought maybe they’d take us all as a group later and didn’t want us to miss 17 the first events. I saw a couple of stand-up routines from the comedians who were scheduled to 18 perform the first set that day, and the first three or four hours were glorious. 19 20 There was a short break and I went to get a drink, some frozen concoction called the Sandy Beach, 21 which wasn’t half bad actually. Right about the time I got my drink, I heard someone say “Yo, 22 there isn’t enough tents for everyone here.” I said, “But aren’t more people supposed to show up?” 23 That started a stampede toward the tents. First thing I noticed was the tents were NOTHING like 24 what I saw on the website for the Select tickets or anything that someone would “glamp” in. They 25 looked like tents from a refugee camp or something in a war-torn country and those were the only 26 accommodations, if you can call them that. I took a picture of the tents, which is Exhibit 4. Doesn’t 27 quite look like the villa drawing does it? Or something you’d glamp in? I made friends with a 28 brother and sister who were attending, Ryan and Jane, and we secured a tent. Even had to fight off 29 a couple of people too. I was drenched in sweat from the heat and the chaos. Ryan ventured off 30 to find some bottled water and some food while Jane and I stood guard at the tent, but Ryan only 31 came back with two bottles for the three of us. And one plate of food, if that rubbish could qualify 32 as “food.” Just two pieces of bread and sliced cheese with the ugliest looking lettuce and tomatoes. 33 It was so bad I had to take a picture of it, which is Exhibit 5, because I thought no one would 34 believe me back home. 35 36 Ryan said he heard there wasn’t enough food and water for everyone on the island. The three of 37 us split the first bottle and tried to save the second for later, but it was just so dang hot and that one 38 was empty within the hour too. People just kept showing up to the island and that just created 39 more stress and anxiety. It occurred to me that I might try to hitch a ride back to Texoma on one 40 of the ferries that was dropping people off, but I trusted N. Stagram – and when I checked 41 Chirpster, there was nothing from N. Stagram about potential problems at the island. 42 43 As the sun was starting to set, some people wearing “staff” T-shirts came through the area and said 44 the event was cancelled and boats would be there in the morning. I saw the cancellation notice 45 that is Exhibit 6 shortly after that because everyone was chirping about it. I wasn’t surprised by 46

the cancellation in light of all the chaos, but I was surprised to see a small group march off in the 1 direction of the only house on the island. A bunch of them had sticks and most of them looked 2 really angry, kinda like a mob. I was mad too but I didn’t want to lose our tent—that turned out 3 to be a smart decision because a freakin’ monsoon hit the island just after dark. Our cheap excuse 4 for a tent proved how worthless it looked when the wind tore a hole right through the top, dumping 5 water all over me and my stuff. Ryan and I struggled to patch up the hole, Ryan inside the tent 6 and me standing outside, and we got it fixed as best we could. I guess one of the tents had been 7 abandoned because the wind picked it up and I barely dodged the giant tumbleweed to avoid it 8 smacking me in the head. We rode out the storm in our broken tent, and I couldn’t get any sleep 9 even after the storm died down in the middle of the night. My phone died right about the time the 10 storm hit. No power outlets in the tents—what a shocker! 11 12 Even though it was dark out, the humidity from the rain and the ocean I guess made everything so 13 hot and sticky. I tried to fight the fact that I was thirsty because I knew we were out of bottled 14 water, but I couldn’t stop thinking how thirsty I was and I had to get up after tossing and turning 15 for a few hours. The sun was just peaking over the horizon and the morning heat only intensified 16 the problem; I just had to have something to drink. I knew I couldn’t drink the ocean water because 17 the salt would make me sick, but I thought maybe I’d find something if I wandered around long 18 enough—a well, a water pump, or a bottle of water someone had dropped in the sand. No one was 19 manning the drink stands, which were locked up tight. The only thing I found was that windswept 20 tent upside down against a tree. But right in the middle of the tent was a puddle of rainwater 21 glimmering in the morning sun. I slurped up every last drop without even thinking. 22 23 I felt much better so I went back to the tent and tried to get a few hours of sleep. Jane woke me 24 up at some point saying the boats were starting to arrive. I could hear people running outside the 25 tent and I agreed it was time to get off the island. But as soon as I tried to stand up, I threw up. 26 Then my stomach ached like it was collapsing inside me and I couldn’t do anything but ball up on 27 the floor of the tent because I was so nauseous. I don’t blame Ryan and Jane for leaving me behind 28 because I would’ve done anything to get off that island, and at that moment I actually thought 29 death might be the easiest way out. I certainly felt like death. 30 31 I don’t really remember the next few days. At some point, another attendee found me in the tent 32 and happened to be a nurse or something. And I guess I was carried to a ferry because I was 33 admitted to Texoma Coast Hospital late on July 1. I was treated for dehydration and given a bunch 34 of medicine to treat what the doctors said was a waterborne bacteria. One doctor said that I might 35 have died if I got to the hospital a few hours later. I don’t doubt it. My parents showed up the 36 next morning on July 2 and stayed with me for the next two days in the hospital before taking me 37 home. My parents were really scared. 38 39 We later learned that the Satyre Spectacle organizer, Chase Ford, and the company called VISION 40 had no clue what they were doing. The irony just doesn’t stop! They oversold the festival and 41 didn’t have enough food, water, or accommodations to last through the first day, much less a full 42 two-day festival. It was all a big mess and should’ve been clear weeks ahead of time. Apparently 43 VISION filed for bankruptcy after Chase made some statement about how the whole organization 44 was so sorry about how the event went down. That statement doesn’t take away the time in the 45

hospital I spent, my medical bills, the money I wasted on tickets to what was promised to be an 1 awesome event, and the fact I almost died on that island. 2 3 But then I learned that N. Stagram totally knew things weren’t going according to plan—a full 4 week before the event after going to Yarbro Island and seeing firsthand what a disaster Satyre 5 Spectacle was going to be. N. Stagram said NOTHING. I couldn’t believe N. Stagram would do 6 something like that. Instead of warning all us loyal followers, N. Stagram made us believe 7 everything was going to be ready by the time we got to Yarbro Island. And it was all because of 8 money! 9 10 The only reason I went to the Satyre Spectacle was because N. Stagram, that fraud, promoted it. 11 N. Stagram had to know that people like me would rely on N. Stagram’s expertise to tell us whether 12 the festival was worth it or not, and to tell us if there was a problem that only N. Stagram knew 13 about. So yeah, I’m suing Naylor Stagram for fraud because I was defrauded and nearly died. 14 15 Further, affiant sayeth naught. ADDENDUM TO STATEMENT OF CARLIN GEORGE 1 2 Apparently people are saying some blogger “warned” people that Satyre Spectacle was 3 mismanaged or something like that prior to the festival starting. Sure, I’ve heard of Jason Pearce 4 and the Texoma Alternative, but I don’t read that trash anymore because it’s only conspiracy 5 theories. I think I saw something on Chirpster about the post that’s in Exhibit 8, but I don’t 6 remember actually reading it. Even if I did read the article before upgrading my ticket or going to 7 the event, why would I believe Jason Pearce, some nut, over N. Stagram anyway? N. Stagram 8 hadn’t steered me wrong before and was promoting the event like clockwork. N. Stagram 9 could’ve—and should have—warned us all but decided not to. 10 11 I heard that N. Stagram is claiming some friend was in rehab and that is why N. Stagram didn’t 12 show up at the event. Conveniently, N. Stagram won’t tell anyone who the friend is so there’s no 13 way to check if that was actually true. What is true is that N. Stagram never chirped anything 14 about the ongoing construction or any other problems on the island that N. Stagram saw with 15 Jackie Gleason during their visit, more than a week before the event. All you have to do is read 16 Murphy Edwards’ statement to see that anyone with a brain would have realized the event would 17 fail. That’s exactly why N. My name is Murphy Edwards and I’m 22 years old. I live in a small rental house in Texoma City 3 with two of my friends, Casey and Kendall. I am unemployed at the moment. After I graduated 4 from Johnny Mack Brown high school in Texoma City, I got a job working at Texoma’s Me-5 Electronics Stadium. It’s home field for the Texoma Armadillos baseball club, the FC Texoma 6 Big Foot soccer club, and the Texoma Zombies football team. But a couple times a month it is the 7 site of a large rock concert. Okay, maybe Michael Bublé is not “rock,” but whatever. When 8 concerts happen, I’m called in to work on setting up the stage, seating, and band equipment. I 9 guess I’m a part-time “roadie.” But we are unionized by the Teamsters so the pay is good: $17 an 10 hour. Usually I work a full week of 14- to 16-hour days for each concert setting up and tearing 11 down. It beats working at a burger joint for minimum wage, but I’m thinking of starting my own 12 vaping or CBD store. 13 14 Regarding the Satyre Spectacle disaster, around the first week of June 2018, I saw an ad for 15 workers to help construct, set up, and break down this two-day comedy festival on Yarbro Island 16 off the Texoma coast. It looked like a pretty sweet gig: $20/hour, with free transportation, food 17 and lodging. And it was on a cool-looking island with great beaches. I’m not into satire, but I really 18 like those TV “roasts” where people spend the night insulting the “guest of honor.” Best shows on 19 TV. Anyhow, it looked too good to pass up as there weren’t any concerts coming up at the end of 20 June 2018. The Armadillos were just starting a long homestand. 21 22 I answered the ad by going to see the “ground crew supervisor,” a guy named Vinnie something. 23 I told him about my four years of experience at the stadium but he acted like he didn’t believe me. 24 He checked with my boss, and I was hired on June 6 I think—that’s at least the date on my contract 25 with Vinnie’s company, which is Exhibit 7. 26 27 Well things didn’t go well right from the get go. On June 14, just two weeks before the event was 28 to start, me and the rest of the construction crew were bussed to the coast. We were supposed to 29 be flown by seaplane to the island. Like, no plane was there, and we had to crash in the hangar 30 until the next morning when Vinnie rounded up a boat. Most of us were seasick and hurling by the 31 time we got there. 32 33 We started constructing the stage as soon as we got to the Island. The problem was, we couldn’t 34 construct all of it. Not all the stage parts were there. We had scaffolding from which to hang the 35 speakers and overhead video screens, but we had no speakers or video screens. The backdrop for 36 the stage was missing. They also forgot to send us steps that would go from ground level to the 37 stage, a basic piece of every raised stage. We had to make the steps from scrap wood. I heard that 38 they planned for an audience of about four to five thousand, but there were only about two thousand 39 seats there. 40 41 And, like, that was the good news. We were told they’d put us up in several motels while we were 42 there. What motels?? There was just one house on the island and we weren’t allowed to go 43 anywhere near it, so we had to double bunk in a small tent on air mattresses that looked a lot like 44 the ones in Exhibit 4. of granola bars and weak coffee for breakfast, bologna sandwiches (with no mayo OR mustard, 1 just a scrap of lettuce that had seen better days) with a bottle of water for lunch, and beans and 2 franks for dinner – on paper plates, no less. Really?! Sure, the speakers, video screens and cameras 3 did show up eventually for us to mount, but the technicians who were supposed to hook up the 4 video system never showed up. I heard that they feared they were not going to get paid. I wish I 5 had known what they knew before I landed on that god-forsaken island. 6 7 Later that day, it would’ve been June 15, the first shipment of apparel, water, and supplies arrived. 8 Clearly, there weren’t enough for even a few hundred folks. There wasn’t even enough toilet 9 paper! It was clear to me almost immediately that this festival was going to be a disaster. It simply 10 could not be made ready for a thousand people, let alone 5,000 in the time we had. There was not 11 enough food, water, sanitation, or housing. After just two days there, I was texting my roomies 12 back in Texoma City that they should not come. They had been thinking about going and kept 13 saying that various web “influencers” (you know, those people who are famous for being famous) 14 were talking up the festival as a really cool event. Talk about “fake news!” I even sent a text 15 message to Jason Pearce, a blogger that has a site called the Texoma Alternative, saying that 16 someone needs to blow the whistle on this thing because it will be a total disaster. I sent Jason 17 some pictures of the festival site and how not ready it was – I think that was June 16. Jason used 18 all the pictures I sent him in his blog post on the website, which is Exhibit 8. I think this prevented 19 lots of folks from going to the festival. At least that’s what Jason told me. I had a bunch of other 20 pictures that I took, but I dropped my mePhone in the ocean at some point and the whole thing was 21 ruined. 22 23 While I was on the island, Vinnie was pushing us to work like 24 hours a day. He was always 24 angry, shouting and cursing at us. He was obviously frustrated that the equipment and materials 25 we needed either hadn’t arrived or were very late. After being yelled at for the zillionth time, I 26 finally lost my cool and told Vinnie that we weren’t his slaves and that this whole show was a total 27 disaster, a total scam. I told him that I’d told all my friends and Jason Pearce with the Texoma 28 Alternative that people should stay away. He fired me on the spot, “voted me off the island,” so to 29 speak. I think that was the morning of June 18. I demanded my pay, but Vinnie told me I had 30 “forfeited” my pay by failing to “live up to my contract.” I did sign a contract that is Exhibit 7, 31 but I worked as hard as anyone there under extreme conditions. I didn’t deserve to get fired for 32 losing my temper one time. Vinnie refused to pay me, and I’ve never been paid for my time and 33 hard work out there. 34 35 Earlier on the 18th, a little before I told off Vinnie, a small helicopter landed near the coast and I 36 saw Jackie Gleason, the famous comedian, get out of it with N. Stagram, the “famous” influencer. 37 I watched them tour the festival site for a bit, what there was of it, and then walk toward the lone 38 house on the island, in the opposite direction of the tents and half-built stage. Everyone referred 39 to it as the “compound” and it was where the event organizer, Chase Ford, must have been holed 40 up. A couple of hours later—I’d been fired by this point—I saw N. Stagram and Jackie Gleason 41 heading back to the helicopter that was still on the rickety helipad near the coast. I almost built up 42 the nerve to ask them if they’d take me back to Texoma and off this god-forsaken island, but I saw 43 N. Stagram looking super irritated—something was definitely wrong. N. Stagram said something 44 that I couldn’t hear, and Jackie just shrugged and didn’t seem to say anything back. Probably a 45 good idea given how mad N. Stagram looked, probably upset at how bad the island looked—like 46

the Titanic post-iceberg and taking on water. I sent another message to Jason Pearce about what I 1 saw and then caught a supply boat that evening to get back home. 2 3 When I got home, about a week or so before the event was to start, I was amazed to see N. Stagram 4 still pushing the accelerator on the event when there should’ve been brake pumping! Just look at 5 Exhibit 1. But I guess that’s what greed does for you – I’ve since learned that N. Stagram made a 6 truckload of money despite the event being an epic failure. I heard that many of the comedians 7 who were rumored to perform at the event had never been contacted about appearing at all. I saw 8 one comic who was advertised to appear at the festival flatly deny it on that TV show, Hollywood 9 Poop Scoop. I mean, this was days before the festival. Other comics had bailed. I guess the folks 10 who went and got trapped in that disaster just weren’t watching TV or checking social media, or 11 they were scammed into thinking it would be great. Fake news! 12 13 I contacted a lawyer, Phyllida T. Loophole, about suing Vinnie’s company, which is actually Chase 14 Ford’s Company, called VISION. I think I’m owed about two grand. My lawyer says that the 15 company has filed for bankruptcy, so she was not sure that I (or she) could get paid. Something 16 about too many creditors in line ahead of me. She also said that Chase Ford might be indicted for 17 fraud and was maybe going to prison. She said something about it being hard to get blood from a 18 turnip. But, I haven’t given up yet on getting paid . . . by somebody! 19 20 My lawyer also looked at my contract in Exhibit 7 and said it had something called a “non-21 disclosure agreement” in it. Apparently, I agreed to keep secret all that I saw, heard, and did on 22 the island. I bet that clause was in our contract so we couldn’t reveal how badly the ticket buyers 23 were getting ripped off. I heard they were charging a hundred grand for luxury tickets! My lawyer 24 said that non-disclosure thing might be a problem. Really!? They broke the contract, not me. I 25 didn’t get what they promised me – food, housing, toilets, air conditioning, etc. I figure that non-26 disclosure agreement isn’t valid any more. I’m going to blow the whistle on those scam artists, 27 regardless! 28 29 Oh! And I was right, of course. I saw on TV that the festival was a total disaster with people getting 30 trapped there by a freak storm. Chase Ford and the people who pushed the advertising for the 31 event belong in prison. That’s why I agreed to testify. N. Stagram took money from regular 32 working people and pushed the festival knowing all along that it was a scam, or at least that it 33 could not be ready on time. ADDENDUM TO STATEMENT OF MURPHY EDWARDS 1 2 In my original statement, I said I was owed about two thousand dollars for the time I worked on 3 the island. Well, I figure I worked about 16 hours a day for three and a half days. That’s over a 4 thousand right there. Then you add in the money Vinnie and Chase saved on food and lodging and 5 the like that we were promised, but did not get, plus the fact that I should be owed lots of overtime 6 pay, and I figure around twenty-five hundred is fair. Anything else amounts to less than minimum 7 wage. 8 9 Yes, my lawyer filed suit against VISION, and I only got “pennies on the dollar,” as she put it. I’m 10 still furious about how I was used and not paid anything close to what I’m owed. A measly $112 11 bucks from VISION is insulting. Carlin George’s lawyers paid me $50 an hour for the time I spent 12 preparing for my statement to be taken and to testify at trial. So far, I’ve been paid for about eight 13 hours of prep time. I’ll also get paid for the time I spend testifying today. That money sure helps 14 since work at the stadium has been pretty spotty lately since it was damaged by that same storm 15 on June 29, 2018, and I have my share of rent to pay. FACT STATEMENT OF CHASE FORD 1 2 My name is Chase Ford. I’m 33 years old and live with my parents helping take care of their home. 3 I am currently not able to work, but that’s just because I haven’t come up with my next great 4 business idea. My first business was actually in middle school, when I put together some of the 5 smartest students to help other students do their homework. Some people called it cheating; I called 6 it socialized studying. Since then, I’ve had a string of successful business ideas and when you get 7 those, you just have to follow them, right? The problem is that people have a way of turning 8 successful ideas into unsuccessful businesses. For example, I attended a prestigious university 9 after high school and came up with a great idea for a party planning business. An upscale business 10 with one-of-a-kind themes that couldn’t be replicated. I got a few investors on board but had a 11 hard time finding the type of clientele we wanted to serve. 12 13 People assume that I’m just a high flyer and have millions in the bank, but the truth is that I only 14 do as well as my businesses. The way I typically set them up is like this: the business would rent 15 out penthouses or townhomes that could function as an office with a living space attached, and it 16 would be written into my contract as CEO that the business would cover my housing and per diem. 17 Beyond that, I would get a portion of profits instead of a direct salary. Pretty sweet deal for 18 everyone, and I’d have every incentive to make the business succeed. But ever since the Spectacle, 19 I’ve had to live with my parents because I don’t have any businesses to support me and less than 20 $100 in my bank account. 21 22 I guess I should give you the background of the Satyre Spectacle. First, my two favorite things in 23 the entire world are parties and the beach. I love being out on the open water and being free because 24 there’s just nothing else like it. One day, sometime in late 2017, I was at a comedy club and the 25 guy on stage made some jokes about the ocean, and I just started thinking—my brain going like it 26 does—what if we combined my two favorite things with comedy? BOOM. Big idea. VISION. I 27 thought, what if we had a huge event, on an exclusive island, with really unique perks? Something 28 that could only be seen by those who were actually there—not streamed online for people to pirate. 29 Something exclusive, a once-in-a-lifetime event for the lucky few. Luxury, classy, exclusive. 30 Almost all of my businesses have focused on luxury, which anybody can have for the right price. 31 But you mix in exclusivity and BAM! It becomes a spectacle! A show that nobody had ever seen 32 before and only few would get to see. VISION! 33 34 Nobody had ever had an idea like this before. I mean, sure, there’s Coachella and SXSW and ACL 35 for music, but nothing like THIS for comedy. My idea was bigger and transformative. I knew it 36 was a winner immediately, so I contacted some of my usual investors and got them on board and 37 formed a company. Naturally, I named it VISION!, Inc. We picked a date. We hired some staff. 38 We found Yarbro Island and booked it on the cheap. And it just took off. Okay, it didn’t take off 39 immediately since the public relations firm we picked was atrocious at their job, but I knew it 40 would all be fine. I just told everyone to keep trusting my VISION and that it would all work out. 41 42 With the date set, I got in contact with Shawn Wallace in early February 2018 to get some estimates 43 for food and swag that we’d need to sell at the event. Shawn sent me a quote a few days later and 44

we made a few changes to it because we needed way more swag. A beach party needs sunglasses, 1 flip flops, hats, bikinis, the works—all emblazoned with “Satyre Spectacle” of course! I don’t 2 remember if I told Shawn about the name at that point. Shawn revised the amount and then 3 required a ridiculous down payment, way more than what I’ve seen in my experience. When I 4 asked why, Shawn said there were some doubts about whether or not we could pull it off and 5 wanted to make sure to get paid. No one out-haggles me, so I threatened to find another vendor. 6 We talked and talked and Shawn finally said that if I could get a big name or celebrity on board, 7 then the down payment would be waived. Shawn even said “someone like N. Stagram because N. 8 Stagram is a gold mine.” 9 10 That gave me the idea to kill two birds with one stone—N. Stagram would help me avoid the down 11 payment and give me a reason to dump the fledgling PR firm. I made some calls and figured out 12 N. Stagram would be at a party in NYC over Valentine’s Day, and I pulled some strings and got 13 myself into the party. I pitched the idea but N. Stagram just said “that sounds fun” and left me 14 hanging before I could even give the name of the event. I started following N. Stagram on 15 Chirpster @NaylorStagram to make sure this was the “big name” I wanted on board—and to find 16 a way to “run into” N. Stagram again—that resulted in two more success stories. 17 18 N. Stagram was HUGE on Chirpster—like almost half a million followers—and there was going 19 to be an exclusive pool party in Miami over Spring Break. Less people, more time for me to work 20 my magic. I used a good chunk of the money from the investors to rent one of the big penthouses 21 at the hotel where the party was and to fly myself there in first class. When I got there, I learned 22 the party required an invitation, but that’s rarely stopped me before. There were so many people 23 that I slipped in with a couple that I was chatting with as we got close to the entrance. The two 24 burly guys manning the door assumed I was with the couple when they inspected their tickets and 25 waived me right on through. Sometimes I even impress myself with my ideas. This time, N. 26 Stagram seemed to be more interested but was “too busy” to give it serious thought. But I could 27 tell N. Stagram liked the name and the flattery I gave about N. Stagram’s Chirpster presence. N. 28 Stagram also dropped some hints about needing more incentive, but there wasn’t much left from 29 the investors—just enough for one more “run in.” BAM, that led to my next brilliant idea. 30 31 Using the last of the funds, I scored a ticket to a big fashion show in LA and was armed with the 32 perfect incentive. I had some promotional materials that we had worked up and a profit-sharing 33 offer—we would give N. Stagram a unique web address for people to buy tickets from, and N. 34 Stagram would get a cut of every ticket sold from that specific link. Talk about an incentive! The 35 promotional materials I gave N. Stagram are in Exhibit 9. The most brilliant maneuver was 36 casually dropping the idea that N. Stagram should get Jackie Gleason on board too (I knew they 37 were best friends from my internet creeping). I had my people deal with N. Stagram’s people and 38 told my team to make the deal happen or find new jobs. A few of them said N. Stagram’s agent, 39 Ari Silver, was being a bully during negotiations but who isn’t? Have you seen what they pay 40 NFL running backs? 41 42 The agreement was signed on April 2, 2018, and N. Stagram got Jackie Gleason on board to be 43 roasted as the event finale shortly after that. BOY did the event take off from there! It was a good 44

thing, too. The agreement required us to pay N. Stagram a big fee up front, $100,000, which we 1 didn’t have the funds for until we sold two of the big VIP tickets, at $75,000 a piece, which 2 thankfully N. Stagram helped us make happen just ahead of the payment deadline. We had to pay 3 N. Stagram the percentage of the ticket sales a few days after the event started, but I negotiated a 4 provision that said we didn’t have to pay anything if the event was cancelled for whatever reason. 5 Nor did we have to pay any commission on tickets that were cancelled before the refund date, 6 which was two days before the event. N. Stagram’s agreement with me and VISION is Exhibit 7 10. My investors were a bit concerned that we were spending our revenues as fast as we got them, 8 but I told them this was just the tip of the iceberg—sit back and watch, and then we’d be counting 9 our money and laughing our butts off on a beach. And I was right. Ticket sales SOARED, faster 10 than even I expected. One investor had the audacity to say tickets were selling TOO FAST. 11 Pah-lease. 12 13 There were three types of tickets for the event. First was the basic ticket package for $500 per 14 person, which included the ferry ride from Texoma to the island, the standard accommodations, 15 and food and drinks during the event. The next level was the “Select” package for $2,500 per 16 person. That package also included the ferry ride but included the Villas instead of the standard 17 accommodations. A drawing of the Villas is in Exhibit 3 and there weren’t any pictures of the 18 accommodations for the regular tickets. The last package was the VIP ticket, which included a 19 helicopter ride from Texoma to the compound where the VIPs would stay along with the 20 comedians. We only sold two of those VIP tickets but they never showed up. Fortunately, they 21 didn’t cancel either so no refund was issued. 22 23 I went back to Shawn Wallace on April 15, 2018, and said I had N. Stagram AND Jackie Gleason 24 on board. Shawn practically hugged me through the phone. I signed an agreement with Shawn 25 for all of the orders, which is Exhibit 11, and sent it back the next day. We were in business! The 26 next item was sprucing up the huge house on the island, the only house in fact. I named it the 27 “compound” and I knew it’d be perfect for hosting our VIP guests and serving as a central 28 command. A good picture of the compound is in Exhibit 12. We outfitted the place with TVs, 29 super-fast WiFi, video games, expresso machines, silk sheets, the works. Spared no expense—the 30 money was rolling in as tickets just kept selling. We also got a couple extra generators too since 31 we thought the electricity on the island wasn’t super reliable, and we picked out two spots to build 32 helipads so the VIPs could fly from Texoma and land right at the compound. 33 34 We hired a bunch of managers for the various aspects of the event so I could focus on the bigger 35 VISION as it was turning into REALITY. There were a bunch of hiccups along the way, but as 36 long as people stuck to the VISION, we always got past them—sometimes things just take a bit 37 longer than expected. I had to make some small changes to the amount of food ordered from 38 Shawn Wallace, but that was nothing compared to the logistical nightmare we were having. I’m 39 one of the biggest optimists that has ever lived, but about two weeks before the event, I started 40 having serious doubts whether we could pull it off. Like I said, it’s always people who ruin the 41 VISION. Construction of the stages, seating, housing, and all that jazz was moving entirely too 42 slowly. And this blogger, Jason Pearce, was spreading lies about the event being destined to fail – 43

if I hadn’t been so busy, I would’ve had my lawyers sue him and his website, the Texoma 1 Alternative, for defamation. 2 3 About a week and a half before the event, I met with all my managers and they were concerned. I 4 didn’t think I could make the decision to cancel the event alone since N. Stagram was so important 5 to the whole operation. So, around June 16, I asked N. Stagram to come to the island on June 18 6 to see everything, hoping N. Stagram would see what everyone else could clearly see—inevitable 7 disaster. N. Stagram told me that Jackie was coming, too. I wanted to show them around the 8 island when they arrived, but I was stuck at the compound taking calls and confirming orders, so 9 I told them to walk around and then meet me at the compound later. It was awesome because 10 Jackie is one of my absolute heroes, but I needed to talk to N. Stagram alone about the status of 11 the event. At some point, after they got to the compound, Jackie left the room to make a phone 12 call for about thirty minutes, so I took the chance to talk to N. Stagram one on one. 13 14 I told N. Stagram that I was really concerned about the event not working out and concerned about 15 the delays, and that I thought it would be best if we cancelled and tried something else since we 16 had been so successful with ticket sales. I wanted to postpone it a few weeks, maybe even a couple 17 of months, but the island was sold out for the rest of the year—the publicity of our event had drawn 18 a ton of interest to the island. Well N. Stagram flipped out! N. Stagram started screaming at me 19 and told me that I couldn’t cancel the event no matter what. N. Stagram was really concerned 20 about losing money, and no matter what I said, N. Stagram refused to listen and threatened to ruin 21 me if we tried to cancel. Things like: N. Stagram was famous, had a ton of followers, lots of 22 connections, and cancelling would “ruin” that fame. And if I cancelled the event, then N. Stagram 23 would use all of that fame and connections to make sure I never held another party again – at least 24 not one that anyone would attend. 25 26 I was really concerned by N. Stagram’s threats and felt like I was being coerced by a mobster or 27 something. N. Stagram could really hurt my future businesses, and I knew that if the Spectacle 28 didn’t go off as planned, I might never be able to run another luxury business again. N. Stagram 29 insisted that it could still work—I just needed to work harder. Then N. Stagram left the room in a 30 huff and grabbed Jackie on the way out. I was in pure desperation mode after that and directed 31 everyone to focus on the most important parts—getting the main stage completed, cutting costs, 32 and making the island look respectable. The entire time in the run up to the event, I was really 33 surprised to see that N. Stagram was still advertising like crazy for the Spectacle, just like you see 34 in Exhibit 1. I mean, we were still going forward as best we could, but I felt like pushing more 35 ticket sales was not helping, especially when N. Stagram knew how much we were struggling. 36 37 We worked and worked and worked, and thanks to the hard efforts of everyone involved, I thought 38 we had it more or less put it together by Friday morning, the day everyone was set to arrive. And 39 when people started arriving, it seemed okay and I thought it was all going to work out. We had 40 comedy acts starting as soon as the first boats arrived, so everyone just headed straight to the main 41 stage and the fun started! But things went south quickly. Word spread that there weren’t enough 42 tents for everyone and people scattered like their lives depended on it. Then word got out that 43 there wasn’t enough water, which I later figured out was true because a shipment of bottled water 44

never made it to the island. People started getting really upset and threatening me so I finally had 1 to go back to the compound for safety reasons. I was still getting dire reports from the people on 2 the ground and we finally realized we needed to just pull the plug. We announced to everyone on 3 the island that boats would be available to take people home first thing in the morning. It was too 4 dangerous to bring the boats in the middle of the night, so they had to wait. We also issued a 5 cancellation notice, which is Exhibit 6. 6 7 Without any warning at all, a storm developed and smashed the island that night. It was chaos. I 8 mean, we were fine in the compound thanks to all the planning and generators we had set up, but 9 I heard it was chaos at the Spectacle site. When we woke up in the morning, we realized that the 10 boat docks were destroyed, so the boats we had coming couldn’t dock. And the storm basically 11 destroyed the camp site. There was one boat, one of those flat-bottomed boats that can come right 12 up on the beach. It couldn’t hold very many people at all so the evacuation went very slowly. I 13 insisted that the attendees evacuate first. One of the comedians had a hook-up with a helicopter 14 and it came and took some of the other comedians away, but it couldn’t hold very many either. 15 Since we had generators going and the compound stayed intact, there was no reason we had to 16 rush to leave. It was later Sunday before the last people were able to leave, and then my staff and 17 I evacuated as well. We returned later for cleanup, but only as many as could fit in the compound 18 – we weren’t taking any more chances of anyone staying in the tents. 19 20 Afterwards, it was just really sad for me. My vision had died. I was investigated by the Texoma 21 district attorney and the prosecutors tried to indict me, but I got a chance to speak directly to the 22 grand jury and I convinced them that I never intended to hurt anyone! They did not indict me. It 23 also helped that I had no money so I couldn’t have possibly intended to defraud people, right? 24 There’s no purpose in committing fraud if you don’t get anything, duh. VISION declared 25 bankruptcy in September 2018 because there was no way it could survive the number of lawsuits 26 that came at us. 27 28 I hated that the Satyre Spectacle failed, and I hated that I had nothing to show for it. In my original statement, I said I attended a prestigious university. Just to clarify: I attended 3 Texoma University for a semester and did really well in my business class! I sort of didn’t attend 4 some of the other classes, but since my business ideas were important to me, I decided to just focus 5 on them instead of school. 6 7 The people who bought tickets each got a little from the bankruptcy proceedings, which closed 8 about a month ago. It wasn’t much, I know that. I also previously said I wasn’t able to work 9 because of my lack of ideas, but the truth is that I have a lot of problems related to the Spectacle. 10 I decided not to start any new business ventures for five years, and my bankruptcy lawyers 11 suggested that if I did start a new business too quick that it might look bad. 12 13 I read Shawn Wallace’s statement. I did speak to Shawn on the phone about the food order on 14 June 19, but it was Shawn who called me – and Shawn said there was problems getting the gourmet 15 food that we had previously ordered. Shawn said the only option at that point was getting cheaper 16 food since that could be obtained on short notice. I approved the change reluctantly, but only 17 because N. Stagram had forced me into the position of cutting costs. I guess that turned about to 18 be fortunate all things considered. When I signed the agreement, the only thing in handwriting 19 was the line about the down payment being waived. I hadn’t seen the other handwriting before, 20 which is in the bottom right of the document, until this case started. What I find really interesting 21 is that Shawn made no changes to the quantity of gourmet food that we discussed sometime in 22 early June. 23 24 I’m not being paid anything for my testimony today. FACT STATEMENT OF NAYLOR STAGRAM 1 2 My name is Naylor Stagram but I’m so famous that I just use my first initial, N. I’m 24 years old, 3 and you probably know me from my super famous Chirpster account. If not, you should follow 4 me @NaylorStagram like right this second so I can get to half a million followers! Exhibit 1 is a 5 copy of some of the posts on my Chirpster account, which were made on the date you see next to 6 each one. While I’ve dabbled with some acting and modeling, if I had to list my job on some form 7 or something (not that I’ve ever had to do that) then I would say I am a professional influencer. In 8 case you were born way back in the eighties or something, an influencer is someone who has tons 9 of followers on social media and can influence them to buy stuff just by posting about it. It’s so 10 much more than an advertiser; it’s a personal connection to people that I’ve never met who see me 11 wearing a shirt or flying to a secluded island and saying, “I want to do that, too!” 12 13 That second part, I guess, brings us to the purpose of this statement – which is probably the longest 14 thing I’ve written in a long, long time. Chirpster limits you to only 130 characters in a single chirp 15 – although I’m one of the few who can an unlimited number in a single post. Anyways, we’re 16 here about the festival that Chase Ford had put together on Yarbro Island. It was supposed to be 17 a two-day event during the last weekend of June 2018 where famous comedians from around the 18 world do stand-up sets, improv sketches, and partying on the beach. Ultimately, we were even 19 going to have a roast of Jackie Gleason on the last day. Jackie is one of my best friends. But we 20 never got to that point… 21 22 I remember first meeting Chase over Spring Break in Miami. Chase was apparently staying at the 23 same hotel I was since the rooftop pool was only for guests. That hotel didn’t cost me a dime since 24 I got my suite and drinks for free in exchange for a social media posts about the hotel and the party. 25 Chase was pitching an event called the “Satyre Spectacle,” which I guess is funny but I still don’t 26 think I get it. What do glasses have to with comedy anyway, and who even calls them spectacles 27 nowadays? Chase said they’d hired a PR firm to start promoting the event but what they really 28 needed was a professional like me. Chase asked me to help promote the event using my Chirpster 29 account. I was super busy at the time with a couple of modeling gigs for a clothing store called 30 Fabercrombie and Itch, and I didn’t see much in it for me, so I passed on the offer. But there was 31 Chase Ford again a few weeks later at a fashion show in Los Angeles. This time, Chase had some 32 official promotional materials and a deal I couldn’t pass up. Exhibit 9 is a copy of the official 33 promotional material that Chase gave me that day. My agent, the great Ari Silver, hammered out 34 the details over the next few days and we had a signed agreement in early April 2018, which is 35 Exhibit 10. 36 37 I started posting about the event pretty quickly after that, slow at first—to build suspense and 38 curiosity of course using #SpectacleSpeculation—and gradually increased how often I posted 39 about it. That hashtag quickly started trending on Chirpster, which means it was one of the most 40 popular topics on the entire social media site. Yes, it was flattering, but not my first time. Tons 41 of people began messaging me and re-chirping my posts to ask what I was referencing, and the 42 interest was really starting to build. Then I started including the link to purchase tickets in my post 43 on April 13, 2018. 44 45

I was able to get Jackie on board for the event where Jackie would be roasted, and that was huge 1 for promotion. All this early success also helped me get Chase a few VIP tickets sold, which put 2 some serious money into the event. Chase said there would be brand new stages, state-of-the-art 3 sound and video systems, first-class airplane-style seating, swanky tents that even I would glamp 4 in, the whole works – all of which I relayed to my followers and the social media world. By 5 Memorial Day, I was posting about it every day. Most of those early posts were just pictures of 6 me wearing sunglasses, hanging out on a beach, or laughing with the hashtags #Meandmybeaches 7 or #LaughItUp or #WhySoSerious? 8 9 Ticket sales, based on what I was doing, were skyrocketing. Everyone was so stoked—me, Chase, 10 my agent, my publicist, Jackie, my entourage, and my followers. I couldn’t be sure how many 11 total tickets had sold by this point, but I knew from Ari Silver that nearly 2,500 people had 12 purchased tickets using a specific web address on MY Chirpster account that was exclusive for 13 MY promotions. Maybe ten days or so before the event, I went to the island to see the progress. 14 Jackie and I took a private jet from California after a movie premiere, landed in Texoma, and then 15 hopped into a sleek helicopter for the short flight over to the island. I was not about to take a ferry 16 to the island for an event I personally was making into a HUGE success. I mean, what kind of 17 message would that send if there were photos of N. Stagram and Jackie Gleason on a ferrrrrrry? 18 Well, we landed on Yarbro island and the place was in full-on construction mode. Scaffolding 19 and Squatty-Potties were everywhere. Gross. But I guess everything looked right on schedule. 20 21 We went to the only house on the island, which Chase had remodeled to be the “compound” as 22 sort of a headquarters. That house had all the bells and whistles, like a Park Avenue apartment. 23 We had some fresh lobster and oysters and chatted. Chase kept going on and on about how 24 awesome the event was going to be and that everything was going exactly as planned. The 25 compound was certainly in great shape and I had no reason to doubt Chase. Jackie then had to 26 take a phone call and went outside for a long time. Chase kept yammering about how great the 27 event would be and that they were closing in on 5,000 ticket sales – the target number. Another 28 event came up at the last minute, so Jackie and I flew back to Texoma that afternoon even though 29 we planned to stay the weekend. 30 31 I kept promoting the Spectacle on social media leading up to the event. Maybe a day or two after 32 I visited the island, I started seeing some articles on the internet about construction issues on the 33 island from Jason Pearce, this conspiracy blogger. I’ll admit the pictures that were posted on 34 Jason’s website, the Texoma Alternative, didn’t look great, but he didn’t tell the whole story and 35 was totally misleading. And Jason was overly melodramatic claiming there was a source inside 36 VISION saying the event would be a total disaster. I didn’t want to dignify those articles with a 37 response – nobody probably reads the Texoma Alternative anyways – so I just blocked Jason so 38 he couldn’t comment on any of my posts. But it’s not like I read any of the comments to my posts 39 anyways. Chase seemed super busy that last week, so I didn’t call or anything to check on the 40 status of the event. I didn’t want to disrupt or be a bother, and I figured Chase would reach out to 41 me if there were any problems. 42 43 My entourage and I flew from Miami to Texoma the next week, and we planned to ‘copter over to 44 the Island later that same morning, on June 29, the day the event was set to begin. When I landed 45 in Texoma, however, I had a text saying a close personal childhood friend had been checked into 46

rehab. I don’t know what you’ve heard but it isn’t my brother. To protect that person’s privacy, 1 I can’t say who I was visiting. You understand, right? While at the rehab place that evening, I got 2 a text from Jackie about a storm that had rolled in on the island and people were freaking out. By 3 the next morning, I started seeing pictures on Chirpster – the island looked like it had been 4 completely destroyed by the storm, including the dock where all the ferries had dropped people 5 off. There were FEMA tents and Squatty-Potties scattered everywhere, including a bunch that 6 were turned over. It looked disgusting and I felt really bad for the people trapped on the island, 7 but what could I do? Even Jackie was trapped there. But at least Jackie was staying in the 8 compound and would not to get mixed up in the craziness on the island. 9 10 I had never heard of Carlin George until I got sued. Carlin’s story is awful and I feel bad that 11 Carlin had to go through all of that, but I’m not to blame for what happened. My agent says I’m 12 only being sued because I’m famous and have “deep pockets,” and I have to agree at this point. 13 All of my posts about the Satyre Spectacle had the proviso that it was “Paid Advertisement” like 14 a lot of my other promotions. Look at Exhibit 1! It’s a bit silly that Carlin would rely on my posts 15 as gospel or some guarantee of the event. What’s even more silly is the fact that Carlin drank 16 rainwater out of puddle on the bottom of an overturned FEMA tent – Carlin’s own decision led to 17 that illness. ADDENDUM TO STATEMENT OF NAYLOR STAGRAM 1 2 First off, I never said anything like what Chase Ford is claiming I said. Chase is a liar and always 3 has been, clearly. I never made a single threat and Jackie will back me up on that. In fact, I didn’t 4 say much of anything when we were talking at the compound. It was Chase who was talking – 5 about how everything was going great, was on schedule, and the event would be one people would 6 be talking about for decades. Lies on top of lies. Chase simply doesn’t want to take responsibility 7 for failure. Nor do I have any idea what Murphy Edwards is talking about regarding me looking 8 mad getting on the helicopter. I’ve never met Murphy before in my life. 9 10 I should clear something up about my agreement with Chase and VISION. As I said in my 11 previous statement, I was paid to promote the Satyre Spectacle and my compensation was based 12 on the number of tickets that were purchased using the link that I provided on my Chirpster 13 account. So, it’s a bit like a commission I suppose. I had to have a reason to spend so much effort 14 on all my posts and some incentive to make them work, amirite? Even though the event was 15 cancelled on the first day, I still believe that I’m entitled to payment based on the percentage of 16 the ticket sales because it wasn’t my fault the event ended up being a disaster. But since Chase’s 17 company VISION is bankrupt and I got to keep the up-front fee of $100,000, it just isn’t worth my 18 time pursuing. I also don’t remember meeting Chase in New York City. 19 20 It’s not like I had some special knowledge about the event. All Carlin had to do was read Jason 21 Pearce’s post on the Texoma Alternative, which is Exhibit 8. Who in their right mind would go 22 to the event if any of that was true? Jason Peace isn’t as famous as me, but that’s not my fault. 23 24 My lawyer has pointed out that not all of my posts in Exhibit 1 have the paid advertisement 25 language, but most of them do – so I think it’s pretty obvious all my Satyre Spectacle posts were 26 paid advertisements. I must have just forgotten to include that language on a couple of them, 27 which makes sense since I post all the time. Carlin posted about buying a ticket, and I guess I 28 responded by re-chirping that post, like you can see in Exhibit 1. Lots of people get re-chirped by 29 me of course as I try to respond to as many people as I can, but now more than a half a million 30 people follow me. That’s right! FACT STATEMENT OF SHAWN WALLACE 1 2 My name is Shawn Wallace, and I live in Pawnee, Texoma with my spouse and three children, 3 and two dogs — Abbott, a labradoodle, and Costello, a Bernese Mountain Dog. I am the owner of 4 First Class Entertainment, LLC, which is located in Eagleton, Texoma. First Class Entertainment 5 is a supplier of food, drinks, and novelty products for arenas and other concert venues throughout 6 Texoma. Because of the complete disaster known as the Satyre Spectacle, my business had to 7 declare bankruptcy, and it’ll be years for my company to recover financially and for me to recover 8 my business reputation. 9

10 I guess everything started when Chase Ford contacted me in early February 2018 and asked for an 11 estimate of food and apparel for an event to be held on Yarbro Island. I had heard of Chase Ford 12 before the call. My contacts in the industry said Chase didn’t have a great reputation, some had 13 been stiffed on orders, but I thought it didn’t hurt to listen. I asked my standard questions for 14 providing an estimate—the date, approximate number of attendees, types of food and drink, etc. 15 Chase didn’t have a date or a name for the event at that point, but about five thousand attendees 16 were estimated. Chase was especially interested in our higher-end food and drink products, which 17 we could provide more efficiently and a tad cheaper than our competition due to the special 18 relationship I had built up with my boutique suppliers. This event destroyed that relationship and 19 I’ve had to go back to using “quantity-focused” wholesalers like my competitors for now. Quality 20 beats quantity every time—but you don’t get quality without paying for it. 21 22 For example, my boutique butcher supplier used to get me beef from locally-sourced ranches who 23 used environmentally-responsible ranching practices. Another supplier could single-handedly 24 provide luxury-branded T-shirts, vests, and hats that were still affordable to your average attendee 25 (after my mark-up of course) plus the higher-quality apparel that was expected by VIPs. The 26 “quantity-focused” wholesalers around Texoma could only get me beef from “big-box ranches” 27 that was marginally better than what they put into hotdogs, and it would take nearly half a dozen 28 apparel wholesalers to get enough product to supply an event where five thousand tickets were 29 sold. 30 31 It took me about a week to put together an estimate, and I sent it to Chase by email. The estimate 32 came back the next day with some changes, including substantially more apparel than I had 33 included in the original estimate. Since it would be an outdoor event on an island that featured 34 comedy acts, Chase said there was potential to sell a huge quantity of shirts, hats, flip-flops, bikinis, 35 and sunglasses. I said they’d probably also need bottled water, which I could get with custom 36 labels on them, and Chase said to add 800 cases. I was a bit skeptical so much apparel could be 37 sold but I revised the estimate, sent it back, and requested my standard down payment of 40% 38 before starting the process of reaching out to my suppliers and setting up logistics. About a week 39 and a half later, I finally got a response. Chase balked at the down payment saying they were in 40 the process of raising money, couldn’t put that much money down, and would start looking for 41 someone else. I didn’t want to let the potential business fizzle out right there, so I responded that 42 the only way I could start the process without a down payment was with some sort of guarantee of 43 the event’s success—like a celebrity who was sponsoring, promoting, or standing behind the event 44 in some way. I think I even went as far as saying that I wanted a big name, like that N. Stagram, 45

I see on social media; someone like that would make a down payment unnecessary. Chase said 1 they would get back to me. 2 3 Chase called on April 15, 2018 and said N. Stagram had agreed to promote the event AND Jackie 4 Gleason had signed up to be roasted on the final day of the event. It was better than I could have 5 expected! Chase also had a name and a date—the Satyre Spectacle, to be held on June 29 through 6 July 1, 2018. After doing some quick math, I decided that it was safe to proceed without needing 7 a down payment even with a fairly short turnaround. Chase and I verbally agreed to the deal over 8 the phone and I sent a final written agreement by email a few hours later. It came back the next 9 morning with Chase Ford’s signature on it, which is Exhibit 11, and off we went. 10 11 The normal turnaround for an event the size of the Satyre Spectacle is eight weeks for food and 12 drinks, and six weeks for apparel. Since the event was ten weeks away from the time I got the 13 signed agreement back, we were okay on time but you have to always anticipate snags along the 14 way in this type of industry. So I got a rush order going for the apparel; the T-shirts arrived at our 15 warehouse four weeks later, and the rest of the apparel came in over the next two weeks. We also 16 processed the order for some high-end specialty items for the comedians and VIPs, which usually 17 take a bit longer. These items were not as important, of course, but we still got them delivered to 18 our warehouse in five weeks. I’m telling you, those boutique suppliers are the best. Sure, there 19 were some changes to these orders along the way as a result of Chase, but it was nothing out of 20 the ordinary. 21 22 Because food needs to be fresh, we set it to arrive on the Wednesday before the event, on June 27, 23 at our climate-controlled warehouse complete with an industry-sized freezer and refrigerator. That 24 would give me and my staff enough time to give it a good look-over before setting it for delivery 25 to Yarbro Island. The week before all the food was to arrive, we received the shipment of bottled 26 water—nearly 20,000 bottles. They all had a specially-made label with the event name and date 27 on it. My warehouse supervisor, Carol Brunette, came into my office around 4:45 p.m. to let me 28 know a couple of our employees were reading some blog post from an online website called the 29 Texoma Alternative by Jason Pearce. I’d heard about that site but never read anything before that 30 day; the site is basically just a bunch of conspiracy theories. The blog that the employees had been 31 reading said the Satyre Spectacle was destined for an epic fail. I read it at least three times and got 32 a bit concerned. The article is Exhibit 8. 33 34 Early the next morning, this would’ve been June 19, I called Chase to discuss the status of the 35 remaining shipments and the next steps for getting it all to the island. I said everything was on 36 schedule from our end, and Chase said “everything was perfectly on schedule” for them too. I’m 37 not sure what compelled me to ask, but I mentioned that I had seen some wild Internet rumors 38 about Satyre Spectacle being way behind schedule on the internet. Chase said everything was 39 actually AHEAD of schedule—looking back and knowing what I do now, what gall! Chase even 40 asked about trying to rush a whole bunch more specialty items for VIP gift bags, and I said that 41 wasn’t really possible with such little time left. 42 43 Then things got weird. The next day, the tone of our conversations seemed to totally change. 44 Chase had been very cool and collected during the process, but now everything was frantic. Chase 45 suddenly wanted to change the entire food order—which would arrive at the warehouse in a matter 46

of days. Apparently, there was a “cost” issue they had encountered, and now they just wanted the 1 cheapest food that a human could consume. Given that there was less than two weeks until the 2 festival, I conferred with Carol about what our options were and then tried to call Chase back to 3 explain that it was going to be next to impossible to supply that amount of low cost food in that 4 short of time span—not to mention how I would somehow convince the food suppliers to cancel 5 the existing order. I tried to reach Chase for two full days but never heard back. I couldn’t help 6 but think that Jason Pearce might be right, and I was tempted to cancel the whole order, but I was 7 nervous what N. Stagram might say if I cancelled the order and that hurt the event. I’d probably 8 never work again! It was a huge pain, but I got three “quantity-focused” wholesalers on board 9 and revised the food list to include hot dogs, hamburgers, and similar stuff. 10 11 I decided I would try to distribute the high-end stuff, as much as I could, to other events and then 12 just bill Chase Ford for whatever I couldn’t get rid of on short notice. I had my warehouse 13 supervisor move all the higher-end stuff to the back of the freezer, fridge, and dry storage when it 14 arrived so we could pull out the later-arriving cheaper stuff for delivery to the island. 15 16 The shipment of the cheap food got to my warehouse on June 26, a day before everything was 17 supposed to be shipped to Yarbro Island. But during our final check we realized there were no 18 hotdog or hamburger buns! There was no time left to order anything so five employees scattered 19 to every Below CostCo grocery store in the area to buy as many buns as we could find. One of 20 my best employees even quit during the scramble and half the cases of water never made it to the 21 island as a result. I badly wanted to bail on Chase, watch the entire festival fail, and hang the 22 blame around Chase’s neck. But because we were in too deep with all the high-end food we likely 23 couldn’t move, I had do something to salvage the situation. We did the best we could, but we could 24 only find enough buns for about a thousand burgers, so we threw in about 100 loaves of breads – 25 I figured they could make Texoma toast with them. Frankly, it was a miracle at all that we got the 26 food loaded on the trucks in time for them to get to the docks for the ferry to Yarbro Island, which 27 they delivered in shifts using the ferries. Not that it did any good… I understand the event capsized 28 almost immediately. I will never forgive Chase for what happened. 29 30 Further, affiant sayeth naught. ADDENDUM TO STATEMENT OF SHAWN WALLACE 1 2 After all I did for Chase Ford, I got nothing but trouble out of supplying Satyre Spectacle. All of 3 my business relationships are now badly damaged because my name was attached to the event. 4 Because Chase and the company VISION went bankrupt, I had to eat the cost of practically all the 5 food from the first order (none of which I was able to sell to another event) because I got less than 6 $5,000 in the VISION bankruptcy. Chase kept everyone totally in the dark, me, N. Stagram, and 7 all of those who attended that event. Chase is a master manipulator, that much is clear. 8 9 The worst part is that I spent even more money trying to get the shipment of water to the island 10 that we initially didn’t get there because my employee quit during the scramble. But, by the time 11 we got the water to the docks on the Texoma Coast, we learned that the event had just been 12 cancelled. So, in case you’re interested, I have thousands of water bottles with the Satyre Spectacle 13 labels on them. Carol suggested that I try and sell them online because the event was such a 14 disaster. Depending on how this case goes, maybe I will. 15 16 The agreement in Exhibit 11 has some handwritten changes on it in the lower right part of the page 17 that I made after not getting a hold of Chase Ford. I also made the note underneath the down 18 payment line, but that was before I sent it to Chase for signature. The handwritten changes are my 19 regular business practice—to reflect the up-to-date order. Exhibit 11 accurately reflects the status 20 of the order as of the event date. I don’t remember Chase making any changes to the amount of 21 gourmet food before scrapping the gourmet food entirely, but what’s the difference at this point? 22 23 Finally, I’ve seen what is in Exhibit 5. That is not what we sent to the island, and I wouldn’t serve 24 that food to anyone, even my in-laws. I have no idea where that food came from. 25 26 Further, affiant sayeth naught. FACT STATEMENT OF JACKIE GLEASON 1 2 Have you ever thrown a party, everyone showed up, but the party still sucked? I have. My name 3 is Jackie Gleason, and people tell me that I am a red-carpet celebrity in comedy. I don’t know 4 anything about that, but I do know funny. I don’t tell people I’m 42 years old; I always say that 5 I’m 39.95 plus shipping and handling. That always gets a laugh—because I know funny. 6

7 I grew up in the funniest place on the planet – Cleveland, Ohio. (How do you turn the sarcasm 8 font on?) I was voted “funniest” in high school because I was – and am. High school was such a 9 breeze, so I decided to give a university the old college try, but it didn’t work out quite as well as 10 I had hoped. See, I dropped out of college while I was suffering through my third freshman year 11 at Caliendo University. Ok, sure, I may have been asked to leave too but that’s only because 12 teachers have no sense of humor. Especially old biology teachers when you attach strings to a 13 skeleton hand and make it land on the teacher’s shoulder a month before mandatory retirement. I 14 gotta say, you never forget seeing a 70-something former surgeon instant-faint dead followed by 15 audible gasps and then raucous applause. Which reminds me, college administrators also lacked 16 a sense of humor. 17

18 My parents were dismayed that I was no longer going to become “whatever they thought I should 19 be,” but I knew where my path was. Comedy. I’ve been able to make people laugh pretty much 20 since forever. I started finding my funny in elementary school, and my teachers made sure my 21 parents knew what kind of special talent I had. The old “arrow through the head” gag worked for 22 years. Others tried to imitate but timing is everything in comedy, less so for blind dates and court 23 appearances. The arrow would go on my head right after the teacher turned around to write on the 24 board, and there I was sitting quietly on the back row with an arrow through my head when she 25 turned back. Epic and timeless. 26

27 My father and I had a blow up after I took a permanent sabbatical from college. We didn’t talk for 28 more than a decade, but that gave me some comedy gold to help me get established. Every 29 comedian who makes it has gone through some kind of hardship, either personal, academic, or 30 professional. I had the trifecta—and could win any place for show. I moved out of the house the 31 day before my 21st birthday with nothing but a hiking backpack with some clothes, my sleeping 32 bag, a two-person tent, a mePad, and my laptop. And my car. And a large trunk of clothes and 33 kitchen stuff. And the $5,000 in cash that my mom slipped me without dad knowing. Hey, 34 everyone has to start somewhere, and that day was my somewhere. The best comedy has an 35 element of truth to it – a common experience between people. I recognized that early on, but 36 finding that common experience is actually harder than it sounds. 37

38 I spent the next dozen years or so on the junior comedy circuit, driving from little town to little 39 town and barely making gas money to get from point A to letter 2. Eventually, I started doing 40 warm-ups for bigger named comedians, getting the crowd ready to laugh less, and struggling to 41 get somewhere and get recognized. My agent managed to get me into the Sidecar Dave’s Comedy 42 Showcase in Atlantic City during the 2012 holidays, a two-day event where I got on the ticket for 43

the second half of the second day – where the biggest acts were. Oh, sure, there were some 1 headliners on day one, but the show was stacked for the second day. And that was where I finally 2 put the pieces together for my signature “gig,” making my funny more funny. I had been toying 3 with doing a bit where I only spoke in sentences composed of song titles. When I broke it out, the 4 crowd loved it and Sidecar Dave even doubled my bonus! Next thing I know, I’m all over late 5 night television with more stints in Atlantic City and then a month-long residency in Vegas. The 6 song lyric routine couldn’t carry me forever though, so I had to adapt. But at least I had a name. 7 I went back to the song routine whenever I needed a pick up, including a couple of USO Tours 8 where I was entertaining the troops. Those guys and gals rock. They loved all my stuff. 9

10 The next four years were spent in Branson because my act was family-friendly. It was there that 11 my father first saw my show, and he enjoyed it so much that we reconciled later that night. He 12 told me the family had moved to Texoma, so I decided to go home for a bit to keep once my run 13 in Branson ended a few weeks later. To keep healing the relationship with my father. I was in for 14 a surprise when I got home. My father had created a spreadable rubberized paint that would 15 become solid but remain flexible when it cured and dried. Basically it made a watertight seal that 16 you could use if you sawed your canoe in half. He sold the patent and retired a multi-millionaire. 17 Since I was the only child, I suddenly had the luxury of taking whatever shows I wanted whenever 18 I wanted. So I didn’t work for a couple of years. 19 20 Sadly, my father died in October 2017 and my mother died a few days later – lovebirds to the end. 21 I was feeling pretty gloomy and decided that I needed to get people laughing again. I called my 22 agent, booked some gigs, and was back in the spotlight faster than I could have imagined. 23 Something to do with the social media phenomenon, which it turns out isn’t all that social. It 24 seems that people feel emboldened when they have anonymous social media accounts, and I started 25 receiving nasty messages and comments about my routine. So I did what my mother taught me 26 from the good book—hit them back five times as hard, and do it in public. That made me even 27 more famous and I was hired to perform at a birthday party for another social media legend, N. 28 Stagram. It was probably the best stand-up routine of my life and we became instant friends. 29 Naylor (that’s N. Stagram’s first name, but only close friends get to use that name) taught me how 30 to gain more followers on Chirpster; I helped Naylor deal with the jealous naysayers. A perfect 31 pair. 32

33 In April 2018, Naylor told me about this comedy event on Yarbro Island off the coast of Texoma 34 put together by Chase Ford, some suave event planner. Apparently, ticket sales were struggling, 35 but Naylor had just signed on to start promoting it. Exhibit 9 looks like the promotional materials 36 that Naylor showed me. I figured the event would be good since Naylor has a success rate close 37 to 110%, so I agreed to be roasted by some of my fellow comedians on the last night—the main 38 event. There was real buzz around the festival. The event was to start on a Friday night with lots 39 of newer comedians running on the first day, and then continue all day on Saturday with more 40 established comedians going from 9:00 a.m. until my roast around 7:00 or 7:30 that night. Folks 41 would then leave Sunday morning, bellies sore from laughing their butts off. At least that was the 42 plan. Chase Ford asked Naylor to visit the island in mid-June, and Naylor asked me to join the 43

trip on June 18, 2018. It was 12 days before the festival and I’ll admit I was worried when our 1 helicopter touched down on a makeshift helipad near the water. They said they were expecting a 2 crowd of over 5,000 but housing (some might call them tents) had been built for maybe half that, 3 but there was plenty of open space for the other half to be put up. Exhibit 4 looks pretty much like 4 the tents I saw on the island that day. The stage was not fully set up yet – though that was not an 5 issue for me because stages are usually the last thing set up. That’s what I told Naylor when we 6 both saw the stage had not been completed. 7

8 We then made a fairly long hike up to this estate on the opposite end of the island—the only actual 9 house on the island, which is shown in Exhibit 12. That’s where Chase was. The island had a 10 dock where some ferries could pull up near the makeshift helipad had we landed at, but the only 11 other way to get on and off was by helicopter. I was glad to learn from Chase that the estate would 12 have two helipads on it in the next couple days. Chase named the estate “the compound.” It had 13 its own propane gas generator and water treatment and, with over 16,000 square feet of living 14 space, there was plenty of room for the red-carpet VIPs like me. There was a sharp cliff drop off 15 behind the compound, and rugged landscape surrounded it on the other three sides. There was 16 also a 15-foot fence that encircled the whole compound. I can’t really see the fence in Exhibit 12, 17 but I know it was there because we went through it after a long walk from the helipad up to the 18 compound. Basically, if you weren’t invited to the compound, you weren’t getting in. 19

20 After touring the compound, I got a call from my agent because he presumably needed another 21 sportscar and was pitching me another event to headline. The call lasted probably 20 or 30 minutes. 22 When I got back to the room where Naylor and Chase were, Naylor stopped talking mid-sentence 23 and then announced it was time to leave. I thought we were staying the whole night, but if Naylor 24 said it was time to go then it was time to go. I made a hasty goodbye to Chase, who stayed behind 25 in the estate, and Naylor and I marched back to the beach where our helicopter was. As we were 26 approaching the helipad, I mentioned that things looked behind schedule, but Naylor said that 27 Chase had said that everything was proceeding just fine. Naylor seemed satisfied and that was 28 good enough for me. 29 30 Fast forward to Friday morning, June 29. The festival was scheduled to kick off that day around 31 noon, and I had flown from Miami to Texoma with Naylor around dawn. Three other comedians 32 met me there in Texoma. One of those comedians was Leah Bishop, a friend who was the headliner 33 for Friday night. I’ve seen her shows before and she’s pretty good, probably the only other legit 34 comedian in the group. The other two comedians included a guy who spoke backwards and a 35 female ventriloquist who was so good her lips moved when she performed. We were about to get 36 in the helicopter when Naylor said a childhood friend had been checked into rehab. Naylor had to 37 drive to see that person, so I said not to worry and just fly out the next morning. Naylor gave me 38 a thumbs up. 39 40 Me and the other three comedians landed on one of the new helipads at the compound about 10:30 41 Friday morning and got settled in. From one of the observation decks at the compound, I used a 42 pair of binoculars and could see the attendees arriving as boat after boat was dropping off dozens 43

of people at a time. The boats would turn around for the 30-minute journey back to Texoma just 1 to do it all over again. I’d estimate that there were around 2,000 people on the island by noon when 2 the first sets started. Later, in the early afternoon, I was chumming it up with a bunch of other 3 people at the compound when someone said there was a commotion down by the tents. I went to 4 the observation decks and sure enough I could see people running around the tents like crazy 5 through the binoculars. It was probably about four but I didn’t check my watch or anything. There 6 was supposed to be a second set of comedians that evening and I don’t think anyone performed in 7 that set—I know Leah didn’t perform because she was in the compound with me that night when 8 we heard the event had been completely cancelled. Something about a lack of tents and people 9 getting out of control down there, which seemed true because Chase would not let us leave the 10 compound. I started going stir crazy and texted Naylor and said, “Get me out of here.” I guess I 11 was being a little selfish, but I was sick to my stomach when my headline roast was canceled. 12 13 Once it was dark, this ridiculous storm smashed into the island and shook the compound, and I 14 texted Naylor again to repeat my request. In fairness to everyone, the weather reports didn’t 15 mention that a storm was brewing or had a chance to hit the island. Everyone outside the compound 16 had to hunker down in those day tents. No boats could come. About this time, Naylor texted back 17 and said the helicopters had been grounded. Our text messages are in Exhibit 13, which came 18 from my mePhone. Those of us in the compound hung out and played some meBox until the WiFi 19 went down at about midnight. Then we all decided to turn in for the night. The storm was still 20 going when I went to sleep, but it sounded like it had let up, at least a little bit. 21

22 The next morning, as I was enjoying a mocha latte and a chocolate croissant, I saw through the 23 binoculars that the storm had been a lot worse than what I thought from the comfort of my king 24 size bed. No trees were down, but there was debris everywhere and it looked sort of like a tornado 25 had gone through there. A few people were trying to put tents back up in hilarious fashion but the 26 tents wouldn’t cooperate. I flew out later that morning and boy were my arms tired. 27 28 Further, affiant sayeth naught. I’ve seen the blog post in Exhibit 8 by Jason Pearce, the conspiracy theorist guy, on the Texoma 3 Alternative. I’ve heard about Jason but I don’t read that type of stuff, and I didn’t see this post 4 until after I got back to Texoma after the event was cancelled. The picture of the stage in the last 5 picture shown in Exhibit 8, the one at the very end with the stage off in the background, looks like 6 what the stage looked like when I was on the island with N. Stagram. 7 8 One thing I want to add is that Chase Ford apparently sold a couple VIP tickets for $75,000 a pop 9 that let those people stay in the compound with us. Those two people never showed up – and I’m 10 glad. If I had been caught at the compound during that storm with two rich fans, they probably 11 would have talked my ear off that whole time. I mean, I was the most famous comedian there, so 12 they would’ve flocked right to me. 13 14 When Naylor first told me about the friend in rehab, I asked who it was but Naylor wouldn’t tell 15 me. I asked again recently but Naylor still won’t tell me who it was, which just shows you how 16 good a person Naylor is. 17 18 I didn’t sign a contract or anything for getting roasted at the Satyre Spectacle, and I wasn’t getting 19 paid for it either. It was really just a favor for Naylor and something that might give me some free 20 publicity. But I don’t blame Naylor for what happened – and neither should the plaintiff, Carlin 21 George. 22 23 Further affiant sayeth naught. Important Notice regarding Satyre Spectacle

June 29, 2018 – 5:35 p.m.

To: All attendees of the Satyre Spectacle

As you may or may not be aware by now, the Satyre Spectacle has officially been CANCELLED. Things got off to a rough start today, the first day of the event, and we are unable to overcome those obstacles.

There will be no further activities held on Yarbro Island today or tomorrow.

All of us with VISION!, Inc. are deeply saddened at this outcome and, of course, this reality is in no way comparable to the experience that we had envisioned.

We understand and apologize that communication to date has not been as consistent as we would have liked, and in some instances, you have been in the dark, confused, and with little to no provisions on the island.

We have scheduled boats to arrive at the island starting at 7:00 a.m. tomorrow morning, June 30, to take everyone back to Texoma. We have secured at least four boats to accommodate an orderly and quick process for everyone to get off the island, and they will all depart from the dock near the stage where you arrived.

Please do not attempt to arrange your own transportation off the island as that would be very dangerous. We are greatly concerned with keeping everyone safe until the boats arrive in the morning.

Unfortunately, we do not have the resources to answer or respond to all of your questions, so we ask that you remain in your tents through the evening and be ready to depart first thing in the morning. Please do not attempt to make the long walk up to the compound on the opposite side of the island in the dark. The path is rocky and dangerous in the dark.

Please share this notice with anyone you know on the island.

EMPLOYMENT AGREEMENT

This Employment Agreement (the “Agreement”) made this 6th day of June 2018, between VISION!, Inc. (“Vision”), a Texoma corporation, and Murphy Edwards (“Employee”), an individual residing in the State of Texoma.

Whereas, Vision has organized an event to be held on Yarbro Island from June 29 to July 1, 2018 called the Satyre Spectacle (the “Event”);

Whereas, Employee has skills in construction, set-up, and break-down of stages, seating, and audio-visual equipment for venues and event spaces (the “Services”);

Whereas, Vision wishes to hire Employee to perform the Services for the Event;

Whereas, Employee wishes to perform the Services for the Event.

Now therefore, in consideration of the premises set forth above and the mutual promises, agreements, representations, and conditions stated herein, and for other good and valuable consideration, the sufficiency of which is hereby acknowledged, Vision and Employee hereby agree to the following:

1. Employee’s Responsibilities. Subject to the terms and conditions of this Agreement,Employee shall provide the Services for Vision at the Event from June 14 to July 2, 2018.

2. Vision’s Responsibilities. Subject to the terms and conditions of this Agreement, Visionshall pay Employee for the Services at $20 per hour. Payment shall be made in one lumpsum no later than July 4, 2018. Vision shall also provide Employee with transportationfrom Texoma to Yarbro Island, accommodations at Yarbro Island from June 14 to July 2,2018, and food and water for the same period – all at no cost to Employee.

3. Employee’s Representations and Warranties. Employee hereby represents and warrantsthe following:

a. Employee will use best efforts to perform the Services; and,

b. Employee will use best efforts to perform any other work reasonably necessary andreasonably requested by Vision in conjunction with the Services.

4. Vision’s Representations and Warranties. Vision hereby represents and warrants thefollowing:

a. Vision is and shall at all times be able to fulfil its obligations under this Agreement;

b. Vision shall provide Employee with transportation, accommodations, food, andwater from June 14 to July 2, 2019 as reasonably necessary to protect the healthand safety of Employee; and,

c. Vision shall promptly pay Employee according to the provisions in paragraph 2.

5. Confidentiality. The parties mutually agree that the terms and conditions of thisagreement are hereby to remain confidential and shall not be disclosed to any person orentity, whether during the term of this Agreement or in the future, except for any disclosurerequired by law.

6. Non-Disclosure. Employee hereby agrees to refrain from disclosing any information(including but not limited to accounts or descriptions of the island or the Event, whether inwords or pictures) learned during the course of the employment at any time during the termof this Agreement. Employee further agrees that disclosure about the Event shall causedamage to Vision, and that any breach of this provision shall constitute a default of thisAgreement and give Vision the right to withhold any and all compensation earned byEmployee under this Agreement as damages for such breach.

7. Governing Law. This Agreement shall be governed by and enforceable and interpretedunder the laws of the state of Texoma. All disputes arising hereunder between the partiesshall be adjudicated in the District Court of Landry County, Texoma.

8. Entire Agreement. This Agreement sets forth the entire Agreement among the partieshereto pertaining to the subject matter of this Agreement and supersedes all prioragreements, understandings, negotiations and discussions, whether oral or written, amongthe parties hereto. The parties expressly acknowledge, represent, and warrant that they arenot relying on any statement, promise, warranty, representation, or agreement that is notcontained in this Agreement regarding the subject matter of this Agreement. Any futureoral representations or modifications concerning this Agreement shall be of no force oreffect unless contained in a subsequent writing signed by the party to be charged.

TEXOMA COAST—Are you planning on attending the party of the century on Yarbro Island in a few days? Better bring your own food, water, seat, shovel, first aid kit, and construction crew. On second thought, maybe you should just stay home. Some things are too good to be true.

Construction crews are working nearly 24 hours a day on the island but the writing is on the wall. Chase Ford has overpromised something no one could ever deliver, and it’s setting up to be the most sensational epic fail we’ve ever seen.

An anonymous source tells this reporter that the Satyre Spectacle, set to begin in less than two weeks, is woefully behind schedule. This source is on the ground at Yarbro Island with exclusive information: none of the stages are complete (only one is even partially built) and none of the seating has been installed (and less than half is even on the island). Our source provided pictures to back up the account:

This looks like a disaster … area. VISION, the organization behind the Satyre Spectacle, and its supporters seem to be willfully blind to the problem. Its promoter, the infamous N.Stagram, apparently visited the island earlier today and saw what you see in these pictures – yet the promotion continues on Chirpster. My source says Vision didn’t even have the wherewithal to order steps from the ground to the stage, so crews had to build makeshift steps out of scrap pieces of wood:

PROMOTION AGREEMENT

This Promotion Agreement (the “Agreement”) made this 2nd day of April 2018 (the “Effective Date”), between VISION!, Inc. (“Vision”), a Texoma corporation, and Naylor Stagram (“N. Stagram”), an individual residing in the State of New York.

Whereas, Vision has organized an event to be held on Yarbro Island from June 29 to July 1, 2018 called the Satyre Spectacle (the “Event”) and is selling tickets to the Event;

Whereas, N. Stagram is an influencer consultant in the business of promoting parties and events with a large, successful following on Chirpster;

Whereas, Vision wishes to hire N. Stagram to promote the Satyre Spectacle on Chirpster to increase awareness of and ticket sales for the event;

Whereas, N. Stagram wishes to promote the Satyre Spectacle.

Now therefore, in consideration of the premises set forth above and the mutual promises, agreements, representations, and conditions stated herein, and for other good and valuable consideration, the sufficiency of which is hereby acknowledged, Vision and N. Stagram hereby agree to the following:

1. N. Stagram’s Responsibilities. Subject to the terms and conditions of this Agreement, N.Stagram shall promote the Event on Chirpster to increase awareness of the Event andincrease ticket sales for the same. N. Stagram shall post about the Event on Chirpster noless than four times a week from the Effective Date to May 31, 2018, and no less than sixtimes a week from June 1 to June 30, 2018.

2. Vision’s Responsibilities. Subject to the terms and conditions of this Agreement, Visionshall pay N. Stagram for promoting the Event as follows:

a. $100,000.00 in a lump sum payment to be paid no later than April 22, 2018; plus

b. 10% of all ticket sales purchased from the link that will be specifically designed forN. Stagram to use on Chirpster, payment of which shall be paid no later than July7, 2018.

3. N. Stagram’s Representations and Warranties. N. Stagram hereby represents andwarrants the following:

a. N. Stagram will use best efforts to post about the Event on Chirpster no less thanthe frequency describe in paragraph 1;

b. N. Stagram will only post positive, non-derogatory statements about the Event;

c. N. Stagram shall take all reasonable efforts to ensure that no adverse publicity orcommentary about the Event appears on N. Stagram’s Chirpster account;

e. N. Stagram shall not be entitled to any percentage of ticket sales if the Event iscancelled for any reason.

4. Vision’s Representations and Warranties. Vision hereby represents and warrants thefollowing:

a. Vision is and shall at all times be able to fulfil its obligations with respect to holdingthe Event on Yarbro Island from June 29 to July 1, 2018;

b. Vision shall provide N. Stagram’s agent, Ari Silver, with the details of all ticketspurchased from the specially designed link no less than every two weeks; and,

c. Vision shall promptly pay N. Stagram according to the provisions in paragraph 2.

5. Confidentiality. The parties mutually agree that the terms and conditions of thisagreement are hereby to remain confidential and shall not be disclosed to any person orentity, whether during the term of this Agreement or in the future, except for any disclosurerequired by law.
