• 1.1 In this Agreement, the following terms shall have the following meanings:

• "Commercial Use" means use of the Licensed Material for the purpose of monetary reward by means of the sale, resale, loan, transfer, hire or other form of commercial exploitation of the Licensed Material. For the avoidance of doubt, neither the access fee as referred to in Clause 3.4, nor the placing of advertisements next to the Licensed Material is deemed to constitute Commercial Use.

• "Derivative Works" means a work based upon the Licensed Material to which enough original creative work has been added so that the new work represents an original work of authorship.
