The Negotiator’s Message From the Board

PresidentAs i write this ArtiCLe, i hAVe moVed from mY roLe As ViCe President to the roLe of President. it hAs Been A terrifiC YeAr for CAPL. My duties have been to run the office, fill

in for the President when needed, and work with the Conference

Committee for this year’s Conference. With Denise and the office

staff I feel like a young boy with my “moms” around. They truly

made it easy for me. We are still trying to push a few major items

like the online registration system across the line, but we are “oh

so close”. We hope to have the system up and running prior to

Conference registration.

CAPL has invested in new hardware to ensure this will be

as seamless as possible. We have also hired Kaitlin Polowski

to work with our ever efficient staff of Denise, Karin and Irene.

These ladies have really stepped up to the plate and have made a

serious contribution to the online system.

I would like to take this opportunity to talk about this year’s

Conference. The CAPL Conference is taking place in Toronto this

September 15-17, 2013 and has a quite different spin from past

Conferences. The Conference theme is “The New Playbook.”

I have had the pleasure of working with co-chairs Donna Philips

and Margaret Elekes, along with their other chairs, Scott Rideout,

Nathan MacBey, Chris Bartole and Carla Neumeier. These people

have such a great background from volunteering at previous

conferences that amazes me as to their organization, thorough-

ness and ideas. There is no reinventing the wheel here as far as

activities or administration goes. Some of them have already

done that.

However, the program and the timing of the conferences has

a twist:

Firstly, the Conference format in the past has been a Sunday

to Wednesday event, with various activities the delegates can

participate in. Traditionally Tuesday is activities day with Tuesday

night being a free night where delegates could get out with fellow

delegates on their own and service companies could entertain

their clients. This year’s format change has the conference going

to a Sunday to Tuesday format with activities on the Sunday as

well and the recommended free night being the Saturday night

prior to conference.

3

Secondly, the program format has changed and it will be a

learning and interactive Conference. There will be a Negotiations

Playbook as well as an Effective Communications playbook.

This will run in two streams with delegates participating in one,

Negotiations or Communications the first day, and flip flopping

the next. So if you are doing Negotiations on Monday you will be

doing Communications on Tuesday and vice versa. We have two

high powered groups in Moibus Leadership (Negotiations) and

National Public Relations (Communications) presenting and work-

ing with us. Having these two groups presenting and coaching us

is a phenomenal opportunity for the delegates, as we could not

easily get them out west. This is an opportunity to learn from the

elite instructors.

The Luncheon speakers promise to be as entertaining as other

top speakers from past conferences and I can honestly say one is

out of this world. But I’ll leave that for the Chairmen to announce

closer to registration.

Activities for the Conference will offer a wide variety of oppor-

tunities for us to enjoy, with MLB baseball, sailing, golf, Hockey

Hall of Fame, cooking class, Distillery District and visiting the CN

Tower. Maybe even another opportunity as well?

The Sunday night reception at Arcadian Court will be a great

icebreaker, followed by the ’80s Monday Theme night. Despite

that, it will probably result in the odd Elvis sighting. “Thank you,

Thank you very much”. ;) The final night will be a casual affair

with attire being jeans and those beautiful Rolling Stone Mick

Jagger Lips and other infamous shirts.

Yes the Conference is different, but it will be of great value to

all delegates, sponsors and guests.

I hope many of you will be able to make time and join us in

Toronto. See you there.

With the stellar work of the Conference Selection Committee,

we have finally got ahead of the curve and have the 2014

Conference Committee selected. The Knothole Gang of Donna

Bowles, Jim Mak, Joe Iaquinta, Pete Manchak and Jeff Leitl will be

leading the charge.

We have also lined up Colin MacKinnon for 2015 and have

some very interesting candidates for 2016. With the size of our

conferences, costs and limited venues, CAPL needs to plan far in

advance, in order to book and have the best possible conferences.

Volunteerism is one of the strongest traits of CAPL and with

your participation we are guaranteed success in the future. m

Facilities Overview (PSL®)

June 05, 2013 8:30 a.m. to 4:30 p.m.

A one day seminar for surface land agents will give an overview

of many key aspects of oil and gas field operations, facilities and

practices. Upon completion of the course land agents will have

a basic understanding of the key aspects involved in field opera-

tions, including exploration, production and abandonment.

2007 CAPL Operating Procedure

June 06, 2013 8:30 a.m. to 4:30 p.m.

This seminar is intended for anyone who are seeking to learn

about the new 2007 Operating Procedure. All experience levels are

welcome but it should be noted that the course will not be focused

on the basics of the Operating Procedure. It is meant to enable

personnel to appreciate substantive differences between the 1990

and the 2007 documents.

Overcoming the Five Dysfunctions of a Team

June 11, 2013 8:30 a.m. to 4:30 p.m.

This seminar is suitable for team leads or those looking to

enhance their team leadership skills. This seminar is built on

the assumption that great teams attract great team players, and

that great team players on great teams achieve more collec-

tively than they could on their own. Using Patrick Lencioni’s

book The Five Dysfunctions of a Team as a template, this day long

seminar teaches participants how to strengthen their teams,

improve their self-awareness and sharpen their leadership skills.

The course also includes a number of practical exercises that can

be used to overcome hurdles that stand in the way of building an

effective team.

Surface Rights Law

June 12, 2013 8:30 a.m. to 4:30 p.m.

This course focuses on the applicable Statues and Regulations

that govern freehold surface land agreements and the execution

of such documentation. The course will include a review of the

Land Agents Licensing Act, Land Titles Act, Surface Rights Act,

Dower Act, Devolution of Real Property Act, Agricultural and

Recreational Land Ownership Act, Law of Property Act and a

number of other statues in force in the Province of Alberta that the

land agent should be aware of.

Alberta Crown Lease Continuation

september 05, 2013 8:30 a.m. to 12:00 p.m.

This seminar is intended for land personnel who are involved in

the Alberta Crown Lease continuation process. Technical person-

nel will also benefit from taking this course.

Oil Sands Tenure

september 05, 2013 1:00 p.m. to 3:30 p.m.

The course will focus on gaining an understanding of the current

oil sands tenure regulations and guidelines. Topics to be discussed

will include: public and private sales; rights conveyed by oil

sands agreements; types of oil sands agreements; solution gas

in oil sands; continuation of oil sands leases; minimum level of

evaluation criteria; escalating rentals; development, research and

exploration offsetting costs; bitumen upgrading as it relates to

offsetting costs; lease designations; changing from nonproducing

to producing and vice versa.

Production Agreements

september 10, 2013 8:30 a.m. to 4:30 p.m.

This seminar will provide a detailed review of production agree-

ments commonly used in conjunction with the production of

conventional oil and gas in Western Canada. The Petroleum

Joint Venture Association (PJVA) model Unit Agreement and Unit

Operating Agreement will be reviewed along with a brief discussion

of the current legal/regulatory factors necessary for unitization,

the incentives for unitization, and the process of unitization. Other

operating agreements that will be reviewed include: the PJVA

model Construction, Ownership and Operating (CO&O) Agreement

(with comparison to the older form of CO&O Agreement), the PJVA

model Gas Processing Agreement, Gas Transportation Agreement

and Well Effluent Processing and Water Disposal Agreement, and

the new PJVA Contract Well/Facilities Operating Agreement.

Directive 071: Emergency Preparedness and

Response Requirements (PSL®)

september 11, 2013 8:30 a.m. to 4:30 p.m.

This seminar is intended for surface land agents and other indus-

try personnel. The instructor will focus on Emergency Response

Preparedness, Key Regulatory Requirements and Stakeholder

Consultation Expectations for the Petroleum Industry in Alberta

as outlined in the Energy Resources Conservation Board (ERCB)

Directive 71.

Groundwater: Issues & Impacts for Surface Landmen (PSL®)

september 24, 2013 8:30 a.m. to 12:00 p.m.

The seminar will cover an introduction to groundwater topics,

common landowner concerns and mitigative measures, case-stud-

ies and a description of pre and post well testing directives.

Specific topics will include groundwater concerns relating to

oil and gas operations, coal bed methane production, seismic

surveys, drilling operations, mining, pipeline excavations and

road-cut excavations.

Directive 056: ERCB Energy Development Applications

Public Consultation Requirements (PSL®)

september 25, 2013 8:30 a.m. to 4:30 p.m.

This seminar is designed for land agents, land administrators,

operations engineers as well as any other personnel who may be

responsible for ERCB applications or regulatory compliance issues.

The ERCB (the “Board”) believes that appropriate notification and

public consultation must be conducted well in advance of the

submission of an application to the ERCB. It must be thorough enough

to allow all parties who are affected to be sufficiently aware of not

only the proposed project, but the Board process as well. This seminar

helps proponents understand the public consultation requirements,

expectations of the ERCB and assists companies in completing the

application or audit processes for regulatory compliance.

Royalty Agreements

september 26, 2013 8:30 a.m. to 12:00 p.m.

This half-day seminar is designed to assist in interpreting and

reviewing royalty clauses and agreements. It will examine the

critical components of a royalty agreement, and will discuss

such topics as: qualifying an overriding royalty (i.e. an inter-

est in land vs. an interest in the proceeds from the sale of

production); proper deductions in calculating an ORR; rights

and obligations of the royalty owner and payor; and securing

payment of an ORR.

CAPL Royalty Procedure (version 1, 1993)

september 26, 2013 1:30 p.m. to 4:30 p.m.

This seminar will involve a clause by clause review of the CAPL

Royalty Procedure and will provide a practical explanation of

particular clauses. Certain business issues which arise in indus-

try and which are uniquely addressed by the Royalty Procedure

will also be discussed. Time permitting, the course will incorpo-

rate hands on exercises involving the application of the Royalty

Procedure to business situations. m

Recognizing CAPL’s 2013 Herb Hughes Memorial Award Winner: Ian Clarkthe herB huGhes memoriAL is the HIGHEST AND MOST PRESTIGIOUS AWARD of our AssoCiAtion

and is intended to give recognition to a member who has made

numerous outstanding contributions to our Association and the

industry and whose professional conduct is exemplary.

what made you decide to become a Landman? My father and 2 uncles were Landmen, so I guess it was in my DNA.

were the skills required to be a successful landman innate or were they fully acquired through training? I graduated university with a Bachelor of Arts degree, major in

History plus several courses in Economics and Geography. This

gave me a good grounding in research and analysis, but the nego-

tiation and contract skills I developed were learned on the job.

why do you think Landmen make a difference? do you have a personal experience that might illustrate this? Landmen make a difference every day in shaping business and

operations strategy. About 6 years ago I convinced the operations

team of my employer to move a surface lease across a road, away

from a difficult landowner. As it turned out the landowner’s occu-

pant was even more negatively impacted by our new location. So,

we paid for the occupant’s family to stay in a hotel for 3 weeks

while we drilled the well. It was the right thing to do and created

a positive buzz in the local community for our company.

Based on your years of experience, what advice would you give Landmen today (i.e., top 3 pointers)? Be prepared, listen before speaking and learn something new

every day. Also, try new types of deals, i.e. don’t be stuck on the “2

for 1” deal terms.

what do you feel is the biggest opportunity to a young Landman in today’s market? If they choose to, young Landmen can apply their business skills

into many other commercial positions and management within

our industry.

what do you feel is the most important skill to have to be a successful landman? Listening to our technical, legal and finance colleagues and then

creating and negotiating an effective deal.

why do you think Landman will continue to play a highly important role in the o&G industry (to educate the G&G and eng out there as to our value)? While we are busy making our surface and mineral deals,

Landmen also need to coach our technical colleagues in under-

standing that respect for our partners and stakeholders is crucial

to building successful relationships and thus value.

how have you seen the exploration and development of the western Canadian sedimentary Basin change in your career? The biggest change for me has been the growth of horizontal wells

and pad drilling. These 2 technical innovations have changed (and

continue to change) so many of the standard behaviours we have

developed as Landmen.

how do you think the wave of retiring baby boomers will affect Landmen’s roles in Canada? Our industry is about to lose a tremendous amount of experience

in this and many other professions. Younger Landmen will be

assuming leadership roles in industry, just as my generation did

in the 1980s and thereafter. We will be fine.

think of your best supervisor in your career, what attributes did they have that helped you grow as a Landman? Bill Hartley was my boss at Westmin Resources. He was calm and

listened very well. Bill allowed me to take risks, but was always

there to support me when I struggled.

has there been a best and worst deal for you? Best deal: The “negotiation” that led to Lorraine agreeing to marry me

in 1980. Worst deal: While at Westmin in the mid 1980’s, I negotiated

a farmin deal on AEC’s land in an exploration play in the Jackpine

area of Alberta. After closing the farmin deal, our VP Exploration sent

out a company-wide notice heaping praises on the team that worked

on the evaluation and the farmin deal. Then we drilled a very expen-

sive dry hole and proved beyond a shadow of doubt that the prospect

was dead. Immediately, our names became “mud”.

what is the strangest deal (or obligation within a deal) that you’ve done/seen? In the late 1990’s I was trying to close an acquisition of some assets

when our deal financing fell through. Rather than lose the deal (and

a large deposit) we scrambled to find some short-term money from a

couple of “knee breakers” … uhm … merchant bankers in Vancouver.

Those gentlemen received 12% per month interest on the money they

loaned us, which motivated us to pay them back ASAP.

Any past deals that still leave you thinking “oh, i should have…”? My first farmout deal was a 30-well farmout by Westmin to

Merland in eastern Alberta. The Merland landman was another

rookie, Dave Jacobus. Under Merland’s gas contract terms, they

could increase their daily contract rates from the region by proving

up reserves with cased wells, not by hooking up wells and making

them capable of production. This meant they could drill the farmin

wells on Westmin lands to increase reserves, then not produce

those wells in favour of increasing production from their own

wells with higher working interests and lower royalties. I should

have negotiated a provision that each farmin well needed to be

completed, hooked up to a pipeline and placed on production (or

abandoned) to be deemed as one of the Test Wells. Good deal Dave!

which skill did you have to work on the most throughout your career? I had a fear of conflict and a fear of public speaking. I took on

leadership roles in volunteer associations to help me overcome

both fears.

what has been your most rewarding CAPL volunteer position? Program Committee chair for the 1989 CAPL Conference in Victoria.

Don Hersak was the Conference chair and was a fantastic moti-

vator and leader. He allowed our committee to build a conference

program, which was specifically designed to provide hands-on

content for all landmen working in surface, minerals and contracts.

what do you hope CAPL will look like in 20 years? I hope that all Canadian Landmen are proud to be members of

a dynamic, influential professional organization. I hope CAPL

focuses on continuing education and professional development as

the means to elevate our status in industry. I also hope we change

our name to Canadian Association of Professional Landmen.

do you have anything else you would like to add? In the late 1990s I was working at a small company. We acquired

two sections at a Crown land sale. The lands were previously

held by Amoco, but they messed up the continuation and lost the

Crown lease on both sections. We then drilled a gas well near a

gas plant owned by Amoco. The Amoco plant manager learned

that we had outbid his company for the lands and did not want

to take our gas. When I approached him for capacity to take our

gas in his plant he essentially told me to “take a hike”. Little did

he know that I had a great business relationship with Amoco’s

gas marketing manager, who was more than happy to buy our gas

at the wellhead and move it through the Amoco plant (and even

cut back Amoco gas production from adjacent wells in taking our

gas). I am not sure the plant manager ever knew what happened.

what is your best memory of being a Landman? In 1978, the first mineral lease I ever acquired was from a very

poor farmer in Montana. When we finished the signing of the

mineral lease form, I gave him a cheque for $320. He then wiped

tears from his eyes and said he could now afford new shoes for his

children. It struck me then that what I did could have a significant

impact on people’s personal lives. That has stayed with me my

entire career. m

2013 CAPL Spring Ball

the 2013 CAPL “roArinG twenties” sPrinG BALL wAs heLd on APriL 20th At hoteL Arts. This year’s

Spring Ball was a flare of the Roaring Twenties in full style as our

guests arrived in full splendor, or as it might have been said in the

1920s, “Cat’s Meow” or “Dolled Up” style.

We were also very honoured to introduce nine Past-Presidents

in attendance. Their commitment throughout the years has

helped to shape a strong foundation from which we all can build

and we look forward to their continued mentorship along the way.

The atmosphere was electric from beginning to end – the

hours were well spent at the “Fun Casino” to raise money for

“Little Warriors” Charity, as well as dancing the night away to

“Livin In Swing Production Inc.”, our live band for the evening.
