THE RICHEST RIDE IN RODEO MAKES2006 THE MOST SUCCESSFUL RODEOYEAR IN HISTORY

This year a new rodeo format was introduced –

an invitational format that brought the world’s

best competitors to the arena for 60 per cent

more prize money. The result? More intensity.

More excitement. In fact, the changes led to

record-breaking attendance and revenues. �

10 STAR FILLED NIGHTS

2006 was a year of outstanding entertainment

and incredible performances. Nashville North,

the Coca-Cola Stage, and the Pengrowth

Saddledome welcomed big names like Alan

Jackson, Kenny Chesney, Nelly Furtado, Sam

Roberts, and Doc Walker…just to name a few. �

THE SPIRIT OF STAMPEDEREACHES FAR AND WIDE

This year, as always, the Greatest Outdoor Show on

Earth united our community and welcomed visitors

from all over the world. Celebrations started with the

parade, which featured Canadian Olympic Medalist

Sara Renner and the Norwegian National Cross-Country

Ski Team Coach who selflessly made her silver possible,

Bjørnar Håkensmoen. And the momentum kept building

over the entire 10 days. The Grandstand Show brought

the spirit alive each night, wowing audiences with an

original show entitled “Canada, Moments in Time”.

And people came to cheer on competitors in events

like the GMC Rangeland Derby. The Derby was one

of the events that had increased prize money this year

to make it more exciting than ever.

In 2006 Grated Coconut became a three-time World Champion Bareback Horse.

ROUNDUP CENTRE WINS WITH CONSUMERS

In 2006, for the second year in a row, the Roundup

Centre was named the Consumers’ Choice for

business excellence in the Banquet/Reception Hall

category, distinguishing itself as Calgary’s premier

hosting facility for quality, service and value. �

MORE THAN 52,000 PEOPLE VISIT WORLD’S LARGEST OIL AND GAS SHOW

Stampede Park hosted the world, as visitors

from over 85 countries got a look at the latest

oil and gas technological innovations, products

and services at the Global Petroleum Show 2006.

This unique exhibition showcased industry

experts in the fields of exploration, production

and transportation of oil and natural gas, and

included an outdoor exhibition of real equipment.

This show creates significant economic spin-offs

in the region and it generates over $10 billion in

sales in the oil and gas industry. The event this

year was such a success that planning is already

underway for the next show coming to Stampede

Park June 10 – 12, 2008. �Family is more than blood you’re born into.

They are your neighbours, your friends. And strangers who have lost their way. Keep an open door for them.

STAMPEDE PARK DEVELOPMENTBREAKS GROUND

In 2006, construction started on the long-term

plan to make Stampede Park a year-round

gathering place for the community. Initial

development will create a new home for the

Stampede Casino. The Roundup Centre will also

be expanded to include a second level and two

new exhibition halls. The green space along the

river will be reclaimed, incorporating pedestrian

friendly pathways that will allow everyone to

enjoy the area year-round. And a new agriculture

complex will be created. Over the coming years,

this long awaited development will play an

important role in the revitalization of east

downtown Calgary. �

HELPING YOUNG CANADIANS TAKE THE STAGE

The Stampede works hard year-round to help

shape Calgary’s youth into leaders for tomorrow.

The Young Canadians School of the Performing

Arts is one of the premier programs that

develops leadership skills. The troupe of 173

students receives training in voice, dance,

gymnastics and leadership. Once a student

is accepted, all class-related costs are covered

by scholarships provided by the Calgary

Exhibition & Stampede. �

PROTECTING THE LAND

All year long, environmental initiatives are taking

place at Stampede Park. From composting

animal bedding waste to recycling metal from

horseshoes and tin cans…the Calgary Exhibition

& Stampede is continually working to protect the

future of this land. �

STAMPEDE GRANDSTAND –A SAFE, WARM PLACE FORCALGARY’S HOMELESS WHENTHEY NEEDED IT

In November 2006, Calgary experienced a

potentially deadly cold snap. With temperatures

hovering around -25ºC and feeling like -40ºC with

the wind chill, an emergency shelter was set up

beneath the Stampede Grandstand. For a week,

up to 300 people per night, desperate to get out

of the cold were transported from the Mustard

Seed to the Grandstand building where they were

given a safe, warm place to stay.

THE LARGEST 4-H EVENT IN CANADAHAPPENS RIGHT HERE

4-H on Parade is a weekend of competitions

and auctions that showcase the outstanding

achievements of southern Alberta’s youth.

This year’s event was attended by over 1,000

4-H members aged nine to 21 from over 67 clubs

in the Calgary region. �

STAMPEDE SCHOOL PROJECT WINSWORLD WIDE COMPETITION

The Stampede School and the Galileo Education

Network won first place for international

online education from the International Society

for Technology in Education. This innovative

partnership allowed students to explore

Stampede Park’s Indian Village, and interview

First Nation Elders and Stampede historians

in order to produce a video, artwork and

writing for the award winning website.

RURAL ROUTES EXPLORES ALBERTA’SVACATION DESTINATIONS

New this year to the Stampede’s annual spring

festival, Rural Routes was a one-of-a-kind

consumer show focusing on Alberta’s unique rural

tourism industry. Exhibits covered everything from

ranch vacations to whitewater rafting. �

Know that life comes from the soil. I ask you to live with the land as I have,

and not from it. Pass it to your children, more fertile than when you received it.

OLDS COLLEGE SETS DOWNROOTS IN STAMPEDE PARK

In 2006, Olds College officially opened it’s Calgary

campus. This premier Canadian integrated learning

and applied research college specializing in agriculture,

horticulture, land and environmental management will

begin remodeling the Weston Bakery building at

Stampede Park in 2007, with an expected opening

in 2009. This partnership will help the Stampede

strengthen the connection between urban and rural

communities, and continue our support for agriculture

producers, consumers and the industry as a whole.

It will be an $8-million, 27,000-square-foot facility for

450 students studying curricula from agriculture to

fashion marketing.

By virtually every measure, 2006 was an exceptionalyear for the Calgary Exhibition & Stampede.

We achieved our third consecutive year of revenuegrowth, officially broke ground on our trade andentertainment complex, celebrated several significantnew partnerships, reached out to our community in new and innovative ways, and set new attendancebenchmarks at our annual Calgary Stampede as well as other key events throughout the year.

Our success was driven by the passion andcommitment of our 2,200 volunteers and 1,600employees – and the support of hundreds of sponsors, along with government and communitypartners – all working together.

Looking back, there were many highlights.

A 10-DAY COMMUNITY CELEBRATION

Our most significant contribution to our communityremains the annual Calgary Stampede, and in 2006 wehosted the best ever Greatest Outdoor Show on Earth!

• More than 400,000 Calgarians and visitors watched the Stampede Parade led by Norwegian cross-country ski coach Bjørnar Håkensmoen and Canadian medalist Sara Renner – whose Olympic story of sportsmanship set the right tone for a celebration of community values. More than 40 other Olympic and Paralympic medalists and inspirational Canadians participated in the Paradeand nightly in the Grandstand Show’s outstanding“Canada, Moments in Time”, creating a truly national celebration.

• Our richer, rougher rodeo brought together the world’s greatest rodeo athletes to compete for an unprecedented $1.6-million in prize money, the richest ride in the sport. The new format reinforced our leadership position in the rodeo world and attracted our biggest audiences ever, with an unprecedented four sell-outs.

• Some of North America’s biggest entertainers performed, including sell-out Saddledome concerts by Alan Jackson and Kenny Chesney and a Coke Stage appearance by Canadian singing sensation Nelly Furtado.

• Launched with a record canvas auction of $2.9 million, and paired with a spectacular Grandstand Show, the world’s premier chuckwagon races attracted record crowds and this year’s GMC Rangeland Derby champion, Hugh Sinclair, earned a record $100,000 payout.

• The 25th annual Calgary Stampede Western Art Auction set an individual sales record of $36,500 for the painting featured in the 2007 Calgary Stampede Poster.

• The RCMP Musical Ride, the 22nd biennial Royal Agriculture Society of the Commonwealth Conference, the World Simmental Congress and an enhanced military display were a testament to the role we play internationally.

• With the support of hundreds of volunteers, Calgarians and visitors celebrated the Stampede spirit in every corner of the city – from downtown streets and offices to local shopping malls and neighbourhood parking lots. The Get Your Head in a Hat program gave away 18,000 hats and 100,000 “rewards” for those “caught” wearing their hats – promoting Calgary’s great tradition of dressing western, begun by Guy Weadick almost 100 years ago.

A record 1,262,518 visitors came to Stampede Park toparticipate in our western celebration – almost 90 percent of whom noted their experience was good orexcellent. We also set a new record for revenue, thanksin part to a 17 per cent increase in partner participation– all of which we reinvest back into our youth,agriculture and community programs and facilities.

A SHOWCASE FOR AGRICULTURE

We started 120 years ago as an agriculture society and we’ve never forgotten our ranching and farmingroots. Today, Stampede Park provides one of theworld’s most unique agricultural showcases, featuringmore than 60 diverse programs spread across 100 days.These agricultural activities include education, youthdevelopment, sports, entertainment and businessevents, industry conferences and trade shows.

Among the 2006 highlights was 4-H on Parade in earlyJune, one of several 4-H programs we supported andhosted last year. As the largest stand-alone 4-H eventin Canada, this three-day showcase drew more than1,000 young people from across Alberta.

In October, Stampede Park hosted the officialopening of the Olds College Calgary Campus,launching the city’s newest post-secondaryeducational institution. In the next few years, OldsCollege will remodel the historic Weston Bakerybuilding to create an $8-million, 27,000-square-footfacility for 450 students who will study a variety ofagricultural, horticultural, environmental and land-based programs. Our partnership with Olds Collegewill help the Stampede strengthen the connectionbetween urban and rural communities and providegreater support to agriculture producers, consumersand the industry as a whole.

Corporate investment in our vision for showcasingagriculture and bringing urban and rural communitiestogether increased as several of our partners added totheir level of support for programs like Aggie Days, 4-H, International Youth Livestock, Heavy Horse andBeef Cattle.

WE BUILD OUR COMMUNITY EVERYDAY

Our volunteers and employees are busy building our community every day of the year and in 2006Stampede Park hosted more than 1,300 events,ranging from commerce to education, fromentertainment to celebration.

• We partnered with members of the Treaty 7 First Nations to host the Stampede’s first-ever Aboriginal Youth Leadership program, which is a vital component to our goal of revitalizing the spirit of the 1912 Indian Village and reinforces and preserves the importance of the Plains Indians culture.

• In November we hosted the second annual Western Legacy Awards, recognizing three individuals who exemplify our western values. Eddie Cochlan was honoured for his sustained contribution to the Stavely community, 12-year-old Lindsey Lehr was chosen for her innovative support of the Alzheimer’s Society and Ryan Hodgson received the youth award for his contributions to the agriculture community through 4-H.

• We were proud to host His Royal Highness, The Earl of Wessex, on June 4, who came to celebrate and recognize our commitment to youth. Annually we invest well over $1 million into a variety of programs that provide education and development to thousands of young people through programs like Aggie Days, 4-H, The Young Canadians, Stampede Showband and Stampede School.

• In June we hosted the largest oil and gas show in the world, the Global Petroleum Show.

• Every day we welcome visitors to Calgary’s only not-for-profit casino, a revenue generating facility that supports 173 different community charities as well as the Stampede’s programs and facilities.

• In keeping with our values of neighbourliness and commitment to community, the volunteers and employees of the Stampede worked together to build the second of five new homes for Habitat for Humanity.

NEW MOMENTUM FOR OUR VISION

Two years ago, we set out a vision for developingStampede Park into a world-class, year-roundgathering place for Calgarians and visitors. We willbuild a better community, at a time when communitybuilding is vitally important to Calgary. In 2006, wereached some significant milestones in developingStampede Park.

• Calgary City Council approved our Land Use application for development of our 193-acre Park,granted a 100-year extension to our lease and agreed to guarantee $140 million of $160 million total debt capacity. This increased our debt capacity by $100 million, which is vital to our development plan for Stampede Park.

• On June 7, with great fanfare and the participation of community leaders and partners, we broke ground on construction of our trade and entertainment complex.

• In November, we received word that the Government of Alberta will provide an additional $15 million to support the expansion of theRoundup Centre. Coupled with the $35 million

previously received as a Centennial grant, we can now complete phase two expansion of our trade and entertainment complex by the summer of 2009.

• The Calgary Exhibition & Stampede and the Calgary Stampede Foundation developed a shared philosophy and approach to fundraising to support our common objective of preserving and promoting western heritage and values.

• We added new infield suites and began construction of the Lazy S Club to help meet public demand for the Park’s hosting and networking facilities.

Research completed in 2006 confirmed Calgariansexpect us to promote and celebrate our westernheritage and values. Values like integrity, westernhospitality, commitment to community and pride in our great city and province resonate withCalgarians and are seen to contribute to the quality of life in Calgary. These values will be at the heart of and will inform an exciting new expression of ourbrand in 2007.

OUR FINANCES ARE SOLID

Revenue in 2006 was $108.6 million, up almost 13 percent from $96 million in 2005. Net operating income,including annual support from the Government ofAlberta was $6.6 million compared to $5.1 million in2005. These strong results are essential to help fundcommunity programs and development of the Park.

As we move forward with our 2020 vision of building a world-class, year-round gathering place, projects willbe funded through internally generated revenues andpartnerships with individuals, communityorganizations and the private and public sectors.

THE CITY OF CALGARYThe City of Calgary has been a long-time partner of the Calgary Exhibition & Stampede, providing our 193-acre lease, approving theStampede's land use application for expansion and approving a by-law to increase and partially guarantee the Stampede's borrowing capacity.

GOVERNMENT OF ALBERTAThe Government of Alberta, through the Alberta Lottery Fund, provides funding support for the Stampede's facilities and programs. We received our annual $10-million operating grant and the second installment of $250,000 in a ten-year agreement that will provide funds to enhance the Calgary Stampede festival. Alberta Agriculture, Food and Rural Development provided an annual operating grant of $100,000 to our agriculture activities. The Agriculture Initiatives Program contributed $40,000 for the Royal Agriculture Society of the Commonwealth conference and $9,000 for our International Agriculture program. Alberta Economic Development supported the new Rural Routes program with a grant of $5,000.

GOVERNMENT OF CANADAThe Government of Canada, through the Canadian Agriculture and Food International program, provided $100,000 to support the RoyalAgriculture Society of the Commonwealth conference and $20,000 for the International Agriculture program.

The Board of Directors is responsible for overseeing Management’s performance of its responsibilities for financial reporting andinternal control. The Board exercises this responsibility with the assistance of the Audit and Finance Committee of the Board.

The Committee is composed of not fewer than five (currently nine) members, at least three (currently six) of whom are directors ofCalgary Exhibition & Stampede Limited. The Committee reviews the annual consolidated financial statements, considers theappropriateness of accounting policies and assesses the overall quality of the financial reporting. The Committee also reviews andmakes recommendations to the Board regarding financial matters and oversees the process that Management has in place toidentify business risks.

The Committee recommends to the Board the auditors to be appointed by the shareholders and approves in advance fees for the auditors’ services. Deloitte & Touche LLP was appointed by the shareholders as independent auditors in 2006 to conduct anexamination and express their opinion on the consolidated financial statements. The Auditors’ Report outlines the auditors’ opinionand the scope of their examination. The services provided by the independent auditors are restricted to the audit of theconsolidated financial statements and audit-related services.

The Committee reviews and approves the terms of engagement of the independent auditors, the scope and plan for the externalaudit and reviews with the auditors the results of the audit and the Auditors’ Report. The auditors report to the Committee. TheCommittee also discusses with the auditors their independence from Management and Calgary Exhibition & Stampede Limited and receives written confirmation of their independence.

Management and auditors attend Committee meetings and each is provided with the opportunity to meet privately with theCommittee. The Committee met ten times in 2006.

The Stampede is amortizing a transitional asset on a straight-line basis over 13 years for one of its plans and is amortizing a transitional obligationover 10 years for another of its plans, both of which represented the average remaining service period of the active employees for each plan at the2001 transition date.

(e) Capital Assets and Amortization:

Buildings and equipment are stated at cost less accumulated amortization. Major overhauls and improvements are capitalized, while normal repairsand maintenance are expensed as incurred. Park Development projects include the design and construction costs incurred on a number of projectsrelated to the Stampede’s expansion plans. Interest incurred on debt specifically obtained to finance capital projects is capitalized during theconstruction period. Amortization is provided on a straight-line basis at rates designed to amortize the assets over their estimated useful lives.

Title to the land on which Stampede Park is located is vested in The City of Calgary and is used by the Stampede under a long-term lease (“theGround Lease Lands”) expiring in the year 2010. Negotiations with The City of Calgary are currently concluding on a new 100-year lease. Certain otherlands owned either directly or beneficially by the Stampede are recorded at cost and are held for Stampede expansion and development purposes.

(f) Impairment of Long-lived Assets:

Long-lived assets are tested for recoverability whenever events or changes in circumstances indicate that their carrying amount may not be fullyrecoverable. An impairment loss is recognized when and to the extent that the carrying value of an asset exceeds the total undiscounted cash flowsexpected from its use and eventual disposition.

(g) Advances on Future Events:

Advances on future events represent funds received in advance for events including the Stampede festival, conventions and trade shows, andfacilities, building and ice rentals. Revenue for such events is recognized in income in the period in which the event takes place.

(h) Interest Rate Swap:

An interest rate swap (“swap”) is utilized to manage interest rate risk on the Stampede’s long-term debt. The Stampede does not enter intofinancial instruments for trading or speculative purposes and has not undertaken any similar financial transactions to date. The Stampede believesthe swap is effective as a hedge, both at inception and over the term of the instrument, as the term to maturity, the (notional) principal amount andthe interest rate basis in the instrument all match the terms of the debt instrument being hedged. The swap agreement involves the periodicexchange of payments (without the exchange of the notional principal amount upon which the payments are based), which are recorded as anadjustment of interest expense on the hedged debt instrument. The related amount payable to or receivable from counterparties is included as anadjustment to accrued interest.

(i) Grants and Contributions:

The Stampede follows the deferral method of accounting for grants and contributions. Unrestricted contributions are recognized as income whenreceived or receivable. Amounts externally restricted for capital purposes are recorded as “deferred contributions” when received or receivable andincluded in income in the same proportion as the amortization of the related assets for which the capital contributions were expended. Amounts thatrelate to operating expenditures of a future period are deferred until the related expenditures are incurred.

(j) Donated Services:

A substantial number of unpaid volunteers make significant contributions of their time in developing and delivering Stampede programs. The valueof this contributed time is not reflected in the financial statements since objective measurement or valuation is indeterminable.

(k) Comparative Information:

Certain comparative financial information has been reclassified to conform to the financial statement presentation adopted in 2006.

2. EMPLOYEE FUTURE BENEFITS:

The Stampede has a number of defined benefit pension plans as well as a defined contribution pension plan. In 2006, the Stampede made cash paymentsto its pension plans for employee future benefits amounting to $2.4 million (2005 - $2.1 million).

(a) Defined Benefit Pension Plans:

Actuarial valuations of the Stampede’s defined benefit pension plans were carried out as at September 30, 2005 and were then extrapolated toDecember 31, 2006. The next actuarial valuation of the Stampede’s defined benefit plans is required to be completed by September 30, 2008.

PURPOSE OF THE ORGANIZATION:

The basic purpose of the Calgary Exhibition & Stampede Limited ("the Stampede") is to preserve and promote western heritage and values. The Stampedeis incorporated under the Companies Act of Alberta as a not-for-profit organization and is exempt from income taxes under the Canadian Income Tax Act.The directors of the Stampede are elected or appointed volunteers who cannot be paid in any form for their services under its by-laws. The shareholders ofthe Stampede, who are also volunteers, cannot receive any dividends, nor can the shares appreciate in value. Shares can neither be sold nor held by personsoutside of the Province of Alberta nor in the estates of deceased shareholders.

1. SIGNIFICANT ACCOUNTING POLICIES:

The financial statements of the Stampede have been prepared by Management in accordance with Canadian generally accepted accounting principles fornot-for-profit organizations. A precise determination of many assets and liabilities is dependent upon future events and consequently, the preparation ofperiodic financial statements necessarily involves the use of estimates and approximations. Those estimates also affect the disclosure of contingencies at the date of the financial statements and the reported amounts of assets, liabilities, revenues and expenses. Actual results could differ from those estimates.The financial statements have, in Management's opinion, been properly prepared within reasonable limits of materiality and within the framework of theaccounting policies summarized below.

(a) Basis of Presentation:

The consolidated financial statements include the accounts of the Stampede, its wholly owned subsidiary, Weadick Properties Limited (“Weadick”)and its 50% interest in Stampede Entertainment Inc. (“SEI”).

The basic purpose of Weadick is to acquire lands for future Stampede expansion and development purposes. Weadick is incorporated under theAlberta Business Corporations Act as a not-for-profit organization and is exempt from income taxes under the Canadian Income Tax Act.

The basic purpose of SEI is to present various western and Stampede related entertainment during the annual Calgary Stampede festival andthroughout the year via television, movies and live performance. SEI is incorporated under the Alberta Business Corporations Act as a for-profitentity and is subject to income taxes under the Canadian Income Tax Act. The Stampede has joint control of SEI.

The Stampede also controls the Calgary Stampede Foundation (“the Foundation”), due to its ability to appoint the majority of the board ofdirectors of the Foundation. The Stampede has elected to disclose all pertinent financial information of the Foundation in the notes to theseconsolidated financial statements and accordingly, the Foundation’s financial accounts have not been consolidated with those of the Stampede.The Foundation has the primary objective of establishing programs for the benefit of young residents of Southern Alberta to advance theirknowledge and understanding of the history, heritage, traditions and culture of Alberta. The Foundation is incorporated under the Companies Act of Alberta as a not-for-profit organization and is a registered charity under the Canadian Income Tax Act and accordingly, is not subject toincome taxes.

(b) Cash and Short-term Deposits:

Cash and short-term deposits comprise cash on hand, demand deposits, deposits held in trust, bankers’ acceptances and commercial paperhaving a maturity of three months or less from the date of purchase and are recorded at cost, which approximates market value.

(c) Inventories:

Inventories held for resale are valued at the lower of cost and net realizable value. Supplies are valued at the lower of cost and replacement cost.

(d) Employee Future Benefits:

The Stampede has a number of defined benefit pension plans as well as a defined contribution pension plan that provide pension benefits to mostof its employees. The defined benefit pension plans are based on years of service and final average salary. Pension benefit payments are notautomatically increased for inflation.

The cost of pension benefits earned by employees is actuarially determined using the projected benefit method prorated on service andManagement’s best estimate of expected plan investment performance, salary escalation and retirement ages of employees. Plan obligations arediscounted using current market interest rates and plan assets are presented at fair value.

Actuarial gains (losses) arise from the difference between the actual long-term rate of return and the expected rate of return on plan assets, thedifference between actual experience and actuarial assumptions used to determine the accrued benefit obligation, and from changes in actuarialassumptions. The excess of the accumulated net actuarial gains (losses) over 10 percent of the greater of the benefit obligation and the fair value ofplan assets is amortized over the average remaining service period (2006 and 2005 – 13 years) of active employees for the applicable pension plan.

5. LONG-TERM DEBT:

(a) Committed Non-revolving Credit Facility:

The committed non-revolving credit facility with a Canadian chartered bank (original credit facility limit of $30.0 million) bears interest at bankers’acceptance rates (4.34% at December 31, 2006) plus 0.30% and is guaranteed by The City of Calgary for an additional cost of 0.02%. As security,The City of Calgary, as unconditional guarantor, holds a fixed debenture in the amount of $60.0 million charging the Ground Lease Lands, allimprovements and any additional lands purchased by the Stampede from the proceeds of the credit facilities described herein and in Note 4(b).

(b) Interest Rate Contract:

The Stampede has entered into an interest rate swap agreement with a Canadian chartered bank under which the Stampede has fixed interestpayments on its committed non-revolving credit facility at 6.23% per annum to March 22, 2024. The fair market value of the interest rate swap atDecember 31, 2006 which has been estimated using year-end market rates, would result in a loss of $2.5 million (2005 – loss of $3.0 million), andapproximates the amount that the Stampede would pay if the swap agreement was closed out at that date.

(c) Principal Repayments:

The amount of principal repayable in each of the next five years and thereafter is as follows:

6. DEFERRED CONTRIBUTIONS:

The Stampede receives capital contributions from the Government of Alberta and other sources to assist in the financing of capital asset acquisitions. Details of deferred contributions are as follows:

The Stampede received a capital grant of $35.0 million from the Government of Alberta under the terms of an agreement entered into during 2006. Thefunds are restricted to expand the Roundup Centre facility and are required to be maintained in a segregated bank account with all interest earned accruingto the capital grant. All unspent funds related to the capital grant are reported as “restricted cash” in the Consolidated Statement of Financial Position. If forany reason the capital grant, including interest earned, is not fully expended by December 31, 2009, the Stampede will be required to return the remainingfunds to the Government of Alberta.

7. HORSE RACING:

In order to accommodate its Park Development Plan, the Stampede will fully exit its horse racing operation on December 31, 2007. The results of operationsassociated with horse racing activities are as follows:

The Stampede receives, through Horse Racing Alberta, a discretionary grant of 0.95% of the gross handle from horse racing operations and a slot revenuesupplement based on 18.33% of computer gaming terminal proceeds generated by the Stampede Casino. Both the racing discretionary grant and the slotrevenue supplement will cease at the exit date.

8. PROVINCIAL GOVERNMENT ASSISTANCE:

The Stampede receives funding from the Government of Alberta through the Alberta Lottery Fund as follows:

(a) Operating Grant:

The Stampede receives annual general purpose funding of $10.0 million in accordance with the terms of a 2005 agreement with the Ministerresponsible for the Department of Gaming and the Alberta Lottery Fund. The funding is unencumbered, but is subject to the availability of lotteryfunds in the annual Alberta Lottery Fund Estimates.

(b) Stampede Grant:

The Stampede receives annual funding of $250,000 in support of the Calgary Stampede festival. The grant, which expires in 2014, is required to bemaintained in a segregated bank account together with all interest earned.

(c) Agriculture Grant:

As a “Class A” fair, the Stampede receives an annual operating grant to support agriculture programs.

(b) Defined Contribution Pension Plan:

The Stampede’s defined contribution pension plan expense for 2006 was $191,000 (2005 - $190,000).

3. CAPITAL ASSETS AND CAPITAL COMMITMENTS:

As at December 31, 2006, the Stampede, through The City of Calgary, had initiated the expropriation of the remaining 23 properties in Victoria Park that arerequired for planned Stampede expansion. The final purchase price of these properties will be determined at the conclusion of the expropriationcompensation hearings.

The Stampede has initiated design and construction on a number of projects as part of its Park Development Plan. Information concerning these projects atDecember 31, 2006 is as follows:

(a) Construction of the relocated Stampede Casino is estimated to cost $50.3 million and to be open for operation in summer 2008.(b) Construction of the Lazy S Club in the Grandstand facility is estimated to cost $10.5 million and to be open for operation in summer 2007.(c) Infrastructure projects currently include certain electrical and roadway upgrades and total project costs and timing of completion are being

determined.(d) Preliminary design costs for Roundup Centre Expansion, which is expected to open for operation in summer 2009, have been approved and

total project costs, which will be funded from the Government of Alberta capital grant (see Note 6), are being determined.(e) Preliminary design costs for the new Agriculture Arena Complex have been approved; however, total project costs and timing of completion

are currently unknown.

4. BANK INDEBTEDNESS:

Bank indebtedness at December 31 is comprised of the following:

(a) Revolving Demand Operating Loan:

The revolving demand operating loan facility, available to a maximum $12.5 million, bears interest at the bank’s prime interest rate. As security, a Canadian chartered bank holds a demand debenture in the amount of $40.0 million as well as a first floating charge over all assets, which aresubordinated to the security held by The City of Calgary, as disclosed in Notes 4(b) and 5(a).

(b) Revolving Demand Credit Facility:

The revolving demand credit facility, available to a maximum $30.0 million, bears interest at bankers’ acceptance rates of 4.34% plus 0.30% andmatures on March 30, 2007. As security, The City of Calgary, as unconditional guarantor, holds a fixed debenture in the amount of $60.0 millioncharging the Ground Lease Lands, all improvements and any additional lands purchased by the Stampede from the proceeds of the credit facilitiesdescribed herein and in Note 5(a).

Provincial Government assistance recognized in income is as follows:

9. FINANCIAL INSTRUMENTS:

The Stampede’s financial instruments include cash and short-term deposits, accounts receivable, restricted cash, bank indebtedness, accounts payable andaccrued liabilities, deferred operating grant revenue, long-term debt, and an interest rate swap.

(a) Fair Values of Financial Assets and Liabilities:

The fair values of financial instruments, excluding long-term debt and the swap, approximate their carrying amount due to the short-term maturityof these instruments. The fair value of long-term debt approximates carrying value given its underlying floating interest rate and the fair value ofthe associated swap is disclosed in Note 5(b).

(b) Credit Risk:

The Stampede’s accounts receivable are due from a diverse group of customers and are subject to normal credit risks.

(c) Interest Rate Risk:

The Stampede has entered into a swap transaction, as disclosed in Note 5(b), to manage exposure to interest rate increases on floating rate debt.

10. STAMPEDE ENTERTAINMENT INC.:

SEI’s financial accounts have been proportionately consolidated in the Stampede’s financial statements. Financial summaries of SEI as at December 31, 2006and 2005 and for the years then ended are as follows (SEI does not present a Statement of Changes in Cash Flow as it would provide no additionalmeaningful information):

The 50% proportionate share of SEI revenue and expenses included in the line item “Stampede” in the Consolidated Statement of Operations andCommunity Investment are adjusted for the elimination of an inter-company transaction pertaining to a $240,000 (2005 - $151,000) management fee paid to the Stampede.

11. CALGARY STAMPEDE FOUNDATION:

The Foundation’s financial accounts have not been consolidated in the Stampede’s financial statements. The Foundation uses fund accounting and followsthe restricted fund method of accounting for contributions. The Foundation’s funds include the General, Designated Youth, Designated Endowment andUndesignated Endowment funds. The Foundation’s investments are held by The Calgary Foundation and are pooled investments in stocks, bonds anddebentures and are recorded at cost. Dividends, interest and realized capital gains and losses are included in revenue. To preserve the initial capital base of donations contributed to the endowment funds, an annual investment retention allowance, based on the rate of inflation, is determined and retained.

Financial summaries of the Foundation as at December 31, 2006 and 2005 and for the years then ended are as follows (the Foundation does not present aStatement of Changes in Cash Flow as it would provide no additional meaningful information):

In accordance with donor-imposed restrictions: $166,000 (2005 - $176,000) of the Foundation’s net assets must be distributed to designated youth programsspecified by the donor; $271,000 (2005 - $254,000) of the Foundation’s net assets must be held in perpetuity or for a period of not less than ten years, theincome from which is to be used for the benefit of specified activities; and $263,000 (2005 - $374,000) of the Foundation’s net assets are subject to donorimposed restrictions that they be held in perpetuity or for a period of not less than ten years with no direction respecting the specific use of income earnedor from the ultimate disposition of the invested capital.

12. CONTINGENCY:

The Stampede has been named as one of the defendants in a suit claiming $91.6 million. Management and legal counsel are of the opinion that theStampede has a good defense based on the merits of the case and it is Management’s view that the outcome of this action will not have a material adverseeffect on the financial position or operating results of the Stampede. Accordingly, no provision has been made in the financial statements.
