    Section 2 Qualifications

    Qualifications for membership in the Intergroup:A. Groups registered with the World Service Office and wishing to belong to theIntergroup may be members. An OA group is defined as the following:

    1) As a group, they meet together to practice the Twelve Steps and TwelveTraditions of OA, guided by the Twelve Concepts of OA Service.2) All who have a desire to stop eating compulsively are welcome in the group.3) No member is required to practice any actions in order to remain a member or tohave a voice (share at a meeting).4) As a group, they have no affiliation other than OA.5) It has affiliated as an Overeaters Anonymous group by registering with the WorldService Office.B. No group may be registered with another Intergroup.C. Virtual groups (groups which replicate face-to-face meetings through electronicmedia may be an Overeaters Anonymous group if they:

    1) otherwise meet the definition of Overeaters Anonymous groups;2) are fully interactive; and3) meet in real time.

    Section 3 Intergroup Representatives

    A. An Intergroup representative (IR) will be selected by the group conscience of thegroup they represent.B. The duty of the IR is to represent the group at IG meetings and serve as a contactto carry communications between the IG and the home meeting.

    ARTICLE IV- THE INTERGROUP BOARD

    Section 1 The Intergroup BoardA. The board consists of the officers: chairman, vice chairman, secretary, treasurerand web master.B. The Intergroup Board may also include other positions such as the World ServiceBusiness Conference delegates, committee chairs, or Regional representatives.C. Meetings shall be chaired by the chairman. In the event the chairman is unable tochair any meeting, another Board member will lead the meeting.

    Section 2 Nominations to the Intergroup Board

    Nominations to the board may be made from the floor at the time of election. Anominating committee may also be formed, at the discretion of the Intergroup.

    Section 3 Qualifications for the Intergroup BoardTo qualify for election to the Intergroup Board an individual must:A. Be working the Twelve Steps, Twelve Traditions and Twelve Concepts of OAService to the best of their ability.

    B. Have 6 months of current abstinence except as follows (each person shall be thesole judge of his or her abstinence):

    1). World Service Business Conference Delegates must comply with theabstinence and length of service requirements in the World Service Bylaws,Subpart B, Article X, Section 3 c) 1). Current requirements are one year current

    abstinence and at least two years of service above the group level.2). Region representatives must comply with the abstinence and length of servicespecified in the Regions Bylaws.3). When waived for an individual by a majority vote of the board.

    C. Be a regular member of an affiliated group.

    Section 4 Election of Board MembersA. Nominations may be made from the floor at the time of election.B. The candidate must receive a majority vote for election.

    Section 5 Term of Office

    A. The term of office for an officer of the Board is two (2) years.B. Officers may serve no more than two (2) consecutive terms (4 years) in the sameposition. A member may serve again after a leave of two (2) years in the position.C. Once elected, an officer of the Board may not serve as a group representative tothe intergroup.D. Committee chairs are elected for a one (1) year term on the Board.

    Section 6 Responsibilities of the Intergroup Board MembersA. Serve as guardians of the Twelve Steps and Twelve Traditions and TwelveConcepts with respect to the functions of the Intergroup.B. Perform the duties of their offices in accordance with Intergroup policies and

    procedures.C. Serve as guardian of Intergroup funds; participate in annual financial audit.D. Provide a forum for the interchange of ideas and information between membergroups.

    Section 7 Vacancies and ResignationsA. If a Board member is absent from an IG meeting more than three (3) times in ayear, he/she may be removed from the position by a majority vote of the members.B. Any board member may resign at any time for any reason by giving the chairmanof the Intergroup written notice.C. Any board member of this Intergroup may be removed from office for due cause

    by a majority vote of the IRs at a special meeting announced for that purpose.

    Section 8 Filling of VacanciesA. Vacancies shall be filled by a majority vote at the next meeting or special meetingof the Intergroup after the vacancy occurs. Such persons chosen to fill said vacanciesshall serve for the remainder of the un-expired term.B. A person chosen to fill any vacancy on the board shall meet the qualifications asdefined in Article IV, Section 3.

    ARTICLE V MEETINGS

    Section 1 Regular MeetingsThe Intergroup will meet monthly at a time and place designated by a majority of

    the voting members.Section 2 Annual ElectionElection of new officers is held annually. Chair, Vice-Chair, Alternate Delegate andone Delegate are elected during even numbered years. Treasurer, Secretary, WebMaster and one Delegate are elected during odd numbered years. September IGmeeting A nominating committee is selected. October IG meeting Thenominating committee presents its nominations. November IG meeting Newofficers are elected. December IG meeting New officers are installed.Section 3 Special MeetingsA special meeting may be called at any time by a majority vote of the IntergroupBoard or by petition of one half (50%) Intergroup members, by giving notice as

    prescribed in Article V, section 4.Section 4 Method of NotificationThe Intergroup will provide at least seven (7) days notice to each member group.Section 5 QuorumThose voting members present at any meeting of this Intergroup constitute aquorum.

    ARTICLE VI COMMITTEESThe board may establish committees as are needed for the welfare and operation ofthe Intergroup. Each committee is responsible to the IG Board.

    ARTICLE VII - PRUDENT RESERVEThe IG treasurer will maintain a prudent reserve of two thousand dollars($2,000.00) to cover expected operational needs. Excess funds will be donated to OAservice bodies as determined by the IG.

    ARTICLE VIII PARLIAMENTARY AUTHORITYThe parliamentary authority is the most current available edition of Roberts Rulesof Order Newly Revised.

    ARTICLE IX AMENDMENTS TO THESE BYLAWSThese bylaws may be amended at any time by a two-thirds (2/3) vote of the IRs and

    board members present at any regular or special meeting of the Intergroup. Theproposed amendment must be communicated in writing to each member group atleast thirty (30) days prior to the voting meeting.

    ARTICLE X DISSOLUTIONUpon the dissolution of the organization, assets shall be distributed for one or moreexempt purposes within the meaning of section 501(c) (3) of the Internal Revenuecode, or corresponding section of any future federal tax code, or shall be distributed

    to the federal government, or to a state or local government, for a public purpose.Any such assets not disposed of shall be disposed of by the Court of Common Pleasof the county in which the principal office of the organization is then located,exclusively for such purposes or to such organization or organizations, as said Courtshall determine, which are organized and operated exclusively for such purposes.
