ABOUT NAVRACHANA UNIVERSITY

Navrachana University is a Private University established under

the Gujarat Private University Act, 2009. The University has five

schools: School of Business and Law, School of Engineering and

Technology, School of Liberal Studies and Education, School of

Environmental Design and Architecture and School of Science.

We have around 27 programs across all the schools. The

University has embarked on a new educational paradigm that

lays simultaneous emphasis on disciplinary education,

inter-disciplinary education, professional education and

general education.

Working in close association with the industry and the

academic experts, right from the curriculum development stage

to student's projects, internships and work placements, School

of Business and Law at NUV offers several unique

undergraduate and postgraduate level programs in the field of

Management (BBA and MBA), Law (BBA-LLB 5yr Integrated Law

INTRODUCTION

School of Business &

Law

Business and Corporate Law is an intellectually challenging

study of the constantly changing legal puzzles that face

businesses of all sizes and types. With Globalization,

Liberalization and the ever changing and evolving national and

international regulatory framework, knowledge and exposure

of laws affecting domestic and international businesses is

critical in thoroughly understanding the underpinnings of the

business, nationally and globally.

The Program prepares aspirants for a variety of practice areas,

including Business Transactions, Commercial Litigation,

Taxation, IPR, Labour law, non-profit law, and more. One who

pursue this program are encouraged to take a wide variety of

courses in various areas of commercial law as well as it helps,

the people who are into business in structuring and running

their business in a very systematic form by complying all the

legal requirements. With this intent, School of Business and

Law has started One Year Post Graduate Diploma Program in

Business and Corporate Laws for the students, entrepreneurs,

executives working in the corporate sector and others. The

programme consist of eight courses in two semesters:

INTAKE 60 (Minimum 20 & Maximum 60)

RESERVATION Not Applicable

ELIGIBILITY The minimum eligibility for applying for this programme is a graduate degree (in law or other field) from a recognized university.

Students with a degree certificate or its equivalent from any UGC-recognized university, Association of Indian Universities, CA, CS, ICWA, Open University/distance learning can apply.

There shall be no restriction as to age, nationality & employment status.

SELECTION PROCEDURE Based on Personal Interview

PROGRAMME PATTERN Semester - 1 & 2

FEE 25000/ for the entire program.

ASSESSMENT Internal Assessment 40 marks and End Exam 60 marks .

AWARD OF DEGREE/DIPLOMA/CERTIFICATE PGD Business & Corporate Laws in India will be awarded at the end of semester II examination by taking into consideration the performance of all semester examination after obtaining minimum 4.00 CGPA out of 10 CGPA.

One must get minimum passing marks 40 in all the subjects

1. Business Structure Formalization & Contract Management

This course covers the business structure; the significance of contracts in a commercial and industrial context; the norms relating to various types of contracts, their formation, termination, breach, expiry and remedies available.

The paper focuses on the following aspects:Different business structure – such as proprietorship, partnership, limited liability partnership, private limited company / limited company, and one person company.

Legal details - such as registration, legal status, taxation, member liability, number of members allowed, etc.

Contract ManagementIntroduction to Indian contract act, 1872 & various forms of contracts, discharge of contract, breach of contracts & remedies available, representative contracts, special contracts and E-contracts.

3. Corporate Finance Law

This course focus on Trade in securities, whether through regulated stock exchanges or in transactions involving mergers and amalgamations, and ‘funding’ transactions by private equity and venture fund entities, is an essential component of the modern business world. This helps in understanding world of investment laws.

The companies like software, pharmaceutical, and media and entertainment and other sectors including Startups and MSMEs take centre stage in the world economy, understanding the law relating to the formation, protection, and commercialisation of intellectual property has become vital to running a successful enterprise. This course provides a deep understanding of laws in India and across the world. In addition to this it also helps in understanding about competition law and intricacies between IPR & Competition Law.

6. Labour & Industrial Relation Law

As every business has employees or labour which helps in proper and efficient functioning of business activities. Many laws related to employees & employer like Trade Union, Industrial Dispute Act, Gratuity, Provident funds payment etc. The traditional employer-employee relationship is undergoing lot of changes in this technological era. This course helps in understanding the changes and best practices adopted in protecting the interest of employees.
