Payment Terms:

1. All Payments to be made in Advance, except, SMS and Email Alert Service which will be used for Service SMS.

2. SMS and Email Alert Service Usage bil l will be raised on every 1 s t of the Month and Grace period will be of 7 Days from the Date of Bill generation for clearing Billed Payments.

3. All payments are to be made in favor of NextgenInfratel Pvt. Ltd., payable at Ghaziabad. The payments should be sent to: office No-08 Ground Floor, A-42/6, Pinnacle Tower Sector-62, Noida Uttar Pradesh – 201307.

4. Pricing valid for a period of 15 Days.5. Monthly Maintenance and Application hosting Charges to be paid

within 7 days of Invoicing.6. Validity Offer: 7 Calendar days from the date of this offer.

Warranty, Entitlements, Terms & Conditions:

1. Service Tax & Interconnect/Termination Charges, which will be extra, as per Govt. Rules / Operator Policy.

2. NextgenInfratelPvt. Ltd. will not be responsible for any failure in delivery of OBD Calls/SMS due to il legible or malfunctioning mobile numbers or due to the incorrect format of uploaded mobile numbers.

3. Caller ID: We shall register the Caller ID (8 Digits) before making any IVR call. It requires 24 hours to register the Caller ID. We will be sole responsible for calls made through the registered Caller ID.

4. Sender ID: We shall register the sender ID (which shall not be more than 8 characters) before sending any SMS. It requires 24 hours to register the Sender ID. We shall be sole responsible for messages sent through the registered Sender ID.

5. One IVR call would be of 15 seconds (1 pulse = 15 Sec). If duration increases from 15 seconds subsequent call charges would be start levying. Operators bil ling details would be considered as final report for bill ing.

6. There is a delivery re-try function for failed messages for up to 2 re-tries. If however OBD calls are not delivered even after this, we then delete the submission and are not l iable for re-submission or delivery.

7. NextgenInfratel Pvt. Ltd.application will provide log reports of all the OBD/SMS sent through its application, whereby users will be able to determine the delivery status of the OBD/SMS sent from NextGenInfratel’ Application. Data shall be available only for 1 month in the Online OBD/SMS MIS; if we need the data then data shall be downloaded from the URL provided by NGIPL. Retrieval of any data from the archives might incur a cost which is entirely on the discretion of NGIPL’s management.

8. No obscene/secular/spamming allowed through the network. Customer shall be solely responsible for DND liabili ties. In case of \any illegal/offensive activity reported customer will be sole responsible to compensate or resolve the issue.

9. OBD/SMS delivery will be beyond the control of the service provider and is network dependant. We try our best to use the best

10. Term & Termination: Purchase Order shall be valid for 1 Year, however, both parties can terminate the contract any time by providing at least three month notice to the other party. The duration of the contract can be extended by mutual agreement of both the parties.
