Terms and Conditions1. SCOPE1.1 Thefollowingtermsandconditionsapplytoourentirecontract(the“Contract”)between
yStats.comGmbH&Co.KG(hereinafteralsoreferredtoas“we”or“us”)withourcustomersregarding(i)researchservices,(ii)thepurchaseofreports,and(iii)anyothercontractsbetween us and our customers executed by reference to these terms and conditions (any reportsandotherservicesandproductswhichwemaymakeavailabletothecustomerunderaContracthereinafterthe“Products”).
1.2 Anytermsandconditionsofourcustomersareherebyexpresslyrejected.Agreementscon-trarytothesetermsandconditionsrequireourwrittenconfirmation.IncaseofdeviationsbetweenthesetermsandconditionsandthecontentsoftheOrderForms,thecontentsoftheOrderFormshallprevail.
2. OFFERS, ORDERS2.1 Withrespecttoresearchservices,weusuallysubmitanoffertothecustomerintheformof
a“ResearchOrderForm”accompaniedwithaproposalstatingthenatureoftheissuetoberesearched,theservicestoberendered,thetimerequiredforthestudyandthefeedue.
2.2 Withrespecttothepurchaseofreports,weusuallysubmitanoffertothecustomerintheformofa“ReportOrderForm”accompaniedwithproductbrochurestatingthecontentsofthereportandthefeedue.Inthisrespect,ourcustomersmaychosebetweentwotypesofProducts,namely(i)ourProduct“MarketReports”and(ii)ourProduct“FullAccessGlobalE-CommerceReports”.
2.3 IfacustomerordersourProduct“MarketReports”,thecustomergetsaccesstotheorderedreportasidentifiedintheReportOrderFormandthecustomermayusethatreportinaccor-dancewithSection4.3belowandtheotherprovisionsoftheContract.
2.4 IfacustomerordersourProduct“FullAccessGlobalE-CommerceReports”,thecustomergetsaccesstoanystandardreports(fortheavoidanceofdoubtexcludingreportspublishedinconnectionwithanyresearchservices)focussedonthe“Internet&E-Commerce”industryasgenerallypublishedbyusduringthetwelve(12)monthspriortotheexecutionoftheContractandduringthesubscriptiontermasidentifiedinthe“ReportOrderForm”asofthedate of the execution of the Contract (i.e. one, two or three years), and the customer may usethosereportsasa“GlobalSiteLicense”inaccordancewithSection4.3belowandtheotherprovisionsoftheContract.
2.5 Unlessexpresslyagreedotherwiseinwriting,thecontentsofouroffersmaynotbemadeavailableinwholeorinparttoanythirdpartyoutsidetheorganizationofthecustomerwithoutourpriorwrittenconsent.
2.6 Ouroffersarenotbindingandsubjecttochangewithoutnoticeuntilacceptancebythecustomer.Ourorderswillbecomelegallybindinguponacceptancebythecustomer.Avalidacceptancerequirestheexecutionofour“ResearchOrderForm”orour“ReportOrderForm”respectively(eachsuchdocumenthereinafterthe“OrderForm”)byadulyauthorizedrepre-sentativeofthecustomerandthesubmissionoftheOrderFormtousviafacsimileoremailwithpdf-attachment.Wewillprovidethecustomerwiththeaccessdatarequiredtoaccessthe ordered Product(s) with two (2) days as of the execution of the Contract.
3. TERMS OF PAYMENT3.1 ThecontractuallynegotiatedpricesaretobederivedexclusivelyfromtheOrderFormand/or
the documents referenced therein.3.2 Allpricesarenetandwithouttransportationcosts,ifapplicable.ValueAddedTax,ifapplica-
ble,atthestatutoryrateshallbeaddedtoallfeespayablehereunder.3.3 Wemaydemandanadditionalfeeforservicesthatgobeyondthescopeasagreedunderthe
OrderFormincasesuchadditionalProductsarerequestedbythecustomer.3.4 WewillsendourinvoicetothecustomeruponexecutionoftheContract,unlessagreed
otherwiseintheOrderForm.IntheeventthatthecustomerordersourProduct“FullAccessGlobalE-CommerceReports”,wewillsendourinvoiceforthefirstcontractyearuponexe-cutionoftheContractandtheinvoice(s)foranysubsequentcontractyear(s),ifany,uponcommencementofanysubsequentcontractyear.
3.5 Allpaymentsshallbedueandpayablewithinthirty(30)daysfollowingthedateofourinvoicewithoutanydeductions.Thecustomerwillbeindefaultonedayaftertheexpirydatewithoutanyfurtherwarningnoticebeingrequired.
3.6 All customers‘ rights of retention or set-off are hereby excluded to the extent that they are notbasedonthesamecontractualrelationship.Retentionsorset-offsareallowedonlyifthecustomer‘sclaimisnondisputedorhasbecomeunappeasable.
3.7 Intheeventofacustomer‘sdefaultinpaymentorotherapparentcreditunworthiness,allremainingclaimsagainstthatcustomershallbecomeimmediatelydueandpayableinfull.Weshallthenbeentitledtorescindpaymenttermspreviouslyagreeduponandtodemandpaymentinadvanceorotherappropriatesecuritywithrespecttopendingdeliveries.Acustomershallbedeemedunworthyofcreditinparticularwhenhefilesapetitioninban-kruptcyorcompositionproceedings.
4. INTELLECTUAL PROPERTY RIGHTS AND INDEMNITIES4.1 AllcopyrightsandotherintellectualpropertyrightsinconnectionwithourProductsremain
withus.Alldatacarriersremainourproperty.Thecustomermaynotmodify,publish,trans-mit,transferorsell,reproduce,createderivativeworksfrom,distribute,perform,display,orinanywayexploitanyoftheProductsmadeavailablebyus,inwholeorinpart,exceptasexpresslypermittedundertheContract.
4.2 UpondeliveryoftheProductstothecustomerandpaymentoftheagreedfee,thecustomerobtainsanon-exclusive,non-transferable,perpetual,worldwiderighttousetheProductsprovidedtothecustomerforitsinternalpurposesoranyadditionalpurposessetoutintheOrderForm.ArighttoresellourProductsrequiresourpriorwrittenapproval.
4.3 Intheeventthatthepartiesagreeona“SingleUserLicense”undertheOrderForm,thismeansthatonlyoneindividuallynameduserofanorganizationshallbeentitledtoaccessthereport.Intheeventthatthepartiesagreeona“SiteLicense”undertheOrderForm,thismeansthatalluserswithinagivengeographicallocation(asspecifiedintheOrderForm)ofanorganizationshallbeentitledtoaccessthereport.Intheeventthatthepartiesagreeona“GlobalSiteLicense”,thismeansthatallworldwideusersofanorganizationshallbe
entitledtoaccessthereport.Inbothcases,theterm“organization”referstothecompanyofthespecificcustomeronlyandexcludesanythirdpartiesincludingaffiliates.
4.4 Wemustexpresslybenamedastheauthorofanydatathecustomerprocessesfurtherascontractually negotiated.
5. TECHNICAL INFORMATION5.1 WeshallprovideourProductsinstandardizeddataformats.5.2 Thecustomermustensurethathehasthecorrespondingtechnicalresourcestomakeuseof
these data. The customer may not derive any claims in this connection on grounds of breach of obligation.
6. DEFECTS AS TO QUALITY6.1 Noclaimsfordefectsastoqualityaretriggeredbyinsignificantdiscrepanciesbetweenour
productsandservicesandthewarrantedqualityorfitnessforuse.6.2 Likewise,noclaimsfordefectsastoqualitymaybederivedfromentrepreneurialrisks–
e.g.,withregardtoquestionsofentrepreneurialdiscretion,anerroneousassessmentofthemarketsituationorthefailuretorecognizeabusinessaction’smerit.
6.3 Defect-basedclaimsarefurtherexcludedincasesofexcessiveorimproperuseorinconnec-tionwithdamagescausedbyextraordinaryconditionsnotreflectedintheOrderForm.Thisisalsotrueincasesofsubsequentchangesmadebythecustomersorthirdpartiesunlesssuch changes do not affect the analysis and removal of a given defect.
6.4 Claimsfordefectsastoqualityexpirewithinoneyearfromthecommencementofthelegalstatuteoflimitation.Thislimitationdoesnotapplytotheextentthatapplicablelawstipu-latesalongerperiodincasesofintentionalorgrosslynegligentbreachesofdutyonthepartof us, fraudulent concealment of a defect and injuries to life, body and health.
6.5 ClaimsfordamagesandthereimbursementofexpendituresarefurthersubjecttoSection8.7. LEGAL DEFECTS7.1 Weareliableforproductsandservicesinfringingonthird-partyrightsonlyifandtothe
extentthatourproductsandservicesareusedinaccordancewiththeagreedcontractualrequirements.
7.2 Unlessagreedotherwise,ourliabilityfortheinfringementonthird-partyrightsislimitedtotheterritoryoftheEuropeanUnionandtheEuropeanEconomicAreaaswellastheplaceofitsservices’properuseasagreedundertheapplicableOrder.
7.3 Intheeventthatathirdpartyassertsclaimsagainstthecustomer,allegingthataserviceperformedbyusviolatesitsrights,thecustomershallpromptlynotifyus.Ifaservicerenderedbyusviolatesthirdpartyrights,weshallchooseoneofthebelowactions,dulytakingintoconsiderationthecustomer’sinterests:
a)procuringforthecustomertherighttousetheservice; b)revisingtheservicetorenderitfreeoflegalviolations;or c)withdrawingtheserviceandrefundingtothecustomeranyrelatedcompensationpaid,
asadjustedbyanadequateuserfee,ifwecannoteffectanotherremedyatareasonableexpense.
7.4 Uponourrequest,theCustomershallassistuswiththedefenseagainstclaimsaccordingtothissection7,withusreimbursingtheCustomerforanyexpendituresandcostsincurredasaresult,althougheachofthePartiesbearsthecostsoftheuseofitsownpersonnel.
7.5 ClaimstheCustomermayholdforlegaldefectsexpireinaccordancewithSection6.4.7.6 ClaimsfordamagesandthereimbursementofexpendituresarefurthersubjecttoSection8.8. LIABILITY8.1 Incasesofintentionalmisconductandgrossnegligence,wearefullyliablepursuantto
applicablelaw.8.2 Ourliabilityincasesofsimplenegligenceislimitedasfollows:weareliableonlyifandto
theextentthatweviolatedamaterialcontractualobligation(cardinalobligation)–i.e.,anobligationthat(i)theCustomerreasonablyrelieduponatexecutionoftheapplicableOrderFormand(ii)wasofcriticalsignificancetotheoutcomeofperformance.Asregardspropertydamageandfinancialloss,suchliabilityislimitedtotypicalandforeseeabledamages;innoeventwillwebeliableforanyincidental,special,punitiveorconsequentialdamages,lossofprofitsorlossofdatainsuchcase.
8.3 Ourliabilityfordamagesunderwarranties(Beschaffenheitsgarantien)islimitedtoinstancesinwhichthewarrantyexpresslyincludessuchliability.
8.4 ClaimsforthereimbursementofexpendituresandotherliabilityclaimsassertedbytheCustomer against us are subject to sections 8.1 through 8.3.
9. CONFIDENTIALITY9.1 ThePartiesshallholdinstrictconfidenceforanindefiniteperiodoftimealldataand
informationmaterialsofwhichtheygainknowledgeaspartofaContract,beitorally,inwritingorotherwise,directlyorindirectly,providedthatsuchdataorinformationmaterialsaredesignatedconfidentialormustbeconsideredconfidentialbasedontheirnature,andshallusethemexclusivelyaspartoftheservicescoveredbytherelevantOrder.Thisdutyofconfidentialityexcludesdataandinformationmaterialsthat:
a)werealreadyknownoraccessibletoanythirdpartyatthetimeofdisclosure; b)oneofthepartieslegitimatelyreceivesfromathirdpartyfollowingdisclosure,andsuch
thirdpartyisnotboundbyadutyofconfidentialityinrelationswiththeotherParty; c)mustbedisclosedbyorderofandtoagovernmentagencyoranothercompetentthird
party;and d)mustbedisclosedtolegalortaxadvisorsofthecontractualcustomerinquestionfor
consultingpurposes. InthecasesofSectionsc)andd),thepartiesshall(i)promptlyinformeachotherabouta
givenrequestandpriortodisclosingconfidentialinformation,and(ii)limitthedisclosureofconfidentialinformationtotheminimumrequired.
9.2 We may use the Customer as a reference so long as no contractual details are divulged.10. JURISDICTION, GOVERNING LAW, MISCELLANEOUS10.1PlaceofpaymentisHamburg,Germany.10.2AlldisputesarisingfromorinconnectionwithanyContractbetweenthepartiesshallbe
resolved through the courts of Hamburg. Governing law is German law.
