1. INTRODUCTION

In order to help project proponents to submit their Consultation Letters, the Brazil-China

Cooperation Fund for the Expansion of Production Capacity (FUND) has prepared this

Operational Handbook.

This manual is meant to be a guidance tool for companies, consortia or any proponent

interested in participating in this cooperation mechanism. The information contained in

this Handbook indicates the steps required to submit a Consultation Letter.

2. About the FUND

The FUND is a mechanism established by the Secretariat for International Affairs of the

Ministry of Planning, Development and Management of the Federative Republic of Brazil

(SEAIN) and the China-LAC Industrial Cooperation Investment Fund Co., Ltd. (CLAIFUND)

that will classify projects deemed as a priority by the Brazilian government in sectors of

infrastructure, , as well as in the other sectors covered by the MoU, and that can facilitate

the cooperation of industrial capacity between Brazil and China. The Fund will primarily

operate in Brazil, focusing on projects to be implemented in Brazil in accordance to the

FUND’s regulation and guidelines.

The organizational structure of the FUND is:

I. Steering Committee

II. Technical Working Group (TWG)

III. Executive Secretary

The projects will be submitted through Consultation Letters. The Proponent will present

the Consultation Letter to the Executive Secretariat in accordance with the

requirements of this Handbook. The Technical Work Group will evaluate those

Consultation Letters and submit a proposed classification to the Steering Committee for

final decision.

The projects classified as a priority by the Brazilian Government in sectors of

infrastructure and that can facilitate the cooperation of industrial capacity between

Brazil and China will receive a Certificate to be presented to the Potential Financiers, so

that, if the project proponents choose to, they may request the financing or investment

from the Potential Financiers.

The Certificate issued by the FUND does not imply the right to receive financial

contributions. Decisions on financing, investments and disbursements for projects shall

be made by the Potential Financiers on a project by project basis, in accordance with

their respective internal regulations and procedures, without any interference by the

Steering Committee, TWG or the Executive Secretariat.

3. Consultation Letter Guide

3.1. About

For completing the Consultation Letter form, the first step is the pre-registration on the

website: http://www.sigs.planejamento.gov.br/sgs/fbc

The first tab "About" provides the general information about the process.

3.2. Project Registration

In the "Project Registration" tab, it is necessary to provide information on the Project’s name,

the name of the company, consortia, public entity or any interested proponentand the names

of the accredited people.

If the proponent is a public entity of the Direct or Indirect Administration, the project must be

related to some type of public service concession.

Please see below the various steps required to complete the form.

3.2.1. Project´s Name

The completed name must be consistent with the objectives and activities to be carried

out within the Project.

3.2.2. Proponent´s Name

Please enter the name of the project´s proponent, which can be a consortium, a

company, a group, a public entity, etc.

3.2.3. Accredited People

Please fill in the name of the persons accredited for contact. The proponent must fill out

one of the 4 profiles: incumbent (“titular”), substitute (“substituto”), technician

(“técnico”) or other (“outros”).

To add a new person just click on "Add". Once you have provided all the required data,

click on "Confirm" to finish the process.

The person responsible for the Consultation Letter must be an authorized

representative of the proponent (company, consortium, group, etc). The Brazilian

Individual Taxpayer Registry (CPF) of the incumbent must be informed. Non-residents

that do not have a CPF shall, please, contact the Fund’s Executive Secretariat

([email protected]) for assistance.

IMPORTANT: It is necessary that the incumbent for the Consultation Letter obtains

previously the digital certification (e-CPF ICP Brazil Digital Certificate - level A3), so that

it is possible to use the token to send the information through the Internet.

To proceed with the submission of the request for registration, please enter the security

characters and click "Send". If it is difficult to see the security code, press the "speaker"

icon to hear the characters or the "refresh" icon to replace the security code..

After checking if the information is in compliance, the Executive Secretariat will send the

password to the Proponent, within a maximum of 2 working days.

3.3. Fill in the Consultation Letter

Upon receiving the password and username information, your access to the system can

be done on the website: http://www.sigs.planejamento.gov.br/sgs/fbc

Click on "Fill in the Consultation Letter ", according to the following steps.

By accessing the "Fill in Consultation Letter" tab, the Proponent will complete the

Consultation Letter, describing the project and the estimated costs, as well as the goods

and services to be provided by the project.

IMPORTANT: According to the Fund's Internal Regulation, all fields must be completed

in Portuguese AND English languages.

3.3.1. Project

In this tab you are requested to provide specific information related to the project.

Description and Objectives

The objective should be briefly defined, in order to indicate the expected results of the

project.

3.3.2. Indicators

The indicators are the quantitative results expected from the project.

To create a new Indicator, as shown above, click on "New Indicator" and fill in the fields.

Confirm the information, clicking on “Confirm”. Once that has been done, the new

indicator will appear at the top of the screen. If there is more than one indicator, please

repeat the operation. After creating a new indicator, click on the "Save" button to

complete the insertion.

3.3.3. Components

A Component is a relevant part of a project that needs to be highlighted due to its

importance to the project.

Please clarify the yearly investment needed, divided into Equity and Debt, in the

Execution Schedule. Each Component means a different stage of the project. For

example, an iron ore mine could be exploited in 3 stages. The capacity might be 25

million ton/year after the first stage. The capacity might be 40 million ton/year and 55

million ton/year after the second and the third stage respectively. The investment of

each Component adds up to the total investment amount in the execution/schedule

table, as shown in the example bellow:

The investment in each component must be detailed as a “Product”. In this case, the

product of each component will be the following:

a) Component: Segmento 1/Segment 1; Produto: Segmento 1/Segment 1.

b) Component: Segmento 2/Segment 2; Produto: Segmento 2/Segment 2.

c) Component: Segmento 3/Segment 3; Produto: Segmento 3/Segment 3.

To insert a new component please click on "New Component" and a new window will

open up. If there are more components, just repeat the operation.

The reference currency to nominate the costs is the Brazilian Real. The financial schedule

will be expressed in this reference currency.

Clicking on the button "New product", a new screen will show up, where data related to

the product will be informed.

3.3.4. Steps Taken

Please inform the project´s stages that have already been accomplished or are

underway.

3.3.5. Geographical Scope

Please specify the Brazilian region, state or municipality where the project will be

implemented.

3.3.6. Target public

Please inform the segment of the society that will benefit directly and indirectly by the

project.

3.3.7. Economic Sector

Please inform the economic sector where the project is classified (i.e., infrastructure,

logistics, agroindustry, manufacturing, technology, mineral resources, agricultural

storage, digital services, agriculture, others).

3.3.8. Financing Sources

Please inform the expected amount from each one of the two funding sources. To

choose the funding sources, click on the "New source" button at the lower right corner

of the screen.

A new screen will appear where you can name the source and inform the corresponding

expected amount.

The sources are:

1. Participação Acionária/ Equity Investment

2. Financiamento/ Debt Investment

For amounts in currencies other than the Brazilian Real it is necessary to inform the

specific exchange rate used.

3.3.9. Execution

3.3.10. Financial Arrangements

Please report on the financing structure, collaterals and others that the Proponent might

have already acquired through other means.

3.3.11. Deadline

It is the expected time for the conclusion of the project. This period will determine the

number of years foreseen for the project’s execution in the financial schedule.

3.3.12. Schedule

After completing the information about the components (reference currency,

subcomponents, products and costs), funding sources and execution deadline, the

"Schedule" tab will be enabled to allow the inclusion of the financial disbursement

schedule by component, by source, per year.. In the case of a project with a execution

period of 3 years and 6 months, for example, the system will automatically make it

available a schedule with 4 periods.

To start programming the values by year and source, move the scroll bar to the right at

the bottom of the frame until the edit icon (green) appears on the right side. Just choose

the product in which you want to program the values by clicking on the green icon.

A new table for the selected component appears to include the cost information by year

and by source. It is important to note that the sum of the programmed values in the

sources must be equal to the total cost of the project, as reported on the Component

tab.

Please see a complete product schedule in the figure below.

After scheduling the values for the selected Component, please save it and click back to

return to the main screen of the schedule item, where a new Component may be

selected. Please repeat this operation until the schedule for all products is complete. To

delete the schedule of a Component, access one of the Components in the

corresponding line (by clicking the green icon on the right of the monitor) and delete the

schedule.

To change components, subcomponents and products, as well as their values, the entire

schedule, as described above, has to be deleted. The same applies to changes in the

source and in the period of execution of the project, i.e., it is necessary to exclude the

whole schedule in order to change the source of financing or its value.

3.3.13. Contacts

To add a new contact, just click “Add ”, fill in the information and confirm. To remove a

specific contact, just uncheck the checkbox in the “Active” column, so that the contact

will become inactive.

3.3.14. Risks

Please, report all the risks pertaining to the project. If any of the risks on the tabs do not

apply to the project, please check the "Not applicable" checkbox.

3.3.15. Attachments

Please, use the "Attachments" tab to include information about the direct and indirect

impacts of the project, the use or generation of technology and any other information

considered relevant.

Please attach PDF files, preferably smaller than 11 megabytes, in order to reduce upload

time.

IMPORTANT: To attach files, this system relies on some Java functionalities that

currently just work on Internet Explorer browser. We apologize for the

inconvenience.

3.3.16. Completion checklist

After completing the forms, it is necessary to check if all the required information is

completed. The system automatically performs some checks for inconsistencies and, if

there are no problems, the Consultation Letter is ready for submission on the “Submit

Consultation Letter” tab.

3.3.17. Submit Consultation Letter

After completing all of the form fields, click on the “Submit Consultation Letter” tab. You

will be prompted to enter the token password (ICP Brasil Digital Certificate - level A3).

The use of digital certificates issued to companies will not be allowed, because the

signature of an incumbent or legal representative is required.

If you do not have a digital certificate, please contact the Executive Secretariat

ANNEX I

CONSULTATION LETTER

The Consultation Letter is the document that describes the actions related to the

execution of the projects to be contracted based on the cooperation mechanism

of the FUND.

The Consultation Letter should contain the following points:

I. Identification: Name of the Project and Information of the Bidder

II. Project data:

1. Brief report on the problem that the project proposes to solve, as the Proponent

intends to execute it, how the project fits the Government's priorities and to which

sectors the project is associated.

2. Project Report:

2.1 Project:

I. Objectives of the proposed project: what are the expected results of the actions

implemented through the project;

Ii. Indicators: quantitative evaluation of the expected results of the project

implementation;

Iii. Components: actions to be implemented by the project;

Iv. Completed Steps: the Proposer must inform the measures already provided

in relation to the project;

V. Geographical Scope: specify the location of the project and the region, state

or municipality to be affected;

VI. Target Audience and Beneficiaries: The tenderer must inform the segment of

the society that will benefit directly and indirectly from the project actions.

2.2 Project cost and financing: estimate of the overall cost of the project, as well

as the estimated value and / or percentage to be financed by the FUND.

2.2.1 The amount to be financed for each project will depend on the analysis of

the financiers according to their operational policies.

2.3 Deadline: Indicate the deadline for the execution of the project.

2.4 Timeline: Distribute product values by years.

2.5 Risks: the Proposer must inform the inherent and possible risks of the project

2.6 Attachments: Proponent shall include information about the timeline, analysis

of the direct and indirect impacts of the project, a report on the import of

technology or the generation of technology, and any other data that the proposer

deems relevant to request access to the FUND.

The Executive Secretariat will provide technical information on how to submit the

Consultation Letter as well as the additional procedures
