Wheelock: Pre‐Merger Process• In late 2016, Wheelock President David Chard told an all‐faculty meeting that a lack of students would force Wheelock to close in 2‐3 years without material changes• Strong leadership and governance with buy‐in from constituents• Transparently set the stage and sense of urgency for finding a solution• Declining financial trends

• Wheelock hired an external consulting firm to assist• Sent out 60 RFPs in Spring 2017 to other institutions, received 20 calls, and received 8 letters of interest (all 8 in New England)• Wheelock was systematic in its processes• Wheelock’s preferred proposals integrated Wheelock’s programs, buildings, and people into the other institutions (rather than just a sale)

• Chose Boston University as strategic partner by August 2017 based on strength in its vision for Wheelock

Merger Process Overview• Merger Agreement: December 31, 2017• Merger Date: June 1, 2018• Over 150 people from 31 different areas of Boston University engaged in transition coordination• Leadership and Coordination teams established

• WCEHD Subcommittee and Leadership Committee defined for approvals• Transition Coordination Team (TCT) and Academic Affairs Committee (AAC) defined for managing communication and collaboration

• Independent Transition Teams (TT) were created• 8 Academic Teams and 14 Administrative Teams• Employees from Boston University & Wheelock College on every team• Responsibilities well defined for each team

• Communication paths among TTs identified• 6 coordination meeting groups established and met regularly• SharePoint collaborative website managed by the TCT• TCT responsible for regular updates with all TTs

Merger Process• Wheelock and Boston University planned carefully for Wheelock students to transition into BU• Each student given an individualized program‐level map so the student could consider options for finishing education at BU or, in limited instances, transferring elsewhere

• Wheelock referred admissions inquiries to BU• Most students transitioned into BU, which is geographically nearby

• While layoffs occurred, BU was able to offer positions to a significant number of employees due to careful planning and departing employees were provided severance• Muted critical response as key constituencies were engaged early on in the transaction process

Post‐Merger Highlights• Approximately 80% of the 2018 returning student body joined BU in Fall 2018• Tuition at the same rate as Wheelock• Wheelock tenured faculty transferred to BU• Layoffs of 39 percent of total workforce (118) with severance and outplacement• Wheelock College of Education & Human Development (“WCEHD”) continuing legacy of Lucy Wheelock• Consolidation of Plant, Endowment, and Long‐Term Debt

Lessons Learned• Details of one merger transaction not transferable• However, some lessons can be broadly useful:• Institutional leadership of an institution at risk should take thoughtful action before a crisis is in full bloom• Community (board, alumni, faculty and staff) should identify the core mission or purpose of the institution that it wishes to preserve and identify prospective partners who might resonate with that core mission or purpose

• No amount of regulation by state or regional accreditors is a substitute for quality institutional leadership or a protection against poor decisions• Finally, it’s crucial to always put the students first.
