Has it really been 10 years? It seems like only yesterday that Steve Bauer, Dan Bernstein

and I

jumped in headfirst to plant the Proskauer flag in Boston.

Much has happened since that day in 2004. What started as a tiny office with one practice

, just a

few lawyers and support staff, is now several market-leading practices occupying four flo

ors, well

over 100 lawyers and an army of support staff — and still growing.

We’ve accomplished a lot over our first decade, and we’re thankful to so many who’ve made

our

success possible: our clients, first and foremost; Proskauer, whose vision, drive and reso

urces

support everything we do; our lawyers and their colleagues throughout the firm; and all t

he

behind-the-scenes staff who are integral to our achievements.

As we look back with pride on what we’ve done, we’re also keeping our eyes firmly focu

sed on the

future. After all, that’s what got us here in the first place.

It’s no coincidence that this period took off with the opening of our Boston office in 2004

. Areas

that are now mainstays of our practice took root there: private investment funds, multi-tra

nche

finance, private equity and intellectual property.

An office grows in Boston

We opened our doors in Boston on February 11, 2004.Within a year, we added key employment and finance lawyers, a former Massachusetts attorney general, and thenucleus of one of the world’s top private investment funds teams. Within two years, we were among Boston’s fastest-growing law firms — a distinction we continued to hold for several years running.

With our growth in lawyers and practices came a rising stream of clients from the greater Boston area and New England,throughout the United States and internationally. Our strategy of building strong practices whose combination couldweather most economic environments paid off during the financial crisis, when we thrived and hired while manycompetitors struggled.

This approach remains just as solid and relevant today. Our core capabilities in private investment funds, finance,private equity, intellectual property, litigation, and labor and employment are sought after by clients looking for highest-quality representation and acclaimed by leading legal surveys.

What we do

Private Investment Funds. Our Private InvestmentFunds practice is dynamic, interdisciplinary and among thelargest of its kind. We offer a complete package of servicesto private investment funds across the entire spectrum ofthe asset class, as well as institutional investors globally. Inaddition — unlike many other firms — we have tax lawyersdedicated to funds-related tax issues.

Multi-Tranche Finance. Our Multi-Tranche FinanceGroup represents investors that provide alternative formsof debt to support leveraged buyouts, recapitalizations,refinancings, and strategic and distressed debtacquisitions. It is among the earliest law practices toconcentrate on multi-tranche finance, and has developedinnovative structures such as upside-down intercreditorarrangements, private high-yield, and synthetic andsecured mezzanine products.

Private Equity/Mergers & Acquisitions.We advisepublic and private businesses in every aspect of buying,selling, combining and financing, with an emphasis onadvising private equity and venture capital firms in primaryinvestments, secondary transactions and leveragedrecapitalizations. With diverse experience across industriesand areas of law, we are the longtime, go-to advisers formany of our private equity clients.

While the Boston office is home to lawyers in many practices, we concentrate on several key areas.

Intellectual Property/Litigation. Our litigation practicefeatures an intellectual property team with a long record ofsuccess in helping clients in major industries develop,protect and exploit their IP assets, and litigating complexdisputes related to patents, trade secrets, copyrights,trademarks and technology-based licenses. We areadditionally strong in private investment funds disputes,commercial litigation and corporate governance.

Labor & Employment. As part of Proskauer’s pre-eminentglobal labor and employment practice, we representemployers doing business in the region and across thecountry. Matters range from national wage and hour classactions to discrimination, executive compensation,employee benefits, labor negotiations, immigration and allrelated policies and procedures.

Proskauer has long championed the causes of those who might not otherwise have access to legal representation. TheChair of the firm’s Pro Bono Initiative Committee since its inception in 2006 is Boston’s Scott Harshbarger, whoserved two terms as Massachusetts attorney general and was the president of Common Cause.

The Boston office is very active in pro bono matters, with participating lawyers on all levels ranging from first-yearAssociates to Senior Counsel and Partners. In addition to providing legal advice and critical financial support to a widearray of organizations, the office works with local groups that focus on the encouragement of entrepreneurial efforts byBoston’s youth.

These are among the more recent of our numerous pro bono highlights:

With a pro bono lawyer at their sides, domestic abuse victims stand their groundSince 2008, Proskauer lawyers in Boston have successfully helped domestic abuse victims overcome barriers andobtain restraining orders against their abusers. Our public-private partnership with the Middlesex County DistrictAttorney’s Office — the first of its kind in the nation — helps to address a significant gap in how domestic violencevictims are served during restraining order proceedings.

Since the program’s inception through 2012, Proskauer’s lawyers have secured orders of protection for more than 60 victims of domestic violence in Middlesex County, representing a 93 percent success rate.

Appeals court affirms client’s right to DNA protectionIn 2002, Keith Amato voluntarily provided Massachusetts police with a DNA sample to help them solve a high-profilemurder. After the perpetrator was caught, however, Amato encountered difficulty in getting his DNA sample back. Even when the sample was returned, the government maintained his genetic profile, which it had derived earlier fromhis DNA.

A court rejected Amato’s suit to retrieve the profile but, with pro bono help from Proskauer and the American CivilLiberties Union of Massachusetts, a state appeals court overturned that decision in 2011. The court unanimously ruled that the government cannot keep DNA profiles from individuals who volunteer such material to help police solve crimes.

Leading to better probation practices in MassachusettsIn early 2011, a special task force of respected judicial leaders, legal professionals and academics — led by Pro BonoChair and former Massachusetts attorney general Scott Harshbarger — presented the Massachusetts SupremeJudicial Court’s Task Force on Hiring in the Judicial Branch with an action plan for reforming the way the state hires and promotes employees in its probation system.

Among other things, the plan analyzed the complex requirements of probation professionals as they pursue their work, and proposed essential practices for more effective hiring and promotion. These included better job descriptions, more varied sources of candidates, objective screening processes, and more rigorous interview andassessment approaches.
