Board Chair Pisanelli requested a motion to waive the reading of the February
2020, March 2020 and April 2020 Board and Committee meeting minutes and
approve them as written. A motion was received from Trustee Walinski, seconded
by Trustee Lucas, and approved by the Board.

President Gaber’s Report:
Dashboard Report
In your packet you will find April’s dashboard report.
You’ll note we continue to improve our six-year graduation rate.
Following fall 2019 commencement, it hit a record high of 51.7%.
The information under Advancement is an update since our last meeting:
o New revenue has risen for the fiscal year to date – to more than
$15.8 million.
o Cash gifts have also improved over this time last year.
o We appreciate the continued generosity of all our supporters.
COVID-19 Response
I am proud of how the University community has responded to this
COVID-19 pandemic. We are all focused on ensuring the health and safety
of everyone in our community while also continuing our academic
mission.
I’d like to give just a few examples:
o Communication is key. We created a central, comprehensive
website for all COVID-19 information in addition to regular
updates via email.
In the last month, the site has accounted for roughly 8% of
our total website traffic and has been viewed more than
94,000 times.
o Our faculty and students stepped up — on a rapid turnaround — to
facilitate remote delivery of courses that began on March 18, and
will continue for summer sessions.
o Our staff found creative ways to make essential student services
available remotely … from the Counseling Center to academic
tutoring to the Student Food Pantry.
o Recruiting and enrollment efforts are continuing full-steam ahead
for fall 2020 in digital formats.
o And we’ll be celebrating spring commencement ceremonies
virtually.
o We also have provided real-time solutions during this crisis.
UTMC was the first laboratory in northwest Ohio to
facilitate testing for COVID-19.

REPORT

Our medical students started a local chapter of Masks for
Docs to collect personal protective equipment and our
engineering students are using 3D printers to make their
own gear for those on the front lines.
Faculty experts in infectious disease, supply chain
management, mental health and other disciplines have been
featured in the media, helping us to better understand this
crisis.
Trustee Pisanelli Report:
State of the University address
As many of you likely saw, President Gaber released her annual State of
the University address last week via video.
Especially during this challenging time, she made sure to continue the
tradition of delivering this annual address to recognize what we
accomplished this year and to also recognize the University’s response to
this pandemic.
COVID-19 response
The Board of Trustees also wants to commend the UToledo community for
their response to this pandemic.
Together with other teams, the Division of Technology has worked around
the clock to help with the transition to remote learning and working to keep
our operations going, including helping to hold this virtual meeting of the
Board.
Athletics
We’re all disappointed not to have spring sports this year to cheer for our
talented student-athletes, but I do want to congratulate UToledo senior
Petronela Simiuc (Sim-YOOK) for being named Most Outstanding Female
Track Performer by the Mid-American Conference in February.
o Petronela also earned the MAC title in the 800 meters, mile, and
distance medley relay.
And the MAC recently announced that former UToledo track and cross
country runner Briana Shook will be inducted into the 2020 class of the
MAC Hall of Fame.

Chair Pisanelli requested a motion to enter Executive Session to discuss the EXECUTIVE
employment and compensation of a public employee. The motion was received from SESSION
Trustee Kenney, with a second received from Trustee Awadalla. Before a roll call
vote was taken, Trustee Walinski expressed his opposition to having a discussion
in executive session. Trustee Pisanelli thanked Trustee Walinski for sharing his
opinion, but stated that based on advice from the Attorney General’s office and legal
counsel, she would like to proceed with executive session. Ms. DeBenedictis took a
roll call vote: Ms. Awadalla, no; Mr. Baker, yes; Mr. Cole, yes; Mr. Ciucci, yes; Mr.
Guttman, yes; Mr. Kenney, yes; Mr. Lucas, yes; Ms. Pisanelli, yes; and Mr.
Walinski, abstained due to technical difficulties.

After the Board exited Executive Session, Chair Pisanelli stated that no action was
taken in Executive Session.
Ms. Pisanelli commented that during executive session the Board of Trustees discussed
the employment and compensation of a public employee. Specifically, she said they
reviewed and discussed the steps for selecting candidates for the role of interim
president to lead The University of Toledo during this transitional period.
Ms. Pisanelli stated that the Board of Trustees recognizes that the selection of both an
interim, and ultimately, the next permanent president of The University of Toledo must
be the top priority and recognizes the importance of the responsibility entrusted to the
board.
Ms. Pisanelli said there is no question that we are at a critical point in UToledo’s history
and in addition to the complex operational challenges of leading a large, complex
institution during a global pandemic, the interim president must be focused on resolving
the fiscal crisis exemplified by it.
Ms. Pisanelli continued her comments by stating that in an effort to move hastily and
with laser focus, the board contracted with AGB Search firm which specializes in
executive leadership searches exclusively for higher education. She reminded the
attendees that no public funds were used to pay for the AGB contract, but rather private
funds from the UT Foundation.
Ms. Pisanelli said she believes she speaks on behalf of the entire Board when she says
that they are extremely pleased with the caliber of candidates AGB has brought forward
for consideration. This is a testament to hard work and dedication of our outstanding
faculty, staff and students and the national reputation of The University of Toledo.
Ms. Pisanelli requested a motion to proceed with the search for an interim president by
interviewing the following candidates:
Dr. Christopher Colenda, president emeritus at West Virginia University (WVU)
Health System and former chancellor for health sciences at WVU;
Dr. Gregory Postel –– Former interim president at the University of Louisville and
former executive vice president for health affairs at University of Louisville; and
Dr. Chuck Staben –– The former president and current professor of biology at the
University of Idaho, land grant research university;
The motion was received by Trustee Cole, seconded by Trustee Ciucci and
approved by the board.
With no further business to discuss, Chair Pisanelli adjourned the meeting at 6:12

Chair Pisanelli stated that the nominating committee met earlier in the day to make NOMINATING
recommendations to the board for FY21 Board Officers. After consideration and COMMITTEE
discussion, the nominating committee recommends Trustee Alfred Baker, current REPORT
Vice Chair of the Board, be named Chair. Trustee Stephen Ciucci be named Vice
Chair. And Katie DeBenedictis continue in her role as Board Secretary. Ms. Pisanelli
asked if there were any other nominations from the board members. There were none.
Chair Pisanelli requested a motion to close the nominations of the FY21 board
officers. The motion was made by Trustee Kenny, seconded by Trustee Walinski and
approved.
Chair Pisanelli requested a motion to approve the Board Officers for FY21. The motion APPROVAL
was made by Trustee Walinski, seconded by Trustee Kenny and approved. OF OFFICERS
Dr. Gaber presented a slide deck with details about UToledo reopening plan. This ROCKET
plan is called Rocket Restart. Dr. Gaber said the plan will detail the return to campus RESTART
due to the COVID pandemic. It was developed using a number of recommendations
based on the most current public health information available. She followed with details:
FALL SEMESTER
The University announced back on May 11 our intention to safely reopen campus
in the fall and return to face-to-face instruction so that our students and families
could plan ahead.
Preparing our campuses has taken hours of planning by our dedicated pandemic
planning teams as we work through issues such as:
o Maintaining social distancing and contact tracing
o Personal protective equipment
o Robust cleaning and disinfecting
o And many other considerations.
One of the most important decisions to date has been making changes to our fall
semester calendar.
Based on the advice of experts and the possibility of a having a second wave of
COVID-19 in late fall, we have moved up fall semester by one week.
o Students will start classes Monday, Aug. 17.
o Fall break, which was initially scheduled for Oct. 23 and 24, will be
eliminated.
o The last day of on-campus classes will be Tuesday, Nov. 24. Students will
return home for Thanksgiving and finish the semester remotely.
o Finals week, then, was also moved up one week to be the week after the
holiday, Nov. 30 – Dec. 4.
o Fall semester remains 15 weeks.
RETURN TO CAMPUS
To be ready to welcome back students, our employees need to return to campus
first.
The majority of our staff has worked remotely since March 19. They will return to
campus in phases:
o Phase One: Beginning June 8, we resumed research on campus and in the
field. Also, select employees from Academic Affairs, Finance and
Administration, Student Affairs, Enrollment Management, Research and
Sponsored Programs, Information Technology and Athletics returned to
campus.
o Phase Two: On July 6, select employees from Diversity and Inclusion,
Legal Affairs, and Marketing and Communications will return. Additional
employees in the departments in the first phase will continue to transition.
o Phase Three: On Aug. 3, the remainder of UToledo employees will return
to campus.
PREVENTION PRINCIPLES
We are asking all faculty, staff, students and visitors to do their part to promote a
safe campus.
Our Rocket Prevention Principles include:
Monitoring for symptoms. Before coming to campus each day, take your
temperature to be sure it is less than 100.0 degrees and complete a self-
assessment for symptoms of COVID-19, such as cough, chills, fatigue or
shortness of breath.
Requiring face coverings. Each individual must wear cloth face coverings
while on campus, except while alone in an enclosed space, eating or outside
practicing social distancing.
Practicing social distancing. We should keep at least 6 feet from others.
Teleconferences will continue to be encouraged for staff meetings.
Keeping a clean workspace. In addition to enhanced cleaning from
Environmental Services, we all should regularly clean and sanitize our
personal workspaces and practice good personal hygiene, including frequent
handwashing.
Limiting travel. University-sponsored travel is only permitted for the most
essential trips.
TESTING AND CONTACT TRACING
Rapid COVID-19 testing available on both the Main Campus and Health Science
Campus for all faculty, staff and students who are symptomatic.
Test results will be available within 24-hours and will be shared with the patient
and the Toledo-Lucas County Health Department, which will be handling contact
tracing for the University.
Thanks, in part, to the work of UToledo researchers, UTMC was the first medical
facility in our region Ohio with testing capabilities. The hospital has the ability to
run approximately 700-800 tests per day.
It is that same expertise that has been used to develop practices and procedures
that will make testing available this fall.
CLASSROOM SPACES
We continue to make changes to our fall course offerings to promote adequate
social distancing.
As always, courses will be available in a variety of modes, including face-to-face,
online and blended delivery, to allow students flexibility.
Most large classes of 50 or more students will be in an online format.
Face-to-face classes may be delivered using a hybrid or rolling delivery model.
o An example would be a class with 40 students that meets on Tuesdays and
Thursdays in a classroom with a social distancing capacity of 20 students
would have 20 students come Tuesdays and the other 20 students come
Thursdays. The half of the class not in the classroom participates in real
time using Echo360 Lecture Capture, which is available in every
classroom on campus.
RESIDENCE HALLS
Our residence halls will be open for fall semester with students benefiting from the
experience of living on campus.
We continue to work through details of providing safe housing and dining
experiences.
For example, one new option is a “super single,” in which a student lives alone in
a room that is traditionally a double.
We have determined that we will handle move in a little differently this year. Each
student is being scheduled a specific day and time to move in.
To do that, our move-in process will span more days, beginning as early as Aug. 2.
We are working to schedule local students be the first to move in so they can move
in their belongings and then return home until our Welcome Week activities begin.
Dr. Gaber ended the presentation by stating that by using prevention and risk mitigation
practice, we will return to campus in the fall. We continue to finalize our Rocket Restart
plans and expect to announce additional details in early July.
Chair Pisanelli thanked Dr. Gaber for the report.

She mentioned that the board has worked hard to find the best candidate for the position.
Ms. Pisanelli thanked all trustees for their dedication to this process and for the time they
sacrificed to complete this search quickly. Candidates were interviewed last week and the
board feels confident that we are ready to move forward. Ms. Pisanelli read Resolution 20-
06-09: Approval to employ a Special Advisor to the Board of Trustees and Interim
President.

Following the reading of the Resolution, Ms. Pisanelli asked for a motion to hire Dr.
Gregory Postel as a Special Advisor to the Board of Trustee and Interim President. Trustee
Cole made the motion and it was seconded by Trustee Kenney. All trustees were in favor.
There were no oppositions and no abstentions.
Chair Pisanelli continued by making a few comments on Dr. Postel. Trustee Baker echoed
her comments. She then asked Dr. Postel to make a few remarks.
Dr. Postel thanked the board for the opportunity and support. He said he was excited to get
started and looks forward to learning all he can about the University of Toledo.

number of current cases and deaths experienced at the local and national level.
He also shared an update of what Ohio is doing to try and slow the spread of
the disease. He shared the current and ongoing efforts UTMC is making to care
for patients who have tested positive. Additionally, Dr. Jason Schroeder
discussed the process in place for credentialing LIPs in the event of a disaster.

Dr. Karen Bjorkman presented Resolution No. 20-04-06: Early Approval of
Candidates for BSN, MSN and MD Degrees for Spring 2020. The resolution
allows for the board to confer degrees for students who have met all
academic requirements to graduate before spring commencement exercises
and enter the workforce where there is high demand during this pandemic.
Trustee Guttman requested a motion to approve Resolution No. 20-04-06:

University Lecturers. The recommendations were for Dr. Katharine Fisher –
College of Natural Sciences and Mathematics, Dr. Jeanne Kusina – College
of Arts and Letters, and Dr. Caren Steinmiller, College of Pharmacy and
Pharmaceutical Sciences. This is the highest permanent honor that can be
bestowed upon a lecturer at The University of Toledo. Trustee Guttman
requested a motion to approve the recommended candidates for
Distinguished University Lecturer and forward these recommendations to the
consent agenda at the next board meeting. A motion was received from
trustee Cole, seconded by trustee Lucas, and approved by the Committee.
Dr. Karen Bjorkman presented an honorary degree nomination of Doctor of
Science, honoris causa, to be conferred upon Dr. Sayed Amjad Hussain,
M.D., the College of Medicine and Life Sciences spring commencement
speaker. Dr. Hussain is an emeritus professor of thoracic and cardiovascular
surgery at UToledo, an emeritus professor of the humanities at UToledo, an
emeritus member of the board of trustees at UToledo, an award-winning
writer and photographer and an internationally recognized explorer. Trustee
Guttman requested a motion to approve the honorary degree nomination and
forward the recommendation to the consent agenda at the next board
meeting. A motion was received from trustee Walinski, seconded by trustee

Dr. Chris Cooper, Executive Vice President for Clinical Affairs and Dean of
the College of Medicine and Life Sciences, gave an update on the Academic
Affiliation. He began with an overview of the guiding priciples:
Sustain and enhance the COMLS in missions of education and
research.
Elevate the stature of Toledo, OH as a strong academic medical
community for training.
Develop Toledo Hospital and Toledo Children’s Hospital into a
premier academic medical center.
Retain high-quality graduating students, residents, fellows and allied
health professionals.
Dr. Cooper highlighted the 2020 Match Overview. 99.4% of UToledo
students matched, 25 matched into 25 specialties at top programs around the
country and 27 students will return as residents in our community. Dr.
Cooper also shared information about basic science faculty and increases
research numbers.

Graduate Student Association Report
April 13, 2020
Thank you to the Board of Trustees and its members for inviting the Graduate Student Association
(GSA) to share its report to summarize the academic year.
The Midwest Graduate Research Symposium was cancelled for this year in compliance with the
University’s changes regarding COVID-19. We are saddened to see this occur but look forward to
applying our network in the MGRS in 2021 scheduled for April 10th.
This year the committees of the GSA, such as Research and Development, Professional Develop, and
Social Events Committee, have worked hard to create new and innovative ideas centered around the
needs of graduate students. Abdullah Al Saad, GSA Treasurer, in collaboration with the College of
Graduate Studies implemented events throughout the academic year to educate and promote use of the
GSA budget for travel reimbursement. He developed a coupon program such that students that attended
events and participated in providing constructive feedback received a set amount of funds that go toward
their chosen scholarly travels. The Professional Development committee led by Sydney Miller, GSA
Secretary, and Brittany Jones, Representative of the College of Arts and Letters, in collaboration with
Dr. Daryl Moorhead encouraged communication amongst students, regarding the culture of mentorship
at the University. Because of the development of department and special interest based graduate
organizations, the Research and Development Committee, led by Ahmad Tokey, created a central Power
Point that graduate students can explore with points of contacts in order to begin the network of graduate
student organizations. We then were able to invite representatives of these organizations to briefly
introduce themselves and promote future collaborations with GSA. These are some of the highlights
from the Committees, and we will be continuing these types of interventions to promote graduate
student well-being.
At this time, I would like to thank the Board of Trustees and its members for advocating for students and
the changes to student health insurance. I am excited to see the GSA continue its work in the future with
Leanna Glick, Student Insurance Program Administrator, and the new student health insurance plan to
be rolled out for the upcoming academic year. It has been a privilege and incredible learning experience
to be part of the Request For Proposal Committee, and I hope the hard work of the committee is
reflected in the changes to be announced.
It truly has been a pleasure being the GSA President for the past 2 years. I look forward to returning in
the coming years as an Aluma of the University of Toledo. Thank you all for demonstrating that our
University honors and values its graduate students. We have made great strides as an organization in
improving the graduate student experience. As this is my last report as GSA President and graduate

student, I would like to thank the Board of Trustees and its members for giving me the opportunity to
present updates and wish you all the best health and success in the coming academic year.

Student Government Report
April 13, 2020
Hi everyone! I hope that you are all staying safe and adjusting to the ‘new normal’- at least for the time
being. First off, I would like to introduce my successor, who was just elected to take my place at the end
of the year! This is Nick Thompson (allow Nick to say hello). I am so excited that he is going to be the
next President and to see what he does.
Student Government is still holding meetings remotely and working on projects. We just finished a
project with SAC (the Student Allocation Committee) regarding transferring all of the rest of the student
organizational budgets to the Rocket to Rocket fund. Between all of us, we pooled together $187,000
that will go to help a student pay rent, eat, or just generally survive during this hard time.
Last Friday, Student Government was also on a committee to help decide on the next Student Trustee.
We conducted interviews and have sent our recommendations along and we are excited to work closely
with the applicant who receives the position next year.
We also worked closely with Dr. Bjorkman to push for the implementation of a Pass/No Credit system
for the remainder of the schoolyear. Many students were impacted negatively by the transfer of classes
to online, regardless of its necessity. It is important to recognize the different challenges that may arise
(such as no internet access, exams online, projects canceled) and adjust accordingly. The system is
optional for every student for every class, so no scholarship requirements, GPA boosters, or financial aid

This is my last meeting with you all as President, and I’d like to wrap up my report with a summary of
the achievements of Student Government for the past year. With the help of our administrators, we have
had a successful year of advocating for students and reaching some of our goals. With the help of
Student Affairs, we were able to get free menstrual products in the bathrooms around campus.
Additionally, partnering with the UT Inclusion Club, we advocated for sharps containers in the
bathrooms, for use by students who need to give themselves insulin or medical shots throughout the day.
Dining and Auxiliary supported us in our endeavors to get plastic straws replaced with biodegradable
ones, plastic bag use reduced, and water bottle filling stations increased around campus, reducing the
effects that the University will have on climate change. Skateboards will be coming to campus in June,
courtesy of conversations with the Recreational Center and Student Affairs. We participated in the Day
of Giving, Homecoming, and Involvement fairs as well as speaking at Rocket Launches and orientation
classes. These are just some of the projects that were completed this year by Student Government, and I
am so proud of all of my members. It seems like this year went by in the blink of an eye, and I want to
thank this committee for allowing me to sit with you and keep you updated on our projects. Thank you,

Faculty Senate Report
April 13, 2020
Since our last report, the Faculty Senate has had three meetings. Our March 17th meeting was canceled
so that faculty could focus on transitioning their classes to remote learning. Starting with our March 31st
meeting, we are meeting via WebEx until further notice.
In these 3 meetings, we have approved 12 new courses, 61 new course proposals, 27 program
modifications and 5 new programs which include a minor in computer science, a minor in Theatre
Design & Technology, and 3 concentrations including a concentration in Data Analytics in Economics.
Many of these program modifications were a reduction to 120 hours in keeping with State of Ohio goals
for Bachelor’s degrees. Several of these modifications were to assist various Business degrees to form a
bridge between the Bachelor’s and Master’s degrees.
We heard a report from the Provost’s committee revising the Academic Dishonesty Policy. This policy
is much more detailed and addresses many issues not currently addressed in the present policy. We look
forward to receiving the final draft of this Academic Dishonesty Policy for approval this academic year.
We also have had a good discussion on the process in conjunction with the Faculty Emeritus Policy. At
our next meeting on April 14th, we will have four policies under consideration: an Expedited Tenure
Review Policy, Teaching by Non-Faculty Employee, Faculty Consulting and the Departments and
Schools, and Department and Schools Chairs for the University College.
Our primary focus for our remaining 2 meetings is to approve curriculum proposals and address policies
that need approval or modification. At the February Board of Trustees meeting, we stated that we had
received feedback on the proposed revised Senate Constitution. The Constitution committee had made
adjustments based on that feedback, and we were asked to have legal review those modifications. The
Office of Legal Affairs was in the process of reviewing those changes during Spring Break but with the
focus on dealing with issues related to the COVIC-19 crisis, Senate will let the Constitution be taken up
by next year’s Senate.
Finally, I want to thank Chair Pisanelli for coming to our Feb. 18 meeting to address Senate on the
workings of the Board of Trustees and on answering questions that the Senators had.

Graduate Council Report
February 10, 2020
This report includes the activities of Graduate Council (GC) since our last report on February 10, 2020.
GC has held three council meetings on February 11, February 25 and April 7. The originally
scheduled March 24 meeting was cancelled due to the COVID19 outbreak, based on the Executive
Committee’s consensus to give GC members more time to transition to online teaching and
mentoring.
GC has invited guest presentations and recognized outstanding graduate students during these
meetings. During the February 11 meeting, Dr. Amy Thompson, Vice Provost for Faculty Affairs,
gave an update on online course evaluation, and Dr. Cyndee Gruden, Associate Dean of COGS, and
Ms. Cathy Zimmer, Director for Academic and Curricular Initiatives from the Provost’s office, gave
a presentation on how to prepare graduate course proposals.
On February 25, Mr. Matt Schroeder, Executive Vice President for Finance and Administration and
CFO, briefed the GC about the Finance and Budget situation at the university. The informative
presentation helped council members better understand the financial decisions of the university. GC
believes that timely information sharing is beneficial when any policies that impact graduate faculty
are being considered. Also In this meeting, 7 Graduate Research Awards Recipients and their faculty
advisors were recognized in a special award ceremony. The names of these students and their
advisors are shown next page.
We held a virtual GC meeting on April 7. Dr. Alana Malik, University Assessment Director, and Dr.
Holly Monsos, University Assessment Committee Chair, gave an update on the institution’s
curriculum mapping project and the definition of “co-curricular” activities in the context of
assessment and accreditation. GC was notified that the deadline to finish the curricular mapping has
been extended to September 15. Dr. Ammon Allred did a presentation and answered questions
regarding the new interdisciplinary doctoral program, PhD in the Public Humanities.
Various GC committees have worked behind the scene to help graduate education in the university
run smoothly. The GC Curricular Committee has so far reviewed ~160 course and program proposals
this semester and their tireless work has ensured that many new courses and programs can be listed in
the 2020 Fall University Catalog. The Membership Committee has continuously reviewed graduate
faculty applications. With the help of GC Academic Programs and Regulations Committee, GC has
approved the updated “Graduate Student Academic Grievance” Policy (3364-77-02) on February 25.

To help the reviewing activities at the Curriculum and other GC committees, the GCEC has requested
all academic colleges to suggest backup or alternative faculty members in time of need.
The Graduate Council looks forward to continuing our partnerships with the College of Graduate
Studies, the Provost’s office, the Research office, the Graduate Student Association, and UT faculty,
staff and students in supporting our graduate and professional programs.

Mr. Rick Swaine, CFO of UTMC, provided an update on the financial performance
of UTMC through February. Mr. Swaine’s presentation included YTD statistics,
income statements and stabilization, growth and financial improvement initiatives.
Following Mr. Swaine’s presentation, Mr. Matthew Schroeder, Executive Vice
President for Finance and Administration and CFO, stated that the board has given
clear direction to examine all options for the future of UTMC, including moving
forward with an RFP process to seek possible partnership or sale of the hospital
facility. Trustee Pisanelli thanked Mr. Schroeder and said the trustees endorse the
RFP process. She requested a public update on UTMC’s financial situation and
RFP process at the next scheduled meeting on June 22nd.

Mr. Lucas then asked Mr. Schroeder to give an update on the overview of the
financial implications of the COVID19 pandemic beyond the hospital. Mr.
Schroeder stated that the university is complying with the Governor’s Stay at
Home Order. Classes are being conducted via an online learning system and staff
are working remotely. The immediate impact includes nearly $4 million in refunds
to students and families for housing and dining plans, approximately $2.5 million
in lost revenue in auxiliaries, an estimated $5 million decline in projected tuition
and fee revenue due to an expected decline in summer enrollment and increased
expenses related to moving classes to online instruction. Mr. Schroder said the
Governor also has announced the expected budget reduction will be up to 20% for
state agencies. Mr. Schroeder stated that the largest concern is personnel as it is the
largest expense.
Trustee Lucas requested a motion to waive the reading of the minutes from the
February 10, 2020 Finance and Audit Committee meeting and accept them as
written. A motion for approval was received from Trustee Cole, seconded by
Trustee Kenney and approved by the Committee.

approved by the Governor and Chancellor of Higher Education. Trustee Lucas
requested a motion for approval of Resolution No. 20-04-07 and to forward it to the

Nominating Committee Meeting
June 15, 2020
Due to the COVID19 pandemic, the meeting was conducted remotely via
WebEx. Committee members Ms. Mary Ellen Pisanelli, Mr. Dan Guttman
and Mr. Patrick Kenney were present. Other Trustees who attended included
Mr. Steve Ciucci, Mr. Richard Walinski, and Mr. Roy Armes. Student
Trustees Ms. Rebecca K. Dangler and Mr. Kyle D. Bergen were present.
Others in attendance were Ms. Chrissy Billau, Ms. Meghan Cunningham,
Ms. Katie DeBenedictis, Dr. Sharon Gaber, Ms. Diane Miller, Mr. Cam
Norton, Mr. Mike O’Brien, and Mr. Jeff Schmucker.
ATTENDANCE
The meeting was called to order at 5:30 p.m. by Trustee Pisanelli via WebEx.
Ms. Katie DeBenedictis, Secretary to the Board, recorded the minutes.
CALL TO ORDER
Ms. Pisanelli stated the only item for discussion at this meeting is to determine
the slate of FY21 board officers and to make our recommendations to the full
board at the special meeting later today. Ms. Pisanelli’s term as Chair will be
up June 30th and she will not be eligible for another term as Chair. During the
last two years Al Baker has served as Vice Chair of the Board. Ms. Pisanelli
shared that she believes Trustee Baker has, based on her direct observation and
conversations with Board members and others, been the perfect Vice Chair.
She said she has heard from many that he has shown leadership on a number of
issues and as a member of each of the Board’s committees. He is willing to
take on the responsibilities of the Board Chair. It was Ms. Pisanelli’s
recommendation that Trustee Baker be considered for the Board Chair position
commencing July 1, 2020 for the FY 2020-2021.
Ms. Pisanelli continued her comments by announcing that it is also time to
appoint the Vice Chair of the Board. Steve Ciucci has served on a number of
Board committees and is the current Chair of the Clinical Affairs Committee.
Given the serious and complex issues that the Board is facing with the
Hospital, a number of Board members have told Ms. Pisanelli that they think
Steve would make an excellent Vice Chair and bring his valuable insights to
Board leadership.
Finally, Ms. Pisanelli recommended that Katie DeBenedictis continue in the
role of board secretary. She stated that Katie has worked hard to understand
how board processes work. She has done a great job communicating meeting
materials with trustees and continues to find ways to keep meetings running
smoothly and efficiently
Ms. Pisanelli asked Trustee Kenney and Guttman for their comments. Both
trustees agreed with Ms. Pisanelli’s recommendations.

Ms. Pisanelli requested a motion to recommend Al Baker and Steve Ciucci as
Chair and Vice Chair, respectively, of the board for FY21 and that Katie

committee.
There was no need for an executive session.

After reviewing the positive recommendation letter from Dr. Barbara Kopp Miller, Dean, University College, and after reviewing the records/documentation for Mr. Carmen Williamson, I concur with the findings that we should award a posthumous degree in this unfortunate case. The awarding of this Posthumous Degree meets the eligibility requirements outlined in UToledo’s Posthumous Degree Awards policy #3364-71-19.
1. Mr. Williamson died at age 94, less than a month shy of graduation and actually completed all degree requirements.
2. Mr. Williamson was in good academic standing and had no financial and/or disciplinary holds on his account.
The next step in this process, if you concur with the recommendation, is to request approval from the Board of Trustees at its next meeting.

FISCAL YEAR 2021 TEMPORARY OPERATING BUDGET
WHEREAS, The University of Toledo is committed to providing high-quality, affordable
education, patient care and support services; and
WHEREAS, a budget estimate for annual unrestricted operating revenue and expenses is
developed each fiscal year for the General Operating Fund, the Auxiliary
Operations and The University of Toledo Medical Center (UTMC); and
WHEREAS, Auxiliary Operations and UTMC are funded from fees for services provided;
and the General Operating Fund for public universities in Ohio are funded
primarily with state support and revenue from student tuition and fees; and
WHEREAS, operating costs for The University of Toledo have been reviewed and
efficiencies have been and will continue to be implemented; and
WHEREAS, as permitted by the state of Ohio biennium operating budget, tuition and fees
will be modified for the third cohort of the Toledo Tuition Guarantee and
continuing undergraduate students; and
WHEREAS, tuition for graduate and professional programs along with out-of-state pricing
have been reviewed and differential increases for most of these programs
proposed; and
WHEREAS, COVID-19 has had a dramatic financial impact on all of higher education, and
UToledo is no exception; and
WHEREAS, University leaders have been working tirelessly to address the deficits caused
by the COVID-19 pandemic and other market forces, while prioritizing student
success and mission-critical operations and identifying opportunities for
increased efficiency; and
WHEREAS, the University will continue to review programs — both academic and non-
academic — over the course of FY 2021 as part of its ongoing commitment to
explore consolidation and right sizing opportunities while maintaining high-
quality academic programs, continued student success and essential research
focus; and
WHEREAS, University leaders will continue making difficult decisions regarding
operational budget cuts across the institution; and

WHEREAS, despite these efforts, numerous factors outside of our control exist due to
COVID-19 and require clarity, including impact on enrollment; housing and
dining; state share of instruction support; athletic operations; and hospital
operations; and
WHEREAS, as a public institution, we are dependent on tuition revenue, state funding and
hospital revenue, all of which continue to be uncertain as a result of the
pandemic; and
WHEREAS, a fiscal year 2021 temporary operating budget is recommended during this
period of uncertainty and management will return to the Board during its next
regularly scheduled meeting in September with a permanent operating budget;
and
WHEREAS, the attached proposed fiscal year 2021 temporary operating budget includes
revenue from the proposed tuition and fee changes as shown on the schedule of
tuition and fees.
NOW, THEREFORE, BE IT RESOLVED,
that the Board of Trustees hereby approves the fiscal year 2021 temporary

APPROVAL TO REDUCE THE NON-OHIO RESIDENT SURCHARGE FOR
STUDENTS ENROLLED IN COLLEGE OF LAW JD PROGRAM
WHEREAS, the College of Law has a reputation for delivering excellence in legal education;
and
WHEREAS, the reputation of its JD program has been enhanced by the recent substantial
improvements in first-time pass rates and its 10-month graduate employment rate;
and
WHEREAS, the College of Law has increased first-year enrollment by nearly 50% between
2015 and 2019 and increased its market share of entering law students at Ohio law
schools each year; and
WHEREAS, the College of Law has achieved this increased enrollment in part by using
scholarship funding to offer its in-state tuition to students from Michigan and
Indiana; and
WHEREAS, the College of Law seeks to build on these successes by becoming more
competitive in attracting enrollment from outside the State of Ohio, and its
present competitiveness is constrained by the current non-Ohio resident
surcharge; and
WHEREAS, its in-state competitors the University of Akron School of Law and the Cleveland-
Marshall College of Law have already reduced their non-Ohio resident surcharges
in ways similar to the reduction proposed here; and
WHEREAS, reducing the College of Law’s non-Ohio resident surcharge will enable the
University to offer a more competitive price to out-of-state students, thus allowing
it to compete nationally as well as locally with public and private institutions; and
WHEREAS, the appropriate planning and consultations within the University have been
completed; and
WHEREAS, the University desires to charge a reduced non-Ohio resident surcharge of $100
per semester for students enrolled exclusively in its College of Law JD program;
and
WHEREAS, because the College of Law has been using scholarship funds to cover the out-of-
state surcharge for Michigan and Indiana students, this change will have very
little net financial impact while allowing the College of Law to be more
competitive nationally.
NOW, THEREFORE, BE IT RESOLVED,
that the Board of Trustees of The University of Toledo authorizes the
administration to offer a reduced non-Ohio resident surcharge for students
enrolled the University’s College of Law JD program of $100 per semester
beginning AY2020-21.

Introduction The purpose, authority, and responsibility of the Internal Audit Department are consistent with The Institute of Internal Auditors’ (IIA’s) Mission of Internal Audit and the mandatory elements of the International Professional Practices Framework (the Core Principles for the Professional Practice of Internal Auditing, the Code of Ethics, the Standards, and the Definition of Internal Auditing). Purpose The purpose of the Office of Internal Audit is to provide senior management and the Board of Trustees independent, objective assurance and consulting services designed to add value and improve the University’s operations, and help ensure the University’s assets, reputation, and integrity are adequately safeguarded. The department assists the University in accomplishing its objectives by bringing a systematic, disciplines approach to evaluate and improve the effectiveness of risk management, control, and governance processes. Responsibilities
The responsibilities of the Internal Audit Department include performing audits, reviews, special investigations, and consulting services to determine that:
The appropriate level of internal control exists within the University to identify, manage, and mitigate risk.
Significant financial, managerial, and operating information is accurate, reliable, and timely.
Established processes and systems enable compliance with the policies, procedures, controls, laws, and regulations that could significantly impact the University.
Claims of fraudulent activity are investigated, documented, and resolved.
The actions of the University’s officers, directors, employees, and contractors follow University policies, procedures, and applicable laws, regulations, and governance standards.
Independence, Objectivity, and Authority Internal Audit will remain free from interference by any element in the organization, including matters of audit selection, scope, procedures, frequency, timing, or report content to permit maintenance of a necessary independent and objective mental attitude.

Internal auditors will have no direct operational responsibility or authority over any of the activities audited. Internal auditors will exhibit the highest level of professional objectivity in gathering, evaluating, and communicating information about the activity or process being examined. Internal Audit, with strict accountability for confidentiality and safeguarding records and information, is authorized full, free, and unrestricted access to any and all university records, physical properties, and personnel pertinent to carrying out any engagement. All employees are required to assist the internal audit activity in fulfilling its roles and responsibilities. Prior to the beginning of each fiscal year, an annual work plan, and the current Internal Audit Charter.
All complete audit reports and administrative responses. Internal Audit’s conformance with the Code of Ethics, the Standards, and action plans to address any significant conformance issues.
The results of the Internal Audit quality assurance and improvement program.
Any response to risk by management that may be unacceptable to the University.
In addition, the Director will:
Immediately notify all relevant University stakeholders when significant issues regarding administrative action or functions are called into question.

APPROVAL OF THE UNIVERSITY OF TOLEDO STRATEGIC PLAN
FOR DIVERSITY AND INCLUSION 2020
WHEREAS, The University of Toledo is committed to creating a diverse,
inclusive and equitable environment that provides opportunity
for full participation in the life of the University; and
WHEREAS, diversity, inclusion and equity are core values of this University
infused into every action we take, and, as a scholarly
community that encourages diversity of thought and respect for
all its citizens, we embrace the many things in life that make us
different; and
WHEREAS, in the fall of 2019, under the direction of the President, the
University embarked upon the development of its second
diversity plan in which input from students, faculty, staff and
the community as a whole was solicited; and
WHEREAS, following the engagement of 3,100 plus stakeholders the
University has developed goals and strategies focusing on four
areas essential to providing focus and direction going forward –
leadership and accountability, education and awareness,
recruitment and retention, and community engagement.
NOW, THEREFORE, BE IT RESOLVED,
that The University of Toledo Board of Trustees endorses the
Strategic Plan for Diversity and Inclusion and hereby empowers
the administration of The University of Toledo to proceed with
the implementation and refinement of the plan.

REAPPOINTMENT OF ROY V. ARMES AS A NATIONAL TRUSTEE
WHEREAS, in order to take advantage of the diverse cultural; geographic;
business; professional; public service and civic backgrounds;
talents and experience of friends and alumni of The University
of Toledo; the position of national member of the Board has
been established, in accordance with specific guidelines as
outlined in Board of Trustees Bylaw 3364-1-04.1: Authority,
terms and selection of national members of the Board; and
WHEREAS, there shall be no more than three positions for national members
of the Board and each member shall serve a two-year term and
shall be eligible for one additional two-year term; and
WHEREAS, the Board of Trustees’ Trusteeship and Governance Committee
hereby requests the reappointment of Roy V. Armes, former
President and Chief Executive Officer of Cooper Tire & Rubber
Company and 1975 Mechanical Engineering graduate of The
University of Toledo College of Engineering who was
appointed as a National Trustee of the Board on July 2, 2018.
NOW, THEREFORE, BE IT RESOLVED,
the Board of Trustees would like to confirm Roy V. Armes’
reappointment as a National Trustee to serve an additional two-
year term beginning July 2, 2020.

WHEREAS, you were appointed by Governor John R. Kasich as a Student Trustee to The
University of Toledo Board of Trustees for a term beginning July 2, 2018; and
WHEREAS, during your undergraduate career you served as the Relay for Life Survivor
Committee Chairman and Colleges Against Cancer Director and Internal
Director in consecutive years raising record totals for the American Cancer
Society; you were inducted into the Mortar Board National College Senior Honor
Society and Blue Key National Honor Society; and you were a member of Sigma
Phi Epsilon, where you received a national award for your dedication in making
significant positive changes to the campus and community; and
WHEREAS, you oversaw the float building competition during the 2017 Edward C. and Helen
G. Schmakel Homecoming Parade and helped in planning of Songfest 2018; and
WHEREAS, you graduated in May 2018 from The University of Toledo with a Bachelor of
Science Degree in Pharmaceutical Sciences and a minor in Chemistry and
entered the Doctor of Pharmacy program in the College of Pharmacy and
Pharmaceutical Sciences where you were a Drug Information Teaching Assistant
in Doctor of Pharmacy Curriculum and a member of the Student College of
Clinical Pharmacists; and
WHEREAS, you received the prestigious Tylenol Future Care Scholarship in 2019 awarded to
only 40 students in healthcare-related majors across the country and you were a
member of the Clinical Pharmacy Challenge Team, which was the first and only
team in UToledo’s history to qualify for national competition and placed 8th in
the nation; and
WHEREAS, you graduated from The University of Toledo in May 2020 as Co-Valedictorian
of the Doctor of Pharmacy graduating class in the College of Pharmacy and
Pharmaceutical Sciences; and
WHEREAS, your contributions as a Student Trustee, specifically your membership on the
Academic and Student Affairs Committee and Clinical Affairs Committee, have
provided important student insight and perspectives; and
WHEREAS, your term of service as a Student Trustee at The University of Toledo concludes
on July 1, 2020.

WHEREAS, you were appointed by Governor John R. Kasich to The University of Toledo Board of Trustees
on May 23, 2014, to fill a term that began on July 2, 2011; and
WHEREAS, you currently serve as Senior Director of Corporate Communications for Dana, Incorporated, a
multi-national supplier to the world’s vehicle manufacturers and are responsible for global public
relations, advertising, special events, branding, community relations and government affairs
programs, as well as being the primary spokesperson for the Fortune 500 company; and
WHEREAS, you previously worked at The University of Toledo as a Development Officer, Admissions
Counselor and instructor of public relations and journalism courses. During this time, you were
elected chair of the Professional Staff Council and earned the Lancelot Thompson Service to
Students Award; and
WHEREAS, you received your master’s degree in education and your bachelor’s degree in communication
from The University of Toledo and as a student you were President of Student Government,
Editor-in-Chief of The Collegian student newspaper, head Manager of the men’s basketball team
and inducted into Blue Key National Honor Society; and
WHEREAS, as an alumnus you served as a community member of the Academic Affairs and Student Life
Committees of the UToledo Board of Trustees, were a member of the UToledo Alumni
Association National Board of Trustees, were named the University’s Outstanding Young
Alumnus in 1994 and have been recognized as a Distinguished Alumnus by the Department of
Communication; and
WHEREAS, your service on numerous boards and committees include the Board of Directors of the Dana
Charitable Foundation, Press Club of Toledo, Collegian Media Foundation, Alzheimer’s
Association of Northwest Ohio, Mobile Meals of Toledo, Greater Toledo Area Chapter of the
American Red Cross, Marathon Classic LPGA Tournament, and St. Francis de Sales High School
Alumni Association; and
WHEREAS, you are accredited in public relations and are a member of the Public Relations Society of
America, the Automotive Press Association, the Automotive Public Relations Council and the
Society of Professional Journalists; and
WHEREAS, your wisdom, counsel and leadership as a member of the Finance and Audit Committee, the
Academic and Student Affairs Committee, and the Trusteeship and Governance Committee – the
latter two as past chair – have earned the respect of this Board and the members of this
institution; and
