That certain Terminal Use Agreement("Agreement") dated the 1st day of December, 1992, between the CITYOF OAKLAND, a municipal corporation, acting by and through thisBoard, and CANADIAN TRANSPORT COMPANY LIMITED, a corporation, asUser, covering User's nonexclusive right to use areas within thePort's Charles P.     Section 1. Item No. 05105 subparagraph (c) of Section V-A of Port Ordinance No. 2833 is hereby amended to read as follows:

    SECTION V-A: WHARFAGE - RULES AND REGULATIONS

    (c) Except as otherwise provided in this tariff, wharfage rates shall beassessed as follows:

    (1) Containerized Cargo and Empty Shipping Containers:

    (a) Wharfage will be assessed on cargo in containers according tothe commodity description, rate basis and the provisionsspecified in Items 06200 through 06905.

    (b) Commodities not specifically named in this section will besubject to the Cargo N.O.S. rate basis specified in Item 06200or 06800.

    (2) Non-Containerized Cargo:

    (a) Wharfage will be assessed charges in cents per 1,000 kilogramsor cubic meter as specified in Items 07010 through 07997.3; oraccording to the vessel's manifest, on whichever basis the waterfreight charges are assessed.

    (b) On cargo moving on other than a weight or measure basis (i.e.per package, per unit, combination weight and measure basis,etc.) wharfage will be assessed in cents per 1,000 kilograms orcubic meter, whichever will result in the greater revenue.

    (c) Commodities not specifically named in this section will besubject to the Cargo N.O.S. rates in Items 07010 through07997.3.

  • Section 2. Items Nos. 06903, 06904 and 06905 of SectionVI of Port Ordinance No. 2833 are hereby amended to read asfollows:

  • RETENTION OF TERMINAL CHARGES

    (a) A wharf Assignee under assignment with the Port shall collect allapplicable wharf demurrage and wharf storage charges and maintain suchrecords relating thereto as may be required by the General Manager, MarineTerminals, or his designee. The amounts collected for wharf storage andwharf demurrage charges shall be submitted on a monthly basis to the Port,accompanied by written reports approved by or provided by the GeneralManager, Marine Terminals. Said monthly payments and written reportsshall be received no later than 30 days succeeding the month beingreported. In return for the cost of providing such service in the timelymanner described above, a sum equal to ten percent (10%) of all wharfdemurrage and wharf storage charges collected may be retained by theassignee.

    (b) The amounts collected under this item shall be subject to Item 02130,Terms and Conditions of Payment; Item 02135, Payment of Charges; and Item02140, Delinquency and Penalties.

    AN ORDINANCE APPROVING AND AUTHORIZINGEXECUTION OF SUPPLEMENTAL AGREEMENTS TO LEASESWITH WESTERN FEDERAL SAVINGS AND LOANASSOCIATION AND DIRECTING RECORDATION THEREOF.

    WHEREAS, the Port of Oakland ("Port"), and ROKLIN INDUSTRIES,a California general partnership, under the name "GROWTHPROPERTIES," entered into that certain Lease dated March 15, 1983,recorded on March 30, 1983, as document No. 83-51014 in theOfficial Records of Alameda County, as amended by that certainFirst Supplemental Agreement dated December 19, 1989, (said Leaseas so amended is hereinafter referred to as "the Cove II Lease")and ROKLIN INDUSTRIES, with the consent of the Port as evidenced byPort Resolution No. 27705 adopted March 15, 1983, assigned saidMarch 15, 1983, Lease to COVE II INVESTMENT, a California limitedpartnership; and

    WHEREAS, the Cove II Lease Premises consist of approximately3 acres of improved land located on the east side of Embarcadero inthe Embarcadero Cove area of the Port Area; and

    WHEREAS, Cove II Investment defaulted on its construction loanand, as a result of foreclosure, WESTERN FEDERAL SAVINGS & LOANASSOCIATION, a Federal savings and loan association ("Western") hassucceeded to the interests of Cove II Investment under the Cove IILease; and

    WHEREAS, the Port and ROKLIN INDUSTRIES, entered into thatcertain Lease dated September 15, 1983, recorded on September 30,1983, as document No. 83-182260 in the Official Records of AlamedaCounty, as amended by (i) that certain First Supplemental Agreementdated November 1, 1983, and recorded on November 14, 1983, asdocument No. 83-214270 in the Official Records of Alameda County,and (ii) that certain Second Supplemental Agreement dated October22, 1985, and recorded on November 9, 1985, as document No. 85-240993 in the Official Records of Alameda County (said Lease as soamended is hereinafter referred to as "the Previous Cove IVLease"), and ROKLIN INDUSTRIES, with the consent of the Port asevidenced by Port Resolution No. 28074 adopted September 15, 1983,assigned the Previous Cove IV Lease to Cove IV Investment; and

    WHEREAS, the Previous Cove IV Lease Premises ("the Cove IVPremises") consist of approximately 3 acres of improved landlocated on the east side of Embarcadero, in the Embarcadero Covearea of the Port Area; and

    WHEREAS, Cove IV Investment defaulted both under the PreviousCove IV Lease and on its construction loan and, as a result offoreclosure, the Port entered, into a new lease of the Cove IVPremises with BELL SAVINGS AND LOAN ASSOCIATION, a federal savingsand loan association ("Bell"), the construction lender, said newlease dated November 12, 1987 ("the Existing Cove IV Lease"), andWestern has succeeded to the interests of Bell under the ExistingCove IV Lease; and

    WHEREAS, Western has undertaken significant expenditures tocorrect structural defects in the improvements in the Cove IIPremises and the Cove IV Premises, to repaint the exterior of theImprovements, and to replace the entryway flooring, and wishes toextend the teLlu of each of the Cove II Lease and the Existing CoveIV Lease, and this Board is willing to extend the tetra of eachlease subject to Western agreeing to certain changes in the leasesregarding rental provisions; now, therefore,

    BE IT ORDAINED by the Board of Port Commissioners ("Board") ofthe City of Oakland as follows:

    Section 1. That certain Second Supplemental Agreement to theCove II Lease on file with the Secretary of the Board datedNovember 3, 1992, between the CITY OF OAKLAND, a municipalcorporation, acting by and through this Board, as Lessor, andWestern, as Lessee, which provides for, among other things,extension of the last day of the term of the Cove II Lease fromMarch 31, 2033, to and including December 31, 2042, and adjustmentof the percentage of Contract Rent to be paid to the Port as rentcommencing October 1, 2033, is hereby ratified, confitiued andapproved.

    Section 2. That certain First Supplemental Agreement to theExisting Cove IV Lease on file with the Secretary of the Boarddated November 3, 1992, between the CITY OF OAKLAND, a municipalcorporation, acting by and through this Board, as Lessor, andWestern, as Lessee, which provides for, among other things,extension of the last day of the term of the Existing Cove IV Leasefrom March 31, 2033, to and including December 31, 2042,clarification of the date of future adjustments to Minimum Rent andperformance deposit and adjustment of the percentage of ContractRent to be paid to the Port as rent commencing October 1, 2033, ishereby ratified, confirmed and approved.
