AGREEMENT AND FIXTURE FILING

This DEED OF TRUST, ASSIGNMENT OF LEASES AND RENTS, SECURITY AGREEMENT AND FIXTURE FILING (hereafter referred to as "Deed of Trust") made February 27, 2009 by and among 5™ ST LOFT LLC, a California limited liability company, whose address is 312 W. 5th Street, Unit Office, Los Angeles, CA 90013, Attention: Mr. Barry Shy ("Trustor"), STEWART TITLE OF CALIFORNIA, INC., whose address is 525 N. Brand Blvd., Glendale, CA 91203 (“Trustee”), and the owner and holder of the Note (as defined below), PREFERRED BANK, whose address is 601 South Figueroa Street, 29th Floor, Los Angeles, California 90017, Attention: John E. Nixon ("Lender").

WITNESSETH:iTo secure payment and performance of obligations under that certain Line of Credit Loan

Agreement (the "Loan Agreement") dated of even date herewith made by Trustor and Lender, that certain Promissory Note (the “Note”) dated of even date herewith, in the maximum principal amount of $5,000,000.00, made by Trustor in favor of Lender, this Deed of Trust, any present or future letters of credit issued by Lender for the account of Trustor and the other Loan Documents (as defined in the Loan Agreement), and any renewals, extensions, novations, or modifications of the foregoing (collectively, the "Obligations"), and in consideration of these premises and for other consideration, Trustor does grant and convey unto Trustee, as trustee for Lender and Lender’s successors and assigns, in trust, WITH POWER OF SALE, all of Trustor's right, title and interest now owned or hereafter acquired in and to each of the following (collectively, the "Property"): (i) all those certain tracts of land in the City of Los Angeles, County of Los Angeles, State of California described in Exhibit A attached hereto and made part hereof (the "Land"); (ii) all buildings and improvements now or hereafter erected on the Land; (iii) all fixtures, furniture, equipment, machinery, books and records, and other personal property attached to the Land or any buildings or improvements situated thereon; and (iv) all estates, leases, rights, tenements, hereditaments, privileges, rents, issues, profits, lease termination payments, tenant security deposits, easements, and appurtenances of any kind benefiting the Land; all means of access to and from the Land, whether public or private; and all water and mineral rights. Nothing herein obligates Lender to provide credit in excess of the Obligations.

TO HAVE AND TO HOLD the Property and all the estate, right, title and interest, in law and in equity, of Trustor in and to the Property unto Trustee, its successors and assigns, for the benefit of Lender and Lender’s successors and assigns, forever.

PROVIDED, HOWEVER, that if all Obligations are limely paid and performed, this Deed of Trust and the estate hereby created shall cease and be null, void, and canceled of record at the request and expense of Trustor, and if an Event of Default (as hereinafter defined) occurs, Trustee is authorized to foreclose and sell the Property under power of sale or by judicial proceeding according to applicable law and as provided herein.

THIS MEMORANDUM OF EXTENSION AGREEMENT AND MODIFICATION OF LOAN DOCUMENTS AND NOTICE ADDITIONAL ADVANCE (“Memorandum”) is entered into as of the ^ day oTSepte'mber, 2011, by and among 5th ST LOFT LLC, a California limited liability company (“Borrower”), BARRY SHY, an individual (“Shy”), and Moti Shai, as Independent Trustee and Trustee of the BR Shy Irrevocable Trust u/d/t dated December 1, 1997, memorialized by a document dated January 2, 1998 (“Shy Trust” and together with Shy, at times hereinafter, individually and collectively, “Guarantor”), on the one hand, and PREFERRED BANK, a California banking corporation (“Lender”), on the other hand. On or about February 27, 2009, Lender extended a revolving line of credit (the “Loan”) to Borrower, pursuant to that certain Line of Credit Loan Agreement dated February 27, 2009, executed by Borrower and Lender (the “Loan Agreement”). In connection therewith, Borrower executed that certain Promissory Note dated February 27, 2009, in the original maximum principal amount of $5,000,000.00 (the “Note”), in favor of Lender, which Note is secured by a lien on that certain real property (the “Property”), more particularly described in Exhibit “A” attached hereto and incorporated herein by this reference, pursuant to that certain Deed of Trust, Assignment of Leases and Rents, Security Agreement and Fixture Filing dated February 27, 2009, executed by Borrower in favor of Lender and recorded on March 4, 2009, as Document No. 2009-0303209 of the Official Records of Los Angeles County, California (the “Deed of Trust”). Lender, Borrower and Guarantor have entered into that certain Extension Agreement and Modification of Loan Documents and Notice of Additional Advance dated as of even date herewith (the “Agreement”).

This memorandum is intended to make a matter of public record the execution of the Agreement by Lender, Borrower and Guarantor, which Agreement provides for, among other things, (i) an extension of the Maturity Date of the Loan to March 5, 2012, with an additional option to extend the Loan to March 5, 2013, and an additional option to further extend the Loan to March 5, 2014, subject to certain terms and conditions set forth in the Agreement, (ii) an additional advance under the Note in the maximum principal amount of $2,500,000.00, such that the total aggregate principal amount of the

Loan and the principal face amount of the Note shall be increased from $5,000,000.00 to ' $7,500,000.00, and (in) certain other modifications and/or amendments to the terms and

conditions of the Loan Agreement, Note, and Deed of Trust, among other documents, as more particularly set forth in the Agreement. Reference is made to the Agreement.for the full particulars thereof.

This Memorandum may be executed and delivered in two or more coimteiparts, each of which, when so executed and delivered, shall be an original, and such counterparts together shall constitute but one and the same instrument and agreement, and this Memorandum shall not be binding on any party until all parties have executed it.
