MEMORANDUM OF ASSOCIATION

1. The name of this Society shall be SHRI RAMKRISHNA SEVA MANDAL.

2. The office of Society shall be located at Anand in the Kaira District in Bombay State.

3. The objects of the Society are :-

1) To construct,to manage,to take over ,to open Hospitals,dispensaries and to start and

maintain other allied.

2) To impart medical knowledge.

3) To give cheap or free medical aid and assistance to masses and to take step for preservation

of health prevention and cure of diseases.

4) To introduce all modern methods of medicine and deal with problems of health and

sanitation.

5) To open health centres with modern facilities and amenities of life and to give mobile

medical aid in villages.

6) To start and run laboratories , X-Ray and other investigating units.

7) To run Library and reading rooms.

8) To arrange for lectures , Cinema shows exhibitions , excursions and to publish literature to

impart exclusively social,religious and cultural knowledge.

9) To start hostel funds , scholarship funds to helps poor and deserving students.

(10)To start ,to run all types of post graduates, Higher secondary , Primary and Pre-Primary

educational institutions and to start all types of other educational schools,colleges.

Technical institutions and to build buildings for Colleges, High Schools, Schools, Hostels,

clubs and other buildings for activities connected with education , culture and health.

4. The Government and management of the affairs of the Society is entrusted to a committee of

the followings members :-

RULES AND REGULATIONS :-

1. “Shree Ramkrishna Seva Mandal” ( herein after refered to as a Society ) shall consist of an

unlimited number of either sex and religion , caste , who have completed 21 years of age and

elected by the Government Body ( constituted under rules.) Persons who are members

prior to the registration shall continue to remain members of the Society.

2. No dividend Bonus , gift or division shall be made by the Society unto or between any of its

member in his or their capacity as members only , but any member occupying the position of

a salaried official shall be entitled to receive remuneration from society for his services.

3. There will be three classes of members , Paying, Volunteers and Honorary members of the

Society.

4. Paying members :-

Those who are not below 21 years of age and who pay the fees as under and elected by the

Governing Body shall be members of the Society.

Class Fees

(1) Patron Rs. 1000/-

(2) Vice-Patron Rs. 500/-

(3) Donar Rs. 250/-

(4) Life Member Rs. 125/-

(5) Ordinary member Rs. 5/-

(a) Firms or bodies can also become members if approved by Governing Body if they pay

subscriptions also. Each such firm or Body can nominate one reprentative on the Society. It

shall be their duty to inform this in writing before 31st of December if they desire to exercise

their right as members

(b) Persons whose services are required by the society shall by the resolution of the Governing

Body he recognized as volunteer on payment of Re. 1/- per year.

(c) Honorary members :

Persons of distinguished services and who have done exceptional service to the society

Or to the cause of humanity may be elected by the governing body as Honorary members of the

society . The number of Honorary Members shall not be more than seven at any tme.

NOTE :- The candidate for membership is to be proposed and supported by two existing

Governing Body members and be accepted by the Governing Body , pending such approval ,the

secretary may accept the fees provisionally.

(d) The officials year shall be from 1st of July to 30th of June.

5. A member after paying all his dues to the society may if he so desires resign by giving written

notice to the secretary.

6. If a member acts in a way detrimental to the interest of good name of the society or his

membership is undesirable or it becomes imperative or remove his name from the Register of

members.It will be done by a resolution of the governing Body and approved by not less than

threefourth majority votes of the general meeting of the society.

7. General meeting shall be held after five years after 1st July and not later than 1st of October for

the following.

(a) To elect one president , Vice President ( upto 2 in numbers ) and one secretary.

(b) To elect two trustees.

(c) To elect five members of Governing Body if there is contest.

NOTE:- Out of 10 members of Governing Body after five years one half shall retire by

rotation.

(d) To transact any business which is placed by the President.

8. Every member shall have the right :-

(a) To be present and vote if he has paid his fees before 31st of December of that general

meeting.

(b) To offer himself for election as a member of the Governing Body if qualified.

(c) To have access for himself to the Society´s activities which are not open for public.

(d) To propose new schemes to the general mrrting.

9. A notice of the time and place of the General Meeting shall be sent to every member fourteen

days prior to the date of the meeting.

10. The President or in his absence one of the Vice-Presidents or in their absence any one elected

from the members of the Governing Body present shall be the chairman of the meeting.

11. The quorum shall be of seven members present personally.

12. The questions before the General meeting and all other meetings shall be determined by a

majority vote , each member present to have one vote. In case of quality of votes the Chairman

shall have a casting vote in addition to his own.

13. The ruling of the Chairman of the meeting on any point of order shall be final.

14. The Governing Body whenever it thinks fit may or on the requisition of at least 25 members

shall convene an Extra-Ordinary general meeting of society. If no meeting is called by Governing

Body within 30 days from the date of receipt of requisition requisitionistes may call within 2

months from the date of delivery a special general meeting for the special perpose only.

15. The proceeding of all the meetings shall be recorded in a procceding book by the Secretary.

16. The management of all the affairs of the society shall be vested in the Governing Body (

hereinafter reffered as “G.B.” consisting of President , Vice-president , Secretary and 10 (TEN)

members ( generally one from each class as far as possible ) and Ex-officio members.

Three members from Principals of Colleges , high schools and head of other institution

run by the Mandal will be co-opted as ex-officio members of the Governing Body and the

remaining members of the institutions have a right to attend to take part in the discussions

pertaining ti their institutions only without the right of voting. One ex-officio member from the

Governing Body of Charotar Education Society , Anand to be co-opted by the Governing Body.

17. Candidates qualified for election must be proposed and seconded b qualified members but no

qualified member shall propose or second the nomination of more persons than may be

required for election. Nomination must be sent by post or otherwise so as to reach the secretary

not later than 2 p.m. on the day fixed by the G.B. If the number of the members proposed and

seconded does not exceed the number of members to be elected , the candidates so proposed

shall be declared to have been duty elected. If the number exceeds,then voting shall be carried

out in the General Meeting . A member who is on roll at least for 8 years on 30th June of the

year in which election is held shall be considered as a qualified member who can be elected as a

member of the Governing Body.

18. The Governing Body shall frame rules and regulations for the conduct of elections.

19. The Governing Body in office at the time of registrations of the Society and whose names are

set in the clause 4 of the Memorandum of Association shall be the first Governing Body under

Societies Registration Act XXI of 1860.

20. In the event of a vacancy occurring in the Governing Body during the course of its period , the

G.B. shall fill it by Co-option.

21. Representatives of various trusts of the value of Rs.50000/- and over donors of the value of

Rs.50000/- and over will be taken on Governing Body as Ex-officio members. These number shall

not exceed 5 at a time.

22. The Governing Body shall have powers to co-option on its board not more than 3 persons of

special qualification as Ex-officio members.

DUTIES AND POWER OF G.B.

23. The duties of the Governing Body are :-

(a) To maintain discipline and control to confirm , to give increment , to dismiss , discharge or

remove any one in the service of the society.

(b) To make all the appointments , to direct retirements , to give promotions , to grant leave

and to award punishments to the staff.

(c) To sanction the rate of fees for various articles and to fix amount of deposit, To fix fee

,Charges and frame rules for provident funds , leave rules.

(d) To sanction annual Budget.

(e) To fix date for nomination and for election of members of the G.B. and frame rules for

election of the G.B.

(f) To fix date for nomination and for election of the G.B. and frame rules for election of the

G.B.

(g) To appropriate the current funds of the Society.

(h) To assign loans and scholarship.

(i) To purchase , take or lease or hire otherwise acquire any movable or immovable property or

any rights or privileges necessary or convenient for the purpose of the Society.

(j) To conduct , alter , improve , manage ,develop or to keep in repairs any building required

for the Society.

(k) To invest the funds of the society in such securities as many from time be determined , to

borrow or raise money on lands , buildings , pro-notes , mortgage or charge on the Societys

property movable or immovable.

(l) To appoint auditors every year.

(m) To purchase , hold ,sell, exchange , mortgage, lease and to make any arrangement of

properties of any kind of the Society.

(n) To collet, receive, money, clothes grains or any other articles from people as charities and

distribute to the poor or deserving peoples suffering from poverty natural calamities such

as flood , famine , fire or riots.

(o) To accept educational trust funds of Rs.500 and above for the diffusion of useful knowledge.

(p) To borrow or raise money in such manner as the Society may think fit.

(q) To lend , invest or otherwise employ money belonging to or shares and deposit money with

Bankers as approved by the Governing Body.

(r) To accept time deposits, gifts, donations either in cash or in articles with a view to achieve

any of the objects of the society.

(24) The Governing Body shall meet at least once in 3 months.

(25) Five members present in person shall Institute quorum.

(26) At least seven clear days previous notice of a meeting shall be given in writing by the Secretary ,

Specifying the time and place and nature of business to be transacted , though business of

urgent nature may be transacted by a circuler.

(27) All questions before the G.B. shall be decided by Majority Vote and in case of equality the

president of the meeting will have a casting vote in addition to his own.

(28) The G.B. may from time to time frame Eye laws for regulating the conduct and management of

its business.

(29) The G.B. shall lay down the general policy for the publications of Journal pamphlets and books

and shall appoint editor or board of editors.

(30) The G.B. shall in addition to the powers and authorities confirmed by these expressly or

otherwise may exercise to provision of the Society Registration Acts XXI of 1860 and regulations

made from time to time by the Society.

(31) The contracts , deeds and instruments to be entered into by or on behalf of the society shall be

executed by the President and secretary.

(32) The Secretary shall conduct , the correspondence , and shall supervise all the work and see that

the rules and regulations , Bye-lows and orders of the G.B. are properly executed.

(33) The Secretary shall :-

(a) maintain a register of members,

(b) purchase or dispose off dead-stock,

(c) purchase ,useful books, newspapers or magazine,

(d) to spend upto Rs.100/- in anticipation of sanction of the G.B.

(e) convene meeting,

(f) request G.B. to appoint joint Secretary or Hon.managers and delegate such powers and

duties as he thinks fit.

(34) No politics will be discussed in any meeting.

(35) No members of the committee or any other office-bearer shall be personally liable for anything

done by him bonafidely and during the course of his discharge of duties as such officer , nor

shall be responsible for any fraud , misappropriation , misconduct or neglect of duty of any of

his colleges.

(36) No alteration , deletion or additions shall be made of the existing rules and regulations unless

passed by a two thirds of the members present at the general meeting specially convened for

the purpose with a proper quorum.
