Chapter –I

DETAILED NOTICE INVITING TENDER

Sealed tenders (with Sealing Wax / packing PVC tape) are invited by Deputy Director General (TERM), Assam from the eligible Agencies for following works.

1.1 Eligibility Condition: The prospective bidder should satisfy following conditions.

a) The agency should hold valid Service Tax registration in favour of the firm.

b) The agency should have EPF registration of the firm.

c) The agency should have at least one-year experience in providing such services to the State/Central Government.

d) The agency should not be black-listed by any govt. Department/Organization. Undertaking for the same must be provided.

e) The agency should furnish documents mentioned at Annexure-I-Technical Bid.

1.2 The cost of tender document (Non-refundable) is Rs.200/-, which can be paid in the form of DD. The DD for cost of tender form and EMD should be drawn separately in favour of ‘CAO, O/O CCA, Assam” payable at Guwahati. The Demand draft

should be valid at least for two coming months from date of opening of tender. Prospective bidders satisfying eligibility conditions can also download the tender document form directly from web site www.dot.gov.in, but they have to submit requisite cost of tender documents in form of Demand Draft as stated above. The DDs for EMD and tender cost should be separate.

1.3 Tenders are required to be submitted in two envelops placed in one envelop (all sealed with sealing wax/Packing PVC tape) and the main envelope superscripted “Bid Document- TERM.AS/G-8(5)/2015/Vol-I/Outsourcing Dated: 24.03.2015. The details of two envelopes are mentioned below:

(I) Technical bid: - Envelop for Technical bid should be superscripted “Technical Bid” and should contain

a) The proforma in Annexure -I- Technical Bid duly

filled in and signed.

b) Agency profile including previous experience of

manpower supplies to Central/ State Government/

Departments/ Public Sector Undertakings etc.

c) Acceptance of terms and conditions by the agency.

d) Separate Demand Drafts for Earnest Money Deposit

and cost of the bid document (in case downloaded

from website).

e) Other required documents mentioned at Annexure -I-

Technical Bid.

(II) Financial bid:- Envelop for Financial Bid should be

properly sealed and superscripted “Financial Bid” and

should be duly filled in and signed as per proforma in

Annexure-II-Financial Bid.

1.4 SIGNING OF BID:

(I) The bidder shall submit, all pages of tender documents as a part of his bid, the complete bid documents duly signed.

(II) The bid shall contain no inter-lineation, erasures or overwriting except as necessary to correct errors made by the bidder in which case such corrections shall be

1.5 The tender document shall be available on sale on all working

days from 11-00 hrs to 16-00 hrs from 24/03/2015 up to

16/04/2015 in the office of DDG (TERM) Assam.

1.6 The last date and time of receipt of tender offer in the office

of DDG (TERM), Assam is up to 15-00 hrs of 17/04/2015 which will

be opened at 15-30 hrs on the same day and same place.

Chapter –II : Tender Conditions

2.1 SCHEDULE:

2.2 GENERAL CONDITIONS

I. The Contract shall be for a period of one year from the date of agreement. The period of contract may be extended on the same terms and conditions for a further period of one year at the sole discretion of DEPUTY DIRECTOR GENERAL (TERM), Assam.

II. EMD and security deposit of the successful tenderer will be forfeited if he fails to commence the work as per letter of award.

III. The DDG (Telecom Enforcement, Resource & Monitoring Cell), Assam, does not bind himself to accept the lowest or any bid and reserves to himself the right of accepting the whole or any part of the bid.

IV. The Agency shall fulfill the legal requirement of obtaining License under the Contract Labour (Regulation & Abolition) Act.

V. It will be the responsibility of the Agency to meet other transportation, food, medical and any other requirement of Agency’s manpower for carrying out the contract works. Telecom Enforcement, Resource & Monitoring Cell, Assam will have no liability in this

regard at any stage.

VI. For all intent and purpose, the Agency shall be the ‘Employer’ within the meaning of different Labour Legislations in respect of manpower deployed for contractual services.

VII. The manpower deployed in TERM Cell, Assam shall not claim any benefit/ compensation/ absorption/ regularization of services in the TERM Cell, Assam under the provisions of Industrial Dispute Act 1947 or Contract Labour (Regulation and Abolition) Act 1970. Undertaking from the persons to this effect shall be required before actual deployment of manpower in TERM Cell, Assam.

VIII. The man power deployed by the Agency for the contract shall not be entitled for claim, pay, perks and other facilities which may be admissible to casual, ad-hoc, regular/confirmed manpower of the TERM, Assam, during the currency or after expiry of the contract.

IX. The manpower employed by the agency shall be required to work normally 8.00 hours per day as per the TERM Cell, Assam, working days, i.e. from Monday to Friday from 09:30 hrs. to 18:00 hrs. with a lunch break of half an hour from 13:30 hrs. to 14:00 hrs. However, in exigencies of work, they may be required to sit late and the personnel may be called on Saturdays, Sundays and other Gazetted holidays.

X. The Agency shall be solely responsible for redressal of grievances/ resolution of disputes relating to the manpower deployed.

XI. TERM Cell, Assam shall not be responsible for any damages, losses, claims, financial or other injury to any person deployed by the Agency during the course of their execution of services, or for payment towards any compensation.

XII. The agency will be wholly responsible for regular and timely payment of wages to the persons engaged by it in compliance of all the statutory obligations under all related legislations as applicable to it from time to time including Minimum Wage Act, Employees Provident Fund and ESI Acts. TERM Cell, Assam shall not incur any expenditure what so ever on the persons engaged by the agency on account of any obligation. The agency is

required to submit particulars of payment made by it towards EPF and ESI contribution for the personnel engaged.

XIII. Two separate work orders will be issued. One for Un-skilled and Semi-skilled Manpower and another for Data Entry Operators. The agency will be required to submit two separate bills –

One for Un-skilled and Semi-skilled Manpower and Another for Data Entry Operators.

XIV. The Agency will be required to pay minimum wages as per order no. 1/17(3)/2014-LS-II dated 29/09/2014 issued by O/o the Chief Labour Commissioner (C), Ministry of Labour and Employment, Government of India, New Delhi. Minimum wages has to be enhanced in case of revision of wages/ VDAs by the Ministry of Labour and Employment, New Delhi during the period of contract and the same will be re-imbursed by the TERM Cell, Assam on receipt of bill.

XV. The agency shall communicate to the DDG (TERM), Assam the name, residential address, age etc. of each of the person deployed by it.

XVI. The Agency shall take all reasonable precautions to prevent any unlawful riots or disorderly conduct or acts of his employees so deployed for the preservation of peace and protection of persons and property of TERM, Assam.

XVII. EMD of the successful bidder will be returned after receiving security deposit as applicable. EMD of unsuccessful bidders will be returned within 30days of finalization of tender.

2.3 The persons deployed by the Agency must be courteous and should bear a good conduct/ moral character. Such person should not have any past criminal record. The persons should preferably be young, energetic and possess a good health and sound mind. On any case such person must be free from all contagious diseases. No labour below the age of 18 years shall be employed /arranged for the work by the Agency at the TERM, Assam. The candidates should preferably be under 35 years of age.

2.4 In case any of the persons deployed by the Agency does not come

up to the mark or does not perform his duties properly or indulges in any unlawful acts or disorderly conducts, the Agency shall take suitable action against such employee on the report of the TERM, Assam. The Agency shall replace the particular person so deployed on demand of the DDG (TERM), Assam in case of any of the aforesaid acts on the part of the person concerned.

2.5 The agency shall provide manpower as requested by the TERM Cell, Assam. The said personnel engaged by the agency shall be employees of the agency and it shall be the duty of the agency to pay their salary by 5th of every month and then claim reimbursement form TERM Cell, Assam.

2.6 The Agency shall be responsible for fulfilling all his obligations towards the persons deployed under the Law, namely, under the Minimum Wages Act, Contract Labour Act, Employee Provident Fund Act, ESI Act, Bonus Act, Shops & Establishment Act, etc. as applicable and amended from time to time.

2.7 The Agency shall conform to the provisions of Central / State Act(s) or the Regulations on the subject as well as the terms and conditions of the agreement to be executed.

2.8 The Agency shall, on demand, furnish copies of wage register / muster roll etc., to the TERM, Assam for having paid all the dues to the persons deployed by the Agency for the work. This obligation is imposed on the Agency to ensure that the Agency is fulfilling his commitments towards his employees so deployed under various Labour Laws, having regard to the duties of TERM, Assam in this respect as per the provisions of the Contract Labour (Regulation & Abolition) Act, 1970.

2.9 The Agency shall maintain all the records prescribed under the Contract Labour (Regulation & Abolition) Act, 1970 and under the other related labour regulations and furnish these for inspection when demanded by the TERM, Assam or the concerned Central / State Govt./ Judicial Authorities, as the case may be.

2.10 The Agency shall keep the TERM Cell, Assam indemnified against all claims whatsoever in respect of the employees deployed by him. In case any employee of the Agency so deployed enters in dispute of any nature whatsoever, it will be the sole responsibility of the Agency to contest the same. In case of TERM, Assam is made a party and is supposed to contest the case, the Agency shall reimburse to TERM, Assam the actual expenses incurred towards Counsel fee and other expenses which shall be paid in advance by the Agency to TERM, Assam on demand. The Agency shall ensure that no financial or any other liability

comes on TERM, Assam in this respect of any nature whatsoever and shall keep TERM, Assam indemnified in this respect.

2.11 Income Tax at the prevailing rate and surcharge thereon will be deducted from the monthly bill amount claimed by the Agency as per rules.

2.12 The Agency shall execute an agreement in the format prescribed, within the time stipulated by the DDG (TERM), Assam.

2.13 Before signing the agreement, the Agency shall deposit 10% of the annual value of contract as Security Deposit in the form of bank guarantee in prescribed proforma, valid for 3 months more beyond the period of contract i.e. 15 months in case of one year contract. The rate expressed as monthly Price for the entire scope of the contract shall remain unchanged throughout the entire period of contract.

2.14 The contract may be terminated by giving one month prior notice by either party. Further, the contract may also be terminated on any of the following contingencies

(A) On the expiry of the contract period as stated above.

(B) On account of committing breach by the Agency of any of the terms & conditions of the agreement.

(C) Assigning the contract or any part thereof or any benefit or interest therein or there under by the Agency to any third person or sub-letting whole or part on the contract to any third person.

(D) On Agency being declared insolvent by competent court of law.

(E) If the Agency suspends or abandons the execution of work and the Director Incharge of the work comes to conclusion that work could not be completed by due date for completion or Agency had already failed to complete the work by that time.

(F) If the Officer- in-charge of work had issued a notice to the Agency in writing to rectify/replace any defective work and he/she fails to comply with the requirement within the specified period

(G) Upon rescission of the contract, the security deposit of the Agency shall be forfeited and the same shall lie

absolutely at the disposal of the Department.

2.15 Issuance of Notice :

a) The Officer- in-charge of work shall issue show cause notice giving details of lapses, violation of terms and conditions of the contract, wrongful delays or suspension of work or slow progress to the Agency directing the Agency to take corrective action. A definite time schedule for corrective action shall be mentioned in the show cause notice. If the Agency fails to take corrective action within the stipulated time frame, the Officer-in-charge shall submit a case for issue of final notice along with a detailed report to the competent authority who had accepted the contract.

b) The final notice for rescission of contract to the Agency shall expressly state the precise date and time from which the rescission would become effective. The following safe guards shall be taken while issuing the final notice :

(I) During the period of service of notice and its effectiveness, the Agency should not be allowed to remove from the site any material/equipment belonging to the TERM Cell, Assam.

(II) Officer- in-charge of work shall make adequate manpower arrangement in replacement of the Agency man power. Expenses on this account shall be recovered from the security deposit or any amount due to the Agency.

2.16 ARBITRATION Except where otherwise provided in the contract all instructions hereinbefore mentioned, and as to the quality of personnel deployed on the work or as to any other question, claim, right matter or thing whatsoever in any way arising out of or relating to the contract, instructions, orders on these conditions or otherwise concerning the works, or after the completion or abandonment thereof, shall be referred to the sole arbitration of the person appointed by the DDG [TERM] Assam The arbitrator shall be appointed within 30 days from the receipt of a request by any party the arbitrator, to whom the matter is originally referred, being unwilling or unable to act for any act as arbitrator in accordance with the terms of the contract. Such person shall be entitled to proceed with the reference from the stage at which it was left by his predecessor. The arbitrator shall give speaking award. The award of the Arbitrator shall be final and binding on both the parties. The cost of the Arbitrator shall be borne by the Agency.

2.17 SCOPE OF WORK:

(A) For office upkeep and house keeping Services.

The scope of work generally consists of providing minimum of Two number of Semi-skilled and one number of unskilled Manpower for office upkeep and housekeeping services. The minimum wages for these categories must be determined as per order no. 1/17(3)/2014-LS-II dated 29/09/2014 issued by O/o the Chief Labour Commissioner (C), Ministry of Labour and Employment, Government of India, New Delhi applicable for Assam area. However, in case of additional requirement the tenderer shall arrange additional hands at the quoted rates on prior notice from TERM Cell, Assam.

(I) UN-SKILLED MANPOWER:

Person is expected to perform the duty of maintenance and house-keeping, office assistance and any other specific tasks identified by TERM, Assam from time to time. The persons must have ability to communicate in Hindi and Assamese languages. Un-skilled operation includes:

Opening and Closing of the office, cleaning of the electrical and electronic appliances like computers, fax, scanners, Photostat machines, fans and lights, making arrangements for tea, coffee, water etc. during the meetings and routinely to the officers of TERM Cell, Assam and other official visitors/representatives, and any other miscellaneous type of work assigned by the officer-in-charge etc.

(II) SEMI - SKILLED MANPOWER:

Persons are expected to perform the duty as normally attended by office peon/ attendant and any other specific tasks identified by TERM, Assam from time to time. The persons must have ability to read and write in English language and optionally to read, write and speak in Hindi and Assamese languages. Semi-Skilled operation includes:

Photocopying, making sets of reports and other general office documents, Dispatch and delivery of official letters in person, ordinary post and registered/speed post, Distribution of office dak & files of general nature among the officers, Assistance to the officers for the various works carried out by them, any other miscellaneous type of work assigned by the officer-in-charge, etc.

(B) For Data entry operator Services

The scope of work generally consists of providing minimum of Two number of Data Entry Operators. The minimum wages for these categories must be determined as per order no. 1/17(3)/2014-LS-II dated 29/09/2014 issued by O/o the Chief Labour Commissioner (C), Ministry of Labour and Employment, Government of India, New Delhi applicable for Assam area. For this purpose Data Entry Operator will be treated as skilled/clerical manpower. However, in case of additional requirement the tenderer shall arrange additional hands at the quoted rates on prior notice from TERM Cell, Assam.

The Data Entry Operators should be at least 10+2 passed or equivalent from a recognized institution. He/She should have sufficient knowledge of computer operation. He must have proficiency in MS office/Open office/equivalent. DDG (TERM) should be satisfied with the computer handling capability of the Data Entry Operator. If the Manpower found unsatisfactory, Agency will be asked to change the operator with immediate effect. Scope of work for a Data Entry Operator includes.

(I) Scanning the documents, computer data entry, preparing of reports and other general office

documents.

(II) Typing the official letters and other documents.

(III) Handling existing data and editing current information.

(IV) Proof reading new entries into a database etc.

(V) Keeping the office record updated.

(VI) Taking backup of data at regular intervals and storage of data.

The requirement of this office may increase or decrease during the initial period of contract also. The above work is required normally during office hours on a day to day basis.

2.18 PAYMENTS

Payments by crossed cheque or through ECS will be made on monthly basis normally within 15 days of the submission of Bills in duplicate addressed to the DDG (TERM) Assam, duly pre-receipted and duly verified by the controlling Officer-in-Charge, TERM Cell, Assam. Two separate bills should be submitted

as below:-

(I) One bill for Data Entry Operator. (II) One bill for Semi-Skilled and Unskilled Manpower.

2.19 EVALUATION OF BIDS

(I) The Department shall evaluate each bid to determine whether the same meet the technical and commercial requirement of this tender.

(II) If there is discrepancy between words and figures, the amount in words shall prevail. If the tenderer does not accept the correction of the errors, his bid shall be rejected.

(III) The TERM Cell, Assam will determine the substantial responsiveness of each bid to the bid document. For the purpose of these clauses a substantially responsive bid is one which conforms to all the terms and conditions of the bid documents without deviations. Determination of bid’s responsiveness shall be based on the contents of the bid itself without recourse to extrinsic evidence.

(IV) A bid determined as substantially non responsive will be rejected and shall not, subsequent to the bid opening, be made responsive by the bidder by correction of the non-conformity.

(V) The competent authority may waive any minor infirmity of non-conformity or irregularity in a bid which does not constitute a material deviation, provided such waiver does not prejudice or affect the relative ranking of the bidder.

(VI) The Agencies have to quote for all the items. In case of non-quoting of any item, the tender will be treated as incomplete and will not be considered.

(VII) For evaluation of submitted bids, quoted administrative charge shall form the basis. In case of a tie between two bidders, decision of the DDG (TERM)/Assam shall be final & binding to all parties.

2.20 AWARD OF CONTRACT:

TERM CELL, Assam shall consider award of contract only to those eligible bidders whose offers have been found technically, commercially and financially acceptable.

2.21 RIGHT TO VARY QUANTUM OF WORK:

The TERM CELL, Assam during the period of the contract, reserves

the right to decrease or increase the work by up to 25% of the total value of estimated work specified in the schedule of requirements without any change in the rates or other terms and conditions.

2.22 The TERM CELL, Assam reserves the right to accept or reject any bid and to annul the bidding process and reject all bids, at any time prior to award of contract without assigning any reason what-so-ever and without thereby incurring any liability to the affected bidder or bidders on the grounds for the TERM Cell, Assam’s action.

2.23 LETTER OF ACCEPTANCE:

The Letter of Acceptance shall be issued to the accepted bidder with the intention of TERM CELL, ASSAM to enter into the contract with the bidder. The bidder shall within 10 days of issue of Letter of Acceptance (LOA), should give his acceptance along with Security Deposit as per clause 2.13 of chapter 2.

2.24 SIGNING OF AGREEMENT:

The agreement with the successful bidder shall be signed by within 3 (three) days of submission of acceptance of LOA and deposit of SD by Agency as per clause 2.13 of chapter 2.

2.25 PERIOD OF CONTRACT:

The period of contract will be one year from the date of commencement, extendable FURTHER on satisfactory performance on same rates, terms and conditions at the sole discretion of TERM Cell, Assam.

(B) Administrative Charges: - The tenderer shall be required to quote only administrative charges per contract employee which shall be the deciding parameters for the award of the contract.

Service Tax will be extra.

The manpower employed by the agency shall be required to work normally 8.00 hours per day as per the TERM Cell, Assam, working days, i.e. from Monday to Friday from 09:30 hrs. to 18:00 hrs. with a lunch break of half an hour from 13:30 hrs. to 14:00 hrs. However, in exigencies of work, they may be required to sit late and the personnel may be called on Sundays and other Gazetted holidays.

AGREEMENT Format

And whereas the Agency is ready and willing to execute the said work in accordance with the contract.

Now this agreement is hereby agreed and declared as follows:

1. The tender notice, general rules, terms & conditions, Tender schedules Engineering Instructions, letter of Tender No…………….( along with its enclosures) annexed hereto and such other additional particular instructions as may be found requisite to be given during execution of the work shall be deemed and taken to be integral part of the contract and also be deemed to be included in the expression ―Contractual of contract documents‖ wherever herein used.

ANNEXURE-‘E’

PERFORMANCE SECURITY GUARANTEE BOND

We undertake to pay to the purchaser any money so demanded notwithstanding any dispute or disputes raised by the Agency(s)/supplier(s) in any suit or proceeding pending before any court or tribunal relating thereto our liability under this present being absolute and unequivocal. conditions of the said Agreement have been fully or properly carried out by the said Agency(s) and accordingly discharges this guarantee. 4. 5. This guarantee will not be discharged due to the change in the constitution of the Bank or the Agency(s)/supplier(s)
