Terms and Conditions of GFT Innovations GmbH (GFT) for Agreements with Conference Partner 1. General provisions; scope 1.1. These Terms and Conditions apply to all Agreements

with Conference Partners (hereinafter “Partner”). 1.2. These Terms and Conditions apply to the exclusion of

any other terms and conditions and form part of the agreement and any supplements thereto. Partner's terms and conditions in addition to or different from these Terms and Conditions shall not become part of the agreement without GFT’s express written consent. The preceding provision shall also apply to terms and conditions of business set forth in offers, order confir-mations or other documents of the Partner.

2. GFT’s Services and Obligations of the Partner 2.1. GFT agrees to grant the Partner the status of a “Con-

ference Partner” of the Project CODE_n14 (hereinaf-ter “Project” or “CODE_n14”).

2.2. The status of a Conference Partner under the preced-ing number 1.1 entails the rights and performance ob-ligations described in the document with the respec-tive offering.

2.3. GFT shall not be obligated to perform additional ser-vices, unless they have been explicitly agreed upon in writing between the Parties. In particular, GFT does not guarantee that the Partner’s involvement in the Project will achieve any of Partner’s direct or indirect objective, including the realization of any tax-related effects. The risk of achieving such objectives is the sole responsibility of the Partner.

2.4 In good time prior to the performance of the Project, GFT, in its sole discretion, and on the basis of the overall artistic concept giving due regard to the inter-ests of all Partners, can publish guidelines in order to ensure a presence at the CeBIT Trade Show that takes the artistic concept and the Project into account. The Partner shall comply with the requirements of the guideline.

2.5 For all logos to be inserted under this Agreement, the Partner shall provide GFT with a sample of the Part-ner’s logo with the appropriate resolution. GFT agrees to use the logo in accordance with the Partner’s sam-ple and Partner’s other requirements. The specific re-production and placement of the logo shall be per-formed in consultation with the Partner. In this regard, and for the term of this Agreement only, the Partner shall grant GFT the non-exclusive right, which may be revoked at any time, to use the Part-ner’s name and logo for the performance of the con-tractual services. GFT shall have the right to grant to the companies affiliated with GFT a corresponding right of use even without the prior written consent of the Partner, exclusively for Project marketing purpos-es.

3. License of the word mark ››CODE_n‹‹

GFT shall grant the Partner the non-exclusive, non-transferable right to freely use the word mark ››CODE_n‹‹ to the extent that such use is necessary for the performance of obligations under this Agree-ment. GFT can publish reasonable general conditions which the Partner shall comply with, following the noti-fication of such conditions.

4. Excluded activities The Partner shall be prohibited from the following ac-tivities in connection with the partnership, the use of the word mark ››CODE_n‹‹, and the rights of use granted to the Partner under this Agreement: • Activities in violation of legal provisions, in particular

the deceptive or misleading use of the word mark ››CODE_n‹‹ and

• Activities with party-political content, especially can-vassing.

5. Liability

GFT’s liability is unlimited for claims for damages, re-imbursement of expenses incurred and indemnifica-tion if and to the extent that GFT is liable under man-datory statutory law as in cases of wilful actions, viola-tions of obligations, the fulfilment of which was guar-anteed, for losses arising from injuries of the body, life or health of a person, for claims based on fraudulent deception, and for claims in connection with defects or losses the liability for which is mandatory under the statutory provisions of the Product Liability Act. GFT’s overall liability for claims for damages, reim-bursement of expenses incurred, and indemnification arising from negligent actions or omissions shall be limited to an amount that is equal to the Partner’s Payment.

6. Protection of Privacy

Both Parties shall be obligated to adhere to all statuto-ry provisions, in particular those of the German Fed-eral Privacy Act (Bundesdatenschutzgesetz, BDSG).

7. Final Provisions 7.1 The Partner shall be prohibited from transferring,

encumbering or licensing rights and claims under this Agreement to third parties, without the prior written consent of GFT. GFT may give or withhold its consent in its sole discretion.

7.2 No oral supplemental agreements have been entered into. Any changes and amendments to this Agree-ment require written form. This provision shall also apply to any change of the written form requirement.

7.3 In the event that any provision of this Agreement is invalid, in whole or in part, or should this Agreement contain a contractual gap, the validity of the remaining provisions shall not be affected by such invalidity. In-stead, the invalid provision shall be deemed to be re-placed by a valid provision that comes closest to the economic purpose of the invalid provision. In the event of a contractual gap, a provision shall be deemed to have been agreed upon by the Parties cor-responding to that which the Parties would have agreed upon in view of the purpose of the Agreement if they would have considered such matter from the very beginning.

7.4 The law of the Federal Republic of Germany shall apply. The United Nations convention on Contract for the International Sale of Goods and of all conflict of law provisions shall be excluded.

7.5 Place of performance and jurisdiction for all disputes arising out of and in connection with this Agreement shall be Stuttgart.
