業/停車場大廈」及「住宅大廈」(如有者)除外)、簷篷、綠化地方、平台、綠化

天台、園景平台、灌溉水缸及泵房、消防喉轆,以及在「屋苑」內提供或安裝

並擬為 屋苑」整體而非其中任何個別部分提供服務的其他地方與任何其他

系統、裝置與設施(為免生疑問,包括園景平台和花槽及位於「商業/停車場大

Summary of Provisions that Deal with the Following Matters :

Unless otherwise defined in this sales brochure, capitalised and other terms used in the following shall have the same meaning of such terms used in the Deed of Mutual Covenant (“DMC”). Please refer to the DMC for reference.

A The Common Parts of the Development

“Common Areas and Facilities” shall mean (as the context may require) all or any of (i) the Estate Common Areas and Facilities; (ii) the Residential Block Common Areas and Facilities and (iii) all those parts and such of the facilities of the Estate designated as common areas and facilities in accordance with the provisions of Sub-Deed (if any), each of which Common Areas and Facilities shall, where applicable, include those appropriate and relevant common parts specified in Schedule 1 to the Building Management Ordinance (Cap. 344).

“Estate Common Areas and Facilities” shall mean the areas, systems, devices and facilities of the said land and the Estate intended for the common use and benefit of the Estate as a whole and not just any particular part thereof, and shall include but not limited to the Noise Barriers, Owners’ Corporation office, Estate management office, unisex lavatories, accessible toilet, cleansing contractor’s office, workshop for artisans, emergency vehicular access/vehicle access road, the Slope Structures, planters, gas kiosk, the lifts, lift lobby and lift shafts of Commercial/Car Park Block, street fire hydrant water tank, the drop gate at the entrance of the Estate’s vehicle access, external walls (other than those pertaining to the Commercial/Car Park Block and the Residential Block (if any)), canopy, greenery areas, flat roofs, green roofs, landscape deck, irrigation water tank and pump room, hose reels, and such other areas and any other systems, devices and facilities provided or installed in the Estate and intended to serve the Estate as a whole and not just any particular part thereof (and for the avoidance of doubt, including the landscape deck and planters, the waterproofing layer and the ancillary pipes and drains for the landscape deck and planters on top of the concrete structures of the Commercial/Car Park Block) which, for the purpose of identification only, are shown coloured orange, orange hatched black, orange cross-hatched black, green and yellow (insofar as such areas, systems, devices and facilities are identifiable on such plans) on the plans annexed to the DMC and such additional areas, systems, devices and facilities of the said land and the Estate intended for the common use and benefit of the Estate as a whole and not just any particular part thereof as may at any time be designated as Estate Common Areas and Facilities by the Hong Kong Housing Authority (“HA”) in accordance with the provisions of the DMC but (unless otherwise expressly defined and provided under the DMC) shall exclude the Residential Block Common Areas and Facilities and such areas within the Estate in respect of which the exclusive right and privilege to hold, use, occupy and enjoy the same belongs to any particular Owner and such facilities within the Estate serving only any particular Owner.

“Residential Block Common Areas and Facilities” shall mean and include but not limited to the Gas Pipe Before Meter (other than such part which serves the Commercial/Car Park Block exclusively), the loading and unloading bays and the car parking space for refuse collection vehicle for the use of the residents of the Residential Units, all acoustic fins on the external walls of the Residential Block, tie beams, greenery areas, covered area, covered play areas, community play area, staircases, passages, master water meter room, check water meter chambers, fire services feed and fire services intermediate booster and pump rooms, fire services sump tanks, pipe ducts, pipe duct rooms, guard counters, mail rooms, refuse storage and material recovery rooms, refuse storage and material recovery chambers, cable rooms, lift lobbies, lifts and lift shafts of the Residential Block, bicycle parking areas, telecommunication and broadcasting equipments rooms, flush water sump tanks, fresh water sump tanks, fresh water and flush water pump rooms, main switch rooms, transformer rooms, electrical meter rooms, water meter cupboards, telecommunication rooms, plumbing pipe ducts, vent duct rooms, vent ducts, cable duct room, fresh water booster pump rooms, working platforms, emergency generator rooms, lift machine rooms, flush water tanks, fire services water tanks, fresh water tanks, the external walls pertaining to the Residential Block including projections such as air-conditioner hoods outside the Residential Units, cable accommodations and associated facilities, smart meter monitoring and display system, security system and apparatus and communal aerial broadcast distribution system within the Residential Block, covered walkways, planters, courtyard, badminton court, basketball court, refuse collection point, junk collection point, material recovery point, drainage pipe ducts, hose reels, overflow pits, fire services inlets, canopies, flat roofs, store rooms, store, metal fence, inaccessible voids, vent pipe, which for the purpose of identification only, are shown coloured brown, brown hatched black, brown cross-hatched black and pecked green line (insofar as such areas, systems, devices and facilities are identifiable on such plans) on the plans annexed to the DMC and such additional areas, systems, devices and facilities as may at any time be designated as Residential Block Common Areas and Facilities by the HA in accordance with the provisions of the DMC but (unless otherwise expressly defined and provided under the DMC) shall exclude the Estate Common Areas and Facilities and such areas within the Residential Block in respect of which the exclusive right and privilege to hold, use, occupy and enjoy the same belongs to any particular Owner and such facilities within the Residential Block serving only any particular Owner.

C The Term of Years for which the Manager of the Development is Appointed

Subject to the provisions of the Building Management Ordinance (Cap. 344), the covenants, conditions and provisos of the said lease and the provisions of termination contained in the DMC, the HA shall undertake the management of the said land and the Estate for an initial term expiring 24 calendar months from the date of issue of the Completion Certificate (or if more than one Completion Certificate the latest thereof) of the Estate or until an Owners’ Corporation is formed, whichever is the earlier and shall continue to be the Manager for such further period until the termination of the HA’s appointment in accordance with the provisions of the DMC.

D The Basis on which the Management Expenses are Shared Among the Owners of the Residential Properties in the Development

(1) Each of the Owners shall pay a monthly sum as determined by the Manager being the due proportion of the costs, charges and expenses necessarily and reasonably incurred in the management of the Estate in proportion to the number of Management Shares allocated to such part of the Estate of which he has the exclusive right to hold use occupy and enjoy. The amount of such monthly sum shall be determined by the Manager based on the annual budget made in accordance with the provisions of the DMC.

(2) The number of Management Shares allocated to each residential property in the Development is as follows:

位於丈量約份第126 約地段第678號之香港房屋委員會(下稱「承租人」,如語意容

許,亦包括其 繼 承人或受讓 人)之發 展項目的政 府租 契(下稱「該租 契」)日期為

2015年12月18日。

1 該發展項目位於丈量約份第126約地段第678號(下稱「該土地」)。

2 該土地」的批租年期為50年,由2015年12月18日起計。

3 該租契」條款第4.3條訂明︰

承租人」須不時及在此後的所有時間在每當有需要或情況要求時妥善及足夠

地管理自費修理、維護、支持、維持、鋪設、清洗、刷淨、清潔、清空、改動及保持

該土地」及現有或其後任何時間位於「該土地」的樓宇或單位及所有其他架

設物及建築物,所有「該土地」內的山坡上,擋土結構和擋土牆,及所有與屬於

該土地」或任何上述樓宇、單位、架設物及建築物及以任何形式從屬於或關連

該處的牆、堤岸、路塹、籬笆、溝渠、路軌、電燈、行人道、水廁、洗滌槽、排水渠

4 該租契」條款第4.13條訂明︰

除「該租契」的條款及契諾另有規定外,「承租人」不得使用或准許或容許他人

使用「該土地」或其任何部分或任何已建或擬建於「該土地」的建築物或其任何

部分作私人住宅用途連同「該租契」所述的非住宅用途(不包括工業、倉庫、酒

店及加油站)之住宿及附屬設施以外的任何其他用途。特此說明,已建或擬建於

該土地」的建築物內的任何住宅單位不得用作私人住宅用途以外的任何其他

用途。

5 該租契」條款第4.14(c)條訂明︰

該 土地」在 建 設 和 重 建時 和 在符 合「該租 契」的 條 款 和契 諾 下,並 在符 合

該租契」條款第4.14(a)條的規定下,「承租人」應以「署長」滿意的方式建造、提

供並維持「該土地」內的所有範疇,總建築面積不超過4,100平方米和不少於2,500

平方米的非住宅(不包括工業、倉庫、酒店及加油站)的住宿,其中如下:

(i) 非住宅(不包括工業、倉庫、酒店及加油站)的住宿的商業用途的總建築面

The government lease governing the Development by the Hong Kong Housing Authority (“the Lessee” which expression shall where the context so admits include its successors and assigns) in respect of the whole of Lot No.678 in Demarcation District No.126 (“the said lease”) is dated the 18th day of December 2015.

1 The Development is situated on Lot No.678 in Demarcation District No.126 (“the said land”).

2 The said land is granted for a term of 50 years commencing from the 18th day of December 2015.

3 Clause No. 4.3 of the said lease stipulates that:

The Lessee shall from time to time and at all times hereafter, when where and as often as need or occasion shall require, at the Lessee’s own proper costs and charges well and sufficiently manage, repair, uphold, support, maintain, pave, purge, scour, cleanse, empty, amend and keep the said land and the messuage or tenement, messuages or tenements and all other erections and buildings now or which may at any time hereafter be standing upon the said land, all the slopes, earth-retaining structures and retaining walls within the said land and all the walls, banks, cuttings, hedges, ditches, rails, lights, pavements, privies, sinks, drains and watercourses thereunto belonging and which shall in any-wise belong or appertain unto the said land or any of the said messuages, tenements, erections and buildings in, by and with all and all manner of needful and necessary reparations, cleansings and amendments whatsoever the whole to be done to the satisfaction of the Director of Lands (hereinafter referred to as “the Director”).

4 Clause No. 4.13 of the said lease stipulates that:

Subject to the terms and covenants contained in the said lease, the Lessee shall not use or permit or suffer to be used the said land or any part thereof or any building or buildings erected or to be erected thereon or any part of such building or buildings for any purpose other than for private residential purposes together with such non-domestic (excluding industrial, godown, hotel and petrol filling station) accommodation and ancillary facilities as referred to in the said lease and in particular, any residential flats in the building or buildings erected or to be erected on the said land shall not be used for any purpose other than for private residential purposes.

5 Clause No. 4.14 (c) of the said lease stipulates that:

Upon development and redevelopment of the said land and subject to the terms and covenants contained in the said lease, subject to Clause No. 4.14(a) of the said lease, the Lessee shall erect, provide and maintain within the said land in all respects to the satisfaction of the Director non-domestic (excluding industrial, godown, hotel and petrol filling station) accommodation having a gross floor area of not more than 4,100 square metres and not less than 2,500 square metres as follows:(i) of the total non-domestic (excluding industrial, godown, hotel and petrol filling station)

accommodation, a gross floor area of not more than 3,190 square metres shall be used for commercial purposes; and

(ii) 按照「該租契」條款第4.14(c)(i)條提供的商業總建築面積當中包括一個包

含不少於40個攤位或其他由「署長」全權酌情批准的攤位數目的市場。

6 該租契」條款第4.14(i)條訂明:

該土地」在建設和重建時和在符 合「該租 契」的條 款和契諾下,儘管「該租

契」條款第4.14(h)條另有規定,任何已建或擬建於「該土地」,或於「該土地

之上或以內,於「該租契」夾附的平面佈置圖(下稱「平面佈置圖」)上展示及標

明為「觀景廊」的部份的任何建築物或其他結構物的部份,連同其建築物或結構

物之增加物或配件(如有),為免生疑問,包括任何「該租契」條款第4.14(h)條指出

的天台結構物,不論其設計,尺寸和處置已為「署長」接納,總高度不得超過香港

主水平基準面之上18.5米,或其他「署長」全權酌情批准的高度限制。

7 該租契」條款第4.17條訂明:

未經「署長」事先書面同意,不得移除或干擾生長於「該土地」或相鄰範圍的樹

木。「署長」發出有關書面同意時,可在認為合適的情況下,施加有關移植、補償

性環境美化工程或重植的條件。

8 該租契」條款第4.18條訂明:

(a) 承租人」須在「該土地」內以令「署長」滿意的方式,自費提供及維持面積不

少於7,420 平方米的休憩空間,且不得使用、准許或容許他人使用該休憩空

間作供「該土地」已建或擬建作私人住宅用途的建築物的住客和佔用人及其

真正賓客和訪客使用及享用的動態及靜態康樂用途以外的任何其他用途。

(b) 承租人」須按下列規定,在「該土地」及平台(如有)未有建築之部分,

自費進行環境美化工程及種植樹木、灌木或其他植物:

(i) 在「該土地」不少於百分之三十的面積種植樹木、灌木或其他植物。

根據「該租契」條款第4.18(a)條提供並已進行環境美化工程的休憩空

間或其任何部分將計入該百分之三十的面積之內。

(ii) of the commercial gross floor area provided for in Clause No. 4.14(c)(i) of the said lease, a market containing a minimum of 40 stalls or such other number of stalls as the Director may in his sole discretion approve shall be provided.

6 Clause No. 4.14 (i) of the said lease stipulates that:

Upon development and redevelopment of the said land and subject to the terms and covenants contained in the said lease, notwithstanding Clause No. 4.14(h) of the said lease, no part of any building or other structure erected or to be erected on, over, above or within that portion of the said land shown and marked “VIEW CORRIDOR” on the plan annexed to the said lease (hereinafter referred to as the “Plan”) together with any addition or fitting (if any) to such building or structure, including for the avoidance of doubt, any roof-top structures referred to in Clause No. 4.14(h) of the said lease, whether or not the design, size and disposition thereof have been accepted by the Director, shall in the aggregate exceed a height of 18.5 metres above the Hong Kong Principal Datum or such other height limits as the Director may at his sole discretion approve.

7 Clause No. 4.17 of the said lease stipulates that:

No tree growing on the said land or adjacent thereto shall be removed or interfered with without the prior written consent of the Director who may, in granting consent, impose such conditions as to transplanting, compensatory landscaping or replanting as he may deem appropriate.

8 Clause No. 4.18 of the said lease stipulates that:

(a) The Lessee shall at its own expense provide and maintain within the said land to the satisfaction of the Director open space of not less than 7,420 square metres in area and shall not use, permit or suffer to be used the said open space for any purpose other than for active and passive recreational purposes for the use and enjoyment by the residents and occupiers of the building or buildings erected or to be erected on the said land for private residential purposes and their bona fide guests and visitors.

(b) The Lessee shall at its own expense landscape and plant with trees, shrubs or other plants the said land and podium (if any) not built upon in compliance with the following requirements:

(i) Not less than 30% of the area of the said land shall be planted with trees, shrubs or other plants. The open space or any part thereof provided under Clause No. 4.18(a) of the said lease and with landscaping works shall be taken into account in calculating the 30%.

(ii) 該租契」條款第4.18(b)(i)條所指百分之三十的面積中有不少於百分

之五十(下稱「該可見或可前往的綠化地方」)須設置於地面水平或由

署長」全權酌情決定的位置或水平,以使行人可以看見或讓任何進入

該土地」的人可以前往「該可見或可前往的綠化地方」。

(iii) 署長」可全權酌情接納「承租人」為取代種植樹木、灌木或其他植物而

建議的其他非植物景觀。

(c) 署長」就以下各項作出的決定為最終決定,並對「承租人」具約束力:

(i) 在「承租人」建議的環境美化工程之中,何謂「該租契」條款第4.18(b)

條所指的百分之三十面積;

(ii) 何謂「該租契」條款第4.18(b)條所指的地面水平;以及

(iii) 何謂「該租契」條款第4.18(a)條所指的休憩空間。

(d) 承 租 人」其 後 須自費 以 令「署 長」滿 意 的 方 式 保 養 及使 美 化 環 境 的

工程維持在安全、潔淨、整齊、井然而健壯的狀態。

(e) 如獲「署長」事先書面同意,「承租人」在「該土地」內按「該租契」條款第

4.18(b)(i)條提供的面積之百分比可較所規定的為低。

(f) 根據「該租契」條款第4.18條提供的休憩空間及進行環境美化工程的地方,

須被指定為「該租契」條款第4.20(a)(v)條所指的「公用地方」並成為其中一

部分。

9 該租契」條款第4.22(a)條訂明︰

承租人」須在「該土地」內以令「署長」滿意的方式提供及維持:

(i) 供停泊根據《道路交通條例》及其下的規例或任何修訂法例獲發牌並屬於

該土地」已建或擬建作私人住宅用途的建築物的住客或佔用人及其真正

賓客和訪客的汽車(電單車和貨車除外)的停車位,除非另行獲得「署長

的書面同意,停車位的數目須為110而且除非另行獲得「署長」的書面同意,

每個停車位的尺寸最少須為2.5米 及5米長而樓底高度最少須為2.4米 ;

(ii) Not less than 50% of the 30% referred to in Clause No. 4.18(b)(i) of the said lease (hereinafter referred to as “the Visible or Accessible Greenery Area”) shall be provided at ground level or at such location or level as may be determined by the Director at his sole discretion so that the Visible or Accessible Greenery Area shall be visible to pedestrians or accessible by any person or persons entering the said land.

(iii) The Director at his sole discretion may accept other non-planting features proposed by the Lessee as an alternative to planting trees, shrubs or other plants.

(c) The decision of the Director on the following shall be final and binding on the Lessee:

(i) as to which landscaping works proposed by the Lessee constitute the 30% referred to in Clause No. 4.18(b) of the said lease;

(ii) as to what constitutes the ground level referred to in Clause No. 4.18(b) of the said lease; and

(iii) as to what constitutes open space referred to in Clause No. 4.18(a) of the said lease.

(d) The Lessee shall thereafter at its own expense maintain and keep the landscaped works in a safe, clean, neat, tidy and healthy condition all to the satisfaction of the Director.

(e) With the prior written consent of the Director, the Lessee may provide a lesser percentage of the area of the said land as required under Clause No. 4.18(b)(i) of the said lease.

(f) The open space provided and the area or areas landscaped in accordance with Clause No. 4.18 of the said lease shall be designated as and form part of the Common Areas referred to in Clause No. 4.20(a)(v) of the said lease.

9 Clause No. 4.22(a) of the said lease stipulates that:

The Lessee shall provide and maintain within the said land to the satisfaction of the Director:(i) spaces for the parking of motor vehicles (excluding motor cycles and goods vehicles)

licensed under the Road Traffic Ordinance, any regulations made thereunder and any amending legislation and belonging to the residents or occupiers of the building or buildings erected or to be erected on the said land for private residential purposes and their bona fide guests and visitors and, unless the Director otherwise consents in writing, the number of spaces shall be 110 and each space shall, unless the Director otherwise consents in writing, have a minimum dimension of 2.5 metres in width and 5 metres in length with a minimum headroom of 2.4 metres;

意,停車位的數目須為322;

(v) 供停泊根據《道路交通條例》及其下的規例或任何修訂法例獲發牌並屬於

該土地」已建或擬建的建築物的住客或佔用人的真正賓客和訪客的汽車

的額外 停車位,除非另行獲得「署長」的書面同意,停車位的數目須為6

而且除非另行獲得「署長」的書面同意,每個停車位的尺寸最少須為2.5米

及5米長而樓底高度最少須為2.4米;及

10 該租契」條款第4.22(b)條訂明︰

位不得用作上述各款所述用途以外的任何其他用途,並且特此說明,上述停車位

(iii) spaces for the parking of motor cycles licensed under the Road Traffic Ordinance, any regulations made thereunder and any amending legislation and belonging to the residents or occupiers of the building or buildings erected or to be erected on the said land and their bona fide guests and visitors and, unless the Director otherwise consents in writing, the number of spaces shall be 22 and each space shall, unless the Director otherwise consents in writing, have a minimum dimension of 1 metre in width and 2.4 metres in length with a minimum headroom of 2.4 metres;

(iv) spaces for the parking of bicycles belonging to the residents or occupiers of the building or buildings erected or to be erected on the said land for private residential purposes and their bona fide guests and visitors and, unless the Director otherwise consents in writing, the number of spaces shall be 322;

(v) additional spaces for the parking of motor vehicles licensed under the Road Traffic Ordinance, any regulations made thereunder and any amending legislation and belonging to the bona fide guests and visitors of the residents or occupiers of the building or buildings erected or to be erected on the said land and, unless the Director otherwise consents in writing, the number of spaces shall be 6 and each space shall, unless the Director otherwise consents in writing, have a minimum dimension of 2.5 metres in width and 5 metres in length with a minimum headroom of 2.4 metres; and

(vi) out of the spaces provided under sub-clauses (a)(i), (a)(ii) and (a)(v) of Clause No. 4.22 of the said lease, 4 spaces for the parking of motor vehicles by disabled persons as defined in the Road Traffic Ordinance, any regulations made thereunder and any amending legislation and belonging to the residents or occupiers of the building or buildings erected or to be erected on the said land and their bona fide guests and visitors. The spaces so provided shall be located at such position and level as shall be approved in writing by the Director and of such dimension as shall be determined by the Building Authority or the Director at his sole discretion.

10 Clause No. 4.22(b) of the said lease stipulates that:

The spaces provided in accordance with sub-clauses (a)(i), (a)(ii), (a)(iii), (a)(iv), (a)(v) and (a)(vi) of Clause No. 4.22 of the said lease shall not be used for any purpose other than for the respective purposes set out in the said sub-clauses and in particular the said spaces shall not be used for the storage, display or exhibiting of motor vehicles for sale or otherwise or for the provision of car cleaning and beauty services.

11 該租契」條款第4.22(c)條訂明︰

(i) 承租人」須以令「署長」滿意的方式在「該土地」內提供及 維持供根據

道路交通條例》及其下的規例或任何修訂法例獲發牌的汽車作上落客貨

用途的停車位,除非另行獲得「署長」的書面同意,上述供汽車作上落客貨

用途的停車位的數目須為6。除非另行獲得「署長」的書面同意,每個上述

提供的停車位的尺寸最少須為3.5米 及11米長而樓底高度最少須為4.7米,

並且不得用作供與「該土地」已建或擬建的建築物有關的汽車作上落客貨

用途以外的任何其他用途。供汽車作上落客貨用途的停車位中,3個須為

該土地」已建或擬建作私人住宅用途的建築物的住客之用及3個須為「該

土地」已建或擬建作商業用途的建築物的佔用人之用。

(ii) 承租人」須以令「署長」滿意的方式在「該土地」內提供及維持供垃圾收

集車作裝卸用途的停車位,除非另行獲得「署長」的書面同意,供垃圾收集

車作裝卸用途的停車位的數目須為2。除非另行獲得「署長」的書面同意,

每個上述提供的停車位的尺寸須由「署長」全權酌情決定,並且不得用作

供與「該土地」已建或擬建的建築物有關的垃圾收集車作裝卸用途以外的

任何其他用途。供汽垃圾收集車作裝卸用途的停車位中,1個須為「該土地

已建或擬建作私人住宅用途的建築物的住客之用及1個須為「該土地」已建

或擬建作商業用途的建築物的佔用人之用。

12 該租契」條款第4.26條訂明︰

(a) 承租人」須在「該土地」內自費設計、豎立及興建不論有否伸延至「該土

地」的邊界範圍外及超越任何毗鄰政府土地或公用街道和處於任何鄰近

政府土地或公用街道以上的隔音屏障,其高度不超過香港主水平基準面之

上12米 (下文統稱「隔音屏障」)。「隔音屏障」應處於「該租契」的「平面佈

11 Clause No. 4.22(c) of the said lease stipulates that:

(i) The Lessee shall provide and maintain within the said land to the satisfaction of the Director spaces for the loading and unloading of motor vehicles licensed under the Road Traffic Ordinance, any regulations made thereunder and any amending legislation and the number of spaces for the loading and unloading of motor vehicles as aforesaid shall, unless the Director otherwise consents in writing, be 6. Each of the spaces so provided shall, unless the Director otherwise consents in writing, have a minimum dimension of 3.5 metres in width and 11 metres in length with a minimum headroom of 4.7 metres and shall not be used for any purpose other than for the loading and unloading of motor vehicles in connection with the building or buildings erected or to be erected on the said land. Of the spaces so provided for the loading and unloading of motor vehicles, 3 spaces shall be for the use of the residents of the building or buildings erected or to be erected on the said land for private residential purposes and 3 spaces shall be for the use of the occupiers of the building or buildings erected or to be erected on the said land for commercial purposes.

(ii) The Lessee shall provide and maintain within the said land to the satisfaction of the Director spaces for the loading and unloading of refuse collection vehicles and the number of spaces for the loading and unloading of refuse collection vehicles shall, unless the Director otherwise consents in writing, be 2. Each of the spaces so provided shall be of such dimension as shall be determined by the Director at his sole discretion and shall not be used for any purpose other than for the loading and unloading of refuse collection vehicles in connection with the building or buildings erected or to be erected on the said land. Of the spaces so provided for the loading and unloading of refuse collection vehicles, one space shall be for the use of the residents of the building or buildings erected or to be erected on the said land for private residential purposes and one space shall be for the use of the occupiers of the building or buildings erected or to be erected on the said land for commercial purposes.

12 Clause No. 4.26 of the said lease stipulates that: (a) The Lessee shall at its own expense design, erect and construct within the said land noise

barriers with or without projection extending beyond the boundary of the said land and over and above any portion of the adjoining Government land or public street at a height of not more than 12 metres above the Hong Kong Principal Datum (hereinafter collectively referred to as “the Noise Barriers”) in the positions shown and marked by orange lines on the Plan of the said lease or in such other position or positions within the said land as the Director may in his sole discretion approve in writing in all respects to the satisfaction of the Director of Environmental Protection and in compliance with the Buildings Ordinance, any regulations made thereunder and any amending legislation.

(b) 不得在毗連「該土地」的政府土地或公用街道、其上或其下豎立「隔音屏

障」的地基或支撐物件。

(c) 除了綠化措施或事先得到「署長」書面同意以外,否則不得在「隔音屏障」

或其任何部分進行或裝置任何改裝、加建、更換或附加物。

(d) 承租人」須自費時刻維持、保養及維修「隔音屏障」或(已經「署長」核

滿意。如須臨時封路或改道以進行「該租契」條款第4.26(d)條訂明的任何

作其他用途,且「承租人」不得使用或容受或容許他人使用「隔音屏障」或

其任何部分作廣告宣傳或展示任何標誌、告示或海報之用。

(f) 受限於「署長」事先批准,「承租人」及其承辦商、工人或任何其他獲「承

租人」授權人士可根據「該租契」條款第4.26條(如有),可攜同或不攜同

工具、設備、機器、機械或車輛進入毗鄰「該土地」之政府土地或公用街道,

以興建、建造、檢查、維修、保養、清洗、翻新及更換伸出政府土地或公用

街道之「隔音屏障」之部分。

(g) 政府概無須就「承租人」或任何其他人士招致或蒙受的任何損失、損害、

滋擾或騷擾(不論其是否因「該租契」條 款第4.26(f)條進入或進行工程

而引致或導致)承擔任何責任,亦不得就此等損失、損害、滋擾或騷擾向

政府作出任何索償。

(h) 承租人」須於任何時候採取所需預防措施,以避免因興建、建造、維修、

保養、改動、使用、拆除或 移除「隔音屏障」而對任 何毗鄰「該土地」及

隔音屏障」之政府土地或公用街道,或進入或使用任何毗鄰「該土地」及

隔音屏障」之政府土地或公用街道的人士或車輛造成損失或損害。

(i) 署長」有權於任何時候酌情決定向「承租人」送達書面通知,要求「承租

人」於書面通知日期六個曆月內拆除及移除伸出政府土地或公用街道之

部分(如有)「隔音屏障」而不設替代品,「承租人」須於收到該書面通知後自費

於該書面通知期限內拆除及移除前述部分「隔音屏障」,並達致「署長」滿意。

(b) No foundation or support for the Noise Barriers may be erected on, upon or underneath any Government land adjoining the said land or public street.

(c) Other than greening measures, no alteration, addition, replacement or attachment whatsoever shall be made or affixed to or upon the Noise Barriers or any part or parts thereof except with the prior written approval of the Director.

(d) The Lessee shall at all times and at its own expense uphold, maintain and repair the Noise Barriers or (where approved by the Director) any replacement thereof in good and substantial repair and condition in all respects to the satisfaction of the Director. If temporary traffic closure or diversion shall be required for carrying out any works under Clause No. 4.26(d) of the said lease, written agreement of the Commissioner of Transport on the temporary traffic arrangement shall have been obtained before commencement of any works.

(e) The Noise Barriers shall not be used for any purpose other than noise barrier. Except with the prior written consent of the Director, the Lessee shall not use or suffer or allow to be used the Noise Barriers or any part or parts thereof for advertising or for the display of any signs, notices or posters whatsoever.

(f) Subject to the prior written approval of the Director, the Lessee, its contractors, workmen or any other persons authorized by it shall be permitted to enter into the Government land adjoining the said land or public street with or without tools, equipment, plant, machinery or motor vehicles for the purposes of carrying out any erection, construction, inspection, repair, maintenance, cleaning, renewing and replacement of the part or parts of the Noise Barriers projecting over the Government land or public street in accordance with Clause No. 4.26 of the said lease (if any).

(g) The Government shall have no responsibility or liability for any loss, damage, nuisance or disturbance whatsoever caused to or suffered by the Lessee or any other person whether arising out of or incidental to their entry or carrying out of the works referred to in Clause No. 4.26(f) of the said lease and no claim whatsoever or otherwise shall be made against the Government in respect of any such loss, damage, nuisance or disturbance.

(h) The Lessee shall at all times take such precautions as may be necessary to prevent any damage or injury being caused to any Government land adjoining the said land or public street and the Noise Barriers or to any persons or vehicles entering or using any Government land adjoining the said land or public street and the Noise Barriers as a result of the erection, construction, repair, maintenance, alteration, use, demolition or removal of the Noise Barriers.

(i) The Director shall, at any time and at his absolute discretion, have the right to serve upon the Lessee a written notice requiring the Lessee to demolish and remove the part or parts of the Noise Barriers that project over the Government land or public street (if any) without any replacement within six calendar months from the date of the written notice. Upon receipt of such written notice, the Lessee shall at its own expense demolish and remove the aforesaid part or parts of the Noise Barriers within such period as stipulated in such written notice and in all respects to the satisfaction of the Director.

(j) 如「承租人」沒有按「該租契」條款第4.26條履行責任,「署長」可進行所需

工程,而「承租人」須按要求向「署長」償還所需款項。

(k) 承租人」須容許「署長」、其官員、承辦商、其各自之工人及其他授權人

士有權在任何時候攜同或不攜同工具、設備、機器、機械或車輛出入、經

過及再經過「該土地」或其任何部份或在其上擬建或已建的任何建築物,

旨在檢查、檢驗和監督任何按「該租契」條 款第4.26(a)、(d)和 (i)條進行

之任何工程或按「該租契」條 款第4.26( j) 條進行之任何工程或任何其他

署長」認為所需之工程。

(l) 政 府及「署長」概無 須就「承租 人」或任 何其他人士招致 或蒙 受的任 何

損 失、損 害、滋 擾或 騷 擾(不 論 其 是 否 因「承 租 人」履 行「該 租 契」條

款 第 4.26條 之責任、「署 長」按「該租 契」條 款 第 4.26(k)條 行使 進 入 土

地的權利或按「該租 契」條 款 第 4.26( j)條進行任 何工程而引致 或導致 )

承擔任何責任,「承租人」亦不得就此等損失、損害、滋擾或騷擾向政府、

署長」或其授權官員索償。

(m) 承租人」須於任何時間就「隔音屏障」之興建、建造、存在、維修、保養改

動、使用、拆除或移除,或按「該租契」條款第4.26(j)條進行任何工程而直

接或間接導致之責任、申索、費用、索求、法律行動或其他程序對政府、

署長」、其官員及工人作出彌償及確保其獲得彌償。

13 該租契」條款第4.27條訂明︰

(a) 在「該 土地」開展任 何工程 之前,「承租 人」須諮 詢香港 鐵 路 有限 公司

(下稱「公司」),以便確定該等工程沒有損壞、干涉或危害任何鐵路工程、

結構、設施或裝置或鐵路(釋義見《香港鐵路條例》第二條)之安全營運

(以下分別簡稱為「鐵路」和「鐵路條例」)(「署長」對是否影響的意見是決

定性的)。如果「署長」要求,「承租人」須自費採取「公司」要求的預防措

施,確保任何鐵路工程,結構、設施或裝置及「鐵路」營運的安全。於「該租

契」條款第4.27(a)條,「工程」包括但不限於地盤勘察工程、打樁或其他地

基工程及其他土木工程和建築工程。

(j) In the event of the non-fulfilment of any of the Lessee’s obligations under Clause No. 4.26 of the said lease, the Director may carry out the necessary works and the Lessee shall pay to the Director on demand the cost of such works.

(k) The Lessee shall at all times permit the Director, his officers, contractors, his or their workmen and any other persons authorized by the Director with or without tools, equipment, plant, machinery or motor vehicles, the right of free and unrestricted ingress, egress and regress to, from and through the said land or any part thereof and any building or buildings erected or to be erected thereon for the purpose of inspecting, checking, and supervising any works to be carried out in accordance with sub-clauses (a), (d) and (i) of Clause No. 4.26 of the said lease and carrying out any works in accordance with Clause No. 4.26(j) of the said lease or any other works which the Director may consider necessary.

(l) Neither the Government nor the Director shall have any liability in respect of any loss, damage, nuisance or disturbance whatsoever caused to or suffered by the Lessee or any other person whether arising out of or incidental to the fulfilment of the Lessee’s obligations under Clause No. 4.26 of the said lease, the exercise by the Director of the right of entry under Clause No. 4.26(k) of the said lease or the carrying out of any works under Clause No. 4.26(j) of the said lease and the Lessee shall not be entitled to any claim whatsoever against the Government or the Director or his authorised officers nor any compensation whatsoever in respect of such loss, damage, nuisance or disturbance.

(m) The Lessee shall at all times indemnify and keep indemnified the Government, the Director, its officers and workmen from and against all liabilities, claims, costs, demands, actions or other proceedings whatsoever arising whether directly or indirectly out of or in connection with the erection, construction, presence, repair, maintenance, alteration, use, demolition or removal of the Noise Barriers or in connection with the works under Clause No. 4.26(j) of the said lease.

13 Clause No. 4.27 of the said lease stipulates that: (a) Prior to the commencement of any works whatsoever on the said land, the Lessee shall consult

the MTR Corporation Limited (hereinafter referred to as “the Corporation”) so as to ensure that any such works do not damage, interfere with or endanger any railway works, structures, facilities or installations or the safe operation of the railway as defined under section 2 of the Mass Transit Railway Ordinance (hereinafter referred to as “the Railway” and “the MTR Ordinance” respectively) (as to which the decision of the Director shall be conclusive), and if required by the Director the Lessee shall, at its own expense, take such precautions as may be required by the Corporation to ensure the safety of any railway works, structures, facilities or installations and the operation of the Railway. For the purpose of Clause No. 4.27(a) of the said lease, “works” shall include but not be limited to site investigation works, piling or other foundation works and other civil engineering and building works.

(b) 「承租人」須遵守與履行一切條例,包括但不限於現時生效的《鐵路條例》、

《九廣鐵路公司條例》、關乎「鐵路」之附屬則例及規例及其修訂。

(c) 「承租人」須自費履行建築事務監督、消防處處長及其他一切有關的政府

部門及法定機構對建造(包括使用的材料)、維修及保養連接「鐵路」或其

附近的任何建築物或其他任何部份提出的一切要求。

(d) 承租人」須准許「署長」、「公司」和他們正式授權的官員、僱員及承建商

有權在任何時候攜同或不攜同工具、車輛、機器、設備在任何時候出入、經

過及再經過「該土地」或其任何部份或在其上的任何建築物,旨在勘測、視

察、檢驗、保養、改善或建設「鐵路」。「署長」和他們正式授權的官員、僱

員及承建商毋須就他或他們行使「該租契」條款第4.27(d)條提及的權利對

「承租人」造成的或附帶的或使其蒙受的任何損失、損害、滋擾或干擾承擔

任何責任。「承租人」不能就上述損失、損害、滋擾或干擾向「署長」或他們

提出索償。

(e) 在任何「經營權有效期」(釋義見《香港鐵路條例》第二條)外的時間九廣

鐵路公司(下稱「九鐵」)須營運「九鐵公司鐵路」(釋義見《香港鐵路條

例》第二條)(下稱「九鐵鐵路」)。在沒有進一步或其他情況下,就「九鐵

鐵路」而言,凡於「該租契」條款第4.27(a)至(d)條提述「公司」和「鐵路」皆

在適當的情況下分別解釋為「九鐵」及「九鐵鐵路」。

14 該租契」條款第5.2條訂明︰

承租人」須就任 何違 反「該租 契」的條 款和契諾所引致或任 何「署長」認 為

(其意見為最終決定並對「承租人」具約束力)因「該土地」的使用、「該土地」或

其任何部分的建設或重建、在「該土地」進行的任何活動或「承租人」在「該土

地」進行的任何其他工程(不論該等使用、建設或重建、活動或工程是否符合或

違反「該租契」的條款和契諾)而對「該土地」相鄰或毗連土地或「該土地」造成

的任何損壞或土壤和地下水污染所引致的一切法律行動、訴訟、責任、要求、費

用、開支、損失(不論財務或其他)及索償(不論任何及如何引致)在此對政府作

出彌償,並使政府持續得到彌償。

(b) The Lessee shall observe and comply with all Ordinances, including but not be limited to the MTR Ordinance and the Kowloon-Canton Railway Corporation Ordinance, By-laws and Regulations for the time being in force and relating to the Railway and any amendments thereto.

(c) The Lessee shall at its own expense comply with all requirements of the Building Authority, the Director of Fire Services and all other relevant Government and statutory authorities in connection with the construction (including the materials to be used), repair and maintenance of any part or parts of the building or buildings connected or in close proximity to the Railway.

(d) The Lessee shall permit the Director and the Corporation and their duly authorized officers, servants and contractors the right of ingress, egress and regress to, from and through the said land or any part thereof and any building or buildings erected thereon at all times with or without tools, vehicles, machinery or equipment to carry out works and for the purposes of any survey, inspection, examination, maintenance, improvement or development in connection with the Railway. The Director or his duly authorized officers, servants and contractors shall have no liability in respect of any loss, damage, nuisance or disturbance whatsoever caused to or suffered by the Lessee arising out of or incidental to the exercise of the right conferred under Clause No. 4.27(d) of the said lease and no claim shall be made against him or them by the Lessee in respect of any loss, damage, nuisance or disturbance.

(e) At any time outside the Concession Period as defined under section 2 of the MTR Ordinance, the Kowloon-Canton Railway Corporation (hereinafter referred to as “KCRC”) shall operate the KCRC Railway as defined under section 2 of the MTR Ordinance (hereinafter referred to as “the KCRC Railway”), and in so far as the KCRC Railway is concerned but not further or otherwise, any reference to the Corporation and the Railway in sub-clauses (a) to (d) of Clause No. 4.27 of the said lease shall where appropriate mean KCRC and the KCRC Railway respectively.

14 Clause No. 5.2 of the said lease stipulates that: The Lessee hereby indemnifies and shall keep indemnified the Government against all actions,

proceedings, liabilities, demands, costs, expenses, losses (whether financial or otherwise) and claims whatsoever and howsoever arising from any breach of the terms and covenants contained in the said lease or any damage or soil and groundwater contamination caused to adjacent or adjoining land or to the said land where such damage or soil and groundwater contamination has, in the opinion of the Director (whose opinion shall be final and binding on the Lessee), arisen out of any use of the said land or any development or redevelopment of the said land or part thereof or out of any activities carried out on the said land or out of any other works carried out thereon by the Lessee whether or not such use, development or redevelopment, activities or works are in compliance with the terms and covenants contained in the said lease or in breach thereof.

15 該租契」條款第5.3條訂明︰

不得於「該土地」豎立或建造墳墓或骨灰龕,亦不得於「該土地」安葬或存放任

何人類骸骨或動物骸骨,而不論該骸骨是否存放在陶罐或骨灰甕內。

16 該租契」條款第5.12條訂明︰

承租人」現確認「該土地」之下可能有含溶洞大理石,並同意在「該土地」進行

任何發展或重建時,須進行大規模岩土工程勘察工作。「承租人」又接受,該等

勘察工作可能會顯示在「該土地」進行所需工程時,須由具備經驗的岩土工程師

高度參與涉及的岩土工程設計和監督工作。「承租人」現確認,就任何岩土工程

勘察工作、設計工程、建築、監督或任何其他事宜所引致的一切成本、收費、費用

或其他開支,完全由「承租人」負責。「承租人」又確認,政府無須就該等成本、收

費、費用或其他開支承擔任何責任。

17 該租契」條款第6.3條訂明︰

承租人」現確認,「該土地」現有專用的總水喉管通過、經過或穿越毗鄰政府

土地或在毗鄰政府土地的上方、下方或內面,該現有的總水喉管的概約位置於

該租契」之「平面佈置圖」以藍色線顯示,僅以資識別。「承租人」須在各方面以

令「署長」滿意的方式自費維持、保養及維修及如「署長」要求,轉移和重置現有

的任何該總水喉管到「署長」要求的位置。「承租人」須就因未能履行其義務或

進行任何「該租契」條款第6.3條訂明的工程所直接或間接引起或相關的一切,

不論任何性質的責任、索償、開支、索求、訴訟及其他法律程序,向政府作出彌

償,並使政府及持續得到彌償。

18 該租契」條款第6.4條訂明︰

(a) 政府、任何毗連或鄰近土地或處所的承租人、租戶、佔用人和獲許可人或任

何其他獲得上述人士正式授權的人士均獲保留權利讓氣體、電力、淡水或

鹹水、污物、污水、空氣、煙或其他排出物、電話、水、公用事業設施及其他

服務,藉通過或經過「該土地」或其上面或下面或其任何部分的雨水渠、水

管、電線、電纜、污水渠、排水渠、溝渠、暗渠、管道、煙道、導管、水路或水

道(包括總水喉管)以往來該等毗連或鄰近土地或處所。

15 Clause No. 5.3 of the said lease stipulates that: No grave or columbarium shall be erected or made on the said land, nor shall any human remains

or animal remains whether in earthenware jars, cinerary urns or otherwise be interred therein or deposited thereon.

16 Clause No. 5.12 of the said lease stipulates that: The Lessee hereby acknowledges that the said land may be underlain by cavernous marble and accepts

that upon any development or redevelopment of the said land extensive geotechnical investigation will be required. The Lessee further accepts that such investigations may reveal the need for a high level of involvement of an experienced geotechnical engineer both in the design and in the supervision of geotechnical aspects of the works required to be carried out on the said land. The Lessee hereby acknowledges that all costs, charges, fees or other expenses whatsoever arising out of any geotechnical investigations, design works, construction, supervision or any other matters whatsoever will be entirely its own responsibility and the Lessee further acknowledges that the Government shall be under no liability whatsoever in respect of such costs, charges, fees or other expenses.

17 Clause No. 6.3 of the said lease stipulates that: The Lessee acknowledges that there are existing fresh water mains exclusively serving the said land

passing along, through, over, upon, under or in the adjoining Government land, the approximate location of such existing fresh water mains is for the purpose of identification only shown by blue lines marked on the Plan of the said lease. The Lessee shall at its own expense uphold, maintain, repair and if so required by the Director, divert and relocate any of such existing fresh water mains to such other locations as the Director may require all to be done in all respects to the satisfaction of the Director. The Lessee shall indemnify and keep indemnified the Government against all liabilities, claims, costs, demands, actions or other proceedings whatsoever arising whether directly or indirectly out of or in connection with the Lessee’s non-fulfilment of its obligations or in the carrying out of any works under Clause No. 6.3 of the said lease.

18 Clause No. 6.4 of the said lease stipulates that:(a) There is reserved unto the Government and the lessees, tenants, occupiers and licensees of any

adjoining or neighbouring land or premises or any other persons duly authorized by any of them the right of passage of gas, electricity, fresh or salt water, soil, drainage, air, smoke or other effluent, telephone, water, utility, and other services to and from such adjoining or neighbouring land or premises through such gutters, pipes, wires, cables, sewers, drains, nullahs, culverts, ducts, flues, conduits, waterways or watercourses (including water mains) passing along, through, over, upon, under or in the said land or any part thereof.

(b) 政府、任何毗連或鄰近土地或處所的承租人、租戶、佔用人和獲許可人或

任何其他獲得上述人士正式授權的人士均獲保留權利隨時進出或返回「該

土地」或其任何部分,以檢查、保養、維修及翻新「該租契」條款第6.4(a)

條所指通過或經過「該土地」或其上面或下面或其任何部分的雨水渠、

水管、電線、電纜、污水渠、排水渠、溝渠、暗渠、管道、煙道、導管、水路或

水道(包括總水喉管),以便讓氣體、電力、淡水或鹹水、污物、污水、空氣、

煙或其他排出物、電話、水、公用事業設施及其他服務往來該等毗連或鄰

近土地或處所,惟政府不會為「承租人」因任何毗連或鄰近土地或處所的

承租人、租戶、佔用人或獲許可人或任何其他獲得上述人士正式授權的人

士行使「該租契」條款第6.4(b)條所賦予的權利所引起或附帶引起而引致

蒙受的任何損失、損害、滋擾或干擾負上任何責任,「承租人」亦不可就任

何該等損失、損害、滋擾或干擾向政府提出索償。

(c) 承租 人」須 以令「署 長」滿意的方 式自費 維 持、保 養 及 維修「該租 契

條款第6.4(a)條所指的雨水渠、水管、電線、電纜、污水渠、排水渠、溝渠、

19 該租契」條款第6.6條訂明︰

(c) The Lessee shall at its own expense uphold, maintain and repair all and any of the said gutters, pipes, wires, cables, sewers, drains, nullahs, culverts, ducts, flues, conduits, waterways or watercourses (including water mains) referred to in Clause No. 6.4(a) of the said lease, all to be done to the satisfaction of the Director.

19 Clause No. 6.6 of the said lease stipulates that: Except with the prior written consent of the Director, the Lessee shall not carry out or permit or suffer

to be carried out any works in connection with any residential flat erected or to be erected on the said land, including but not limited to demolition or alteration of any partition wall or any floor or roof slab or any partition structure, which shall result in such flat being internally linked to and accessible from any adjoining or adjacent residential flat erected or to be erected on the said land. The decision of the Director as to what constitutes works resulting in a flat being internally linked to and accessible from any adjoining or adjacent residential flat shall be final and binding on the Lessee.

A Any Facilities that are Required under the Land Grant to be Constructed and Provided for the Government, or for Public Use

(i) Relevant Provisions of the Land Grant

Clause No. 6.4 of the said lease (as defined in the Summary of Land Grant) stipulates that:

(a) There is reserved unto the Government and the lessees, tenants, occupiers and licensees of

any adjoining or neighbouring land or premises or any other persons duly authorized by any

of them the right of passage of gas, electricity, fresh or salt water, soil, drainage, air, smoke

or other effluent, telephone, water, utility, and other services to and from such adjoining or

neighbouring land or premises through such gutters, pipes, wires, cables, sewers, drains,

nullahs, culverts, ducts, flues, conduits, waterways or watercourses (including water mains)

passing along, through, over, upon, under or in the said land or any part thereof.

(b) There is reserved unto the Government and the lessees, tenants, occupiers and licensees

of any adjoining or neighbouring land or premises or any other persons duly authorized by

any of them the right of free ingress, egress and regress to and from the said land or any

(c) 承租人」須以令「署長」滿意的方式自費維持、保養及維修「該租契」

條款第6.4(a)條所指的雨水渠、水管、電線、電纜、污水渠、排水渠、溝

渠、暗渠、管道、煙道、導管、水路或水道 (包括總水喉管)。

(ii) 公契」的有關條文

除在售樓說明書另有定義外,下述用詞的意義將等同於「公契」內該用詞的

意義。請參閱「公契」。

根據「公契」第四節第18條第(j)項(1)款及(2)款,「經理人」有權力、職能和

責任保持以下設施運作良好及修繕妥當 :

地政總署署長滿意的方式維持、保養及維修「該租契」條款第6.4(c)條所

指的所有或任何雨水渠、水管、電線、電纜、污水渠、排水渠、溝渠、暗渠、

管道、煙道、導管、水路或水道(包括總水喉管)。

根據「公契」第七節第51(a)(1)條第(iv)項,周年財政預算的第一部分第一節

應包括現已或將會為支撐「屋苑」而建造的地基、支柱及其他構築物(專為

(c) The Lessee shall at its own expense uphold, maintain and repair all and any of the said gutters, pipes, wires, cables, sewers, drains, nullahs, culverts, ducts, flues, conduits,

waterways or watercourses (including water mains) referred to in Clause No. 6.4(a) of

the said lease, all to be done to the satisfaction of the Director.

(ii) Relevant Provisions of the Deed of Mutual Covenant (“DMC”)

Unless otherwise defined in this sales brochure, capitalised and other terms used in the following shall have the same meaning of such terms used in the DMC. Please refer to the DMC for reference.

Pursuant to Clause 18(j) (1) and (2) of Section IV of the DMC, the Manager shall have the powers, functions and obligations to keep in good repair and condition:

(1) All water pumps, pumphouses, tanks, mains, pipes, sewers, lavatories, drains, water-courses, cables, wires, apparatus and equipment which are now or may at any time hereafter be in under or within the Estate or the land adjacent thereto which are wholly or partly for the common use of the Owners and occupiers of the Estate.

(2) The drains and channels whether within the boundaries of the said land or the land adjacent thereto or on Government land which the Owners are required by the said lease to construct and maintain to the satisfaction of the Director of Lands.

Pursuant to Clause 18(bb) of Section IV of the DMC, the Manager shall have the powers, functions and obligations to uphold, maintain and repair all or any of the gutters, pipes, wires, cables, sewers, drains, nullahs, culverts, ducts, flues, conduits, waterways or watercourses (including water mains) referred to in Clause No. 6.4(c) of the said lease to the satisfaction of the Director of Lands.

Pursuant to Clause 51(a)(1)(iv) of Section VII of the DMC, the first section of the first part of the annual budget shall cover the costs and expenses of maintaining and all other expenses and outgoings payable in respect of the foundations, columns and other structures constructed or to be constructed for the support of the Estate (excluding those exclusively serving the Residential Block or the Commercial/Car Park Block) and the drains, nullahs, sewers, pipes, watermains and channels and such other areas whether within or outside the said land serving the said land and/or the Estate (excluding those serving exclusively the Residential Block or the Commercial/Car Park Block), or that are required to be maintained under the said lease.

滋擾,如有任何損壞則立刻修復,倘因「經理人」、其工人、承辦商及代理

人之疏忽、蓄意或刑事行為造成任何損壞,「經理人」必須自費修妥,並須

Pursuant to Clause 51(b)(3) of Section VII of the DMC, the second part of the annual budget shall

cover the costs and expenses of maintaining and all other expenses and outgoings payable in

respect of the foundations, columns and other structures constructed or to be constructed for the

support of the Residential Block and the drains, nullahs, sewers, pipes, watermains and channels

and such other areas serving exclusively the Residential Block.

Pursuant to Clause (a) in Part B of the Second Schedule to the DMC, each of the Undivided Shares

and the exclusive right to hold use occupy and enjoy such part of the Estate is held subject to full

right and privilege for the Manager with or without agents, surveyors, workmen and others at all

reasonable times on notice (except in case of emergency) to enter into and upon any part of the

Estate for the purposes of necessary repairs of the building or any part or parts thereof (including

the Unit itself) or any of the Common Areas and Facilities or to abate any hazard or nuisance

therein or any sewers, drains, water-courses, cables, pipes, pumps, tanks, wires or services therein

or any other apparatus, equipment or services used or installed for the benefit of the said land and

the Estate or any part or parts thereof as part of the amenities thereof and not by any individual

Owner for his own purposes or enjoyment and generally for the purpose of exercising the powers

and functions of the Manager under the DMC or Sub-Deed (if any) causing as little disturbance as

possible and forthwith making good any damage caused thereby PROVIDED THAT the Manager

shall at its own costs and expenses make good any damage caused thereby and shall be liable for

the negligent, wilful or criminal acts of the Manager and its workmen, contractors and agents and

ensure that the least disturbance is caused.

Pursuant to Clause (b) in Part B of the Second Schedule to the DMC, each of the Undivided Shares

and the exclusive right to hold use occupy and enjoy such part of the Estate is held subject to the

right of free and uninterrupted passage and running of water sewage gas and electricity from and

to the Estate (other than that part owned by him) through the sewers, drains, water-courses, cables,

pipes and wires which now are or may at any time hereafter be in under or passing through that

part of the Estate owned by him or any part or parts thereof.

The solicitors appointed by the Hong Kong Housing Authority (HA) are acting for the HA only and will not be able to protect the purchasers’ interest. All purchasers are urged to instruct a separate firm of solicitors of their choice to advise them and act for them in relation to their purchase of a Home Ownership Scheme flat from the HA.

It should be noted that:

1 If the purchasers instruct a separate firm of solicitors of their choice to act for the purchasers in relation to their purchase, that firm of solicitors will be able to give independent advice to the purchasers at every stage of their purchase.

2 Although the purchasers will sign the agreement for sale and purchase (ASP) before the staff of the HA, the staff will only interpret the contents of the ASP to the purchasers and attest their signing of the ASP. The staff will not give the purchasers any legal advice on the ASP or any other matters in connection with the transaction.

3 If the purchasers do not instruct a separate firm of solicitors of their choice to act for them in their completion of the purchase, they will execute the assignment before the solicitors of the HA. The solicitors of the HA will only interpret the contents of the assignment to them and attest their execution, and will not act as the purchasers’ solicitors in the transaction, and will not advise the purchasers on the ASP or any other matters in connection with the transaction. In such cases, the legal fees of the HA in the transaction shall be borne by the purchasers and not the HA. The solicitors of the HA, not being the purchasers’ solicitors in the transaction, will not be able to protect the purchasers’ interest.
