Ramsey is a partner with Montgomery McCracken Walker & Rhoads LLP, a full-service multidisciplinary law firm with more than 120 attorneys in offices in Pennsylvania, New York, New Jersey and Delaware. The firm represents public and private corporations, nonprofit organizations, and individuals across a wide range of industries in complex litigation matters, significant corporate transactions and challenging disputes. Natalie chairs the Firm’s Creditors’ Rights, Bankruptcy, and Reorganization practice group, is the Managing Partner of the Firm’s Delaware office, and serves on the Firm’s Management Committee. She advises clients involved in distressed financial situations in both the transactional and litigation aspects of restructuring. As a result of the multidisciplinary nature of bankruptcy practice, Natalie and her group routinely call upon the other practice groups within the Firm, including corporate, litigation, maritime, and tax, to best serve the needs of the representation. Natalie has more than 30 years of experience in insolvency practice, including out-of-court restructuring, prepackaged and pre-arranged bankruptcies, and traditional Chapter 11 cases in numerous industries and service sectors including energy, healthcare, building materials, real estate, and retail. She regularly represents both debtors and creditors, including committees, secured creditors, lease and contract counter-parties, lenders, indenture trustees, and general trade creditors in distressed and insolvency situations. She counsels clients on the potential effect of the insolvency or bankruptcy of another party in connection with prospective and existing, contracts and settlements. Natalie also has significant experience in Section 363 sales. In 2015, Natalie devoted a substantial portion of her time to two high-profile bankruptcy cases. She served as co-counsel to the “E-side” Official Committee of Creditors of Energy Future Holdings in its $40 billion bankruptcy case pending in the District of Delaware, resulting from the largest failed leverage buyout in U.S. history. Natalie also served as lead bankruptcy counsel to the O.W. Bunker U.S. Debtors in connection with confirmation of their Chapter 11 plan following the sudden collapse of their parent, OWB Denmark, which had been the world’s largest marine fuel supplier. Among other notable engagements, Natalie served as counsel for the Official Committee of Asbestos Personal Injury Claimants in Specialty Products Holding Corp. (Bondex), which resulted, among other things, in the formation of a trust to compensate those injured by the Debtors’ products. The Bondex case was recognized by The M&A Advisor as “Restructuring Deal of the Year (Over $500MM to $1B)” for 2014. She also recently led the Montgomery McCracken team in the successful reorganization of the largest regional homebuilder in Eastern Pennsylvania. Natalie is presently active on behalf of various large contract parties and lessors in energy cases including Magnum Hunter Resources, New Gulf Resources, and Cubic Asset, LLC. Natalie is a Fellow of the American College of Bankruptcy and of the American Bar Foundation. She is board certified in business bankruptcy by the American Board of Certification and accredited by the American Bar Association.
