Represents less than 25oUo of the totalpaid up capitalof the Company prior to Buy Back as on March 31, 2018, in terms of equity shares of facevalue of ' 10/- each. The proviso to section 68(2)(c) of the Companies Act, 2013, asamended. and Regulation 4(1) af the Buyback Regulations state that the buy Back af equityshares in any financialyear shallnot exceed 25% of the totalpaid up equity share capitalofthe Company in that financialyear. The indicative number of equity shares to be boughtback at the maximum buy back size and the maximum buy back price is l0,81,081 equityshares, which does not exceed 25% of the totalpaid up equity share capitalof the Companyas on March 31, 2018. If the equity shares are bought back at a price below the maximumbuy back price, the actualnumber of equity shares bought back could exceed the indicativeMaximum Buyback Shares (assuming fulldeployment of Maximum Buyback Size) but willalways be subject to Maximum Buyback Size.
