If conducted on the p."*i!.vn.ld of theSupplier all reasonable facilities and assistance, production data, quality testing data, etc.shall befurnished/ made available to the authorised repiesentatives at no charge to the purchaser. Thepurchaser will bear the cost of travelling, boarding & Iodging etc. of its aluthorized representativesfor the inspections.

5'3 If any inspected or tested Goods fail to conform to the specifications, the purchaser mayreject the goods and performance security will be forfeited anJorder will be cancelled.

6. Packing

6'l rhe Supplier shall provide such packing of the Goods as is required to prevent their damageor deterioration during transit to theii final destination as indicated in the contract. The packingshall be sufficient to withstand, without limitation, rough handling during transit and exposure toextreme temperatures, salt and precipitation during transit and open storage. packing case size andweights shall take into consideration, where appropriate, the remoteness of the Goods,final

destination and the absence of heavy handling facilities at all points in transit. 7.1. The supplier shall inform the MD, ASC Ltd about the scheduled delivery of the goods inwriting at least 03 (three) days ahead to the derivery ptannio.

l0.3Except due to Force Majeure event, a.delay-by the Supplier in the performance of its deliveryobligations shall render the Supplier liable to the imposition of liquitated damages pursuant toGCC Clause I l, unless an extension of time is agreed upon pursuani to GCC Clauie 10.2 withoutthe application of Iiquidated damages.

1l Liquidated Damages: If the Supplier fails to deliver any or all of the Goods within theperiod(s) specified in the bidding document, the Purchaser, without prejudice to the otherremedies under the Contracr, shall deduct from the Contract Price, as tiquiOateO damages, a sumequivalent to 2Yo of the contract price per day of delay subject to a maximum deducti6n 14% ofthe contract price. 12 Termination for Default

l2.lThe Purchaser may, without prejudice to any other remedy notice of default sent to theSupplier, terminate the Contract for breach of contract, by wriiten in whole or part:

a) If the SupP_lier.fails.to deliverany or all of the Goods within the period(s) specified in theContract/ Work Order , or within any extension thereof granted by tt. i.i..lrurer; OR

b) If the Supplier fails to perform any other obligation(s) under the Contract.

c) If the Supplier, in the judgment of the Purchaser has engaged in fraud and corruption.

l2.2ln the event the Purchaser terminates the Contract in whole or in part, pursuant to GCCClause, the Purchaser Tay procure, upon such terms and in such manner as it'dlems appropriate,Goods or Services similar to those undelivered, and the Supplier shall be liable to the purchaserfor any excess costs for such similar Goods or Services. However, the Supplier shall continue theperformance of the Contract to the extent not terminated.

13 Force Majeure

13.lThe Supplier shall not be liable for forfeiture ofits performance security, liquidated damagesor termination for default, if and to the extent that, it's dilay in performanc. o. otfr.,. failure toperform its obligations under the Contract is the result of an event of Force tvtaleure.

However, any delay in supply.of the goods by the supplier beyond the sowing season, even ifdue to Force IVlajeure conditions, Jhall not be acceptable- to the purchaser and in suchcircumstances the contract shall be terminated without any liquidateO Oimales or penalties andwithout any compensation to the supplier.

13'2 For purposes of this Clause, "Force Majeure" means an event beyond the control of theSupplier and not involving the Supplier's fauit or negligence and not foreseeable. Such eventsmay include, but are not limited to, acts of the purch'as-er either in itr sor".;ig;;, contractualcapacity, wars or revolutions, road blockade due to "bandlf', fires, floo-d-s," epidemics, andquarantine restrictions.133. If a-Force Majeure situation arises, the Supplier shall promptly notify the purchaser inwriting of such conditions and the cause thereof.
