April, 2012 CCA Friends and Neighbors, Helen Keller, the American author and educator who was blind and deaf, has always inspired me. She is credited with saying, “The only worse thing than being blind is having sight but no vision.” She is also cred-ited with saying, “Alone we can do so little; together we can do so much.” I hope Helen’s words speak to you, my Carillon friends and neighbors, as they speak to me at this time. During the past year, together, we had vision. And we did so much as a community – together. Without vision and without working to-gether, we could not have accomplished so much. In my last President’s Message, I highlighted some of the Association’s many accomplishments this past year. There are even more now: Over 300 Carillon residents have joined the CCA for the first time or renewed their memberships for 2012. This is more than double the number of members at this time last year. At a Special Membership Meeting on February 19, Members overwhelmingly approved much- needed changes to the CCA Articles and Bylaws that will help strengthen governance as we move forward. At the Annual Membership Meeting on April 17, Members unanimously elected the Board’s

recommended Slate of Directors for terms that begin on May 8. The Board will increase in size from 10 to 13 members in 2012-13.

There are many other achievements we have made – together! I’m sure you were as impressed as I was when, at our Annual Meeting, one leader after another came to the podium and spoke about what they and their committees have done for the Carillon during the past year. As wonderful as it is to celebrate these successes, we must not become complacent with our progress and we must continue to strengthen our vision. In his book, Success is a Choice, Rick Patino, one of the most respected coaches in college basketball, writes about the importance of being ferociously persistent, learning from adversity, and overachieving in business and life. Our work together has just begun. All of our CCA committees need more active members in order to achieve the ambitious goals we are now es-tablishing. With your commitment to success, we will continue to get better and better – in fact, to thrive as one of Richmond’s most sought-after neighborhoods. For me, my work as the CCA President will be ending on May 8 when the Board elects another President. However, I will stay on the Board for another year and will serve the Association as the 2012-13 Nominat-ing Committee Chair. I have a vision, and I will work with you to keep actualizing the vision. My vision is that we continue to increase diversity and strength in leadership among all races, ethnicities, genders, ages, and geographical locations within the CCA. I would like to see all Carillon residents join the CCA and become actively involved! Please join me in making this vision a reality! At the April 17 Annual Membership Meeting, the CCA membership elected 11 Directors to fill Board terms that begin May 8, 2012. Two current Directors, Ed Andrews and Tracy Ward, will continue for two more years in their current terms. A total of 13 Directors will serve on the Board of Directors in 2012-13. Per the CCA Bylaws, as revised in February, 2012, the Board consists of a minimum of 9 and a maximum of 13 Directors; all Director terms are 3 years; Officers are elected from within the Board; and the Presi-dent appoints the 12 CCA Standing Committee Chairs, subject to ratification from the Board. In order to evenly distribute the number of Directors rotating off the Board in future years, for 2012-13 (only) staggered terms were implemented. Five Directors were elected to 3-year terms; Two Directors to 2-year terms; and Four Directors to 1-year terms. Of the eleven Directors that were elected, five are cur-rently serving on the Board and six will be new on the Board.

3-Year Terms (2012 – 2015): Mat Agee - Mat and his fiancée, Stephanie, bought their home at 3009 Douglasdale 3 years ago. In Janu-ary of this year, Mat became Chair of the CCA Community Development Committee and was also elected to the CCA Board to fill a vacated Director position. Mat has worked actively on community development matters – for example, attending meetings about John B. Cary School potential rezoning and coordinat-ing with Richmond Little League regarding parking. He and Stephanie are also members of the CCA Pet Watch Committee. Mat keeps a busy schedule working as a Project Manager, doing home inspections for his local business (Structurally Sound Home Inspections), managing his rental property in Church Hill, and doing renovations on his Douglasdale home. Mat and Stephanie love living in the Carillon and would like to stay in the neighborhood a very long time! Mat plans to continue serving on the Community Develop-ment Committee in the next Board year. Jeff Fisher – Jeff lives at 1106 Sunset Avenue, along with his wife Susan, and their children, Sara and George. Jeff is not new to CCA leadership, as he served as the CCA First Vice President from 2005 to 2009. Jeff is a strategic consultant with a public consulting firm and has served in executive leadership positions in the Financial Services industry. He was a member of the Regulatory Compliance Committee at Capital One, served on the Leadership Team with the Federal Reserve, and presented quarterly finan-cials to the Board of Governors for strategic initiatives. Jeff was on the Executive Committee for a Na-tional Payment Processor and reported to the Board on a Quarterly basis. Jeff was on the boards of sev-eral non-profit entities before moving to Virginia in 2001. Jeff has offered to serve as President of the Board beginning in May. Jack Frye - Jack and his wife, Mary, moved to 3112 Bute Lane in August, 2011. They love the neighbor-hood and had been looking for a home to buy in the Carillon for 3 years. Jack retired from the Virginia Department of Conservation and Recreation in 2011 where he was the Director of the Soil & Water Con-servation Division for 19 years. He now works as Virginia Director for the Chesapeake Bay Commission. As a bonsai grower and Treasurer of the Richmond Bonsai Society, Jack has known our own Dan Kalman for a long time. Several months ago, he signed up to help Dan put down stakes at Arts in the Park. A great lover of the outdoors, Jack has been coordinating with Ed Andrews regarding Carillon beautification efforts so that he is in a position to chair the CCA Beautification Committee starting in May. When you go past Jack’s home on Bute Lane, take a look at the rock garden he is creating on his front embankment. Rock gardening is another one of Jack’s many talents – he has been building rock gardens for 30 years.

Julie Langan - Julie, her husband, Bill, and daughter, Margaret, have resided at 3102 Sunset Avenue since 2007. Julie has worked in historic preservation and nonprofit management for the past thirty years, di-viding her time between Richmond and her native Cleveland, Ohio. Currently she works for the Virginia Department of Historic Resources where she is responsible for overseeing a variety of state and federal preservation programs. Prior to returning to Richmond in 2007, Julie was founding Executive Director of FutureHeights, a nonprofit dedicated to strengthening the inner ring suburbs of Cleveland. She has served as a volunteer with a number of organizations both in Cleveland and Richmond. In February, Julie became Chair of the new CCA Communications Committee. In this role, she has enhanced CCA commu-nications by implementing Constant Contact, an email marketing software. We look forward to many more enhancements as Julie and other committee members implement the CCA Communications Plan in upcoming months. Pat Lovelace – In 1965, Pat and her late husband, Bob, moved into a house that Bob’s father built at 3112 Rendale. In 1974, they moved to her current residence at 1112 Sunset Avenue. Pat raised her four children in the Carillon, and she has five grandchildren who have also lived in the neighborhood. She has been active for many years as a member of a charitable woman’s club and two rug hooking guilds. Pat is best known as the “Arts in the Park” lady, having now served as Arts in the Park (AIP) Coordinator for 41 years. Before Arts in the Park started, Pat and others tried raising money for the CCA through house tours, yard sales, and bake sales, but these projects did not last long. Inspired by a visit to an art show at the Virginia Beach Boardwalk, several Carillon couples decided that an art show would put more people to work, give them a chance to get to know each other, and also raise money for the neighborhood. Pat has served on the CCA Board since 1985, when Chair of AIP became an ex officio position. She has a wealth of knowledge about the CCA’s history and fundraising and is a valuable asset on the Board. 2-Year Terms (2012 – 2014): Jim Beck –Jim and his late wife, Dora, have lived in the Carillon at 3009 Sunset Avenue for more than 20 years. Jim is a U.S. Army Viet Nam veteran. He graduated from VCU in 1972 and retired from state gov-ernment service in 2001 with 30 years of service. He worked in the Central Office Finance Department of the Department of Behavioral Health and Developmental Services. Jim has also been a small business owner in Carytown for over 20 years. He has been working in the granite fabrication business since 2001 and is currently employed at Capitol Granite. Jim has worked “the circle” with Tom Bracey at Arts in the Park from the first year of moving into the Carillon. He also participated in the neighborhood clean-up until it was discontinued several years ago. Jim is interested in neighborhood beautification and better-ment projects. He has offered to serve as Vice President of the Board beginning in May. In this role, he would be available to assist the President and Board with oversight of the Association’s operations. Faye Cates - Faye has lived at 3107 Grant since 1991 and is a Block Captain for her block. In August, 2011, she retired as Guardianship Program Specialist with the Virginia Department on Aging. Faye is currently studying Web Page Development at J. Sargeant Reynolds Community College. She is an active member of Alpha Kappa Alpha Sorority, Inc., where she is a former President of a Richmond chapter. Currently she serves as Assistant Secretary of her chapter. She is also a member of the sorority's Technology Com-mittee and Chairman of the Leadership Development Team and has served in several positions on the regional level. Faye was a member of the CCA Bylaws Review Committee in 2011-12. She has served as Vice President of the CCA since last August and Chair of the Membership Committee since March. Faye is a seasoned CCA leader, having served as a Director on the Board and on the Program Committee in the early 2000s when Midge Liggan and Butch Walter were Presidents and as Co-Hospitality Chair prior to joining the Board again this past year. Faye has offered to continue serving as Membership Chair .

1-Year Term (2012 - 2013): Chris English – Chris and his wife, Meda Lane, have lived at 1104 Sunset Avenue since 1988. Chris has served as CCA Treasurer since 2003. He was a member of the CCA Bylaws Review Committee in 2011-2012 and has served on the Donations Committee. He is a CPA and holds an MBA from the Darden School of the University of Virginia. He worked for eight years in non-profit management and has been in public ac-counting for twenty-one years with Lane & Associates. He has served on many non-profit boards, includ-ing as president and treasurer of the Poe Museum and treasurer of 1708 Gallery and of Noah’s Children, a pediatric hospice. He is currently a member of the board of trustees of the Virginia Center for Architecture and a member of the board of trustees and treasurer of Shimer College in Chicago. He is a national-level certified official with USA Track & Field. Chris has offered to continue serving as Treasurer of the Board beginning in May. Camille Harris - Camille and her husband, Dennis, live at 3114 Bute Lane, where Dennis has lived since 1978. Camille fell in love with the Carillon neighborhood when she moved to Richmond in 1990. She and her family rented a house on Rendale from 1990-92. She moved back to the Carillon in 2005 and became a Block Captain in 2010. During the last year, she initially served as CCA Vice President and later as CCA President. Camille also chaired the Nominating Committee until November and chaired the Bylaws Review Committee from August through February. Camille founded a non-profit community organization in Wash-ington, VA; has held many leadership positions in local non-profit and government agencies; and has served on several non-profit Boards. Since 2005, she has worked with Dennis as a leadership coach and talent management consultant for LaMountain & Associates. Over the next year, Camille is interested in serving as CCA Nominating Committee Chair and assisting the Board and the new President in continuing to build the CCA leadership team. Vera Ryan - Vera and her husband, Jimmy, have been married for 49 years and have lived at 3216 Garrett Street, where they raised their 3 children, since 1969. Their children attended John B. Cary School and are grown now. Vera taught middle and high school science and math for 29 years in Richmond and Henrico schools. She served as Treasurer for the Carillon area Girl Scout Troup in 1966 and has volunteered to work at Arts in the Park on opening day for 10 years. Recently, she volunteered as a reading tutor at John B. Cary School. She is presently Block Captain for the 3200 block of Garrett Street. Vera’s favorite hobbies are sewing, reading, watching TV, and drawing and painting pictures with her granddaughter (age 7), who attends John B. Cary School now. Vera and her family have enjoyed living in the Carillon area for 43 years and would not want to live anywhere else in Richmond, she says! Vera is interested in serving as Secretary of the Board beginning in May. Vernon Moseley - Vernon and his wife, Delores, have lived at 3208 Douglasdale since 1973, raising their two daughters in the Carillon. Vernon has been in retail sales for over 40 years and currently works as a Sales Associate at Brooks Brothers at Stony Point Mall. He graduated from Maggie Walker High School in the Class of 1957 and is currently chairing his Class Reunion Committee, as he has done every five years since graduating. He has been an active member of Second Baptist Church in South Richard for over 50 years. Vernon and his wife moved to the Carillon because it was a beautiful area, a very convenient loca-tion, a well-organized community, and a good place to live and raise kids. He is looking forward to resum-ing his daily 5-6 mile walks around the Byrd Park Vita Course with a group of neighborhood guys when he recovers from recent hip surgery. He would like for the CCA to hold more neighborhood programs and events – such as the Valentine’s Day Dance, New Year’s Brunch, and Race Track Trip that the CCA spon-sored in earlier years. Vernon is willing to Chair the CCA Program Committee or take on an active leader-ship role in specific CCA programs and events.

Communications Committee CCA is poised to implement a multi-faceted communication plan designed to keep pace with the times and enhance communication among all residents as well as the larger community. Approved last fall by the Board, the plan was developed by an ad hoc committee chaired by Beth O’Leary. Thanks to the hard work of Beth, Butch Walter, Scott Wright, Cindy Wright, Mollie Barton, Jonathon Barton, Dustin Richardson and Andrea Savedge, CCA now has in place a carefully crafted and ambitious agenda that provides a clear path forward for the work of the newly-formed Communications Committee chaired by Julie Langan. The goal of the plan is to achieve a unified, "branded" appear-ance and more effective communication among residents through the use of newsletters, website, emails and social media. The immediate goals of the Communications Committee are: · to build committee membership · to prepare a communications budget · select a design professional to develop the branding package · identify an editor who would be responsible for weekly emails and newsletters · establish written policy and protocol for communications to ensure integrity, positive messaging, timeliness and relevancy. Anyone with an interest in enhancing communication is invited to help get this committee off the ground. Please contact Julie Langan at [email protected] if interested in joining the committee or helping out by writing arti-cles, submitting news items or taking photos. The Committee extends a special thanks to Tracy Hundley and her mother Glenda Walker who in recent years have done a remarkable job managing the weekly emails and newsletters without the assistance of a committee or a formal communications plan. COMMITTEE UPDATES

Beautification Committee

Mother Nature seems to be doing its job – could the flowers and trees in the Carillon be any more beautiful? It’s almost worth the pollen and the accompanying allergies.

Upon Board approval, the Beautification Committee obtained estimates from three landscapers to plant trees in areas where trees have been lost. The arborist from the city was very helpful in assisting in the selection of replace-ment trees and areas for planting. Approximately 20 trees will be planted, with the city planning to add more in the fall. A part of the challenge is finding neighbors to be responsible for watering the new trees – many thanks to the many willing neighbors who have offered their assistance. Replanting is nearing completion in the Park at Sunset, the green space park at the end of Rugby and along the median on Douglasdale. The appearance and safety of our alleys remain an ongoing issue. Please phone 311 when you discard unwanted items in the alley or in front of your house if you do not have any alley. Plan on 7-10 days for pick up by the city. And last but certainly not least – a big thanks to the Unitarian Church for their beautification and safety enhance-ments on the corner of Blanton and Garrett. Visibility at the corner has long been a problem and when approached, the church was willing to confront the issue. Thanks to their efforts, it is much easier now to navigate this “tricky” intersection and the handsome new fence certainly is an attractive enhancement to one of the main entrances to the Carillon neighborhood.

Finally, a special thanks to everyone who assists with litter pick-up throughout the neighborhood. If each of us as-sumes responsibility for the front and back of our own property, what a help and difference we could make.

Bylaws Review Committee At a CCA Special Membership Meeting on February 19, the 47 Members of the Association in attendance voted unanimously to amend the Articles of Incorporation. The amended Articles:

Allow the Association to have more than one category of members, as established in the Bylaws, which were also revised at the February 19 meeting.

Eliminate the description of the geographical boundaries of the Association in the Articles.

Establish the number of Directors on the Board as no less than 5 (instead of no less than 3) and no greater than as allowed by the Bylaws (instead of 9, as established in last amendments to the Articles in 1994).

Eliminate 1-year directorships. The Articles now specify 3-year Director terms and allow for fixed and staggered terms.

Eliminate ex-officio Officer and Director positions. The Articles now specify that all Directors are elected by the membership.

Establish that Officers of the Association and the manner of their election shall be specified in the Bylaws. CCA Members voted on revisions to the Bylaws, as proposed by the CCA Board of Directors, and as amended at the Special Membership Meeting. The revisions passed by a vote of 40 in favor and 5 opposed. The primary changes to the Bylaws, in each of the 15 sections of the Bylaws, are as follows: I. Name and Location of CCA - This section now sets forth geographic boundaries using current names of streets, roads, highways, etc. II. Membership – Membership is now described more fully in the Bylaws. Two classes of members (members and associate members) and privileges are clearly defined. This section clarifies that the “Membership Year” runs from January 1 to December 31 and that dues will be accepted year-round. III. Membership Meetings – This section describes the Annual Meeting, Special Meetings, Meeting Notices, Record Date and Members List, and Conduct of Business at Meetings of the Members. It clarifies certain conditions upon which 25 days’ Notice, as opposed to 10 days’ Notice, must be given for Member meetings; updates Notice to in-clude electronic options; and establishes a Record Date of 5 days prior to the Annual Meeting and Special Meetings. IV. Board of Directors – Authority of the Board is clarified and consistent with Virginia Code. The number of Board Members is now stated as a range (9 – 13). The Bylaws set all Director terms as 3 years and explains staggered terms. The Members elect Directors, but not Officers. Arts-in-the-Park Coordinator has the option of running as a Director and may Chair the Fundraising Committee. Procedure for removal of Directors is made clear and conforms to Virginia Code. The previous Executive Committee structure is no longer in the Bylaws. Clarity is provided about Board Meeting frequency, notification, quorum, Executive Session and actions between Board Meetings. Newly-elected Directors take office at the first Regular Meeting of the Board in May. This section establishes a minimum of 6 Board Meetings per year.

V. Officers and Their Duties – The Officers are now identified as President, Vice President, Secretary and Treasurer. These are the most traditional Officer positions on Boards of Directors. The duties are briefly described. Officers are elected by Directors (instead of Members) at the Regular Meeting of the Board in May. As before these revisions,

the President continues to appoint Standing Committee Chairs with Board ratification. Officers have 1-year terms, yet these run concurrently with the 3-year terms of the Director positions which the Officers are filling. The Board may remove an Officer by a two-thirds (2/3) vote of the Board of Directors. Previously, the Bylaws required a major-ity vote. VI. Financial Operations – This category consolidates various sections of the existing Bylaws and makes clearer refer-ence to legal obligations to the State of Virginia, the IRS, etc. It also allows flexibility for the Board to determine the dollar value of checks that require two signatures and requires a Financial Review Committee to submit a report within 4 months of the end of the fiscal year. At least one member of the committee must be a non-Board member. VII. Committees –Standing and Special Committees are now described in a new section on Committees. Committee names and functions have been modified so that they better reflect existing and projected needs. Arts-in-the Park is a Special Committee and a subcommittee of the Fundraising Committee, allowing for other fundraising initiatives if Arts-in-the-Park is unable to provide the level of funding needed to support all CCA needs. A Standing Committee is defined as a single Member (Chair) or group. The Board is responsible for position descriptions for Committee Chairs and also for defining committee responsibilities. VIII. Conflicts of Interest – This category clarifies that the Board must adopt a Conflicts of Interest Policy that is in compliance with Virginia Code and to which all Directors of the Board must adhere. If the Code changes at some time in the future, the Policy can be easily modified by the Board. IX. Contracts and Agreements – This section requires the Board to develop policy about when written documenta-tion or a contract will be required in the acquisition of goods and services. X. Indemnification – This new section allows the Association to indemnify the Officers and Directors who conduct business for the CCA, subject to provisions in the Articles of Incorporation and the Virginia Code. It also clarifies situations under which indemnification shall not apply (e.g., an Officer or Director whose conduct or action was not done in good faith). XI. Representation – This new section prohibits Members of the Association from representing the views of the CCA on matters without the direction and consent of the Board of Directors. XII. Adoption, Review, and Amendments of the Bylaws – This clarifies the date upon which Bylaws revisions are ef-fective. It requires that Bylaws be reviewed periodically by the Board for current appropriateness. It specifies the means by which Bylaws revisions are communicated to the Members and that the text of proposed revisions or amendments must be provided to the Members at least 10 days prior to a vote by Members. Additionally, it requires all Bylaws changes to be approved by the Members. XIII. Non-Stock Corporation Act – This section requires the CCA to refer to and follow the Code of Virginia on matters not specifically addressed in the CCA Articles or Bylaws. XIV. Dissolution – This clarifies the procedure to follow if the CCA ceases to operate. XV. Parliamentary Authority – This section allows the Board to adopt rules of order for the conduct of meetings of the Membership and conduct for the Board. Many thanks to Bylaws Review Committee members for their commitment and perseverance in reviewing the CCA’s legal documents, discussing numerous options for improvements, drafting Amendments and Revisions that help strengthen the CCA’s governance, and educating the Board and Members about the proposed changes. Those serv-ing on the committee were Camille Harris, Faye Cates, Christopher English, Dennis LaMountain, and Butch Walter.

Congratulations to Matt and Kate Schefft on the birth of their son, Samuel Timothy Schefft (Sam for short) was born on April 2 at 5:53 am at MCV. Sam weighed 7 pounds, 15 ounces and was 20 inches long.

Congratulations to our own Butch Walter, a life-long Carillon resident, on his promotion from Hen-rico County Budget Direc-tor to Henrico County Fi-nance Director. A Henrico employee since 1997, Walter worked as a budget analyst and super-visor before becoming budget director in 2008.

Martha Rollins has announced her retirement as Chief Executive Officer of Boaz and Ruth effective at the end of the year. Martha founded the non-profit organization in 2002 with the goal of re-building lives and communities through relation-ships, transitional jobs and community revitaliza-

Larry L. Brown, Jr. , who grew up on French Street, passed away on March 12, 2012 at the age of 54. He is survived by one son, Larry G. Brown; his fa-ther, Larry L. Brown, Sr.; devoted sister LaForest F. Williams; two aunts, two uncles, a nephew and a host of cousins, other relatives and friends.
