Possession: Possession granted immediately upon execution of legal binding Purchase Agreement and collection of non-refundable 10% earnest

money deposited into AgVisors, LLC Trust Account.

Earnest Payment: The successful bidder(s) will write a 10% check (nonrefundable), that must be used as earnest money made payable to AgVisors

Trust Account upon conclusion of the auction, with the remaining balance due at closing. The payment may be in the form of cashier’s check,

personal check, or company check. All funds will be deposited and held in AgVisors’ Trust Account until the day of closing.

Contract and Title: Upon the conclusion of the auction, the highest bidder(s) must sign a real estate purchase agreement contract provided by

AgVisors, LLC. Sale is not contingent upon buyer(s) financing.

Costs- Title insurance and closing fees must be split equally by the seller and the buyer(s). The transfer fee must be paid by the seller. The new deed,

prepared at closing, must be paid by the buyer(s).

Closing: The closing is on or before August 15th, 2019. Closing location TBD by seller and AgVisors, LLC.

Survey: Seller has not surveyed the tracts and makes no guarantee to number of acres on each tract.

Sale Method: Identification will be required to register to bid during this auction. Bidding increments are solely at the discretion of the Auctioneer.

The Auctioneer may accept absentee, phone, or internet bids from bidders that cannot attend the auction or bid on behalf of the seller to advance

toward any reserve until the reserve is achieved. All absentee or telephone bidders will be disclosed at the auction. Video and audio recording devices

will be used during the auction which may be broadcast via internet or used other places. All decisions of the Auctioneer are final. AgVisors, LLC

reserves the right to utilize or change the auction method at the Seller’s discretion, at any time.

Approval of Bids: Seller reserves the right to reject any or all bids.******
