1.1 The applicants are required to submit a Demand Draft for Rs.20,000/- (Rupees Twenty

Thousand Only) payable in favor of ‘APIIC Limited, Payable at Hyderabad’ towards non-

refundable Process Fees. The same shall be submitted in a sealed cover super scribed

‘Process Fees DD for Consultancy Services for preparation of Detailed Project Report

(DPR) for Development of Industrial Parks in Andhra Pradesh. Proposals received without

above DD will not be considered.

INSTRUCTIONS TO APPLICANTS 2.1 Applicants are encouraged to get themselves fully convergent with the assignment and

the local conditions before submitting the Proposal.

2.2 Detailed Scope of Services, Deliverables and other requirements relating to this consultancy are specified in this RFP. In case an applicant firm possesses the requisite experience and capabilities required for undertaking the Consultancy, it is invited to participate in the Selection Process individually and consortium is not allowed. The manner in which the Proposal is required to be prepared, submitted and evaluated is explained in this RFP.

2.3 Proposals shall be prepared and submitted in the manner elaborated in this RFP as per the formats/annexures provided.

2.4 No Applicant shall submit more than one Application for each Consultancy assignment.

2.5 Any entity which has been barred by the Central Government, any State Government, a Statutory Authority or a public sector undertaking, as the case may be, from participating in any project, and the bar subsists as on the date of the Proposal, would not be eligible to submit the Proposal.

2.6 APIIC reserves the right to terminate a firm’s participation in the tender process at any time, should APIIC consider that a firm has, without the prior consent, failed to comply with any of the procedures and requirements prescribed in the RFP.

2.7 It shall be deemed that by submitting the Proposal, the Applicant has:

a. made a complete and careful examination of the RFP including the TOR; b. received all relevant information required from the APIIC; c. accepted the risk of inadequacy, error or mistake in the information provided in

the RFP or furnished by or on behalf of the APIIC or relating to any of the matters referred in the RFP;

d. satisfied itself about all matters, things and information, including matters referred herein, necessary and required for submitting an informed Application and performance of all of its obligations there under;

e. acknowledged that it does not have a Conflict of Interest; and f. agreed to be bound by the undertaking provided by it under and in terms hereof.

2.8 APIIC shall not be liable for any omission, mistake or error in respect of any of the above or on account of any matter or thing arising out of or concerning or relating to RFP or the Selection Process, including any error or mistake therein or in any information or data given by the APIIC.

2.9 The Proposal of a firm shall be liable for disqualification in the event of the following: a. If the firm refuses to accept the correction of errors in his proposal, (or)

b. If the Firm submits a conditional Proposal which would affect unfairly the competitive provision of other firms who submitted substantially responsive proposal.

2.10 AMENDMENT TO RFP

a. At any time prior to the due date for submission of Proposal, the Authority may, for any reason, whether at its own initiative or otherwise, modify the RFP document by issuing Addendum/ Amendment and the same will be posted on APIIC’s website only. No written communication will be sent to the prospective Consultancy Firms.

b. In order to provide the Applicants with reasonable time for taking an amendment into account, or for any other reason, the Authority may, in its sole discretion, extend the PDD.

2.11 CONFLICT OF INTEREST

a. The Authority requires that the Consultant provides professional, objective, and impartial advice and at all times hold the Authority's interests paramount, avoid conflicts with other assignments or its own interests, and act without any consideration for future work. The Consultant shall not accept or engage in any assignment that would be in conflict with its prior or current obligations to other clients, or that may place it in a position of not being able to carry out the assignment in the best interests of the Authority.

b. An Applicant shall not have a conflict of interest that may affect the Selection Process or the Consultancy (the "Conflict of Interest"). Any Applicant found to have a Conflict of Interest shall be disqualified.

c. An Applicant shall be deemed to have a Conflict of Interest affecting the Selection Process, if:

i. a constituent of such Applicant is also a constituent of another Applicant; (or)

ii. such Applicant receives or has received any direct or indirect subsidy or grant from any other Applicant or its Associate; (or)

iii. such Applicant has the same legal representative for purposes of this Application as any other Applicant; (or)

2. PREPARATION, SUBMISSION AND EVALUATION OF PROPOSALS

4.1 GENERAL

a. The firms shall bear all costs associated with the preparation and submission of its proposal, including site visits, field investigations, data collection, analysis, etc. as also any discussions/negotiations. The authority shall not be responsible or liable for any such costs incurred.

b. The firms should submit their proposals individually and consortium is not allowed.

c. Adherence to formats, wherever prescribed, is required. Non-adherence to formats might be a ground for declaring a proposal non-responsive.

d. All communication and information shall be provided in writing and in English language only.

e. All communication and information provided should be legible, and wherever the information is given in figures, the same should also be mentioned in words. In case of conflict between amounts stated in figures and words, the amount stated in words will be taken as correct and final.

4.2 PREPARATION AND SUBMISSION OF PROPOSALS

a. The Proposals shall be submitted in two separate envelopes as under.

i. ENVELOPE I: Technical Proposal

ii. ENVELOPE II: Financial Proposal

b. The above two envelopes shall be sealed, signed and placed in an Outer Envelope. The outer envelope, containing the said two envelopes (Envelopes I & II) shall be properly signed, stamped, sealed and submitted.

4.3 SUBMISSIONS IN ENVELOPE I (ELIGIBILITY AND TECHNICAL QUALIFICATION)

The Envelope I shall contain the following documents.

a. Signed RFP document

b. Checklist of Submissions as per Annexure 1

c. Covering Letter as per Annexure 2

d. Certificate of Firms’ Registration (Proof of Year of Establishment/Experience)

e. Financial Eligibility Criteria as per Annexure 3

f. Experience in Similar1

g. Team Composition: Details of key experts for engagement in this assignment in the format enclosed as Annexure 5. The key experts shall be on the regular rolls of the firm.

Projects: Details of experience of the firm in providing consultancy services in development of similar projects (advisory experience in development of Industrial Parks/SEZs/Investment Regions) in the last five financial years in the format enclosed as Annexure 4.

h. Approach and Methodology.

i. DD for Rs.20,000/- (Rupees Twenty Thousands only) towards Process Fees in a sealed cover.

Envelope I (Technical Proposal) shall be sealed, labelled as “TECHNICAL PROPOSAL FOR CONSULTANCY SERIVCES FOR PREPARATION OF DPR FOR DEVELOPMENT OF INDUSTRIAL PARKS IN ANDHRA PRADESH”.

4.4 SUBMISSIONS IN ENVELOPE II (FINANCIAL PROPOSAL)

The Envelope II shall contain the price quote (per acre basis) of the firm towards consultancy fee in Indian Rupees that is inclusive of professional fee, transport, printing and stationery and all other expenses except service tax. The price proposal quoted shall be for each acre and shall be submitted in the format enclosed as Annexure 6.

Envelope II (Financial Proposal) shall be sealed, labelled as “PRICE PROPOSAL FOR CONSULTANCY SERIVCES FOR PREPARATION OF DPR FOR DEVELOPMENT OF INDUSTRIAL PARKS IN ANDHRA PRADESH”.

4.5 SIGNING OF PROPOSALS

The Authorized Signatory shall sign or initial each page of the proposal documents along with the stamp of the firm. They should also sign & stamp each page of the RFP issued & return the same along with proposal to APIIC.

4.6 OPENING OF PROPOSALS

a. Proposals received by the due date and time and in sealed condition will only be considered for opening and evaluation. Proposals other than the above will be summarily rejected.

b. Firms that submitted the proposals will be duly intimated with the date, time and venue for opening the proposals received as above. Authorised representatives of the participating firms are requested to be present during tender opening.

c. The details of the authorized representatives present will be recorded.

d. Name of the firms that submitted the proposals will be read aloud in the presence of firm’s representatives and will be recorded.

4.7 OPENING AND EVALUATION OF ENVELOPE I (TECHNICAL PROPOSAL)

a. The Envelope I of the proposals will be opened in the ascending order (1/5, 2/5, etc.) and checked for all the mandatory documents duly signed as per the list provided above and in the prescribed formats..

b. The Eligibility (Experience and Financial criteria as per TOR) of the firm will be evaluated as per the documents submitted towards Experience and Financial Eligibility Criteria. Eligible firms shall only be considered for further evaluation.

c. Maximum marks for Technical Evaluation are 100, with the following breakup.

i. Firm Experience in Similar Projects : 50 marks ii. Team Composition : 30 marks iii. Approach and Methodology: 20 marks

d. The technical proposals will be marked based on the following evaluation criteria.

i. With reference to Experience in similar projects (clause 4.7, c-i) above, marking will commensurate with experience in number of similar Projects. Marking will be provided over and above Three (03) similar projects. Each similar project experience will carry Ten (10) marks subject to a maximum of Fifty (50) marks.

ii. The team composition (key experts) mentioned in Terms of Reference (TOR) of this RFP (along with minimum experience) will only be considered for marking under clause (4.7,c ii) above. While Team Leader is allocated maximum Twelve (12) marks, each of the other key experts mentioned in TOR are allocated maximum six (06) marks. Completed years of experience will only be treated for evaluation. Each team member will be eligible for marking (as below) only if each of them is existing employee of the bidding firm and meets the minimum specific experience stipulated in section 5.4 of the TOR. No marks will be provided if the team member is neither existing employee of the bidding firm nor have minimum stipulated specific experience.

• Team Leader: Five (05) marks will be awarded for Five (05) years of experience. Additional one year experience will be awarded one (01) Mark subject to maximum of Twelve (12) marks.

• Other Experts: Each expert will be awarded with Three (03) marks for Five (05) years of experience. Additional one year experience will be awarded one (01) mark subject to maximum of Six (06) marks.

iii. With regard to Approach & Methodology, marking will commensurate with clarity, practicality and detailing of the Methodology and work schedule.

e. The technical proposals shall be evaluated by APIIC and marks will be awarded as per the response of the proposal as per clause 4.7 (c) detailed above. APIIC’s decision is final and no negotiations/ clarifications/ queries/ etc. are entertained in this regard.

4.8 OPENING AND EVALUATION OF ENVELOPE II (FINANCIAL PROPOSAL)

a. The Envelope II of those Firms that scored a minimum of Seventy (70) marks in the technical proposal (Envelope I) will only be opened.

b. The financial proposals shall be checked for substantial compliance. If the submission is in substantial compliance with the Financial Proposal, then, the review and evaluation of the same would be undertaken. If the submission does not satisfy the criteria, the submission will be rejected and such firm will be eliminated from further evaluation process.

c. Requirements for Substantial Compliance: Prior to the detailed evaluation of the Financial Proposal, it would be determined whether each Financial Proposal:

i. Has been properly signed and contains the required representations or commitments;

ii. Is presented in a manner that conforms with the requirements of the RFP including the specified format;

d. Material Deviation: A material deviation or reservation is one

i. Which affects in any substantial way the requirements of the RFP and performance of the Project; or

ii. Which is substantially inconsistent with the requirements of the RFP.

iii. Whose rectification would affect unfairly the competitive provision of other competing firms presenting substantially responsive proposals.

e. Evaluation: For evaluation of the financial proposal, the consultancy fee for each project site (per acre basis) as quoted by the firm shall be considered. The sole criteria for evaluation of the financial proposal is the lowest consultancy fee quoted. The firm with lowest price quote (L1) shall be the selected consultant firm. In the event of more than one applicant quotes the same lowest amount, the firm who got maximum score in Technical evaluation will be considered for awarding of assignment.

f. APIIC reserves it right to accept or reject any or all the quotes without assigning any reason.

The selected firm is liable to provide its services irrespective of location of the project site/s at the quoted price.

5.TERMS OF REFERENCE

5.1 BACKROUND

5.1.1. Andhra Pradesh is one of the most progressive, forward-looking and advanced States in the country when it comes to infrastructure development and employment generation efforts. APIIC is a progressive organization responsible for development of industrial infrastructure in the State of Andhra Pradesh. APIIC is known for creating landmark infrastructure projects in the State, which are fuelling the economic growth in the state. APIIC has so far developed more than 300 industrial parks/estates and created land banks for the future industrial development.

5.1.2. Now, APIIC has identified Government lands for the development of Industrial Parks across the state. APIIC is submitting proposals to Government to alienate / acquire the lands for developing industrial parks that generate employment. Further, subsequent to the approval from Government of Andhra Pradesh on Land Alienation / Land Acquisition, APIIC intends to prepare a layout plan with land parcelization for setting up of various industries and other required infrastructure in these proposed Industrial Parks. The infrastructure plans with cost estimations also need to be prepared to develop these new lands as Industrial parks.

5.1.3. In this regard, APIIC issued this RFP for selecting consultants for preparation of Detailed Project Report (DPR) including Layout Plans for development of Industrial Parks across the State.

5.2 SCOPE OF SERVICES

The scope of the Consultant is to undertake detailed assessment of the proposed project site and accordingly prepare Detailed Project Report (DPR) for developing the Industrial Park. The detailed scope of services covered under this assignment is as below:

• Field visits to understand the location, site and local conditions • Detailed Site Analysis

o The consultant shall undertake detailed site analysis covering connectivity aspects, existing landuse, surrounding developments, review of Development controls (Bye-laws) and zoning regulations, legal due diligence (land title), environmental aspects and SWOT analysis. The existing infrastructure facilities including water supply, power supply and waste management shall also be studied.

• Conducting Field Surveys and Investigations (Topographical & Geotechnical)

o Land surveys and soil Investigations of the site are the key exercises to be undertaken by the consultant for the development of the proposed Industrial Park. Topographical Surveys: This shall cover detailed boundary survey

(including fixing of boundaries) (traversing) for the measurement of actual site extent, contour survey for mapping the existing ground levels and prepare contour map with an interval of at least one (1) m and mapping of all existing site features (natural and manmade). After conducting the Boundary survey, the consultant shall also assist APIIC while fixing up of the boundary stones. However, the cost of material for fixing up of boundary stones and labour deployment will be made by APIIC.

Geotechnical/ Soil Investigations: This shall cover drilling of standard geotechnical boreholes (150 mm nominal diameter) in the site using rotary drilling equipment (number of boreholes will be one per every 100 acres) and drilling in soil up to 10 m or refusal stratum (SPT “N”>100) or 2 m in rock stratum, performing Standard Penetration Test at 1.5 m depth intervals, collection of disturbed/undisturbed samples and conduct necessary laboratory tests/analysis on soil samples for engineering parameters (type/nature of soil, grain size distribution, Atterberg’s limits etc.) and calculation of Soil Bearing Capacity and recommendation of Safe Bearing Capacity (SBC) for the proposed development.

• Environmental Screening o The consultant shall carry out the Environmental Screening as per the guidelines

of Ministry of Environment & Forests (MoEF), for the proposed site of Industrial Park covering Environmental/Ecological sensitivity, Review of applicable legal framework and way forward for detailed EIA studies.

• Market Study and Demand Assessment o The market potential for the proposed Industrial Park shall be assessed by

studying the available data and economic status of the project area, the future developments proposed in the vicinity of the project area, the average space profiles for the respective industries that are likely to invest in the region. Existing industrial base and processes shall be identified and studied along with the natural resource potential of the region. Factors affecting the industrial development in and around the proposed region shall also be identified and the target industries shall be identified along with associated service sectors.

• Finalizing the Product mix o The total space requirement for each industry and its supporting infrastructure

and amenities in the industrial park will be allocated in line with its market potential and the expected share that it can capture given its competitive advantage at the location.

• Assessment of common and utility infrastructure assessment based on the proposed product category/product mix

• Layout Plan / Conceptual Master Plan – Based on the Product Mix arrived through demand assessment Proposed Projects/Infrastructure Development

o This exercise will take into consideration the existing site conditions including connectivity, terrain, surrounding landuse, natural features that can be retained/ integrated into the conceptual master plan, etc.

o The concept of the Industrial Park (IP) shall be prepared that will be based on the requirements of the client and the vision/development objectives for the development of the project. A conceptual zoning plan giving the sub divisions of the site in to different zones/areas based on the type of industries shall be prepared. The area allocation for the industries will be based on the inputs from market and demand assessment study as well as APIIC requirements. Based on the zoning plan, a conceptual master plan (along with a phasing, if required) shall be developed.

o The layout plan/conceptual master plan shall be finalised in consultation with APIIC.

• Infrastructure Assessment (Onsite/Offsite) – Road Network, Water supply, Power supply, Wastewater management, Solid waste management, other common infrastructure, etc.

• Project Cost Estimation for Infrastructure Development – Onsite & offsite infrastructure • Investment Projections and Employment Potential

o Based on the market assessment and demand potential, the likely investments from the proposed industrial park shall be estimated. The employment potential from each industrial park shall also be estimated. The phasing of investment projections and employment potential shall be shown as per the development phasing of industrial units in the park.

5.3 ELIGIBILITY CRITERIA

The firms submitting the proposal shall meet the following eligibility criteria for further evaluation of their proposal. Necessary information and supporting documents shall be submitted as part of Envelope I (Technical Proposal) for establishing the firm’s Eligibility as below.

a. Experience Criteria

• The Consultant must have advisory experience of minimum Five (5 ) years as on PDD. Experience of associates is not allowed.

• The consultant must have provided advisory services (on its own/sole applicant) for development of minimum Five (5) numbers of Industrial parks/ SEZ/Investment regions in the country as on PDD. Experience of associates is not allowed.

b. Financial Eligibility

The firm should have a minimum average annual turnover of Rupees 2 Crore in the last three financial years (FY 2011-12, FY 2010-11 and FY 2009-10) as per the audited balance sheets. The revenues from the consulting/advisory services will only be considered for evaluation. Turnover of associates will not be considered.

5.5 PAYMENTS TO CONSULTANT

Consultancy Fee (per acre basis) as quoted by the selected consultant shall be paid in accordance with the RFP terms. In addition to the consultancy fee, Service Tax will be payable by APIIC as applicable at the time of completion of each deliverable.

5.6 DELIVERABLES, TIME LINES AND PAYMENT SCHEDULE

The proposed deliverables, timelines and payment schedule for the above scope of work shall be as below. The total amount of consultancy fee payable shall be as per section 5.5.

11. 1/We hereby irrevocably waive any right or remedy which we may have at any stage at law or howsoever otherwise arising to challenge or question any decision taken by the Authority (and/ or the Government of India) in connection with the selection of Consultant or in connection with the Selection Process itself in respect of the above mentioned Project.

12. I/We agree and understand that the proposal is subject to the provisions of the RFP document. In no case, shall I/we have any claim or right of whatsoever nature if the Consultancy for the Project is not awarded to me/us or our proposal is not opened or rejected.

14.
