In absence of any of the above, technical bid will not be opened / the opening of tender of the party will be at the discretion of the UGVCL.

3. Security Deposit The security deposit is applicable as per clause no (2) of Condition of Contract.

4 Time Limit Time limit for the completion of work is 12 months, from the date of written order to commence.

5. In case UGVCL finds that there is an attempt of cartel in the prices, UGVCL reserves the right to consider or reject any or all the parties offer without assigning any reason thereof.

NAME OF WORK: “Carting of readymade 8.00 Mtr./200 kg. PSC poles from Ditasan pole factory”. GENERAL CONDITIONS :

1. Earnest Money Deposit: 2.

a) Earnest money Deposit (1% of the Estimated cost) as indicated on the face sheet should be paid by the tenderer along with the tender in cash or by the D/D on any Nationalized bank in favour of “UTTAR GUJARAT VIJ COMPANY LIMITED”. Payable at Mehsana in which case receipt shall be attached with tender.

b) Tender without earnest money are not liable to be considered. c) Earnest Money Deposit will be forfeited in case the successful Tenderer after his tender

has been accepted shall refuse to pay the prescribed Security Deposit and execute the contract.

2. Validity of Tenders: All tenders shall be opened for acceptance by the Company for a period of 180 days from the date of opening the tenders and may be further extend to 30 days if required and the tenderer shall be bound to execute the work on such acceptance. 3. Acceptance of tenders: The Company does not bind itself to accept the lowest or any tender neither will any reason be assigned for the rejection. It is also not binding on the Company to give any analysis report on the tender. 4. Security Deposit: The lowest tenderer whose tender is accepted shall have to pay 5% Security Deposit of the tender cost, within 8 days from the receipt of the acceptance of order In case contractor fails to pay the Security Deposit within the specified time, his Earnest Money will be forfeited and order will be cancelled without issuing any notice. 5. Solvency Certificate: The lowest tenderer whose tender is accepted shall have to produce the solvency certificate from the Collector of District within which he resides or a Bankers certificate of his financial stability for the amount as deemed fit by the undersigned. 6. Experience Certificate: The lowest tenderer whose tender is accepted shall have to produce the experience certificate for the same type of work carried out by him. 7. Contractor Documents: The lowest tenderer whose tender is accepted shall have to execute the stamp agreement in standard form of the Company and will have to sign the contract Booklet at his own cost. In case of partnership firm necessary partnership documents will have to be produced for verification of authority to assign the bills measurements and enter into contract as well as correspondence with the Company. Whereever require necessary power of attorney will have to be produced.

NAME OF WORK: “Carting of readymade 8.00 Mtr./200 kg. PSC poles from Ditasan pole factory”. Special conditions of contract for carting of PSC poles from Ditasan Pole Factory. Terms and conditions: 1. The tender pertains to the transportation of PSC poles of 8 Mtrs. of the estimated quantity

mentioned in Schedule-B for a period of 12 months or the poles contracted are fully transported, which ever is earlier. The Company reserves the right to extend or to reduce the contract period of the original order for Two months.

2. The rates quoted shall be on the basis of the rate in per pole per K.M. The tender rate shall

remain open for a period of 6-months from the date of opening of tender, which can be extended for one month.

3. The tenderer should also quote the minimum charge per pole. 4. The location to which the poles are to be transported from the pole factories shall be decided

by the Superintending Engineer or the Executive Engineer or the concerned Circle or Division for the location under their Jurisdiction, or as decided by R & C office - Mehsana. Any poles carted to the place/location other than the destination specified in the M.R., such poles shall be re-carted by contractor to the location/destination specified in the M.R. In event of failure of the contractor to do so, they will be carted either by the company or through other agency on account and at the risk of the contactor.

5. The rate quoted by the contactors shall be inclusive of loading of poles at the factories,

transportation of poles from the factory to the destination as directed by the concern Engineer or the Company and un-loading stacking the same at destination.

6. Contractor shall be solely responsible for damages if does to the pole during loading,

transporting unloading and stacking the poles at site. The cost of damages to the poles if any, shall be recovered from the contractor. The cost of such damages will be fixed by the field officers of the Company in whose jurisdiction the poles are carted. His decision shall be treated as final.

7. The tenure of this contact shall be effective from the date of issue of this order and for the

material requisitions given after the date of issue of this letter to 12 months or the pole contracted are fully transported as per condition No.1 above.

8. The contactor shall have to transport the poles every month as per allotment of poles from

the concerned factory. The quantities of poles and the destination to which the poles are to be transported shall be fixed by the Company’s Officer from time to time.

9. The contactor is required to transport minimum 70% of the poles manufactured at the factory and for balance 30% of poles Company reserves the right to arrange carting departmentally or any other agency.

10. It must be clearly understood that the estimated quantities of poles indicated above are

approximate and that they are likely to be more or less or to be Nil during any month or at any time of the contractual period. The actual quantities to be transported will entirely depend on actual production/requirements of the poles from time to time. If for any reason the factory to unable to manufacture estimated quantity of poles shown above in any month or at any time of contractual period, the contractor will be entitled to transport the quantities manufactured in any particular month. The Company’s officers reserve the right to increase or decrease the quantities of poles to be transported or delete any item either partly or wholly during the contractual period. Payment of such work will be based on the offered rates and measurement for work actually done. No increase in rates will be allowed for such increase or decrease in quantities of work.

11. (a) If the contractor fails to transport poles during any month as directed by the Company’s

Officers, The UTTAR GUJARAT VIJ COMPANY LTD. reserves the right to cancel M.R. pending with contractor for more then one month and Company shall transport these poles through any other agency or departmentally at the risk and cost of the contractor without giving any notice or observing any formalities in this regards and in that case any expenses that may be incurred in excess of the sum which would have been paid to the original contractor, the contractor will have no claim for compensation for any loss sustained by him owing to such action.

(b) Also the Company reserves the right, at the discretion of competent authority of the Company to impose penalty at ½% per week subject to a maximum of 10% reckoned on the amount that would have been paid to the contractors had the poles been carted in stipulated time. For working out the penalty, the material requisitions remained uncarted will be considered. If there is a backlog, the same also will be counted. Provided always that the delay in carting by the contractor will be condoned on account of non-availability of PSC poles or due to unforeseen circumstances on his furnishing satisfactory reasons and/or production of documentary proof thereof.

12. The contractor shall have to enter into an agreement with the Company on stamp paper of

appropriate value in the prescribed form whose cost shall be borne by the contractor. 13. The general terms and condition of the contract prescribed by the Company in a booklet

shall be binding to the contractor and contractor shall have to sign the same. 14. The payment shall be made by the E.E. (O&M), concerned based on the certificates of the

Division Officers for whom the poles are carted. 15. Damage for delay in carting:

If the contractor fails in the due performance of the contract within the time stipulated by the contractor or any retention thereof, He is liable to pay at the discretion of the engineer, penalty upto ½% of the contract price per week subject to maximum 10% reckoned on the contract value of such portion of the poles to be carted.

16. Termination of contract:

a) In case the contractor fails to cart the requisite number of P.S.C. poles as allotted from time to time within the specified period of delivery or any retention thereof the Engineer-in-charge shall exercise his discretionary powers either (1) To recover from contractors damages by way of penalty as stated in the clause 15 above or (2) To entrust the work

of carting else-where after giving due notice to the contractor & at the risk of the

contractor without canceling the contract in respect of unexecuted work. Or (3) To rescind the contract & carry out the work under condition No.4 of the booklet of “tender & contract for works” & adopt any of the clauses under (b) & (c) thereof.

b) In the event of the Company taking action under clause 16(a) 2 or 3 stated above the

contractor shall be liable for any loss which the Company may sustain on that account but the contractor shall not be entitled to any gain on such amount made against his default. 17. The loading & unloading of P.S.C. poles shall be done with TWO POINT LIFTING & single point lifting will not be allowed under any circumstances.

18. If the contractor fails to pay the security deposit within the stipulated time then the Company

reserves the right to forfeit the earnest money deposit & terminate the contract after giving ten days notices in writing to pay the security deposit as per work order.

19. Whenever there is a conflict between the aforesaid special condition & general conditions of

contract booklet, the special condition will prevail. 20. Company may need Huge quantity of poles in very short period in special circumstances

then Company reserves the right to cart through other carting contractor without informing to contractor to whom the order is placed for particular pole factory.

21. In emergency OR unforeseen circumstances, you shall have to cart the P.S.C. poles from

any other pole factories to any destination at the same rate & conditions, as and when required on instructions of undersigned.

22. Unless the security deposit is paid & agreement is finalized, No R.A. bills payment will be

made to the contractor. 23. The Company reserves the right to place the work order to two different agencies in respect

of tender inquiry. 24. Poles for carting will be available to carting contractor from the pole factory during working

hours of pole factory, as directed by Company’s in charge officer. 25. It will be the responsibility of the contractor to post a postcard to consignees as soon as the

poles are loaded in the truck for transportation to the destination so that contractor may get receipt of poles from concerned consignees early.

26. In case, If poles are lifted from pole factory & could not reach the proper destination/site & found missing then the cost of such poles will be recovered from the carting contractor without any further reference.

27. Rate escalation clause due to increase/decrease in rates of Diesel / Oil /Tyres / spare parts

etc.., The Company agree to increase/decrease the rates by ONE PAISE PER POLE PER KM. FOR EVERY INCREASE /DECREASE IN RATES OF DIESEL BY RS. 0.50 PS. PER LITRE. Nothing will be considered extra on account of increase/decrease in cost of tyre, tube, oil, & spare parts etc.. Except increase/decrease in the rate of Diesel as above.

28. Rate escalation clause will not be applicable to minimum charges per pole. 29. Arbitration clause, In case of any disagreement with the decision of the Superintending

Engineer, The matter will be referred to Arbitrator & Decision of the Arbitrator shall be final & binding.

30. Period of contract is for 12 months or till the entire quantity of poles shown under Schedule-

B are fully transported whichever is earlier. The company also reserves the right to increase or decrease the quantity by 20% shown under schedule- B at the same rates.

31. If P.S.C. Poles are carted outside the specified area (Circle) due to some unforeseen

reason than carted quantity of such poles should be a part of the quantity of the ordering circle, though the payment is to be made by the Recipient circle.

32. The Payment of Carting beyond 60 KMS will be considered as “per pole per KM. charges or

fixed charges for 31 KMS. To 60 KMS. Whichever is higher” 33. Party has to obtain service tax No. and pay the required service tax as per Govt. rules to

concern authority and shall afterwards claim reimbursement of service tax enclosing proof thereof from the company along with carting bills. Party will be responsible for payment of service tax.

34. Conditional tender will be outright rejected. 35. No Escalation will be paid for compliance of any of the labour laws & cost shall be born by

TERMS AND CONDITIONS REGARDING INDUSTRIAL LAWS AND OTHER RELATED MATTERS 1. Wages to be paid and time of payment etc. by the contractor.

a] The contractor will be required to pay minimum wages as per minimum wages act applicable and as revised from time to time by competent authority per day or as may be specified hereafter of rates under the related act whichever is higher. The wages of every contract labour employed by him under the contractor shall be paid by him before the expiry of 7th day from the last day of the month in respect of which the wages are payable [i.e. wages of a month have to be made him in the first week of the next month.]The payment shall be disbursed in the presence of management representative during the working hours in factory premised and the contractors shall get entries certified in the register of wages by the representative of the Company. Any default will result in cancellation of contract forthwith or also the contractor shall be punishable to the extent of the Rs.100/- fine per each day. b] The contractor shall give his telephone number and address to the Company so that in case of labour trouble etc. the contractor can be contacted. The contractor shall arrange to have his office outside the factory premises and the contractor keep himself present through the working hours.

2. LABOURS LAWS

a] Person below the age of 18 years shall not be employed for the work. b] No female shall be employed in the night shift between 7 P.M. to 6P.M. c] Contractor shall maintain a valid labour license under the contract labour[regulation and abolition] Act for employing necessary manpower to be required by him in the absence of such licence the contract shall be liable to be terminated without assigning any reasons thereof. d)The contractor shall at his own expenses comply with all labour laws and keep the Company indemnified in respect thereof. Some of the major liabilities under various and industrial laws which the contractor shall comply with are as under:

i] Payment contribution by way of employer’s contribution towards provident Fund, Family Pension Scheme Deposit linked Insurance Scheme. Administrative charges etc. at the rate made applicable from time to time by Government of India or other Statutory authorities. ii] Payment of deposit in respect of each contract at the rate of Rs.90/- with the office of commissioner of Labour as per the contract labour [Regulation and Abolition] Act. iii] Licence fees as prescribed under the contract labour [Regulation and Abolition] Act and rules framed there under depending upon the number of workmen employed by the contractor and to keep all the register under the contract labour act. iv] Paid leave facility and wages as per provision of the payment of wages factories act at the rate of one day for every 20days of working. v] Identify cards as prescribed under the factories Act with photo affixed thereto the some for identification. vi] Payment of retrenchment compensation. Notice pay and other liabilities as per industrial disputes Act, Any payment to the contractor’s employee arising out of any claim or Disputers under the Industrial dispute Act 1947 or any other labour laws. vii] Payment of compensation in case of accidental injury. Viii] Provision of crèche if the female labours employed are more than 30 numbers.

ix] Maternity leave as per the provisions of the maternity benefit Act. X ] Bonus as per Payment of Bonus Act 1965.

3. Provident Fund & Pension Scheme

The contractor shall submit alongwith his bill (monthwise) a statement regarding deductions against employees provident Fund and Family pension scheme in respect of each concerned employee .Provident Fund and Family pension scheme the rate of 8.33% [of at the rate made applicable by the Govt. from time to time] of the wages. The contractor’s contribution towards provident fund and family pension scheme shall be deposited by the contractor with Regional Provident Fund Commissioner, Ahmedabad at the rates applicable.

4. DEPOSIT LINKED INSURANCE SCHEME

The contractor shall have to deposit 1/2% of the wages in respect of employees who is a member of the provident fund as the contribution/on to the deposit linked scheme with Regional Provident Fund Commissioner, Ahmedabad.

5. ADMINISTRATIVE CHARGES

Administrative charges for maintaining provident fund a/c. shall deposited by the contractor with Regional Provident Fund commissioner, Ahmedabad at the rates applicable.

6. PAID LEAVE FACILITY

Paid leave facility at the rate of one day for every twenty days worked by contractor labour shall provided by the contractor to his workers. He shall maintain leave records/leave card for individual labourer which shall be duly verified and approved/certified by the authorized officer of the company.

7. WORKMEN COMPENSION FUND AND EMPLOYER’S LIABILITY INSURANCE

The contractor shall cover all his employees workmen’s compensation fund and under the liabilities insurance.

8. The contractor shall employ adequate number of experienced staff at site for daily

supervision and for maintenance of various registers and record required under the law and conctract. No payment for suspension shall be admissible.

9. CONTRACTOR TO IDEMNIFY THE COMPANY

I] The contractor shall indemnify the Company and every member officer and employees of the Company, also engineer in charge and his staff against all actions proceedings claims, demands costs and expenses whatsoever arising out of or in connection with the matter referred herein above elsewhere and against all actions proceedings, claims demands costs and expenses which may be made against the company of Government for or in respect of or formance of his obligation under the contract document. The Company shall not be liable for or in consequence of any accident or injury to any workmen or other person in the employment of the contractor or his sub-contractor and the contractor shall indemnify and keep indemnified the Company against all such damage and compensation and against all claims, demands proceedings costs, charges and expenses whatsoever in respect thereof or in relation thereto.

II] The contractor shall l deposit 15 days salary for every completed one year of service for each worker for the liabilities of gratuity.

10. WORKMEN’S COMPENSATION AND EMPLOYEE’S LIABILITY INSURANCE

Insurance shall be effected for all the contractor’s employees in the performance of this contract. If any of the work is subject the contractor’s shall require the subcontractor to provide workmen’s compensation and Employer’s liability insurance for the letter’s employees unless such employees are covered under the contractor’s insurance.

11. The company reserve the right to terminate this rate contract at any time during it’s pendecy

without giving notice of termination or any reasons thereof. 12. The company will be entitled to deduct directly from the bills to be paid the contractor and

sum/sums payable by you and which sum/sums the Company requires to pay as a principal employer an account of your default in respect of all liabilities referred to in above clauses. The above are some of the major liabilities of the contractor in addition to other liabilities prescribed under the various labour law in force from time to time from statutory authorities like State Government, Govt.. of India the contractor shall have to comply with.
