SIAE: protecting creativity

SIAE is a collective management society dealing with intermediation of copyrights. Its membership base is constituted by the right holders themselves: authors, publishers and concessionaires.

Authors, publishers and concessionaires hold the economic rights on their works and may entrust SIAE with their protection, so that SIAE licenses the repertories utilization, collects the royalties due and distributes them to the right holders.

SIAE’s mission is to guarantee its associates the remuneration for their work. Indeed, each creative work is the product of an

intellectual activity. Therefore the creative work is protected by attributing it, as it happens for every other work, the right to a compensation each time it is used (concerts, TV, radio, theatre, discotheques, cinemas, bar and so on, as well as online and on mobile devices).

The SIAE’ s governance is entirely entrusted to the bodies elected by the Associates (Supervisory Board, Management Board and Section Committees). Consequently all the strategic and administrative choices are made by the representatives of the associates:

SIAE allocated more than 32,4 millions of euros (of which € 4,5 directly sustained) to support and promote various cultural initiatives, favoring the ones addressed to young authors, training, digitalization and enhancement of the cultural industry.

Full conformity to the provisions of Directive 2014/26 UE: SIAE implemented a general renewal plan. The renewal involved many areas, starting from the Memorandum of Association to the corporate processes regulating the association relationship, the communication and marketing systems, the distribution of rights, the accounting reporting on the territorial management and organization.

Fight against secondary ticketing: SIAE intensified the fight against this phenomenon in order to protect both its associates and consumers.SIAE was the technical partner in the big concert “Modena…Modena Park”,

SIAE in the front line

For the Italian music abroad: through the project “Italia Music Export” SIAE facilitates, encourages and supports its spreading. The initiative is aimed at musicians, authors, composers, record labels, managers and, more generally, at the Italian Music Business world through promotional activities, development of international relations, training events and fundings.

For the audience: “Dialogando con SIAE” (Dialoguing with SIAE), confrontation time in various cities with the membership base, talking about the ongoing changes and listening to opinions and proposals.

Data, in briefA specific balance, thanks to the anticipation of the revenues, in respect to the expenditures

• In the Balance Sheet: among the cash sums, the current assets and the financial immobilizations and in the liabilities (debts) as sums intended to be allocated at the end of the processes of individuation of the right holders depending on the repertoire used;

• In the Income Statement: among the financial management incomes. The sums pending for the allocation (classified as debts) are present in all the collecting societies; for SIAE they represent the 51,5% of the liabilities (the 84,2% for GEMA – Germany).

As all other international collecting societies SIAE is characterized by the reversal of the operating cycle, meaning that the revenues (copyright collection) precede the expenditures (allocation to the right holders). This circumstance physiologically results in generating cash, that can produce financial incomes (as it happens for all the international collecting societies). The sums pending for processing and attribution to the right holders, are found in the Financial Statement:

SIAE GEMA

In accordance with the Legislative Decree March 15, 2017, no. 35, SIAE draws up its Financial Statement following the scheme foreseen by the Civil Code for Limited Companies (Book V, Title V, Chapter V, Section IX).

This scheme has a scalar structure, and highlights the difference between production value and costs, and is used by normal commercial companies as one of the management efficiency parameters, thus excluding the contribution of the financial management.

For the peculiarity of the collecting societies, the financial component resulting from the utilization of the amounts intended to be allocated represents a typical element of the core business (namely of the characteristic management) and the parameter “Difference between the production value and costs” (the so-called “operating profit”) is absolutely not significant.

The Barnier Directive itself highlights the peculiarity of the collecting societies to produce financial incomes deriving from the utilization of the amounts pending for allocation, letting the associates to

decide whether distribute or use them to compensate the management expenditures (as SIAE and the major foreign sister societies have always done).

Moreover, it is to be considered that SIAE is a non-profit society whose “mission” is not to generate profits to be distributed to the shareholders. As a consequence all the revenues and the incomes are allocated to the remuneration of production factors (costs and charges).

Understanding our numbersIn order to highlight the importance of the financial management

As already explained above, SIAE Financial Statement is drawn up in accordance with what is provided for in the Civil Code and in the Decree 50/2017 for limited companies, following a scalar structure which highlights the operative result as the difference between production value and costs (so-called A-B) and presents the result of the financial management separately.This modality of presentation does not allow to highlight the SIAE real production cycle, which is different from the one of other industries. This is the reason why it is considered useful to re-classify the Income Statement, in order to provide the reader more correct information regarding

the economic outturn of the business and the strategic actions put in place during the accounting period.The reclassified scheme points out that the operational management produced 176,5 millions of euros of revenues (net of the positive result of the financial management, 159,6 millions of euros) and 159,5 millions of euros of costs. The profit, of about 17 millions of euros, allowed to sustain the strategic charges and the social and cultural activities.Presenting a statement with a budgetary surplus of 17 millions of euros is not part of the corporate purpose: SIAE is a non-profit organization and does not distribute dividends.

Each work comes from an idea, from the author’s creativity: in each musical, literary, theatrical, cinematographic, opera and visual art work there is all his dedication, which deserves to be guaranteed.

Creative works are a precious good: they are the expression of the intellectual work which is guaranteed by the law as any other work. That is why copyright exists, which arises in the moment the work is created.

Copyright guarantees the authors and their creativity. Thanks to this, the author can dispose of his work exclusively, can claim the authorship on it, can decide whether or when publish it, can oppose himself to any kind of modification, can authorize

each kind of use and receive the connected royalties, remuneration due to those who create a work.

SIAE was founded by the will of the authors themselves to have this right respected and be able to continue creating.

Rights management in detail Music repertoire

Music Division administers the rights connected to musical works, with or without lyrics, both classic and pop. Opera works, ballets, oratories, operettas, musicals, etc, are protected by the Sections Dor-Opera: in these cases the Music Division only protects the “single detached works”, namely those used independently from the dramatic-musical work full version.

Music Division also administers the public performance rights of works, including the cinema projection and the radio and tv broadcasting as well as the mechanical reproduction rights.

On the contrary, the Division does not administer other kind of rights such as print reproduction of musical works and/or of the related lyrics and synchronization rights.

Cinema Section administers the rights related to the cinematographic works or assimilated (such as tv films, tv series and miniseries, telenovelas and soap operas, sitcoms, etc.) on behalf of the authors of subject, script and direction, as well as the authors of translations and adaptation of the Italian version.

Its activity concerns, in particular, the management of the private copying remuneration, collected for the video carriers distributed in the traditional systems of retail or in the newsstands and for the Digital Service Providers that provide audiovisual works online.

It also performs services regarding the Public Cinematographic Register and the data monitoring on cinema projections.

• The works specifically created for radio, television or other means of distance communication, other than fictions or similar.

• Theatrical works (prose works, productions for children, puppets and marionettes shows, cabaret pieces, circus-theatre) and musical theatre works (operettas, musical and musical comedies).

Visual art works (painting, sculpture, graphics, photography, computer art) and literary works are protected by the OLAF Section. It also performs unpublished works registration and software registration services.

For visual art works SIAE protects the reproduction right on books, catalogues, magazines, posters, cards, various objects and materials, DVD, CD-ROM, and the television and internet broadcasting rights.

OLAF Section deals also with the collection and the allocation of the resale right compensation due for the sale of artist’s

original creations (pictures, collages, paintings, drawings, engravings, prints, lithographs, sculptures, tapestries, ceramics, glasswares, photographs, manuscripts).

Private copying is the compensation applied on blank carriers, recording devices and storages as a consequence of the possibility to record works protected by copyright, for private use only,

For this use, the Italian legislation recognizes to the right holders the private copying remuneration.

SIAE collects this remuneration and allocates it to authors, producers and performers. For this service, SIAE receives the reimbursement for the expenses incurred which is provisionally determined at the beginning of the accounting period

and then adjusted the following year, basing on the analytical statement of the sustained costs.

Article 181 bis of the Law no. 633/1941 provides that a mark must be affixed on each carrier containing computer or multimedia programs and on each carrier containing sounds, voices or motion pictures which fixes works or parts of works protected by the copyright law, meant to be sold or that is for any reason transferred for utilization, for profit-making purposes.

SIAE mark is an authentication and guarantee instrument, used by both the police and the consumer, through which it is possible to distinguish between the legitimate product and the pirated one and makes it possible to identify who produces

or commercializes it. SIAE’s task is to apply the mark, namely to “endorse” the carriers, and then highlight the management economic result in a separate analytical statement.

The Stability Law for 2016 provided the distribution of the 10% of the private copying compensations, managed by SIAE, in activities that encourage the creativity and the national and international cultural promotion of young people.

For this reason, basing on the dispositions contained in the guidelines enacted by the MiBACT, five competition notices addressed to companies, corporations and associations that presented a project in support of the authors and the performers under 35 were published.

SIAE promotes forms of solidarity for the authors who are in a disadvantageous situation because of their age and physical, mental, economic, social or family conditions.

For solidarity forms have to be exclusively considered the solidarity, charity and social assistance activities. The support and the disbursement of direct or indirect pension provisions are excluded.

These activities for the associates are implemented through a fund constituted and managed on behalf of the associates by SIAE itself, with a separate accounting.

Thanks to its widespread presence on the territory and to the fact that it already operates in the show and entertainment businesses because of its institutional role, SIAE realizes cooperation activities ruled by conventions with:

- Tax Revenue Agency:• control on the correct certification of

the collections• supervisory and control on show and

entertainment activities• automatic ticketing counters

management• information and assistance to

contributors

- Customs and Monopolies Agency:• census and control activity on

amusement machines with or without cash prizes

- Cinematographic charterer:• data provision on the compensation

due by the shopkeepers for the cinematographic rental
