Notice is hereby given that the 119th Annual General Meeting of the Indian Chamber of Commerce & Industry, Cochin will be held on Friday, September 30, 2016 at 5.30 pm at its Registered Office at Indian Chamber Road, Mattancherry, Cochin-2, to transact the following business: ORDINARY BUSINESS 1. To consider and adopt the audited financial statements of the

Chamber as on 31st March 2016 together with the Auditors’ report and the report of the Managing Committee.

2. To elect a President, a Vice-President and five Committee

Members.

3. To ratify the appointment of the Auditors and fix their remuneration and in this regard to consider and if thought fit, to pass with or without modification(s), the following resolution as an Ordinary Resolution:

“RESOLVED THAT pursuant to the provisions of Section 139 and other applicable provisions, if any, of the Companies Act, 2013 and the rules made there under (including statutory modification(s) or re-enactment thereof), the appointment of M/s Kaimal & Co., Chartered Accountants (Firm Registration No. 001746S), Cochin 682002, which has been approved at the Annual General Meeting held on 30th September 2014 for a term of 5 years, (i.e. from the conclusion of the 117th Annual General Meeting for the financial year ended 31st March 2014 until conclusion of the 122nd Annual General Meeting for the financial year ended 31st March 2019), be and is hereby ratified for the financial year 2016-17 on such remuneration as shall be fixed by the Managing Committee.”

seconded by another member c) In proposing and seconding the Nomination, the authorised

representative of the member organisation should sign under the Seal.

Membership

At the commencement of the year, there were 509 members on the rolls of

the Chamber. There were 17 new admissions, 1 resignation and 63

cessations during the year. Thus, at the close of the year the membership

stood at 462.

Annual Session

The 118th Annual Session of the Chamber was held at Casino Hotel,

Willingdon Island on September 22, 2015 at 6.00 p.m. followed by dinner.

About 225 delegates attended the programme. The session was

inaugurated by Padma Vibhushan Dr. E Sreedharan, Principal Advisor,

DMRC. The ICCI Export Awards in various categories were presented on the

occasion. A Memento was presented to the outgoing President of ICCI.

Highlights of the Activities Mr.K B Rajan took over as the New President of Indian Chamber of

Commerce & Industry, Cochin at the AGM held on 30.09.2015 at the

Chamber Hall. He succeeded Mr. Rajkumar Gupta.

06.11.2015 Workshop conducted by FICCI in association with ICCI: FICCI in association with ICCI and Kerala Merchants Chamber of Commerce, Kochi organized a workshop on “Industry Engagement for Skilled Workforce Through Apprenticeship – Stakeholders Workshop” on 6th November 2015 at Hotel Abad Plaza, M G Road, Kochi. Welcome address was given by Mr. Deepak L Aswani, Co-Chair FICCI Kerala State Council, keynote address by Dr. M T Reju IAS, CEO Additional Skilled Acquisition Programme, Govt. of Kerala and Special address was by Mr. J P Neena, Regional Directorates of Apprenticeship Trainee, Ministry of Skills Development & Entrepreneurship, Govt. of India. There was a presentation on the subject by Mr. A Ayyakkannu, Director and Regional Central

The panel discussion on how to encourage Industry participation for Apprenticeship scheme was followed by QA on the scheme. The session head was Mr. K S Santhalingam, Assistant Director, Economic Investigation, MSME, Thrissur. 12.04.2016 FICCI – EXIM bank capacity building program on

promoting Trade and Investments with BRICS Countries: FICCI, EXIM

bank and ICCI organized a capacity building program on promoting Trade

and Investments with BRICS Countries at the Grand Ball room, Hotel Abad

Plaza, M G Road, Kochi on 12th April 2016. The objective of the program

was to acquaint members of the EXIM business community with various

trade instruments, financing frame work and policies available with DGFT,

EXIM Bank, ECGC and State bank of India for promoting trade and

investment

29.04.2016 One day interactive session on GST and its implications:

FICCI in association with ICCI and Kerala Merchants Chamber of Commerce

organized a one day interactive session on GST and its implications at Hotel

Taj Gateway, Marine Drive, Kochi on 29thApril2016.

Welcome address was given by Mr. Deepak L Aswani, Co- Chairman, FICCI

Kerala State Council and the Inaugural Address was by Dr. V K Baby, IAS,

Special Secretary in-charge Taxes, Govt: of Kerala.

22.01.2016 Dr. Catherine Holderness Visit to Cochin: The Indian

Chamber of Commerce & Industry, Cochin in association with the American

Business Corner organized a session at the TocH Institute of Science and

Technology and Rajagiri School of Engineering and Technology on 22nd

January 2016. The

students were taken

through an in depth

presentation of the ideas and possibilities of Studying in the United States.

28.06.2016 US Independence Day Celebrations: President Mr. K B Rajan

and his wife Mrs. Sherly Rajan attended the 240th Anniversary of the US

independence Celebrations at Taj Coromandel, Chennai on 28th June 2016.

Special mention was given to Indian Chamber of Commerce & Industry. The

US Consul General Mr. Philip Min remembered his visit to Cochin last year

and thanked Mr. K B Rajan for all the support.

Interactive Sessions & Meetings:

21.11.2015 Press Meet: ICCI President Mr. K B Rajan convened a Press Meet with the West Kochi media representatives on Saturday November 21, 2015 at Hotel Abad, Chullickal, Kochi. The Indian Chamber of Commerce and Industry ,Cochin President Mr.K.B.Rajan addressed his first press conference after assuming the charge as President in October 2015.He informed that the whole society has lost all the human values in total and there has been has no human approach to any issues in the society. Hatred, Intolerance and Injustice has been growing daily in minds of the people. He said that though the present Government has been pushing forward with the 'concept of Ease of doing business ' there has been no change and last year in total, business by and large has not been attractive and was horrible. He also cited that Water ride agency has stated that 774 million household in India needed toilets and

the Government would find it difficult to make up as the queue for this would go beyond earth and far from moon. Almost 67 % of Households in India do not have toilets which tells that Swach Bharat has a long way to go and might be a huge task for the Government to claim any success of Implementation.

With regard to West Kochi the Indian Chamber would be taking the initiatives with the Railways for the Old Harbour Railway Station to be reopened soon for the public. Waste disposal, Water transport would be another area where the Chamber would highlight to the concerned authorities. The chamber would also make an action plan on the lost business scenario in Mattancherry after consultation with the eleven affiliated associations mainly the Grain merchants association, Cochin Rubber Merchants Associations, Tea buyers association, Indian Pepper and Spice trade Association, Oil Merchant association and Handicrafts dealers Association etc.

The President also raised his deep concern over the accumulated losses of Cochin Port touching Rs.478.77 crores. He informed that a committee would also be formed with the association of the trade bodies and labour unions in Willington Island to put across a master plan to the shipping ministry to bring back the lost glory of Cochin Port. The President welcomed the Interest Equilisation Scheme on Pre and post Shipment rupee export credit but he added that the scheme would not not be available for merchant exporters which is big blow to the traders in cochin.

23.11.2015 Interactive Session with Students: ICCI President Mr. K B Rajan and Mr. K J Sohan, Former Mayor of Cochin held an Interactive Session with the Students of Dr. Nanavati College of Architecture, Pune at the Indian Chamber Hall on 23rd November 2015. Architecture values and styles of the Heritage Zone landmarks in Mattancherry and For Kochi was the topic of interest.

14.12.2015 Prime Minister’s Visit to Cochin: President Mr. K B Rajan and Board Director, Mr. Bharat N Khona met the Hon’ble Prime Minister of INDIA, Shri. Narendra Modi ,on his arrival at INS Garuda Naval Air Station Kochi on Monday 14th December.

17.12.2015 Session with Shri T K Jose, IAS: ICCI organized an interactive

session with Shri T K Jose, IAS Chairman Coconut Board Development

Board on 17th December 2015. In his Keynote address Shri. T K Jose

educated the gathering about the immense business scope for Coconut

Based Products in Kerala. A power point presentation of describing the

benefits and comparisons of Coconut based products was also provided.

Shri. T K Jose and his team introduced various products including Neera

and Cookies to the gathering.

IPP Mr. Rajkumar Gupta, Past Presidents Mr. Jasbir Singh Chawla, Mr. R

Mohamdas, Board Directors Mr. A A Abdul Azeez and Mr. Sunny Malayil

attended the function. President Mr. K B Rajan delivered the Presidential

02.02.2016 Breakfast Meeting with Mayor: The Indian Chamber of

Commerce & Industry, Cochin organized a breakfast meeting with the

Worshipful Mayor of Cochin Municipal Corporation, Smt. Soumini Jain on

02nd February 2016 at the Chamber Board Room.

President Mr. K B Rajan, IPP Mr. Rajkumar Gupta Board Directors Mr. A A

Abdul Azeez, Mr.Abraham Philip, Mr. Bharat N Khona, Mr. G P Goyal, Mr.

Madusudan Gupta, Mr. Mishesh Shah, Mr. Rajesh Kumar Agarwal, Mr.

Shabbir H Kapasi, Mr. Sunny Malayil and representatives of the affiliated

associations discussed their problems and views in connection to the

development of West kochi. Issues like sewage management, waste

disposal and water supply were discussed in detail.

Town Planing Chairperson Smt. Shiny Mathew and Division Councilor Mr. T

K Ashraf also attended the meeting.

26.02.2016 Rashtrapathi’s Visit to Cochin: Shri. Pranab Mukherjee,

Hon’ble President of INDIA arrived at INS Garuda, Naval Air Station on 26th

February 2016. ICCI President Mr. K B Rajan was invited to receive him.

29.06.2016 Interactive session on IPR, Patents and Trademarks: The

Indian Chamber of Commerce & Industry in association with the Federation

of Indian Export Organization organized an interactive session on IPR,

Patents and Trademarks at the Indian Chamber Hall on 29th June 2016.

Representatives from the Department for Industrial Policy and Promotion

(DIPP), Mr. Raghav Arora, Mr. Anoop K Joy and Mr. Venkatesan Rajamani

carried out presentations on IPR, Patents and Trademarks respectively.

Mr.A.K.Vijaykumar, Asst.Director, FIEO welcomed the gathering.

The function was inaugurated by Mr. V Ramalingam, Chamber Vice –

President and the vote of thanks was proposed by the Immediate Past

President, Mr. Rajkumar Gupta.

01.07.2016 Meeting regarding income Tax declaration Scheme: The

Indian Chamber of Commerce & Industry in association with the Income

Tax department officials, organized a meeting to educate the Chamber

members about the inside outs of the Income Tax Declaration Scheme

2016, at the Chamber Board Room, on 1st July 2016. The meeting was

headed by Smt. Ann Mary Baby, Additional Commissioner of Income Tax.

Chamber Board Directors Mr.Rajkumar Gupta, Mr. Bharat N Khona, Mr. G P

Goyal and members from various affiliated associations attended the

meeting.

President Mr. K B Rajan delivered the welcome address and Vice –President

07.07.2016 Meeting with the Railway Officials: The Indian Chamber of

Comemrce & Industry in organised a meeting with the Commercial

Divisiional Railway Manager, MR. V C Sudeesh at the Chamber Board room

on 7th July 2016. The meeting was aimed to understand the possibilities of

extending the services of goods trains from Willlingdon Island and

Ernakulam Railway Stations.

Assistant Commercial Managers Mr. Sunil Kumar, Mr.Premkumar

Chief Comemrcial Inspectors Mr. Chnadrasekeran and Mr. Prasoon S Kumar

were the other officials from the Railways who attended the meeting.

attended the release of the Water policy for Kochi on October 3rd 2015, at

13.10.2015 Forum for Trade and Industrial Relations: The Forum for

Trade and Industrial Relations organized a meeting with the trade bodies at

Abad Palza, MG road, Kochi on 13th October 2015. The meeting was aimed

at re-drafting the proposed Labour bills, to be handed over to the Prime

Minister and Central Labour Minister. President Mr. K B Rajan attended the

14.10.2015 Organ donation sign up and Blood Donation: The Cochin

Steamer Agents Association supported by Rotary Club of Cochin West,

Cochin Custom House Agents Association, Cochin Port Trust and Indian

Medical Association, organized a blood donation and organ donation sign

up drive on 14th October 2015 at Cochin Port Trust hospital, Willingdon

Island, Kochi. Immediate Past president Mr. Rajkumar Gupta attended the

14.10.2015 Road Show: The Directorate general of Lighthouses and Light

Ships, Ministry of Shipping organized a road show at hotel Taj Vivanta,

Kochi on 14th October 2015. The Road show was aimed at the development

of Tourism projects at selected Lighthouses through Public Private

25.10.2015 Reception to Mr. P M Muraleedharan: The Maulana Azad

Socio Cultural Centre Library, convened a reception to award winners ,Mr.

12.11.2015 CCHAA Annual Session: The 60th Annual Session of the Cochin Customs House Agent’s Association was held at Durbar Hall, Casino Hotel, Willingdon Island, Cochin on 12th November 2015. 20.11.2015 WIPY’s Statutory Board Meeting: WIPY’s Statutory Board meeting for the 3rd quarter was held on 20th November 2015 at Cochin Steamer Agents Association hall at 11.00 a.m. The meeting reviewed performance of WIPY, new business opportunities, current status of corporation approval etc. Mr. K B Rajan, President, ICCI and Mr. Rajkumar Gupta, IPP attend the meeting, Mr. A A Abul Azeez chaired the meeting on behalf of CCHAA.

20.11.2015 Greetings to Mayor: ICCI President Mr. K B Rajan felicitated both the new elected Mayor of Cochin Corporation Smt. Soumini Jain and Deputy Mayor Shri T V Vinod at their respective Chambers and presented a floral bouquet on 20th November 2015. President also invited the Mayor and the Deputy Mayor to ICCI in the First week of December for an Interactive Session along with the Councillor’s of West Kochi which the Mayor readily accepted. The President was accompanied by ICCI Secretary and Staff Mr. Shanavas.

24.11.2015 Kochi Smart city Proposal: ICCI President Mr. K B Rajan attended the Kochi Smar City Proposal meeting on 24th November 2015 at IMA Hall, Kaloor, Kochi. 30.11.2015 Meeting at Olive Down Town: President Mr. K B Rajan

attended the meeting organized by Mathrubhoomi in view of the new

strategies and plans of the betterment of Cochin Corporation over the next

five years. Mr. K B Rajan sited that the projects which are stopped half way

are the ones the Cochin Municipal Corporation has to put more interest on.

The meeting was convened at Hotel Olive Down Town, Kadavanthra. The

Mayor of Cochin, Smt. Soumini Jain and Kochi Metro Chairman and

01.12.2015 Meeting with Chief Minister: On 1st December 2015,

Chamber Director Mr.Abraham Philip and Dr.Baiju Ramachandran attended

the meeting called by Fisheries and Ports Dept:, Govt of Kerala. The meeting

was convened at the honorable Chief Minister’s chamber in Legislative

Assembly to discuss matters relating to Cochin Port Trust. Sri. K Babu,

Minister for Fisheries and Port, Sri.Thiruvachiur Radhakrishnan, Minister

for Transport, Principal Secretary-Commercial tax and Transport.

Representatives from various organizations including the Cochin Port

Trade Union attended the meeting. It was decided in the meeting to provide

Green Channel Facility to those containers coming to Cochin Port for the

purpose of foreign trade.

06.12.2015 Naval Operations Demonstration: President Mr. K B Rajan

attended the Naval Operations Demonstrations at Rajenda Ground

Ernakulam on Sunday 6th December 2015. Shri. P Sathasivam, Hon’ble

Governor of Kerala was the Chief Guest.

09.12.2015 Meeting at BTH Ernakulam: Past President Mr. A A Abdul

Azeez attended the meeting called by State Secretary of the Kerala State

22.12.2015 DISHA Christmas Celebrations: Indian Chamber of

Commerce & Industry's special School for disabled, DISHA, had their

Christmas celebration on Tuesday 22nd December 2015. DISHA dedicates

itself for the mentally and physically challenged children. DISHA puts its

priority on providing the much needed guidance and training with the help

for qualified personnel, both for children and parents in their struggle to

live in this world of perfectionists.

Christmas day. The students were fascinated with the Magic Show

02.01.2016 Handing over of 50 waste bins: Board Director Mr. G P Goyal

Waste Bins to the Ernakulam South Railway Station. The Area Manager,

behalf of the Station. Higher officials of Southern Railways were also

06.01.2016 ZRUCC Meeting: The 123rd ZRUCC meeting of the Railways

was held at Chennai on 6th January 2016. Board Director Mr. G P Goyal

19.02.2016 Industrial Motivation Campaign: The Indian Chamber of

Commerce & Industry in association with MSME Training Institute,

Tiruvalla and District Industries, Kochi organized a One Day Industrial

Motivation Campaign and Workshop on Pradhan Mantri Mundra Yojana

(PMMY), on Friday19th February 2016 at Central Marine Fisheries Research

Institute (CMFRI), Marine Drive, Kochi.

Mr. K B Rajan, President of the Indian Chamber of Commerce & Industry, Cochin addressed that crowd of around 350 entrepreneurs with a simple but effective insight about motivating oneself and having a right mindset towards building a business. The introductory part was followed by technical sessions on way to success, qualities of a successful entrepreneur, Support Schemes of Govt: of India, Ministry of MSME, Support Schemes from Govt: of Kerala for MSMEs etc. Presentations from various Banks, explaining the supports and schemes they provide to MSME sector, were also incorporated in the session. Mr. G S Prakash, Dpty: Director I/C, MSME Training, Thiruvalla & Ettumanur delivered the Presidential Address, Mr. K B Rajan, President Indian Chamber of Commerce & Industry, Cochin was the Keynote Speaker and Mr. G Balagopal, Director MSME Training Institute, Ettumanur proposed the vote of thanks.

27.02.2016 Mattancherry Court Complex Renovation: ICCI President

Mr. K B Rajan, attended the inauguration of the Mattancherry Court

Complex renovation on 27th February 2016. President handed over a

03.03.2016 Budget analysis at Taj Gateway: The Annual Post Budget talk

was held at 6.00p.m. on 3rd March Hotel, Marine Drive, Ernakulam.

Mr. Homi P. Ranina, eminent Lawyer and Tax Consultant, Mumbai was the

Speaker at the programme. Mr.Ranina is one of India’s foremost tax

consultants and has expertise in Tax and Foreign Exchange Laws of India.

The session was jointly organized by the Cochin Chamber of Commerce and

Industry, Indian Chamber of Commerce & Industry (ICCI), Institute of Cost

Accountants of India (ICAI), Cochin Chapter and Institute of Company

Secretaries of India (ICSI), Kochi Chapter.

Mr. C.S. Kartha, President, CCCI welcomed the audience to the programme.

19.03.2016 Earth Hour Event: Junior Chamber International Kochi in

association with WWF and KSEB organized an Earth Hour Event on 19th

March 2016 at the Durbar Hall Ground, Ernakulam. Lights were switched

off from 8.30 to 9.30pm to symbolize the concept of energy conservation.

21.03.2016 DISHA Annual Day: The DISHA school conducted their

Annual day celebrations on 21st March 2016, at the Chamber hall. Smt.

of the existence of the Maritime Heritage Museum

stated that part of the area in the Museum compound had been leased to

23.11.2015 Interactive Panel Discussion: On 23.11.2015 ICCI-Tvm partnered with Nirbhaya Debating Society in organising an Interactive Panel Discussion on "Ecological Entrepreneurship" at Cardinal Cleemis School of Management Studies, Mar Ivainous Campus, Trivandrum. Dr.Oommen V. Oommen, Chairman, Kerala State Bio-Diversity Board inaugurated the Programme. ICCI Director Dr.Baiju Ramachandran delivered the Key-Note-Address. In the programme, Dr.M.S.Faisal Khan, Managing Director, NIMS Medi City was honoured for his contributions in environmental protection and renewable energy. He presented his project based on renewable energy at U.N.General Assembly recently. On 28th November 2015 Chamber Director Dr.Baiju Ramachandran inaugurated an Investor Awareness Programme funded by the Ministry of Corporate Affairs, Govt. of India at Kerala Institute of Co-operative Management, Thiruvananthapuram on the topic ‘opening of demat account and gaining an insight in the trade practices’. Mr.Manoj Bahuleyan, Business Associate, Motilal Oswal Investment Services was the guest speaker. On 29th November 2015 ICCI-Tvm associated with Vakkam Grama Panchayath to organise One Day Workshop on "Social Aquaculture Programme – Green Chromide Fish (Karimeen) farming in backwaters" in Vakkom Grama Panchayat Hall. Vakkam Grama Panchayath President Mr.Venuji inaugurated the function. ICCI Director Dr.Baiju Ramachandran gave felicitation address. Dr.K.Dhinash, Associate Professor, Fisheries University and Mr.Saju, Fisheries Department handled sessions. On 1st December 2015, Dr.Baiju Ramachandran, Director ICCI attended Global Unification Meeting of World Malayalee Council. Chief Minister Shri.Oomen Chandy was the Chief Guest. On 4th December 2015 Chamber Director Dr.Baiju Ramachandran delivered a felicitation address in the Management Meet – ‘AVENIR 2015’ organised by KICMA Business School. Dr.G.C.Gopala Pillai, Managing Director, KINFRA was the Chief Guest.

On 17th December 2015, Dr.Baiju Ramachandran, ICCI Director participated 43rdNational Convention of Company Secretaries held at New Delhi. Dr.Baiju Ramachandran, Director, ICCI was nominated by The Institute of Cost Accountants of India (a statutory body constituted under an Act of Parliament) as a permanent invitee on the Members in Service -Training & Placement Committee. Further, the Continuing Professional Development and Cost Management Committee of the Institute has considered the proposal of an association with ICCI, wherein agreed to enter into a MOU between ICAI and ICCI to conduct of programmes and other activities with mutual benefits. With respect to the same the Board of the ICCI has to authorize Dr.Baiju Ramachandran for further actions. National Seminar at Nedumangad Govt College On 4th February 2016 Dr.Baiju Ramachandran, Director ICCI inaugurated valedictory session of “National Seminar on Accessible Tourism; A new scenario in Indian Tourism sector” organized by PG.Dept of Commerce Government College, Nedumangad,Trivandrum. In his address Dr.Baiju Ramachandran highlighted the role of “Educational institutions to increase employability in tourism sector”. Felicitation to Shri.Prajish On 4th February 2016, Dr.Baiju Ramachandran, Director ICCI gave a felicitation address in the Felicitation Meeting organised by the Nirbhaya Debating Society at Gandhi Bhavan, Tvm at 4pm to felicitate Shri.A.P.Prajeesh for his achievement in National Debating Competition. Dr.N.Radhakrishnan, Working Chairman, Kerala Gandhi Smaraka Nidhi presided over the meeting. Shri.T.P.Sreenivasan, Vice Chairman, Kerala State Higher Education Council was the Chief Guest and Shri.S.Prasanth, Vice Chairman, Kerala Youth Welfare Board was Guest of Honour. In addition to Dr.Baiju Ramachandran, Shri.Rahool Eswar (Writer), Shri.K.G.Jagadeesan (Secretary, Kerala Gandhi Smaraka Nidhi), Shri.Praveen Parameswar (CEO, Thoughts Academy), Father - Antony (Administrator, CCSMS Business School) and Shri.J.M.Rahim delivered Felicitations. Shri.Prajeesh (Chairman, Nirbhaya Debating Society) honoured in the meeting and he shared his experiences. Shri.Dhanesh Ravindran welcomed the gathering and Mr.Danesh proposed vote of thanks.

Financial Literacy Programme On 13th February 2016 ICCI partnered with BRACs organized financial literacy training programme at Hotel Highland Park, Trivandrum from9.30am to 1.30pm. Prof.Jose Pampackal, Director DBFS Securities was the resource person. He described about origin, growth, emerging trends and recent developments in the financial markets. Students from various colleges from Trivandrum city attended the programme. Visit at Noural Islam University On 17th February 2016 Dr.Baiju Ramachandran, Chamber Director visited Noural Islam University, Kanyakumari District. He addressed MBA students on the topic “Recent Changes and New Concepts in Company form of Organisations”. Dr.B. Chandrachoodan Nair, Director (Management Studies, NIU) presided over the meeting.

Secretarial Assistance The Chamber continued to attend to the secretarial work of the Cochin Rubber Merchants' Association, the Grain Merchants' Association and the Tea Buyers Association during the year under report.

Directors’ responsibility statement The Directors hereby confirm that: In the preparation of the annual accounts for financial year

ended March 31, 2016, the applicable accounting standards have been followed.

The Directors have selected such accounting policies and applied

them consistently and made judgments and estimates that are reasonable and prudent so as to give a true and fair view of the state of affairs of the Company for the Financial Year 2015–2016 and of the profit and loss of the Company for that period.

The Directors have taken proper and sufficient care for the maintenance of adequate accounting records in accordance with the provisions of this Act for safeguarding the assets of the Company and for preventing and detecting fraud and other irregularities.

The Directors have prepared the annual accounts for financial

year ended March 31, 2016 on a going concern basis. The directors had devised proper systems to ensure compliance

with the provisions of all applicable laws and that such systems were adequate and operating effectively.

Details in respect of frauds reported by Auditors under sub

section (12) of Section 143 other than those which are

reportable to the Central Government.

Auditors have not reported any fraud during the year under review.

For the Financial Year 2015-16, the Chamber has earned total income

of Rs.7949387.74 and Net Profit of Rs.1171995.41. The Board will

take all efforts to increase the Net Profit in the coming years.

Since the Chamber is not engaged in energy intensive unit, the energy

consumption is very marginal and hence the information as per

Section 134(3)(m) of the Companies Act, 2013 in respect of

under report may be treated as nil.

Statutory Auditors

M/s. Kaimal & Co., Chartered Accountants, were appointed as

Statutory Auditors of the Company, for a period of five years at the

annual general meeting held on 30th September 2014. Necessary

resolution for ratification of their appointment for the financial year

2016-17, pursuant to Section 139 of the Act, is placed before the

members for approval
