1.1 The average number of all consignments posted under Agreement on XXXXXXXXXXXXXXXXXXX XXXXXX

Consignments No. XXXXXXXXX (hereinafter referred to as “consignments according to the Agreement”)in a Period under Review per calendar month with a minimum one posting is greater than

XXXXX XXXXXXXXXXXX (number of all consignments according to the Agreement posted in the for the

Period under Review/ number of calendar months with a minimum one posting of consignmentsaccording to the Agreement).

1.2 The price for all XXXXXX XXXXXXXX XX XXXX XXXXXX XXXXXXXXXXXX (hereinafter referred to as “NP”

consignments) - XXXXXXXXXXXXX XXX XXXX - posted by the Sender under the XXXXXXXXX XXXXXXXXX in

subclause 1.1 above (hereinafter referred to as “the Agreement”) XX XXX XXXXXX XXXX XXXXXXXX XX

XXXXXXXXXX (“the Period under Review”) is agreed as a uniform price for the services in accordance

with the Postal Terms and Conditions of Česká pošta, s.p. - Pricelist of Basic Postal Services and

Other Services (hereinafter referred to as “the Pricelist”). XXX XXXXXX XXXXX XX XXX XX XXX XX

The price is quoted exclusive of VAT. VAT at the current rate will be added according to valid legal

regulations.

This price will apply only if all conditions mentioned in subclause 1.3 below are complied with.

1.3 Conditions applicable to consignments:

' the average number of all consignments according to the Agreement posted per calendar

month with a minimum one posting is XXXXXXX XXXX XXXXX XXXXXXXXXXXX (number of all

consignments according to the Agreement posted in the for the Period under Review/

number of calendar months with a minimum one posting of consignments according to

the Agreement);

fulfil any of the criteria of non-standard consignments defined in the Postal Terms and

Conditions of Česká pošta, s.p. - Pricelist of Basic Postal Services and Other Services

(hereinafter referred to as “the Pricelist”);

- the average weight of one NP consignment period under Review is up to 2 kg (sum of the

weights of all NP consignments posted during the Period under Review / number of all

NP consignments posted during the Period under Review);

' the additional discount is justifiably claimed during the Period under Review for a

minimum 0% NP consignments of all NP consignments posted during the Period under

Review (number of NP consignments posted with the additional discount during the

Period under Review / number of all NP consignments posted during the Period under

Review).

The price specified in subclause 1.2 above is the agreed partial uniform price, which includes the

basic price, the price for the additional services Cash on Delivery or No-Card Cash on Delivery;discounts for mail delivery to outlet address; and volume-related and additional discounts that may be

claimed by the Sender.

Fees for additional services and/or services that are subject to surcharge according to the Pricelist

valid as of posting date will be added to this partial uniform price.

The price mentioned in subclause 1.2 above does not include any surcharges and discounts related to

the format in which posting data for consignments are delivered and to the delivery or non-delivery of

contact details of the addressee, specified by the Pricelist valid as of the posting date. If the conditions

specified by the Pricelist for a surcharge or discount mentioned in the previous sentence are fultilled,

the relevant surcharge will be added to or the relevant discount will be deducted from, the pricementioned in subclause 1.2 above. This does not apply if such a surcharge or discount is excluded bythe Pricelist from this price arrangement.

The Pricelist is available at any post office in the Czech Republic as well as on ČPis website at

http://www.ceskaposta.cz/. The Sender confirms that he made himself acquainted with the content

and meaning of the Pricelist, that he received a sufficient explanation of the text of this document, and

that he expressly agrees with its wording. Subject to the Postal Service Act, ČP will provide the

Sender with information about changes of the Postal Terms and Conditions including information

about the effective date of such changes, at least 30 days before the effective date of such changes, by

publishing such information at all post offices in the Czech Republic as well as on the above-

mentioned website. The Sender is obliged to make himself acquainted with the new wording of the

Pricelist. If the Pricelist is changed and the Sender does not consent to the change of the Postal Terms

and Conditions, he can terminate the Agreement.

After the end of the Period under Review ČP will check the actual structure of consignments posted

by the Sender during the Period under Review for compliance with the conditions under subclause 1.3

above. In the absence of compliance with the conditions under subclause 1.3 above,

ČP will be entitled to charge the Sender the difference between the above-mentioned partial uniform

price and the new partial uniform price calculated for the Period under Review, for each NP

consignment posted under the Agreement during the Period under Review. The difference will be

charged on basis of an invoice for the calendar month next to the end of the Period under Review.

This new partial uniform price must be at least the price mentioned in subclause 1.2 above.

The new partial uniform price will be calculated as follows:

- the quantities for this period will be calculated on basis of the actual number of

consignments posted during the Period under Review and the below-mentioned

parameters;

- these quantities for the Period under Review will be applied to each calendar month with

a minimum one posted NP consignment, i.e. calendar months without any posted NP

consignments according to the Agreement will not be included into the calculation of thenew partial uniform price;

- this will determine the partial uniform price per month for each calendar month of thePeriod under Review with a minimum one posted NP consignment according to the

Pricelist, valid as of the first day of the calendar month (any agreed differences from thePricelist will be included into the calculation of the partial monthly uniform price).

- the new partial uniform price for the Period under Review will be calculated as simplearithmetic average of all monthly partial uniform prices.

Parameters:

-

average weight per NP consignment during the Period under Review (sum of the weightsof all NP consignments posted during the Period under Review/ number of all NP

consignments posted during the Period under Review);

-

average number of consignments posted during the Period under Review per calendarmonth with a minimum posting (number of all consignments posted during the Periodunder Review/ number of calendar months with a minimum one posting of consignmentsunder the Agreement);

- % of the number of DR consignments posted in the Period under Review which does not

fulñl any of the criteria of non-standard consignments defined in the Pricelist;

additional discount is justiñably claimed during the Period under Review (number of NP

consignments posted during the Period under Review with additional discount/ numberof all NP consignments posted during the Period under Review).

If the Sender refuses to accept the proposed new partial uniform price, the price charged for each NP

consignment posted in the Period under Review for which this new partial uniform price has beencalculated will be the difference between the price mentioned in subclause 1.2 above and the pricequoted in the Pricelist valid as of the day of posting of the consignment.

1.6 The Parties will agree on a new Annex to cover the period next to the period mentioned insubclause 1.2 above. If the Parties fail to agree on a new Annex at the latest by the end of periodmentioned in subclause 1.2 above, the price charged for Parcel Delivery To Post Office services

during this subsequent period will be as quoted in the Pricelist valid as of posting date; the Pricelist isavailable at each post office in the CR and at the website http://www.ceskaposta.cz/.
