TO THE HONORABLE SEAN H. LANE, UNITED STATES BANKRUPTCY JUDGE:

Wells Fargo Bank, N.A., as owner participant (“Owner Participant”) under certain

trust agreements as set forth more fully herein, by and through its undersigned counsel, files this

limited response to the Motion For Entry Of Order Establishing Maximum Amount Of Disputed

Claims To Be Utilized For Determining Disputed Claims Reserve Under Debtors’ Second

Amended Joint Chapter 11 Plan And Approving Certain Procedures In Connection With

Disputed Claims Reserve (the “Motion”) filed on behalf of the Debtors in the above-captioned

proceeding for the purposes of clarifying the value of and reserving its rights with respect to the

Owner Participant’s claims against debtor, American Airlines, Inc., and in support thereof, states

as follows:1

1. The Owner Participant files this response for the limited purpose of

reserving its rights with respect to the claims that it has filed against the debtor, American

Airlines, Inc. (“American”), which claims were included in the Motion as Disputed Claims by

the Debtors. Because it is unknown at this time whether there will be sufficient funds in the

Disputed Claims Reserve to pay such claims, any approval of the Debtors’ request to establish

the Disputed Claims Reserve should not affect the Owner Participant Claims (as defined herein).

Should the Disputed Claims Reserve ultimately prove insufficient, the cap on Disputed Claims as

requested by the Debtors’ in the Motion would operate as an impermissible reduction in allowed

claims without due process of law and obfuscate the claims objection procedures established by

Bankruptcy Code and Bankruptcy Rules. Accordingly, the Owner Participant files this response

to protect and preserve any and all rights it has with respect to the Owner Participant Claims.

BACKGROUND

2. Wells Fargo Bank, N.A. is the Owner Participant under (i) that certain

Trust Agreement dated as of September 15, 1989 (including all exhibits and schedules thereto,

and as amended, restated, supplemented or otherwise modified, the “N496AA Trust”) between

Owner Participant and Wilmington Trust Company, as Owner Trustee (“Owner Trustee”), and

(ii) that certain Trust Agreement dated as of August 15, 1990 (including all exhibits and

schedules thereto, and as amended, restated, supplemented or otherwise modified, the “N59523

Trust” and, together with the N496AA Trust, the “Trusts”) between Owner Participant and

Owner Trustee.

3. In connection therewith, Owner Participant and American, among others,

entered into (i) that certain Participation Agreement dated as of September 15, 1989 (including

all exhibits and schedules thereto, and as amended, restated, supplemented or otherwise

modified, the “N496AA Participation Agreement”) and (ii) that certain Participation Agreement

dated as of August 15, 1990 (including all exhibits and schedules thereto, and as amended,

restated, supplemented or otherwise modified, the “N59523 Participation Agreement” and,

together with the N496AA Participation Agreement, the “Participation Agreements”).

4. Additionally, American and the Owner Participant entered into certain tax

indemnity agreements with respect to each of the Trusts (together with all amendments,

supplements and schedules thereto, collectively, the “Tax Indemnities”) pursuant to which,

American agreed to indemnify Owner Participant for certain tax liabilities related to losses

attributable to the Trusts.2

5. On or about July 12, 2012, Owner Participant timely filed two proofs of

claim for claims it has against American under the Airline Agreements. The claims were

docketed as Claim Numbers 7672 (for claims under N496AA) and 7673 (for claims under

N59523) (collectively, the “Owner Participant Claims”). In each of the Owner Participant

Claims, the Owner Participant asserted claims under the Tax Indemnities as well as the

Participation Agreements, which claims were contingent and/or unliquidated when they were

filed.

2 The Trusts, Participation Agreements, Tax Indemnities and all other related documents are hereinafter referred to as the “Aircraft Agreements.” Additionally, the Tax Indemnity Agreements related to the N496AA and N59523 Trusts are hereinafter referred to as the “N496AA Indemnity” and the “N59523 Indemnity”, respectively.

THE DEBTORS’ MOTION SHOULD NOT AFFECT THE OWNER PARTICIPANT CLAIMS

6. As of the date hereof, the Debtors have not filed an objection to either of

the Owner Participant Claims and, therefore, such claims are deemed allowed. See 11 U.S.C. §

502(a).

7. Nevertheless, the Owner Participant Claims are included in the Disputed

Claims, for which the Debtor, through the Motion, seeks to establish a Disputed Claims Reserve

in the aggregate maximum amount of $331 million. According to the Motion, this Disputed

Claims Reserve will operate as a cap on the maximum amount of allowed Disputed Claims in the

aggregate. See Motion at ¶19. Despite the Debtors’ representations that the Disputed Claims

Reserve Amount is more than sufficient to provide for all Disputed Claims that may ultimately

be allowed, the Debtors have not provided an estimated value for each individual claim.

8. Rather, Exhibit 1 to the Motion (as supplemented by the Supplemental

Exhibit to the Motion (the “Supplemental Exhibit”) [ECF No. 9012]), merely sets forth the

Disputed Claims that will be subject to the aggregate cap the Debtors seek to establish in the

Motion and the value of such claims as provided by the proofs of claim filed by the claimants.

Because the Owner Participant Claims were filed as unliquidated, the value of such claims is

listed as unliquidated in the Supplemental Exhibit.

9. At this time, the Owner Participant Claims are no longer contingent, and

the Debtors and Owner Participant have engaged in discussions regarding the proper amount of

both claims. Although the parties have not agreed on the proper amount of the claims, the

Debtor and the Owner Participant agree that the controlling formula is set forth in sections

4(ii)(c)(1) and (2) of the Tax Indemnities (the “Applicable Sections”). An excerpt containing

sections 4(ii)(c)(1) and (2) of the Tax Indemnities is attached hereto as Exhibit 1.

10. The Applicable Sections require the parties to perform two separate

calculations, set forth in (c)(1) and (c)(2) respectively. The indemnity owed by American to the

Owner Participant is the lesser of the two calculations.

11. Based upon the information currently available to the Owner Participant,

and subject to the receipt and confirmation of additional information requested from the Debtors,

the Owner Participant estimates the Claim Values under the Applicable Sections as follows:3

12. Accordingly, the amount of the Owner Participant estimates its claim

under the N496AA Indemnity at $1,032,301.00 and under the N59523 Indemnity at

$1,715,462.00.4

13. Should the aggregate amount of Disputed Claims exceed the Disputed

Claims Reserve, the Owner Participant Claims will be reduced notwithstanding the fact that they

are allowed. Accordingly, the establishment of the Disputed Claims Reserve could operate as a

de facto claims objection reducing the value of the Owner Participant Claims, without affording

the Owner Participant Due Process and the rights provided to it under the section 502 of the

Bankruptcy Code, and Bankruptcy Rules 3001, et seq.

14. Accordingly, the Owner Participant respectfully requests that any order

approving the Motion include the following language:

ORDERED that, if the aggregate amount of allowed Disputed Claims exceeds the Disputed Claim Reserve Amount, the claims filed on behalf of Wells Fargo Bank, N.A., as owner participant and docketed as Claim Numbers 7672 and 7673 (as may have been amended from time to time) shall not be reduced by virtue of the aggregate cap on Disputed Claims, and any distribution thereon shall be made based on the full amount of the allowed claims for Wells Fargo Bank, N.A.

15. The Owner Participant expressly reserves and preserves all rights and

interests with respect to the Owner Participant Claims.
