GES EXPOSITION SERVICES IS THE OFFICIAL DECORATOR. Their Exhibitor Service Kit contains all other forms that may be

needed for ordering booth furnishings, electrical hook-up, carpeting, etc. Exhibitors may carry or wheel their products and displays in and out of the facility as well as install their own displays at no labor charge. However, pallet jacks and forklifts may only be used by the official contractor, GES Exposition Services. GES labor is available for hire, should it be needed.

Dear AMERICA’S FAMILY PET EXPO Exhibitor,

Welcome to AMERICA’S FAMILY PET EXPO, the world’s largest pet and pet products expo! If you have any questions, please do not hesitate to contact us. We will be in the Show Office (Bldg. 18) during all move-in/out days and show hours.

Badges, Move In/Out, Stocking, Parking

All exhibitor staff must be wearing a badge on show dates to enter show site and during all show hours, with no exceptions.

Badges may be left for your booth staff at the Exhibitor “Will Call” during show hours, at Campground Gate inside Gate 4 off Arlington. Please drop them off at Will Call or leave them in the Show Office in Bldg 18 the day prior to being needed.

Staff arriving during show hours without a badge and none at Will Call, will be required to purchase a badge at the regular admission price of $12.00 before they are admitted.

Plastic badge holders and complimentary show programs are available in the Show Office, located in building 18.

Move-In/Out Passes will allow you on grounds during move-in, move-out and to re-stock each morning before show opens. Please make sure they are visible on the dash of your vehicle. If misplaced, you may pick up one at the Show Office.

Enter Gate 4, off Arlington, to restock your booth at 8:00 am, prior to the opening of the show. All vehicles must be returned to the parking lot by 9:30 am. In order to safely unload, you may drive as close as possible to the building where your booth is located. Unloading/loading should be restricted to approximately 20 minutes. After unloading, vehicles will be directed to exit through GATE 5.

Special Rules Regarding DOGS Rule #1

Dogs may leave their booth only when going on a potty break and must be on a leash at all times.

Rule#2

Please do not walk around the EXPO with your dogs. Dogs may not enter a building they are not assigned booth space in.

Rule #3

Centennial Farm is NOT a part of our EXPO. You may NOT enter Centennial Farms with your dogs.

Rule #4

Clean up after your dogs. Plastic bags are available at the Show Office if needed.

Rule #5

Please keep your dogs reasonably quiet. A quiet dog is a polite dog.

Rule #6

Please encourage to always “ask before you pet” someone else’s dog. This will make a safer experience for all.

Important Regulations

Exhibitors needing additional set-up time (past 8:00 pm on Thursday April 14) must leave company name and booth number on a list in the Show Office in order to notify security staff. Please sign up by 5:00 pm on Thursday night.

Any boxes or cartons needing to be removed and discarded after unloading should be flattened and left in the designated areas next to the dumpsters.

Exhibitors with animals in their booths may pick up “Please Ask Before You Pet the Animals” counter displays from the Show Office. Please return display cards at show closing.

Handing out balloons or stickers is prohibited on the OC Fair & Event Center property. Any balloons must be tied to the booths and not distributed. Balloons popping will scare the animals and could cause a danger.

Make sure the sound levels on your microphones are set so that your neighboring exhibitors are not disturbed.

DO NOT place literature on building walls, cars, trees, posts, picnic tables, etc. You may not hand out literature anywhere other than within your booth space. Costumed characters must also stay within your booth.

Exhibit booths must be staffed during all show days and hours.

Please promote responsible pet care and pick up after your animals. Plastic bags are available in the show office if needed.

EXHIBITING/BOOTH SPACE SET-UP RULES & REGULATIONS

America’s Family Pet Expo

Costa Mesa, CA It is very important that all exhibitors understand the rules and regulations. Some of the rules have been implemented by the fire marshal for the safety of all, some by the board that governs the facility and some are widely accepted show rules that make exhibiting as fair as possible for all exhibitors.

The AFPE staff will be on hand during set up to answer questions and will be roaming the show floor to spot any exhibitor that may be setting up their exhibit booth outside the guidelines and advise on how you might change your set-up to comply.

PLEASE READ AND MAKE SURE YOU UNDERSTAND THE FOLLOWING RULES AND REGULATIONS:

AFPE has established a “Tall Wall” section for exhibitors whose booth set-up does not conform to regular booth set up regulations. If your exhibit will not conform, make sure you notify Dave Williams so that he can place you within the Tall Wall section of the show floor.

The sale or negotiation for sale (taking of deposits, raffle, or delivery) of any livestock at AMERICA’S FAMILY PET EXPO is strictly prohibited on the grounds, in the parking lot, or any adjacent areas during the inclusive dates of the show, unless pre-authorized by Show Management. Exhibitors found violating this rule are subject to removal from the show without refund or credit of monies paid.

No element of any exhibit booth, including lighting fixtures, signage, banners, structure, etc. may exceed 8’ in height. (Except for Sponsors and tall wall exhibitors booths) See diagrams provided on booth diagram page.

Exhibits must remain in the confines of each exhibitor’s space. No displays, tables, chairs, demonstrations, etc. may extend

into the aisles or outside confines of exhibitor space. Any costumed characters must stay within the booth.

Balloons may frighten the animals and pose a danger to animals and children. As per your exhibit contract they are prohibited.

Exhibits must be arranged as to not obstruct the view of adjoining exhibits and all exposed areas should be finished in a neat and professional manner or draped. Draping may be rented from the Show Decorator.

All flammable and decorative materials must be flame proofed.

Microphones must be used responsibly. The volume may not be such that it hampers your neighbors’ ability to conduct business in their booth.

Any exhibitor who wishes to sample food and beverages at AFPE shall complete an Orange County Fair & Event Center sample request form at least 30 days prior to the event and receive written approval from OCFEC. If written approval is granted, it shall be the responsibility of the exhibitor to obtain the necessary approvals from the Orange County Health Department Sampling Requirements. If you plan on sampling food, please call our office to be directed to the appropriate contact.

All food and beverage related booths shall complete an OCFEC foodservice request form at least 30 days prior to the event start date, and receive written approval from OCFEC. Foodservice commissions at the sole discretion of the OCFEC may be required if written approval is granted. If written approval is granted, it shall be the responsibility of the exhibitor to obtain the necessary approvals from the Orange County Health Department Sampling Requirements.

Bringing Alcohol on the grounds by exhibitors or attendees is strictly prohibited. The OCFEC Foodservice Provider shall only serve alcoholic beverages on the OCFEC property. Exception to this policy shall only be valid with written OCFEC approval.

"Games of Chance" or any other related activities are prohibited if the activity is played for commercial purposes and for profit. If a "raffle" or "free drawing" is to be utilized during the event by an exhibitor, it must be called an "Opportunity Drawing".

UNDERSTANDING DRAYAGE America’s Family Pet Expo

April 15, 16 & 17, 2011 OC Fair & Event Center

Dear Exhibitors, One of the most misunderstood aspects of preparing for your move-in at any trade or consumer show is drayage or material handling.

This is the unloading of your exhibit materials, delivery to your booth, handling of empty containers to and from storage and removal of your materials from your booth for reloading onto your outbound carrier. This should NOT be confused with the cost to transport your exhibit materials to and from the event.

When you send a shipment (exhibit materials or product) to the event facility, your driver is often asked if they would like to have their vehicle unloaded for them. You and your driver should know that if they say yes, this constitutes ordering labor and the exhibiting company will be billed for this service. For information on ordering this labor for product that is delivered directly to show site at a discount price, please see the Special Economy Booth Furnishings Package Form in the AFPE portion of the Service Kit. For all other drayage needs, please consult the GES Exhibitor Service Kit.

You may hand carry or wheel your exhibit materials to and from your booth, but you MAY NOT use a pallet jack or fork lift. All unloading with a fork lift or pallet jack must use services provided by GES.

All exhibitors are required to carry Certificate of Insurance as noted on the AMERICA’S FAMILY PET EXPO Exhibit Booth Space Contract 2011, under Basic Terms and Conditions; item 4. Insurance, (see below).

4. INSURANCE

Exhibitors must carry worker’s compensation, commercial general liability including products and completed operations

independent Contractors, personal injury and blanket Contractual liability insurance at limits of at least $1 Million per occurrence,

$2 Million aggregate. These coverage’s must be evidenced by a Certificate of Insurance with a 30-day notice of cancellation

provision to the holder naming World Pet Association, Inc., OC Fair & Event Center, GES GLOBAL EXPERIENCE

SPECIALISTS as additional insured. If requested by Show Management, they must be made available on show site. It is strongly

recommended that Exhibitors also carry insurance to cover loss or damage to their exhibits or other personal property while such

property is located at or is in transit to or from the exhibit site. America’s Family Pet Expo and WPA assume no liability for any

loss, damage or injury to any property of the Exhibitor or to any of its officers, agents, employees or contractors, whether

attributable to accident, fire, theft or any other cause whatsoever. While the exhibition may provide security guards, it is solely

done as an accommodation to Exhibitors. The Exhibitor expressly agrees to save and hold harmless America’s Family Pet Expo

and WPA, their management, agents and employees from any and all claims, liabilities and losses for injury to persons or animals

(including death) or damage to property arising in connection with Exhibitor’s use of the exhibit space, except such losses as may

be the result of the sole negligence of America’s Family Pet Expo or WPA.

CONTRACT

TRADE SHOW TECHNICAL, INC. (“TST”) agrees to rent their equipment (“Equipment”), subject to the conditions of the Contract, and in con-sideration thereof, the undersigned Customer (“Renter”) agrees to the following:

1. Renter understands and agrees that the Equipment described in the Contract remains the property of TST, and that the failure by the Renter to return said Equipment to TST may constitute a crime and subject Renter to criminal prosecution.

2. Renter acknowledges that he has examined the Equipment and knows the condition thereof, and that the same is in good condition and repair, and Renter agrees he will return the Equipment in the same good condition as when received, ordinary wear and tear excepted.

3. Renter assumes all risks of loss, theft, destruction, or damage to such Equipment, and will hold TST harmless from any and all damages, claim, lien, storage costs, labor and materials. Renter further agrees to pay TST on demand all costs of repairs or replacement at the current repair or re-placement cost of said Equipment.

4. TST shall have a lien on all Renters’ property for all charges and expenses incurred by TST under the terms of the Contract including those caused by damage to or destruction of said Equipment.

5. All equipment is subject to testing and check-out by TST personal upon return or pick-up to verify said equipment is in the same condition it was delivered in and not damaged in any way.

6. Renter agrees that TST has the right to terminate this agreement at any time, and retake possession of said Equipment, and Renter shall guaran-tee free access to TST of said Equipment and may enter upon the premises of the Renter, without becoming liable for trespass.

7. RENTER EXPRESSLY AGREES to use Equipment in strict accordance with the following instructions. Failure to do so automatically termi-nates this Contract, with all sums due hereunder immediately payable to TST. RENTER FURTHER AGREES to immediately return said Equip-ment.

8. TST SHALL NOT BE LIABLE TO RENTER FOR ANY LIABILITY, CLAIM LOSS, DAMAGE (DIRECT OR CONSEQUENTIAL), OR EXPENSE OF ANY KIND OR NATURE CAUSED, DIRECTLY OR INDIRECTLY, BY EQUIPMENT OR ANY INADEQUACY THEREOF FOR ANY PURPOSE, OR ANY DEFICIENCY OR DEFECT (LATENT OR PATENT) THEREIN DELAY IN PROVIDING OR FAILURE TO PROVIDE ANY THEREOF, OR ANY INTERRUPTION OR LOSS OF SERVICE OR USE THEREOF, OR ANY LOSS OF BUSINESS, OR ANY DAMAGE WHATSOEVER AND HOWEVER CAUSED BY TST SHALL NOT, BY VIRTUE OF HAVING RENTED THE EQUIPMENT UNDER THIS CONTRACT, BE DEEMED TO HAVE MADE ANY REPRESENTATION OR WARRANTY, WHETHER WRITTEN OR ORAL OR EXPRESSED OR IMPLIED, AS TO THE MERCHANTABILITY, FITNESS (FOR USE OR FOR ANY PARTICULAR), DESIGN OR CON-DITION OF, OR AS TO THE QUALITY OF THE MATERIAL OR WORKMANSHIP IN THE EQUIPMENT.

9. Rental charges shall be based on all or any part of each twenty-four (24) hour period to the following 5:59 a.m. Renter agrees to pay rental fee stipulated for the period stated. If Equipment is kept for a longer period, the rental fee will be charged at the stated rate until the Equipment is re-turned to the possession of TST.

10. If TST incurs any expenses, including reasonable attorney’s fees, in the enforcement of any of its rights hereunder, those costs and expenses shall be the sole obligation of Renter.

11. All orders cancelled during or after delivery are subject to a cancellation fee of (1) days rental at the TST standard daily rates or the quoted show rate which ever is less.

12. Equipment delivery and installation times are prioritized when the completed form is processed through TST and then installed. TST is not responsible if equipment installation does not meet your time line due to any unforeseen circumstances that may occur at show site. The Delivery/Pick Up charge covers delivery to and pick up from the Facility only. Any installation/set up/dismantle work will be charged at current TST labor rates

13. Any drayage or forced labor charges will be billed directly to the exhibitor by the show general contractor.

14. TST reserves the right to upgrade equipment at no additional charge.

15. All charges are subject to change without prior notice.

16. Competitor price matching is contingent upon receipt of a written quote and/or an official order form which pertains specifically to the show for which the equipment is being ordered for. TST reserves the right to refuse any price match.

17. TST's liability for any professional error, mistake, malpractice or error/omission shall be limited to our daily rate for this project.

18. No term or condition of this Contract may be waived or modified as to TST except in writing signed by TST’s authorized representative or by an officer of TST who has been expressly authorized to do so by TST.

19. You may choose to pay by credit card, check or bank wire transfer, however, we require that your order be secured by having a credit card on file with TST. Your card on file will be used to pay for any additional equipment or labor ordered on site and signed for by you or your representa-tive and any lost or damaged equipment.

This Contract constitutes the entire agreement between TST and Renter.

1. CONTRACT

This application properly executed by Applicant (Exhibitor) shall upon written acceptance by

America’s Family Pet Expo and World Pet Association (WPA) acting as show management

constitute a valid and binding contract. Show Management reserves the right to render all

interpretations and to establish further regulations as may be deemed necessary for the general

success of the exhibition. It is further agreed that the conditions, rules and regulations as herein

stated and as outlined in the Exhibitor Service Manual are made a part hereof as though fully

incorporated herein, and that the said exhibitor agrees to be bound by each and every one thereof.

2. INDEMNIFICATION

The applicant hereby agrees to indemnify, defend and protect Show Management, the Facility and

the Official Service Contractor against, and hold and save the Show Management, the Facility and

the Official Service Contractor harmless from any and all claims, demands, suits, liability,

damages, loss, costs, attorney fees and expense of whatever kind or nature (collectively

“Claims”) which might result from or arise out of: (i) any action or failure to act of the applicant

or any of its officers, agents, employees, or other representatives; (ii) damage or loss to property,

or from or out of any damage, loss, harm or injury to the person or any property of the applicant

or any of its officers, agents, employees or other representatives, or any third parties, and (iii) all

Claims relating to or arising from patent or copyright infringement. In addition to the duty of

applicant to indemnify, the Management shall also have the right to terminate this Agreement if a

Claim arises during or prior to the Show.

3. WRITTEN CANCELLATION

REFUND POLICY - An exhibitor must deliver a written cancellation notice on company

letterhead signed by the authorized person no later than 3 months prior to the show opening to

receive a full refund less a cancellation fee of $200.00. Any written cancellation notice received

after 3 months prior to opening day is subject to a cancellation fee of 50% of total booth space

plus $200.00 cancellation fee. No refunds will be issued in the event of cancellation after 3

months prior to opening day of the show. It is agreed that if the Exhibitor fails to comply in

any respect with the terms of the agreement, then Show Management shall have the right without

notice to the Exhibitor to sell or offer for sale the exhibit space covered by this Contract. Said

Exhibitor will be liable for any deficiency, loss or damage suffered by the exhibition by reason of

the premises stated, and further agrees to pay Show Management upon demand reasonable

expenses and costs incurred by reason thereof.

It is further agreed that actual occupation of the exhibit space by an exhibit is of the essence

thereof, and that should the exhibition be unable to affect the sale of the space as herein

provided, the exhibition is then expressly authorized to occupy or cause said space to be occupied

in such a manner as it may deem in the best interest of the exhibition, without any rebate or

allowance whatsoever to the Exhibitor and without in any way releasing said Exhibitor from any

liability hereunder, and said Exhibitor expressly agrees to pay the exhibition the full sum as herein

set forth. WORLD PET ASSOCIATION, INC. will not be liable for the fulfillment of this

Contract as to the delivery of exhibit space if non-delivery is due to any of the following causes:

By reason of the facility being damaged or destroyed by fire, act of God, public enemy, war or

insurrections, strikes, the authority of the law, postponement or cancellation of the exhibition, or

for any cause beyond their control. It will however, in the event of its not being able to hold an

exhibit for any of the previously named reasons, reimburse Exhibitor on a pro-rata basis on the

amount paid in, less any and all legitimate expenses incurred, such as but not limited to: Rent,

advertising, operation costs, etc.

4. INSURANCE

Exhibitors must carry worker’s compensation, commercial general liability including products and

completed operations independent Contractors, personal injury and blanket Contractual liability

insurance at limits of at least $1 Million per occurrence, $2 Million aggregate. These coverage’s

must be evidenced by a Certificate of Insurance with a 30-day notice of cancellation provision to

the holder naming World Pet Association, Inc., OC Fair & Event Center, GES GLOBAL

EXPERIENCE SPECIALISTS as additional insured. If requested by Show Management, they

must be made available on show site. It is strongly recommended that Exhibitors also carry

insurance to cover loss or damage to their exhibits or other personal property while such property

is located at or is in transit to or from the exhibit site. America’s Family Pet Expo and WPA

assume no liability for any loss, damage or injury to any property of the Exhibitor or to any of its

officers, agents, employees or contractors, whether attributable to accident, fire, theft or any other

cause whatsoever. While the exhibition may provide security guards, it is solely done as an

accommodation to Exhibitors. The Exhibitor expressly agrees to save and hold harmless

America’s Family Pet Expo and WPA, their management, agents and employees from any and all

claims, liabilities and losses for injury to persons or animals (including death) or damage to

property arising in connection with Exhibitor’s use of the exhibit space, except such losses as

may be the result of the sole negligence of America’s Family Pet Expo or WPA.

5. AVAILABLE SERVICES

On behalf of the Exhibitors, America’s Family Pet Expo has designated official Show Contractors

to provide the following: Drayage, cartage, furniture, booth and floor decorations, signs,

photographs, telephone service, plant and floral, etc. Services of electricians, plumbers,

carpenters and other labor will be available and charged for at the prevailing rates. Contractors

and rates will be listed in the Exhibitor Service Manual to be issued separately. America’s

Family Pet Expo assumes no responsibility or liability for any of the services performed or

materials delivered by the foregoing persons, parties and organizations. Arrangements for these

services and payments are to be made between Exhibitors and official Show Contractors. The

local unions make rules and regulations for union labor and these regulations may be changed at

any time. Where union labor is required because of building or contractor requirements, exhibitor

agrees to comply with the regulations.

6. OTHER REGULATIONS

The adoption, advertising of adoption, sale, advertising for sale, or negotiation for sale (taking of

deposits, raffle, or delivery) or any intended transfer of ownership of any livestock at America’s

Family Pet Expo is strictly prohibited on the grounds, in the parking lot, or any adjacent areas

during the inclusive dates of said show. The only transfer of ownership or

advertising for transfer of ownership of any livestock during the show is within the designated pet

adoption area. Exhibitors found violating this rule are subject to removal from the show without

refund or credit.

7. RESTRICTIONS AS OTHER EXHIBITS:

Exhibitor expressly agrees that neither it nor any of its employees, or agents will conduct or

otherwise participate in any displays of products, models, samples or similar Expo (whether for

viewing or sales purposes) in any location in the hosting city (other than the Exhibitor’s booth) at

any time for the duration of America’s Family Pet Expo. Further, Exhibitor expressly agrees that

its employees will not conduct official exhibitor functions in private rooms during business hours

of America’s Family Pet Expo.

8. TERMINATION OF AMERICA’S FAMILY PET EXPO /FORCE MAJEURE:

In the event that the premises in which America’s Family Pet Expo is or is to be conducted

becomes unfit for occupancy, as determined by Management, or in the event the holding of

America’s Family Pet Expo or the performance of Management under the agreement (of which

these Terms and Conditions are a part) are substantially or materially interfered with by virtue of

any cause or causes not reasonably within the control of Management, said agreement and/or

America’s Family Pet Expo (or any part thereof) may be terminated by Management.

Management shall not be responsible for delays, damage, loss, increased costs or other

unfavorable conditions arising by virtue of cause(s) not reasonably within the control of

Management. If Management terminates said contract and/or America’s Family Pet Expo (or any

part thereof) as mentioned above, then Management may retain such part of an Exhibitor’s booth

fee as shall be required to recompense Management for expenses incurred up to the time such

contingency occurs, and there shall be no further liability on the part of either party. For purposes

hereof, the phrase “cause(s) not reasonably within the control of Management” includes, but not

by way of limitation; fire, casualty, flood, epidemic, earthquake, explosion or accident, blockade,

embargo, inclement weather, governmental restraints, restraints or orders of civil defense or

military authorities, act of public enemy, riot or civil disturbance, acts of war and warlike

operations, threats or acts of terrorism, strike, lockout, boycott or other labor disturbance inability

to secure sufficient labor, technical or other personnel failure, impairment or lack of adequate

transportation facilities, inability to obtain condemnation, requisition of commandeering of

necessity supplies or equipment, local state or federal law, ordinances, rules, orders decrees or

regulations whether legislative, executive or judicial, and whether constitutional or

unconstitutional or Act of God.

9. RESOLUTION OF DISPUTERS:

In the event of a dispute or disagreement between Exhibitor and an official contractor; or between

Exhibitor and labor union or labor union representative or between two or more Exhibitors, all

interpretations of the rules covering the exhibition actions or decisions concerning this dispute or

disagreement by Management, intended to resolve the dispute or disagreement shall be binding on

Exhibitor.

10. AGREEMENT TO RULES:

Exhibitors shall abide by and observe all laws, rules and regulations of the hosting state county

and city, and their departments and all rules of the exhibition venue.

Exhibitor, for itself, employees and agents, agrees to abide by the foregoing rules, as well as

additional rules appearing in the Exhibitor Services Manual herewith incorporated by reference,

and by any amendments that may be put into effect by Management. This agreement shall not be

binding on Management unless it is completed in full by Exhibitor and duly executed by both

parties. Deposit of Exhibitor’s check does not constitute contract acceptance.

11. AMENDMENT IN RULES:

Any matters not specifically covered by the preceding rules shall be subject solely to the decision

of Management. Management shall have full power in the matter of interpretation, amendment

and enforcement of all said rules and regulations and that any such amendments when made and

brought to the notice of the said Exhibitor shall be and become part hereof as though duly

incorporated herein and subject to each and every one of the terms and conditions herein set forth.

12. SEVERABILITY:

If any term of this agreement is held null and void by a court of competent jurisdiction, then this

agreement and each of its terms will remain in full force and affect as if the nullified term or its

constituents was never made a part of this agreement. This agreement is governed and shall be

construed under the laws of the state of California including the laws governing choice of forum.

13. PENALTIES:

In the event Exhibitor breaches any agreement set forth in these Terms and Conditions, the

Exhibitor Services Manual, or fails to comply with Management’s prescriptions for America’s

Family Pet Expo, Management may seek to remove all of Exhibitor’s items including, but not

limited to; booth, decorations and products from the America’s Family Pet Expo floor for the

remainder and duration of the America’s Family Pet Expo. This does not prohibit or otherwise

limit, Management from also prohibiting Exhibitor’s application or entry into future Shows for

violation of any Show rules, regulations or other limitations set for the herewith. Removal of

Exhibitor’s property does not constitute grounds for a refund of the Booth Rental Cost or other

associated Show fees.

*Exhibitor parking is under the control of the FACILITY and exhibitors may be subject to

a parking fee.*
