The undersigned, in order to form a not-for-profit corporati011 pursuant to the provisions of the Okteboma Oenera1 Corporation Act (the "Actj, certify as follows:

ARTICLE 1: NAME

The name of the Cmpomtion is University of Scicncc and Arts ofOldahoma Alumni Association, Inc. (Hereafter ref-erred to es USAO Alumni Assn.)

ARTICLE 3: DURATION

The duration oftbe corporation is Perpetual.

ARTICLE 4: PURPOSE

The purpose ofUSAO Alumni Alim. shall be to perpetuate and promote the intc:rcsta of the University of Science and Arts of Oklahoma; to provide leadcmrip for the alumni to unite in their efforts to support and to strengthen the University; to disseminate information that wilt keep the alumni well informed about the University and the BllllOCiation; to encourage students to apply for admission to the Univeraity; and to take other action as may be deemed beneficial for the advancement of the University and the association.

This corpomtion ia orgimiz.ed oxclusiwly for charitablo, xeligious, educational, and scientific puiposes, including for such purposes the me]cjng of distributions to organizations that qualify as exempt organirntions under section S01(c)(3) of the Tnteme) Revenue Code, or corresponding swtions of any futun, federal code.

ARTICLE 6: CONDmON OF :MEMBERSffiP

The condition of membership in 1he corporation shall be set forth in the by-laws of the corporation.

ARTICLE 7: OFFICERS The business and affairs of the corporation shall be managed by or under the direction of

elected officers. The elected officers shall bc prcsidcnl. pn:sidcnt-clcct, vice president, sccrr:taiy, end treasurer. The 1rea.smer must be a resident of Chickasha, Oklahoma during term of office.

No part of the net earnings of the corporation shall inure to the benefit of, or be distributed to its members, trustees, officers, or otbcr private pcrBODII, except that the corporation shall be authoriz.ed and empowered to pay reasonable compensation for services nmderod end make payments end distributions in furtharanoo of the purposes set forth in Article 4 hereof. ARTICLE 9: DISSOLUTION

Upon the dissolution of the Corporation. assets shall be distributed fur one or more cxwq,t purposes within the meaning ofsection50l(c)(3) of the Internal Revenue Code, or com,sponding section of any ft1ture federal tax code, or shall be dlsttibuted to the fudera1 gowrmnem, or to a state or local government, fur a public pUipOSC.
