AGREEMENT FOR ACH PAYMENTS This Agreement for ACH Payments (the “Agreement”) sets forth the terms and conditions pursuant to which Booz Allen Hamilton Inc., a Delaware corporation, with an address of 575 Herndon Parkway, Herndon, VA 20170 (“Booz Allen”) agrees to make payments through ACH transfer to , a corporation (the “Company”), with an address of . Booz Allen will initiate payment through ACH transfer to the Company as follows: 1. The ACH transfer will be made only to the financial institution and account number on this enrollment form. 2. All payments will be made in accordance with and governed by the National Automated Clearinghouse Association’s Corporation Trade Payment Rules. Our process is governed by the laws of the state of New York, including Article 4A of the Uniform Commercial Code as enacted by the State of New York and amended from time to time. 3. Booz Allen will rely on the information provided on this form. The Company understands that any change in the information must be communicated to Booz Allen in writing by an authorized representative of the Company at least seven (7) days prior to the effective date of the change. Booz Allen shall not be responsible for any loss that may arise by reason of mistake or fraud in connection with this information. The Company shall be responsible for any loss that may arise due to Booz Allen’s reliance. 4. All payments will continue to be governed by the terms of Booz Allen’s contracts with the Company. This Agreement will neither enlarge nor diminish the respective rights and obligations of any other agreement. 5.Booz Allen shall have the right to adjust future payments if payments previously made to the Company are found to be duplicative, in excess of requirements, fraudulent or in error. In the event Booz Allen is unable to adjust payments as set forth above, and there is a duplicate payment, overpayment, fraudulent payment or payment made in error, upon Booz Allen’s request, the Company will promptly cause the return of funds to Booz Allen at its designated originating bank. 6. Booz Allen is responsible for the payment up to the point when your financial institution is in control of the transaction. Thereafter, all losses will be borne by the Company and Booz Allen shall have no liability whatsoever. The electronic payments shall be deemed made at such time as your financial institution has control of the transaction. 7. In the event that payment is not received by the Company when due, the Company shall notify Booz Allen immediately in writing and Booz Allen shall have a reasonable period of time in which to make payment and the Company agrees not to pursue any rights or remedies for default against Booz Allen under any agreement. 8. This Agreement shall be perpetual and may be terminated by either party by providing the other party with thirty (30) days advance notice in writing. This Agreement may be terminated immediately if Booz Allen determines or suspects that the information provided herein is inaccurate, fraudulent or is being used for illegal purposes. 9. In no event shall Booz Allen be liable to the Company for any lost profits or costs or for any indirect, special or consequential damages however caused and under any theory of liability and whether or not such party has been advised of the possibility of such damage. 10. This Agreement shall be governed by the laws of the State of New York. 11. This Agreement represents the entire agreement between the parties with respect to the payment of funds through ACH and supersedes all prior agreements and understandings. This Agreement may be modified or amended only by a written document signed by the appropriate representatives of both parties. 12. All notices provided for herein shall be deemed delivered if sent by overnight courier to the party at the address set forth above.
