AS FIRST PARTY: THE PUERTO RICO AND THE MUNICIPALITY

ISL ANDS MARITIME TRANSPORT AUTHORITY, a public corporation and

governmental instrumentality of the Government of Puerto Rico, created by

Act No. l, approved on January l, 2000, hereinafter referred to as "PRMTA

or the Authority" and represented by its Executive Director, Mara Perez

Torres, Esq., of legal age, single and resident of San Juan, PR.

AS PARTY OF THE SECOND PART: PROYECTO COLECTIVO, LLC, a

limited liability corporation dully organized under the laws of Puerto Rico,

and hereinafter referred to as "Consultant" or "Proyecto Colectivo" and

represented in this act by Carla Sanchez Silva, President.

WHEREAS, the CONSULTANT is willing to provide the professional

services required by the Authority.

THEREFORE, THEREFORE, by mutual consent and undertakings

herein, each party accords this Agreement as follows:

TERMS AND CONDITIONS

This Agreement shall be effective on the date of its signature by the

Executive Director of PRMTA and shall expire on June 30, 2019; however,

the Consultant must the finish the work within the date issue of the Notice

to Proceed.

2. AUTHORIZED REPRESENTATIVE

The Executive Director or its authorized representative shall be the

responsible for the administration of this agreement.

3. SCOPE OF SERVICES

3.1 The CONSULTANT shall be responsible for performing the following

To ensure the protection of such information, and to preserve any confidentiality necessary under patent and/or trade secret laws, it is agreed that: The Confidential Information to be disclosed can be described as and includes: Invention description(s), technical and business information relating to proprietary ideas and inventions, ideas, patentable ideas, trade secrets, drawings and/ or illustrations, patent searches, existing and/or contemplated products and services, research and development, production, costs, profit and margin information, finances and financial projections, customers, clients, marketing, and current or future business plans and models, regardless of whether such information is designated as “Confidential Information” at the time of its disclosure. The Recipient (Carla Sanchez Silva) agrees not to disclose the confidential information obtained from the discloser (Bayer) to anyone unless required to do so by law. This Agreement states the entire agreement between the parties concerning the disclosure of Confidential Information. Any addition or modification to this Agreement must be made in writing and signed by the parties. If any of the provisions of this Agreement are found to be unenforceable, the remainder shall be enforced as fully as possible and the unenforceable provision(s) shall be deemed modified to the limited extent required to permit enforcement of the Agreement as a whole. WHEREFORE, the parties acknowledge that they have read and understand this Agreement and voluntarily accept the duties and obligations set forth herein. Intellectual Property The rights to Intellectual Property (IP) created in this document during the review process remain the property of Proyecto Colectivo LLC until the client either approves and hires the consultant/team/contractor to execute the work or the parties agree to a commercially equitable payment for the assignment of usage rights.

• Travel: ATM shall be reimbursed by Proyecto Colectivo for all expenses incurred for necessary travel.

• Expenses: ATM may incur costs relating to software implementation, the purchase of physical materials, or any other items that are not included in the project management fee. Proyecto Colectivo shall reimburse ATM for related expenses.
