MINUTES OF MEETING – NOVEMBER 14, 2012 CENTRAL HEALTH

BOARD OF MANAGERS On Wednesday, November 14, 2012, a meeting of the Central Health Board of Managers convened in open session at 5:34 p.m. in the Board Room of the Central Health Administrative Offices located at 1111 E. Cesar Chavez Street, Austin, Texas 78702. Clerk for the meeting was Ms. Rachael Cortez. _________________________________________________________________________________ Board of Managers present: Chairperson Mendoza, Vice-Chairperson Rodriguez, Treasurer Coleman-Beattie, Secretary Haley, Manager Heidrick, Manager Coopwood, Manager Lightsey, and Manager Daniel.

a. Community Care Collaborative (CCC)/Integrated Delivery System (IDS); b. Partnership with Seton Healthcare Family; c. Potential interrelated partnerships; and d. The 1115 Medicaid Waiver.

Clerk’s Notes: Chairperson Mendoza announced that the Board is convening in closed session to discuss agenda item 2 under Section 551.071 of the Texas Government Code, Consultation with Attorney and Section 551.085 of the Texas Government Code, Deliberation of Governing Board of Certain Providers of Health Care Services. The Board convened in closed session beginning at 5:35 p.m. Manager Hudson arrived at 5:41 p.m. The Board returned from closed session at 8:51 p.m. No action was taken on agenda item 2. 3. Confirm the next regular Board meeting date, time, and location.

Clerk’s Notes: Chairperson Mendoza announced that the next regularly scheduled meeting would be held on Wednesday, December 5, 2012, at 5:30 p.m., at the Central Health Administrative Offices, 1111 E. Cesar Chavez Street, Austin, Texas 78702. Vice-Chairperson Rodriguez moved that the Board amend the November 7, 2012 Resolution for a Special Meeting Canvassing Election Returns and Declaring Results to reschedule the meeting for Monday, November 19, 2012 at 12:00 p.m., at the Central Health Administrative Offices, 1111 E. Cesar Chavez Street, Austin, Texas 78702. Manager Coopwood seconded the motion.

BOARD OF MANAGERS On Monday, November 19, 2012, a meeting of the Central Health Board of Managers convened in open session at 12: 02 p.m. in the Board Room of the Central Health Administrative Offices located at 1111 E. Cesar Chavez Street, Austin, Texas 78702. REGULAR AGENDA* 1. Consider and take appropriate action on a Resolution Canvassing Election Returns and

Declaring Results in Travis County for the November 6, 2012 Central Health Tax Ratification Election Proposition 1.

Clerk’s Notes: Chairperson Mendoza stated that today we are meeting to canvass the official results of the Tax Ratification Election, which was called for by the Central Health Board of Managers on August 15, 2012. Vice-Chairperson Rodriguez read the Resolution of the Travis County Healthcare District d/b/a Central Health Board of Managers to Canvass the Tax Ratification Election for Proposition No. 1 into the record. Manager Daniel moved that that the Board approve the Resolution. Manager Coopwood seconded the motion. A majority of all votes cast in the Special Election were cast for Proposition No. 1. The total number of votes are “For” 187,021 (54.72%) and “Against” 154,753 (45.28%).

Total Votes: A total of 341,774 votes were cast either for or against the Tax Ratification Election. These votes represent 62% of registered voters.

Early Voting: Most votes (61%) were cast during early voting, with 54% voting in favor and 46% voting to oppose.

Election Day: 39% of votes were cast on Election Day, with 56% voting in favor and 44% voting to oppose.

Chairperson Mendoza thanked the Board Members, staff and counsel on their hard work on the election. Manager Daniel thanked Chairperson Mendoza, Manager Coopwood, and Manager Heidrick for their work and leadership. Manager Coopwood stated that this was a great day for Central Texas. Vice-Chairperson Rodriguez stated that this is twice that voters have spoken in support of the Healthcare District and thanked Patricia A. Young Brown, President & CEO, for her continued work. Patricia A. Young Brown, President & CEO, stated that she appreciated the support from the Board, that they saw the value and stated that our work has just begun. Re: Agenda Item 1: Receive, discuss, and take appropriate action regarding recommendations from the ad hoc Nominations Committee concerning the election of a Treasurer and the potential appointment of a Secretary for the Central Health Board of Managers.

On December 12, 2012, the Central Health Board of Managers elected and appointed officers to the Central Health Board of Managers, at which time Manager Haley was elected Treasurer. Since that time, Manager Haley notified Central Health that he would not be seeking reappointment to the Board. Pursuant to Section 6.5.4 of the Central Health Bylaws, when a position subject to Board election becomes vacant, a special election for the position shall be held as soon thereafter as practicable. Pursuant to Section 6.5.1 of the Bylaws, nominations for officer positions can be made from the floor by Board members at a regular meeting of the Board or by a special committee established for the purpose of making nominations. On October 17, 2012, the Board approved a panel of Board members to serve on the ad hoc Nominations Committee, consisting of Managers Rodriguez, Heidrick, Lightsey and Hudson. Pursuant to section 6.2.3, the Vice-Chairperson serves as the chair of the ad hoc Nominations Committee. As a result, Manager Coleman-Beattie replaced Manager Rodriguez as the Chair of the ad hoc Nominations Committee effective January 1, 2013. The ad hoc Nominations Committee will meet on January 9, 2013 and bring forth recommendations for the Treasurer position to the Board of Managers for consideration at the January 9, 2013 Board meeting. Because of the traditional line of succession of officer positions, it is possible that the Secretary position may become vacant, so the ad hoc Nominations Committee may recommend an appointment for Secretary as well.
