1.0 Brief about Vrindavan Techvillage SEZ (formerly M/s. Vikas Telecom Ltd)

Vrindavan Techvillage an IT/ITES SEZ was approved by BOA vide LOA: No: F2(2)/33/2006-EPZ Dated: 7th April 2006. File No. 3/17/2006:Infra:CSEZ; The total area notified for SEZ operations is 42.06 hectares; Processing area 29.09 hect and 12.97 hect non processing area. The SEZ is located at Devarabeesanahalli & Kariyammana Agrahara Villages of Varthur Hobli, Bangalore East Taluk, Karnataka. Developer has executed BLUT vide Vikas Telecom Ltd/BLUT/12/2006-07 dated: 11th Dec 2006 for Bond amount of Rs.22.89 crs.

The initial proposal of the developer to BOA is as follows: 1. Initial Investment Proposed : 980 Cr 2. Proposed for SEZ 105 acre, of which 89 acres & 17 guntas has been acquired by

KIADB and handed over to developer.- remaining under various stages of acquisition 3. Proposed for Built up space of 7 million sq ft in phases; to house 52500 employees. The UAC for the zone has been constituted vide Gazette Notification by MOC dt. 26/7/2007. The authorized operations of M/s Vrindavan Techvillage SEZ (formerly M/s. Vikas Telecom Ltd) has been approved by MOC vide F. No. 3/17/2006 :Infra:CSEZ, dated 03rd July, 2006, the details are enclosed herewith as Annexure – ‘Authorized Operations –VRINDAVAN’:

1.4 New Unit Registration under Vrindavan Techvillage SEZ Bangalore for Ratification:

1.4(a) M/s. Satyam Computer Services Ltd

M/s. Satyam Computer Services Ltd. had requested vide No Nil dt: 29/02/2008 for setting up a unit in the notified SEZ premises of Vrindavan Techvillage SEZ, Bangalore, Karnataka, for carrying out software development & ITES activity as per SEZ Rule 27(1) 2006.

In this context, M/s. Satyam Computer Services Ltd. has furnished the following documents in support of their approva l.

1. Copy of their PAN 2. Copy of Certificate of Incorporation along with Articles of Association and

Memorandum of Association 3. List of Directors 4. Import Export code copy 5. D.D of Rs. 5000/-, drawn in favor of the PAO, CSEZ Cochin

M/s. Satyam Computer Services Ltd. intends to set up their Software development operations in the premises of Vrindavan Techvillage Special Economic Zone, in order to avail the facilities provided under the SEZ Act 2005 and SEZ Rules 2006. The Developer has consented to provide the office space measuring 2,07,440 sft situated at Level 1 to Level 7 of the Building known as Tower 2B located at Vrindavan Tech Village Hobli, Bangalore East Taluk, Bangalore, Vide their letter dated 29th January, 2008.

The Project Report submitted by the. M/s. Satyam Computer Services Ltd. Bangalore, indicates total investment required for carrying out software development & ITES activity, the employment opportunities provided through their proposed unit along with the Net Foreign Exchange earnings for the five years, as under :

7 Net Foreign Exchange Earnings for Five years

Rs. 206977 Lakhs

The Application furnished by M/s. Satyam Computer Services Ltd. Bangalore is in terms of the provisions of Section 15 of SEZ Act 2005 read with the proforma ‘F’ prescribed under Rule 17 of SEZ Rules 2006. The same has been verified and found to be in order.

In terms of Rule (18) of SEZ Rules, 2006 the following requirements are to be met with by the unit, to grant the approval for setting up their activities in the Special Economic zone:-

a) Positive Net Foreign Exchange Earnings.

b) Availability of space and other infrastructure facilities to be confirmed by the Developer of the respective SEZ.

c) To satisfy the environmental and pollution control norms, as per Karnataka State Pollution Control Act both in respect of air and water

d) Proof of residence namely passport or ration card or driving license or vote identity card of the Directors Company.

The application is in conformity with the above requirements stipulated under Rule 18 (2) of SEZ Rule 2006. In view of the above, since the unit has met with the requirements under rule 18 (2), the Development Commissioner has considered M/s. Satyam Computer Services Ltd. Bangalore to set up a unit in the notified premises of Vrindavan Techvillage SEZ Bangalore, and accordingly a letter of approval, in terms of Section 15 (9) of SEZ Act 2005, read with the provisions of Rule 19 of SEZ Rules 2006 was accorded vide LOA . F. No.10/7/2008:Vikas Telecom SEZ/Satyam Computers Dt: 26th March 2008. Subsequently, the unit has executed BLUT vide Nil dated: 26/03/2008 for Bond amount of Rs.25.00 crs.

8.3 New Unit Registration- M/s. Infosys Technologies Ltd - for Ratification:

M/s. Infosys Technologies Ltd- Mysore , had requested vide No Nil dt.02/01/2008 for setting up a unit in the notified SEZ premises of Infosys Technologies Ltd SEZ Special Economic Zone Mysore, Karnataka, for carrying out software development & ITES activity as per SEZ Rule 27(1) 2006.

In this context, M/s. Infosys Technologies Ltd., Mysore has furnished the following documents in support of their approval.

M/s. Infosys Technologies Ltd. Mysore intends to set up their Software development operations in the premises of M/s. Infosys Technologies Ltd. Mysore, Special Economic Zone, in order to avail the facilities provided under the SEZ Act 2005 and SEZ Rules 2006. The Developer has consented to provide the office space measuring 6,40,000 sq.ft situated at Hebbal Electronic city, Mysore, vide their letter dt: 02/01/2008.

The Project Report submitted by M/s. Infosys Technologies Ltd, Mysore., indicates total investment required carrying out software development & ITES activity, employment opportunities provided through their proposed unit along with the Net Foreign Exchange earnings for the five years, as under :

The Application furnished by M/s. Infosys Technologies Ltd., Mysore, is in terms of the provisions of Section 15 of SEZ Act 2005 read with the proforma ‘F’ prescribed under Rule 17 of SEZ Rules 2006. The same have been verified and found to be in order.

In terms of Rule (18) of SEZ Rules, 2006 the following requirements are to be met with by the unit, to grant the approval for setting up their activities in the Special Economic zone:-

a) Positive Net Foreign Exchange Earnings.

b) Availability of space and other infrastructure facilities to be confirmed by the Developer of the respective SEZ.

c) To satisfy the environmental and pollution control norms, as per Karnataka State Pollution Control Act both in respect of air and water

d) Proof of residence namely passport or ration card or driving license or vote identity card of the Directors Company.

The application is in conformity with the above requirements stipulated under Rule 18 (2) of SEZ Rule 2006.

In view of the above, since the unit has met with the requirements under rule 18 (2), the Development Commissioner has considered, M/s. Infosys Technologies Ltd., Mysore, to set up a unit in the notified premises of M/s. Infosys Technologies Ltd. SEZ, Mysore and accordingly a letter of approval, in terms of Section 15 (9) of SEZ Act 2005, read with the provisions of Rule 19 of SEZ Rules 2006 was accorded vide LOA No. F 2/119/2006-EPZ Dt.:22/08/2007. Subsequently, the unit has executed BLUT vide Nil Dt: 31/01/2008 for bond amount of Rs. 12.18 Crores.
