M/s Sunrise Automotive Ltd. having its registered office at 80/64, Malviya Nagar, New Delhi-110017 and Administrative Office at 45 Mile Stone, Village Naurangpur, Tehsil Manesar and District Gurgaon, its duly authorized person Mr. Sanjeev Garg (Senior Manager) vide board resolution dated 25.07.2010, do hereby solemnly affirm and declare as under :-

1. That M/s Sunrise Automotive Ltd. (hereinafter referred to as the Seller) had entered into agreement of sale on 02.07.2007 with Donna Apparels (P) Ltd. having its registered office at B-22, Westend, New Delhi-110021 through its duly authorized Director Shri Chander Mohan Kochhar pertaining to factory, land and building bearing Khasra no. 20/3/2(5-10) 4(8-0) 7/1 (1-11) 8/1/1(0-16) land measuring 15 Kanals 17 Marlas ( 9589.25 sq. yards) along with constructions having covered area of 61000 sq. ft. situated in the revenue estate of Naurangpur, Tehsil Manesar and District Gurgaon ( hereinafter referred to and called as the Property).

2. That M/s Donna Apparels (P) Ltd. has hereinafter been referred to as the Purchaser. The Purchaser failed to perform its part of the contract dated 02.07.2007 and the same culminated in filing of litigation by the Seller against the Purchaser. Subsequently the Purchaser approached the Seller and requested the Seller to withdraw the litigation and to agree to sell the Property to the Purchaser. Under these circumstances an Addendum to Agreement of Sale dated 02.07.2007 was executed on 10.05.2010. In terms of the aforesaid contract the Purchaser was to pay the entire sale consideration on or before 31.07.2010. However, 31.07.2010 is a holiday being Saturday. Consequently, the duly authorized person of the Seller is present today in the office of Sub Registrar, Gurgaon to perform its part of the contract. The Seller has already obtained requisite No Objection Certificate from UCO Bank, Gurgaon for sale of the Property in favour of the Purchaser on 21.06. 2010. The Seller has always been ready and is still ready to perform its part of the contract. The Purchaser on the other hand has failed to turn up to pay balance sale consideration. Presence of the duly authorized person of the Seller be noted.Deponent

1. That M/s Sunrise Automotive Ltd. (hereinafter referred to as Seller) had entered into agreement of sale on 2.7. 2007 with Donna Apparels (P) Ltd. having its registered office at B-22, Westend, New Delhi-110021 through its duly authorized Director Shri Chander Mohan Kochhar pertaining to factory, land and building bearing khasra no. 20/3/2(5-10) 4(8-0) 7/1 ( 1-11) 8/1/1(0-16) land measuring 15 kanals 17 marlas ( 9589.25 sq. yards) alongwith constructions having covered area of 61000 sq. ft. situated in the revenue estate of Nurangpur, Tehsil and District Gurgaon ( hereinafter referred to and called as the Property).

2. That M/s Donna Apparels (P) Ltd. has hereinafter been referred to as Purchaser. The Purchaser failed to perform its part of the contract dated 2.7. 2007 and the same culminated in filing of litigation by the Seller against the Purchaser. Subsequently the Purchaser approached the Seller and requested the Seller to withdraw the litigation and to agree to sell the Property to the Purchaser. In terms of the aforesaid contract the Purchaser was to pay the entire sale consideration on or before 31.7. 2010. However, 31.7., 2010 is a holiday being Saturday. Ther4efore, the duly authorized person of the Seller remained present in the Office of Sub Registrar, Gurgaon on 30.7. 2010 during the office hours but the Purchaser failed to turn up. Accordingly, duly authorized person of the Seller is present once again today in the Office of Sub Registrar, Gurgaon to perform its part of the contract. The Seller has already obtained requisite No Objection Certificate from UCO Bank, Gurgaon for sale of the Property in favour of the Purchaser on 21.6. 2010. The Seller has always been ready and is still ready to perform its part of the contract. The Purchaser on the other hand has failed to turn up to pay balance sale consideration. Presence of the duly authorized person of the Seller be noted.
