This second issue of the mook #FrenchTouchOfLaw reflects both our corporate reality and our commitment to service: as lawyers working with you, we share your experience of the changing economic environment.

The hashtag we use in our digital communications, #FrenchTouchOfLaw, refers to the French House musi-cal style, which the French call “French Touch”. Originating in France in the 1990s, it has electro, variety and pop influences. To paraphrase Daft Punk, the musical genre is “cutting-edge, yet accessible”. Mainly played in English, it quickly managed to find its way to enduring international brilliance.

We have chosen this anglicism, which has since acquired common meaning in French, to represent the distinctive, yet positive influence of a French practice of business law, otherwise exercised within the structures of a globaliz - ed culture. In our view, it successfully combines a nod to French and Anglo-Saxon heritage with the energy of “French Tech” and the spirit of French and foreign economic players seeking excellence and distinction.

A cross- practice activity

Our #FrenchTouchOf (business) Law is characterized by a distinct cross­practice approach, which we consider more effective than the vertical approach by area of specialization, which entails the partitioning of all subjects. As a response to this difficulty, our lawyers work together on processing files or on the prospects of tomorrow’s challenges under the supervision of project managers and are thus able to pool their skills to provide effective and tailor­made solutions. M arket expansion on a global scale is raising questions about traditional free-trade structures. Corporations would benefit from

knowing the advantages offered by the law as a conventional weapon, in the strict sense of the term. In fact, the economic wars they wage against their competitors take place in a geo-political environment where states no longer hesitate to use the law for protectionist and/or diplomatic purposes (tax dumping, non-tariff barriers, marketing restrictions on strategic com-ponents, extraterritorial legal policy, indirect embargoes, etc.).

For corporations, these trends often result in a multitude of legal processes and court procee-dings. How to manage this complexity? Senior executives are risk managers who must map these upheavals and optimize the coverage of risk and opportunity zones. Corporations must manage the competitiveness of their business model by reconciling ethics and accountability. Their knowledge of their strategic environment and their reaction time will be all the more effective if they are based on flexible organization and sound governance.

The survey conducted by Optimind and De Gaulle Fleurance & Associés on the imple-mentation of anticorruption programmes provided for under the Sapin II Act shows that one year after it went into application, 30% of respondents had implemented all eight key measures to detect and prevent corruption and 26% had implemented four of them. Even if the road ahead is still long, this reflects a willingness to anticipate the risks through appropriate legal mechanisms.

US DOJ

The US Department of Justice is able to embrace under its compliance moni­toring up to 80% of international business transac­tions, since those are processed in US dollars.

A cross- practice activity

WINES AND VINEYARDS 

In 2018, we carried out a number of sales and purchases of major wine estates and land transactions. Taxation and financing issues are often important in this type of business. The assessment of the operating conditions of the estates and their products is just as important for a relevant valuation of assets and risks, including compliance with the French alcohol advertising law (Evin Law) and labelling, infringement/unfair competition issues and the protection of brands and appel lations (from marketing measures to partnership agreements with artists and cele-brities). We also manage an evergrowing number of digital files in this sector, ranging from connected objects related to wine culture to e-commerce issues.

AUTOMOTIVE

Beyond the traditional issues specific to the automotive industry, this year we recov-ered a so-called orphan brand (“sleeping beauty”), part of the heritage of the French automotive industry. We are handling a dis - pute related to a car product placement in a Hollywood film production. We are defending a client in a case of software counterfeiting for a driverless vehicle and have been involved in public discussions on liability insurance for driverless vehicles.

REAL ESTATE

Residential hotels, industrial sites, shopping malls, SIIC-OPCI and major users: we provide our clients with a full-service platform (consulting, settlement agreements and litiga-tion): building change of purpose, volume, co-ownership, independent property mana ge- ment associations, legal, tax or organizational optimization, urban planning, land owner- ship, construction, construction insurance, environment... The year 2018 saw the emergence of several innovative real estate programmes in terms of facilities (infras tructures and connected services), financing (crowd funding) and purpose (co-working, mixed tourist/student residences, etc.), the conclusion of an ICC arbitration pro cedure relating to the operation of a hotel complex in Africa, the completion of several projects under Murabaha financing in France, the transfer or protection of real estate brand portfolios or sales networks, the GDPR compliance of our clients in the sector, etc.

2019In connection with market access issues, she will also be working on the reform of health product assessment.

She regularly consults law yers for help in organizing and protecting her IP rights port-folio (patents, trademarks, designs, know-how and valo-rization of trade secrets), certain R & D, licensing and industrial contracts and for disputes with filing agen-cies and unscrupulous coun-terfeiters and competitors. In terms of R & D, as part of

consortia with technical, technological, academic and financial partners, her cur-rent priority is to assist in the development and protec-tion of textile and imaging products linking connected clothing to medical screen-ing services, in compliance with the legislation on health data, and integrating artificial intelligence tools.

Within the Legal Department and working with the Research & Development Department, she coordinates the legal aspects of innova-tion, both in-house and via external partnerships, as well as the fight against counterfeiting and unfair competition.

Managing director of a banking group, major user of IT servicesHaving started her career as an account manager, this group managing director uses her skills on a daily basis to gauge the effective-ness and value creation of tomorrow’s banking services. She has been trained in digital technologies in order to address cyber-security, e-banking and blockchain issues – and to manage the long-term IT strategy.

To support excellence in customer service in the era of “remote everything”, she is working to secure the perfor-mance of internal tools and the availability of contact/management platforms.

Banking services require the mobilization of IT resources, the design, maintenance and operation of which are critical to their compliance with banking, financial and personal data regulations.

In 2018, with the support of its lawyers, the group won litigation against a banking software developer on numbers of licences and ensured the contractual and regulatory creation of the first banking API platform in France enabling fintechs and other financial appli-cations to aggregate their services as an add-on to those of the group.

With a PhD in applied eco-nomics, she has been head-ing up the tax team of this French-listed company for around ten years. She leads her network of nine national correspondents and interacts with her counterparts (Essec, MEDEF and Agora des DAF) and her attorneys.

She has adjusted to the “pané-lisation” requirement, i.e. the obligation to determine what can be handled inter-nally, then conducting public tenders for specific issues which need to be outsourced, while retaining room to manœuvre in cases of litiga-tion with national tax autho-rities, for which she occa-sionally seeks help from the foreign law firms used by her French advisers. She is, natu-rally, alert to the diversity of billing methods proposed by her service providers as well as bookkeeping fluidity.

The group’s business has been affected by Brexit and the repercussions of US diplomacy. To optimize and prepare for such uncertain-ties, her exchanges with cor-porate lawyers, who are experts in the industrial sec-tor, contribute to the tax strategy and the new site and expansion plans discussed on the Executive Committee.

 2020In January 2018, the International Renewable Energy Agency estab-lished that global renewable energy prices (i.e. photo-voltaics, onshore and offshore wind, geothermal, biogas, methani-zation, etc.) will be competitive with conventional resources by 2020.

He believes in a transversal approach and takes part in La Plateforme Verte to anti-cipate the financing issues that will be shaping this rapidly- growing market.

Strong believer in the economic and social relevance of energy transition, he has been director of development for the Southern Europe – Sub-Saharan Africa region of a French solar farm operator for the last five years.

Member of the Executive Committee and respected for his in-depth knowledge of the ecosystem, he selects his advisors carefully. With a background in sales, his legal knowledge is the result of his experience. For his third operation in Niger (a 30mW wind farm), he has maintained his winning formula: combine lawyers who are experts in project financing and contract negotiation and who have experience in the sector with agents on the ground.

Compliance director of a real estate operator

The year 2018 saw the advent of their second generation of mixed and connected HQE programmes (French certifi-cation “High Environmental Quality”) for commercial, office and residential buil-dings. For the delivery of four sites across the EU, with the help of his consulting firm and their local counterparts, he has mapped and coordi-nated with his lawyers:— anticorruption and finan-cing accountability procedures— the compliance policy for the e-facilities embedded

in buildings for the purpose of their supervision/mainte-nance/management (in particular personal data)— the application of European and national regu-lations relating to the envi-ronmental aspects of buil-dings and employment law regarding construction sites (team rotations of seconded specialized workers).

In 2019-2020, he will lead a group-wide debate on connected real estate issues. The data collected by multiple

sensors (water/light/ electricity consumption, flow of people/connected elevators/parking garages with electrical terminals, etc.) can be analysed to gear the design and management of real estate programs to consumer demands. Their per-building storage must also be anticipated from 2020 onwards while com-plying with privacy, as well as technical compliance and acceptability of these many sources of electro-magnetic waves.

Self-made man in the competitive world of pri-vate equity, he has been appointed chairman of the management company, drawing on his training in economics and knowledge of the French and inter-national business worlds. This human resources direc-tor, who previously wor-ked for an event management agency, was hired to organize a world championship, to take place in four years’ time in several French cities.

In the short term, he will need to hire key people to strengthen the organiza tion’s permanent services. This includes the legal depart-ment, which will work with the federation’s lawyers – a multidisciplinary team capable of helping him with corporate and tax issues, employment questions, broadcasting on both linear and non-linear media, event organization, the fight against ticket fraud and the unlaw - ful use of event brands (counterfeiting, ambush marketing), including via foreign sites, etc.

He will also be involved in managing the large number of contractors and volunteers involved in the event, entai-ling various employment law and social security issues.
