Active Group – The beginning

Active Group Company Ltd. was founded in December 2006 by Jacek Kulma and Marcin Olszewski. The activity of the company concerned retail trade of home design products.

Active Group – The mission and strategy

The mission of Active Group is to deliver a wide range of high quality home design products, to assure a high level of customer service to achieve satisfaction of demanding clients, and to create and maintain positive business relations with our vendors and suppliers.

The most important strategic goals for the Active Group Management Board are: to continually extend our range of world class home design brands and products, to assure high quality services to our customers through a careful selection of our potential employees, constant training and close supervision of customer service in the company, to ensure a high return of capital for the shareholders, to create attractive and satisfactory conditions of cooperation for our vendors and suppliers, to set and implement ethical standards in business.

Financial statement as of 2008The revenue of Active Group in 2008 was 1 800 000 PLN (400 000 EUR) The profit of the company in 2008 was 150.000 PLN (33.000 EUR)

These numbers are maybe not overwhelming, but we need to remember that this is our second year of operation, and we are still investing large amounts of revenues in stocks of new brands, marketing activities and sales expansion through new distribution channels.We expect that despite the economic crisis, Active Group will increase revenue and profit within next few years due to our long term investments.

Active Group – the first location

As a location of the first store of Active Group, we chose Galeria Mokotów. Galeria Mokotów - located in one of Warsaw’s busiest business districts - is the most prestigious commercial center in Poland. It can be compared to La Rinascente in Milan or Galeria Lafayette in Paris. The commercial area of Galeria totals 60 000 m2. Among more than 250 stores, there are those of the most famous and desirable brands: Versace, Calvin Klein, Cacharel, Escada, Max Mara, Trussardi. The number of visitors in Galeria Mokotów exceeds 1 million customers every month.

Active Group – The OpeningIn December 2006 the grand opening of the first store of Active Group took place. The store was named „Salon Rosenthal”, due to Rosenthal being its main retail brand. In a short period of time, other prestigious brands such as Alessi, Goebel, Bernardaud, Robbe&Berking, Furstenberg, Kaiser, have been been added to the offer of Salon Rosenthal. The commercial area of the store is 110 m2.

Active Group – cooperation with Alessi

In 2007 The Management Board decided to extend the range of Alessi products and devote 1/3rd of the store’s commercial area to the brand. The name of the store was then changed to Salon Rosental/Alessi. This strategic movement had a huge influence on the increase of sales in the store.Not long afterwards, Active Group became the leader in sales of Alessi products in Poland in 2008. The financial results were appreciated by the Alessi Company and in 2008 the Company awarded the title of Shop in Shop to our store (the first in Poland).

Cooperation with Goebel and Wedgwood

In 2008 our company’s management continued the strategy of extending our range of brands and products.In the middle of the year close cooperation with Goebel Porzellanmanufaktur resulted in the increase of the amount of Goebel products in our offer. At the end of 2008, Active Group launched the sales of another prestigious brand in Salon Rosenthal/Alessi – Wedgwood (the famous English porcelain). Active Group also opened a new distribution channel for the sale of business gifts – B2B. Now Active Group cooperates with large companies and media houses. This channel is very promising.

At the begining of the year, three important issues for the Company took place:Paweł Filutowski became a new member of the Management Board. His high level of professional knowledge concerning IT technology allows Active Group to constantly increase our standards of information and hi-tech management.

2009 – Imprortant issues (2/3)The second big issue was the opening of a new distribution channel - the ModernForm internet store (www.modernform.pl). The brief description of our e-store could be: professional, consistent with the highest standards of e-commerce and extremely user friendly.

2009 – Imprortant issues (3/3)New distribution channels, along with an increasing number of vendors and employees, required professional office space. In January 2009, Active Group moved its back office to a new, prestigious location in Mokotów (Warsaw’s biggest office district), very close to Galeria Mokotów – the location of Salon Rosenthal/Alessi.

Active Group – in presentAs of now, Active Group’s manpower consists of 14 employees. Our Company constantly fulfills it’s strategy by:developing new distribution channels,adding new products and brands to our offer,investing resources in marketing and PR activities, customer experience and e-commerce training, modernization processes, implementation of high IT standards.

All above mentioned activities assure a high standard of customer service and cooperation with business partners.

Active Group – in future

Active Group will continue extending its activity (brands, distribution channels, number of business partners).We want to increase our activities and market share in the wedding business and to start operations in the HoReCa market.

Active Group – HoReCa marketActive Group would like to use its potential and experience on the Polish market in the new, promising HoReCa sales channel. The value of this segment in Poland is estimated at 20 bln PLN per year (60.000 hotels, cafeterias and restaurants). According to financial experts, the projected growth rate for this market segment is 10% a year.

Apart from the above mentioned growth in market potential, there are other HoReCa opportunities in our country: Euro 2012 will take place in Poland, a large amount of money from UN funds is allocated to tourism development, large investments – e.g. building of new hotels - will grow approximately 17% per year and in 2012 will gain 1,1 bln PLN. A large number of big investments will take place in Warsaw, Gdańsk, Poznań, Wrocław, Chorzów and Cracow, where the Euro matches will be played.

We would like to present to our customers a complex offer - including internal fitting and finishing materials, bathroom equipment and home design products - with the support of the stock and service of the www.domu.com.pl e-store (managed by Paweł Filutowski) and our e-store www.modernform.pl

Active Group & Paderno together in the Polish HoReCa market

We would like to offer our services as a sales partner for your products on the Polish market. With this choice you can be assured that we will put our efforts in developing our HoReCa distribution channel (by extending the list of our new customers and business partners in the HoReCa market).

We have good knowledge of the Polish HoReCa market, and of the needs of these kinds of customers. We cooperate with a number of companies in the HoReCa segment.For us, Paderno products are the ideal supplement to our offer and could be the key brand for distribution through the HoReCa channel.

As the cooperation between Paderno and Active Group would bring mutual benefits, we sincerely hope that our cooperation will begin in the very near future.

The Management Board – brief biograghy of the membersMarcin Olszewski (President of the Management Board) obtained a title of B.A. in Finance at The Warsaw School of Management and Enterprise, an M.S. in Managerial Finance at The Warsaw School of Management and Marketing, as well as an M.A. in Business Administration at The Polish Open University & Thames Valley University.

His first employment was in a brokerage house on the Warsaw Stock Exchange. He was responsible for company analysis, conducting privatisation procedures on the primary market. As a project manager, Marcin was also involved in the Mass Privatisation Program, the Recompensation Coupons Program, the Treasury Bonds Issue and the creation of the OTC market. Finally, he created the Internet Service Department and introduced a new virtual system for brokerage house clients.

Since 2002 he has been running his own business in the beauty industry, and in 2006 – together with Jacek Kulma - he started Active Group, a new company dealing in the interior decoration industry. Simultaneously, between 2004 and 2006 he did contracts for the Agency of Restructurisation and Modernisation of Agriculture, concerning EU subsidies for Polish farmers – also together with Jacek Kulma.

The Management Board – a brief biograghy of the membersJacek Kulma (Vice-President of the Management Board) obtained a title of B.A. in Business and Economy Administration from the Warsaw School of Business Administration and Information Technology in 1998 and an M.A. in Business Administration from the Warsaw School of Economics in 2008.At first he pursued a career in banking, where he gained a great deal of professional knowledge concerning macroeconomic processes and management skils. From 1997 to 1998 he worked as a high quality analytic specialist in the Credit Department of ProsperBank. For almost two years (2000-2001) he continued his work as an analytical specialist in the Financial-Economic Department of the POLSAT S.A. Public Pension Fund. For the next three years (2001-2004) he was the manager of current liquidity for the PostBank of Poland. In 2002, he passed an international exam for stock exchange dealers, thus obtaining a licence from the Warsaw Institiute of Banking and FOREX-POLAND.Since 2002 he has been the co-owner of the Frisette company, dealing in beauty salons (franchise of Jean Louis David). Simultaneously, between 2004 and 2006 – together with Marcin Olszewski - he did contracts for the Agency of Restructurisation and Modernisation of Agriculture, concerning EU subsidies for Polish farmers.In December 2006 – also together with Marcin Olszewski – Jacek created a new company: Active Group, starting a new business activity – Salon Rosenthal with home design products.

The Management Board – brief biograghy of the members

Paweł Filutowski (Member of The Management Board) – graduated from the Warsaw University of Technology in 2000 with an M.A. in Electronics and Information Technology. In 2007 he obtained a postgraduate title in Project Management in Information Technology from the Warsaw University, and a year later an M.A. in Business Administration from the Warsaw School of Economics.He started his professional career in 2000 as IT Manager for Koperfam Ltd. Since 2003 he has maintained the position of Chief IT Manager of Gen-Bud S.A. – the leading distributor of building and finishing materials in Poland. He is also the owner of FEEL.IT Ltd., operating an e-commerce site with sanitary ware. Since January 2009, Paweł has been the newest Member of the Active Group Management Board.
