TESTS AND CONTROLS
Gymnova is surrounded by an experienced team todevelop innovative high performance products that arecontinuously renewed in order to comply with the re-quirements and expectations of the FIG. All our productsare guaranteed in terms of safety, durability and ease ofbeen developed in close collaboration with gymnasticsprofessionals. Our engineering team has its own labora-tory to carry out mechanical, static and dynamic tests andcontrols internally.Our trampoline range is fully integrated into this process.All trampolines are controlled, checked, tuned and testedsystematically to conform to the FIG standards.Our in house testing laboratory allows us to carry out ascientific testing with regards to the performance of developed products. We further test trampoline springs, reproducing the stresses of actual use. This enables us toensure the springs conform to the technical specificationsrequired.Another picture showing the testing system, the exam-ple used relates to our tumbling tracks. A computerisedshock and acceleration sensor calculates the products response to assess its performance.During the design process we tested several prototypesto achieve the required performance, which has the benefit of complying with FIG standards. Additionalchecks are performed to ensure the equipment reachesthe highest standards to conform to FIG regulations.

1. DEFINITION AND INTERPRETATIONIn these conditions‘GVA’ means Gymnova (with its registered office 45 rue Gaston de Flotte,13012 Marseille, France under number 395080138 RCS Marseille, with VATnumber FR45395080138‘BUYER’ means the person or company who accepts a quotation of GVA forthe sale of the Goods and related services if any (delivery, instalment) orwhose order for the goods is accepted by GVA‘CONDITIONS’ means the standard terms and conditions of the sale set out inthis document and (unless the context other wise requires) includes any special terms and conditions agreed in writing between the Buyer and GVA ‘ CONTRACT’ means the contract for the purchase and sale of the Goods andrelated services if any‘GOODS’ means the goods (including any instalment of the goods or any partsfor them) which GVA is to supply in accordance with these conditions.‘RELATED SERVICES’ means any instalment of the goods or any parts for them,and delivery if any

BASIS OF SALE AND SERVICEGGVA shall sell and the Buyer shall purchase the Goods in accordance withany written quotation by GVA which is accepted by the Buyer, or any writtenorder of the Buyer which is accepted by GVA, subject in either case to theseConditions, which shall govern the Contract to the exclusion of any otherterms and conditions subject to which any such quotation is accepted orpurported to be accepted, or any such order is made or purported to be made,by the Buyer.
Goods are new products, except promotional offer of second hand equipmenton our website for a limited time and clearly identified items.No variation to these Conditions shall be binding unless agreed in writingbetween the authorised representatives of the Buyer and GVAAny services to be supplied by GVA to the Buyer (‘the Services’) shall bedetailed on the quotation and shall be subject to the following additionalterm:The Buyer shall supply to GVA without charge and within such a time as notto delay GVA in the execution of the Services all information requested byGVA and the Buyer shall give such assistance as shall reasonably be requiredby GVA in the execution of the Services;
The Buyer shall facilitate the speedy granting to GVA and any of its personnelof unrestricted access to all sites and locations necessary for the execution ofthe Services; andGVA shall endeavour to complete the Services within the period or periodsstated on the face of the quotation or as agreed in writing between theparties but time shall not be the essence. In the event that GVA is delayed orimpeded in the execution of the Services by reason of the Buyer’s failure toprovide information, access, facilities or other services, which it is duty toprovide or by reason of any matters beyond GVA’s control, GVA shall beentitled to an extension of time for completion of the Services and reasonableremuneration including overhead costs and profit consequent thereon.GVA’s employees or agents are not authorised to make any representations
3. ORDERS AND SPECIFICATIONS.No order submitted by the Buyer shall be deemed to be accepted by GVAunless and until confirmed in writing by GVA authorised representative.The Buyer shall be responsible to GVA for ensuring the accuracy of the termsof any order (including any applicable specification) submitted by the Buyer,and for giving GVA any necessary information relating to the Goods within asufficient time to enable GVA to perform the Contract in accordance with itsterms.The quantity, quality and description of and any specification for the Goodsshall be those set out in GVA’s quotation (if accepted by the Buyer) or theBuyers order (if accepted by GVA).GVA reserves the right to make any changes in the specifications to theGoods which are required to conform with any applicable statutory or ECrequirements or, where the Goods are to be supplied to GVA specification,which do not materially affect their quality or performance.No order which has been accepted by GVA may be cancelled by the Buyerexcept with the agreement in writing of GVA and on terms that the Buyershall indemnify GVA in full against all loss (including loss of profit), cost(including the cost of all labour and materials used), damages, charges andexpenses incurred by GVA as a result of cancellation.
4. PRICE OF THE GOODSThe price of the Goods shall be GVA quoted price or, where no price has beenquoted (or a quoted price is no longer valid), the price listed in GVA’spublished price list current at the date of acceptance of the order.Where the goods are supplied for export from France, GVA shall apply chargetransport depending on the incoterm specification or according to mutualagreement.All prices quoted are valid for 3 months only or until earlier acceptance by theBuyer, after which time they may be altered by GVA without giving priornotice to the Buyer, except transport costs which are valid only one month.Invoices are payable in euros only, unless otherwise negotiated with GVA.GVA reserves the right, by giving notice to the Buyer at any time beforedelivery, to increase the price of the Goods to reflect any increase in the costto GVA which is due to any factor beyond the control of GVA (such as,without limitation, any foreign exchange fluctuation, currency regulation,alteration of duties, significant increase in the cost of labour, materials orother costs of manufacture), any change in delivery dates, quantities orspecifications for the Goods which is requested by the Buyer, or any delaycaused by any instructions of the Buyer or failure of the Buyer to give GVAadequate information or instructions.Except as otherwise stated under the terms of any quotation of in any pricelist of GVA, and unless otherwise agreed in writing between the Buyer andGVA, all prices are given by GVA on an “EX WORKS LOADED” basis, and whereGVA agrees to deliver the Goods otherwise than at GVA’s premises, the Buyershall be liable to pay GVA charges for transport, packaging and insurance.The price is exclusive of any applicable Value Added Tax, which the Buyer shallbe additionally liable to pay to GVA.
5. TERMS OF PAYMENTSubject to any special terms agreed in writing between the Buyer and GVA,GVA shall be entitled to invoice the Buyer for the price of the Goods on or atany time after the shipping of the Goods, unless the Goods are to be collectedby the Buyer or the Buyer wrongfully fails to take delivery of the Goods, inwhich event GVA shall be entitled to invoice the Buyer for the price at anytime after GVA has notified the Buyer that the Goods are ready for collectionor (as the case may be) GVA has tendered delivery of the Goods.The Buyer shall pay the price of the Goods (less any discount to whichthe Buyer is entitled, but without any other deduction) on order unlessotherwise accepted in written by GVA.In the case GVA has negotiated specific terms of payment, at its sole
discretion, shall determine that the Buyer should not be extended credit andmay demand payment in full prior to any work or delivery. GVA shall beentitled to recover the price, not withstanding that delivery may not havetaken place and the property in the Goods has not passed to the Buyer.Payments shall be made by wire transfer to our CIC Bank account (IBAN: FR 761009 6181 0200 0242 0040 136), HSBC (IBAN FR76 3005 6001 9601 96251776 482), other banks or any secured payments (stand by letters, letters ofcredit…).The time of payment of the price shall be of the essence of the Contract.Receipts for payment will be issued only upon request.If the Buyer fails to make any payment on the due date then, withoutprejudice to any other right or remedy available to GVA, GVA shall be entitledto: cancel the contract or suspend any further deliveries to the Buyer;appropriate any payment made by the Buyer to such of the Goods (or theGoods supplied under any other contract between the Buyer and GVA) as GVAmay think fit (notwithstanding any purported appropriation by the Buyer);and charge the Buyer interest (both before and after any judgement) on theamount unpaid, at the rate of 11% per annum above REFI base rate from timeto time, until payment in full is made.
6. DELIVERYDelivery of the Goods shall be made by the Buyer collecting the Goods at GVA’spremises (factory), except as otherwise incoterm accepted by GVA, at anytime after GVA has notified the Buyer that the Goods are ready for collectionor, if some other place for delivery is agreed by GVA, by GVA delivering theGoods to that place.Any dates quoted for delivery of the Goods are approximate only and GVAshall not be liable for any delay in delivery of the Goods however caused. Timefor delivery shall not be the essence of the contract unless previously agreedby GVA in writing. The Goods may be delivered by GVA at its sole discretion inadvance of the quoted delivery date upon giving reasonable notice to theBuyer.Where the Goods are to be delivered in instalments, each delivery shallconstitute a separate contract and failure by GVA to deliver any one or moreof the instalments in accordance with these Conditions or any claim be theBuyer in respect of any one or more instalments shall not entitle the Buyer totreat the Contract as a whole as repudiated.If GVA fails to deliver the Goods (or any instalment) for any reason other thanany cause beyond GVA’s reasonable control or the Buyer`s fault, and GVA isaccordingly liable to the Buyer, GVA’s liability shall be limited to the excess(if any) of the cost to the Buyer (in the cheapest available market) of similargoods to replace those not delivered over the price of the Goods.If the buyer fails to take delivery of the Goods or fails to give GVA adequatedelivery instructions at the time stated for delivery (otherwise than byreason of any cause beyond the Buyer`s reasonable control or by reason ofGVA’s fault) then, without prejudice to any other right or remedy available toGVA, GVA may: store the Goods until actual delivery and charge the Buyer forthe reasonable costs ( including insurance) of storage; or sell the Goods atthe best price readily obtainable and (after deducting all reasonable storageand selling expenses) account to the Buyer for the excess over the price underthe Contract or charge the Buyer for any shortfall below the price under theContract.
7. FREIGHTShipments will be sent third party prepaid (unless otherwise specifiedaccording the incoterm). Discounts that GVA has negociated with specificcarriers, in most cases, are passed on to our customer. To avoid interruptionof service, please establish credit with GVA preferred carriers prior toshipment. If a shipment cannot be sent third party, GVA may prepay and addfreight to the Buyer’s invoice.
8. RISK AND PROPERTYRisk of damage to or loss of the Goods shall pass to the Buyer: in the case ofGoods to be delivered at GVA`s premises, at the time when GVA notifies theBuyer that the Goods are available for collection (“ex-works” incoterm); or in thecase of Goods to be delivered otherwise than at GVA`s premises, at the timedefined by the related incoterm, and, if the Buyer wrongfully fails to takedelivery of the Goods, the time when GVA has tendered delivery of the Goods.Notwithstanding delivery and the passing of risk in the Goods, or any otherprovision of these Conditions, the property in the Goods shall pass to theBuyer when GVA delivers the goods to the carrier at GVA’s premises.Nevertheless, the Buyer shall hold the Goods as security, and shall keep theGoods separate from those of the Buyer and third parties and properly stored,protected and insured, (but shall be entitled to resell or use the Goods in theordinary course of its business), until GVA has received full payment of theprice of the Goods and all other goods agreed to be sold by GVA to the Buyerfor which payment is then due.Until such time as the payment is completely cleared (and provided the Goodsare still in existence and have not been resold), GVA shall be entitled at anytime to require the Buyer to deliver up the Goods to GVA and, if the Buyer failsto do so forthwith, to enter upon any premises of the Buyer or any third partywhere the Goods are stored and repossess the Goods.The Buyer shall not be entitled to pledge or in any way charge by way ofsecurity for any indebtedness any of the Goods which remain the security forGVA, but if the Buyer does so all moneys owing by the Buyer to GVA shall(without prejudice to any other right or remedy of GVA) forthwith becomedue and payable.
9. WARRANTIES AND LIABILITYSubject to the conditions set out below:GVA warrants that the Goods will correspond with their specification at thetime of delivery and will be free from defects in material and workmanshipfor a period of 24 months from the date of their initial use or 24 months fromdelivery, whichever is the first to expire. Nevertheless second hand productsand the items as follow will be guaranteed only 12 months. The warrantyapplies to the entire range GYMNOVA and means for normal use. Are excludedfrom the warranty all items on the following list : Handrails (asymmetricbars/high bar/ parallel bars), castors of displacement, pads, Hydraulicjack/cylinder, springs, trampoline bed, sandows, markings/serigraphies,covered foams of jersey (mat, pit) and derived products.
The above warranty is given by GVA subject to the following conditions:GVA shall be under no liability in respect of any defect arising from fair wearand tear, wilful damage, negligence, abnormal working conditions, failureto follow GVA's instructions (whether oral or in writing), misuse or alterationor repair of the Goods without GVA’s written approval; GVA shall be underno liability under the above warranty (or any other warranty, condition orguarantee) if the total price for the Goods has not been paid by the duedate for payment; the above warranty does not extend to parts, materials orequipment not manufactured by GVA, in respect of which the Buyer shall onlybe entitled to the benefit of any such warranty or guarantee as is given bythe manufacturer to GVA.Subject as expressly provided in these Conditions, all warranties, conditions
or other terms implied by statute or common law are excluded to the fullestextent permitted by law.
10. CLAIMSAny claim by the Buyer which is based on any defect in the quality orcondition of the Goods or their failure to correspond with specification shall(whether or not delivery is refused by the Buyer) be notified to within 2 daysfrom the date of delivery or (where the defect or failure was not apparent onreasonable inspection) within a reasonable time after discovery of the defector failure. If delivery is not refused, and the Buyer does not notify GVAaccordingly, the Buyer shall not be entitled to reject the Goods and GVA shallhave no liability for such defect or failure, and the Buyer shall be boundto pay the price as if the Goods had been delivered in accordance with theContract.Where any valid claim in respect of any of the Goods which is based onany defect in the quality or condition of the Goods or their failure to meetspecification is notified to GVA in accordance with these conditions, GVA shallbe entitled to replace the Goods (or the part in question) free of charge or,at GVA’s sole discretion, refund to the Buyer the price of the Goods (or aproportionate part of the price), but GVA shall have no further liability to theBuyer.Product may be returned to GVA after obtaining a signed ReturnAuthorization Form/ Number from a duly authorized employee of GVA. ReturnForm/ number are cancelled after 30 days. Items returned without anRA# will be refused. Goods will not be received unless they are in marketablecondition. Please do not take a credit for the returned product until a CreditMemo has been issued. The replacement invoice will be credited upon receiptof the defective part if, after inspection, it is found to be under warranty.
11. GENERALExcept in respect of death or personal injury caused by GVA’s negligence,GVA shall not be liable to the Buyer by reason of any representation (unlessfraudulent), or any implied warranty, condition or other term, or any duty atcommon law, or under the express terms of the Contract, for any indirect,special or consequential loss or damage (whether for loss of profit orotherwise), costs, expenses or other claims for compensation whatsoever(whether caused by the negligence of GVA, its employees or agents orotherwise) which arise out of or in connection with the supply of the Goodsor their use or resale by the Buyer, and the entire liability of GVA under or inconnection with the Contract shall not exceed the price of the Goods, exceptas expressly provided in these Conditions.
GVA shall not be liable to the Buyer or be deemed to be in breach of theContract by reason of any delay in performing, or any failure to perform, anyof GVA’s obligations in relation to the Goods, if the delay or failure was dueto any cause beyond GVA’s reasonable control. Without prejudice to thegenerality of the foregoing, the following shall be regarded as causes beyondGVA’s reasonable control:Act of God, explosion, flood, tempest, fire or accident, war or threat of war,sabotage, insurrection, civil disturbance or requisition; acts, restrictions,regulations, bye-laws, prohibitions or measures of any kind on the partof any governmental, parliamentary or local authority; import or exportregulations or embargoes; strikes, lock-outs or other industrial actions ortrade disputes (whether involving employees of GVA or of a third party);difficulties in obtaining supplies, raw materials, labour, fuel, parts ormachinery; power failure or breakdown in machinery.
Insolvency of BuyerThis clause applies if: the Buyer makes any voluntary arrangement withits creditors or (being an individual or firm) becomes bankrupt or (being acompany) becomes subject to an administration order or goes into liquidation(otherwise than for the purposes of amalgamation or reconstruction); or anencumbrancer to possession, or a receiver is appointed, of any of the propertyor assets of the Buyer; or (where relevant) Buyer ceases, or threatens to cease,to carry on business; or GVA reasonably apprehends that any of the eventsmentioned above is about to occur in relation to the Buyer and notifies theBuyer accordingly. If this clause applies then, without prejudice to any otherright or remedy available to GVA, GVA shall be entitled to cancel the Contractor suspend any further deliveries under the Contract without any liability tothe Buyer, and if the Goods have been delivered but not paid for the priceshall become immediately due and payable notwithstanding any previousagreement or arrangement to the contrary.
GeneralAny notice required or permitted to be given by either party to the other underthese Conditions shall be in writing addressed to that other party at itsregistered office or principal place of business or such other address as mayat the relevant time have been notified pursuant to this provision to the partygiving the notice.No waiver by GVA of any breach of the Contract by the Buyer shall beconsidered as a waiver of any antecedent or subsequent breach of the sameor any other provision. If any provision of these Conditions is held by anycompetent authority to be invalid or unenforceable in whole or in part thevalidity of the other provisions of these Conditions and the remainder of theprovision in question shall not be affected.Where reference is made in these conditions to matters being agreed by theBuyer and GVA “in writing” that phrase shall mean matters agreed by way ofexchange of letters or facsimile message or by any other written supplementto these terms signed by authorised signatories of the Buyer and a director ofGVA.
12. GOVERNING LAWThe sales contract shall be governed by and construed in accordance with theFrench law and any dispute shall be sorted out by the Tribunal de Commercede Marseille, France.
