Important notes:

a. Under no circumstances must any stand fittings, machinery or equipment etc. be left in the hall after 23.00hrs on Wednesday 17th May 2017. Any items left in the hall after this time will be disposed of.

b. Any working in the hall outside of these hours may be subject to a fee. c. All personal property and exhibits must be cleared from shell scheme stands prior to

dismantling. d. Exhibitors are reminded that they must not dismantle their stands or remove exhibits before the

official close of the show. Security staff will be under strict instruction to stop Exhibitors taking exhibits out of the halls before this time.

e. All graphics or display materials attached to booth walls must be removed by the exhibitor before closure of the halls on Wednesday 17th May 2017 as Shell Scheme stand structures will be dismantled overnight.

f. Access for Shell scheme stands is NOT allowed before 13:00hrs on Monday 15th May 2017.

Exhibitors wanting to gain access outside these times require the permission of the organisers. Badges are required for entry into the halls at all times. Badges will not be sent out before the show, collection onsite only. You can also get your open day badges from registration on site. 4.6 CHANGE OF EXHIBITS DURING EXHIBITION OPENING HOURS Regulations do not permit the change of exhibits during the open hours of the Exhibition. Any exhibitor wishing to bring in, or remove, equipment during the run of the Exhibition must apply to the Organisers for permission to do so, in order that appropriate arrangements may be made. 4.7 CHILDREN The Organisers shall not issue passes for the build-up and breakdown period to children under the age of 16 as the venue is classed as a building site during these periods. As this is a trade event children under the age of 16 are not allowed entry into the exhibition halls. 4.8 CLEANING General cleaning and basic stand cleaning will be carried out each day. However, it is the responsibility of the exhibitor to maintain his own stand in a tidy condition at all times. 4.9 DELIVERIES

If you intend to ship freight without using the appointed show freight agent (RE Rogers), dmg events (mea) and RE Rogers will not be held responsible for getting your freight through customs. To avoid this situation occurring it is essential that you use the official contractor provided.

All deliveries made by a carrier directly to the Hotel must be received by the exhibitor. Please note Carriers can only make deliveries within the event dates. Outside these dates they will be refused entry. All goods and packages should be clearly labelled as follows:

During the open days, such deliveries can only be made between 08.00 – 09.30 hours daily. Regulations do not permit the change of exhibits (including raw materials and disposal of scrap) during the open hours of the Exhibition. An exhibitor wishing to bring in, or remove equipment during the run of the Exhibition must apply to the Organisers for permission to do so, in order that appropriate arrangements may be made. Only exhibits that can be hand-carried may be delivered to or removed from the exhibition hall by the exhibitor. Exhibits which, require mechanical assistance in the hall, must be handled by the Official Freight Forwarder. For on-site delivery and handling, an Exhibitor’s representative must be present to oversee such operation. Exhibits should only be sent to the exhibition hall when the stand is sufficiently prepared to receive them. The Exhibitor and/or his representative must be present at their stand to accept delivery of the exhibits. The Organiser will not accept any delivery on behalf of any exhibitor or for any failure in delivery, neither will the Organiser be responsible for the subsequent safekeeping of such items.

4.10 DILAPIDATIONS Exhibitors are reminded that their contractors using adhesive tape to fix carpets or other materials to the Hall floor will be held responsible for removing the same at the end of the Exhibition. A dilapidation charge will be made against the exhibitor should the tape still be in position at the end of breakdown or if any damage has been made to the floor/walls. 4.11 DISTRIBUTION OF ADVERTISING MATERIAL Only advertising material and goods from companies authorised to be at the exhibition may be distributed. Advertising material may only be distributed at one’s own stand. It is prohibited to distribute advertising material at the entrances, in the aisles and in the areas outside the exhibition halls. Distribution to other stands requires written authorisation from the Organisers 4.12 ELECTRICAL SERVICES The officially appointed electrical contractor approved by the organiser to install all electrical work is: Pico International (M) Sdn Bhd Contact : Derrick Chen Tel No : +603 6275 5990 Fax No : +603 6275 6366 Email : [email protected] Each stand will be provided with 2 x lights per 9 sqm and 1 x 13amp power socket outlet as part of the stand package. Any other additional requirements can be ordered from PICO using the SHELL SCHEME OPTIONAL EXTRAS ORDER FORM. The Organisers reserve the right to disconnect the electrical supply to any installation, which in the opinion of the Electrical Engineers is dangerous or likely to cause annoyance to visitors or exhibitors. All electrical supplies ordered for stands will be switched off at source 15 minutes after the exhibition closes daily. Exhibitors requiring 24-hour electrical supplies should contact the Organisers prior to the show. Please note that such electrical supplies cannot be arranged at short notice and the cost must be borne by the Exhibitor. 4.13 EMPLOYMENT OF LABOUR All personnel directly or indirectly employed or authorised by Exhibitors, their agents or contractors in the construction of all stand fitting and display work, should be undertaken by suitable trained operatives working in accordance with legislation.

The Organiser is not able to supply labour for the handling of goods and other items. Exhibitors should arrange with the lifting contractor, shipping and forwarding agent or stand fitting contractor for these services and should not employ any casual labour offered in the hall.

The exhibitor should not make payments to labour staff to secure preferential treatment and is asked to report immediately to the Organiser’s any employee soliciting money for services rendered.

In the interest of the exhibition as a whole, which must be the primary concern at all times, the Organisers decision on any dispute concerning labour being employed must be taken as final.

4.14 FREIGHT FORWARDING & ON-SITE HANDLING The following company has been appointed as official freight forwarder and sole on-site handling contractor for this exhibition: R. E. Rogers (Malaysia) Sdn Bhd Tel: 603-5510 8611 Fax: 603-5510 6296 Email: [email protected] / [email protected] R.E. Rogers Malaysia in conjunction with their local partner will provide a customs clearance and handling service direct from arrival Ho Chi Minh Airport through to the venue and at the close, will make all necessary arrangement for the return. International Freight Forwarding All exhibitors or their appointed representative are advised to make early contact with R.E. Rogers Malaysia to co-ordinate their shipping arrangements. Exhibitor will be issued with complete shipping instructions by R.E. Rogers Malaysia however due to the nature of the event and the location it is envisaged that shipments will arrive by airfreight and for early planning purposes exhibitors should note that shipments by airfreight should arrive at Tan Son Nhat (Sgn) Ho Chi Minh City by 6th May 2017 to facilitate customs clearance and delivery through to the venue. Exhibitors who wish to use a seafreight service should contact R.E. Rogers for information. Should you require assistance with the shipment of your exhibits you should contact R.E. Rogers Malaysia direct who will advise you of their local partner who will be able to make all necessary arrangements on your behalf. Packing All shipments will be examined by customs at the point of arrival. Packing of the highest standard such as bolted returnable cases should be used to provide the best protection for exhibits. Cartons are not recommended. Shipping Insurance It is the EXHIBITORS RESPONSIBILITY to ensure that their exhibits are covered by adequate insurance for the shipment to, duration of, re-packing and re-export from the exhibition to your premises or buyer. Onsite Handling R. E. Rogers Malaysia and their local partner have been appointed the sole on-site handling contractor for the movement from the unloading dock into the exhibition hall. Exhibitors, or their appointed agents, should contact R.E. Rogers Malaysia with full details of their exhibits. R.E. Rogers will arrange for the temporary storage of packing cases and boxes together with labour to assist with unpacking and positioning of exhibits. Exhibitors, or their appointed agents, are requested to direct all enquiries regarding freight movements to R.E. Rogers Malaysia. Access Please note due to limitation at the venue individual exhibits unpacked must not exceed a dimension of 120cms (L) x 100cms (W) x 200cms (H) and weight of 500kgs. Should you wish to exhibit items in excess of the above please contact R.E. Rogers Malaysia prior to shipment to obtain confirmation.

The organizer and R.E. Rogers Malaysia cannot be held responsible if exhibit cannot be placed on stand if the above has not been adhered too. Courier Shipments We would advise against the use of courier service for the dispatch of literature exhibits or displays to Vietnam. From past experience local clearance can be slow at times and high destination charges involved. Under no circumstances should courier shipments be sent to either the venue or the organizers’ office. Should you have no alternative but to use courier service then contact R.E. Rogers Malaysia who will be able to advise on procedure. Storage The organizer is unable to provide storage facilities on site for packing cases, surplus materials or any other property of exhibitors. Prior arrangements for safe keeping of such items must be made with R.E. Rogers or the exhibitor’s established local agent. During the move in of exhibits or displays, the construction of stands and removal of exhibits, the passageways in the exhibition hall must not be obstructed with packing materials, construction materials or debris. The organizers wish to reiterate that the aisles MUST be kept clean and clear of cartons, crates or bulky exhibits AT ALL TIMES. This is the responsibility of every exhibitor and their contractors. A penalty may be levied on the exhibitor if this rule is not complied with. 4.15 FLOOR LOADING The floor loading capacity is: 1000kg/m2 The elevator dimensions are:

Exhibitors with heavy equipment should consult the official on-site handler in case of doubt. Working machinery must be adequately guarded against any possibility of accidents to visitors.

4.17 INSURANCE Whilst every reasonable precaution is taken, the Organisers expressly decline responsibility for any loss or damage which may befall the person or property of the Exhibitor or his agent from any cause whatsoever. The Exhibitor must have suitable liability insurance. Providing cover not only against personal injury, damage to property or financial losses but also against damage to the venue and any hired goods/items. 4.18 MACHINERY EXHIBITS If you intend to bring a machine in as part of your exhibit, you must contact R E Rogers and advise them of the following details. Working machinery must be adequately guarded against any possibility of accidents to visitors.

4.21 REMOVAL OF EXHIBITS The exhibitor must arrange for the removal of exhibits after 16.00 hrs on Wednesday 17th May 2017. Details of dismantling arrangements and the removal of personal effects and light portable (by hand) exhibits will be circulated to all stands during the course of the exhibition. 4.22 RULES & REGULATIONS A copy of the Rules & Regulations that govern your participation at this show are included in this manual. 4.23 SECURITY A security service will operate within the Exhibition Halls throughout the tenancy, but the organisers and the Venue cannot be held responsible for any loss or damage to exhibitor’s property. As well as taking out adequate insurance, exhibitors should instruct their personnel not to leave their stands unattended at any time when the Halls are open, whether during the installation, open or dismantling periods. Briefcases, laptops and mobile telephones are particularly vulnerable – safeguard them at all times. In the event of loss or damage, exhibitors should report immediately to the organiser with details of the loss or damage sustained timings and description of articles etc. 4.24 STORAGE For safety reasons, empty packaging must be removed from the Exhibition site. Storage is prohibited. Any packaging found on site may be destroyed. Any packages or objects left at the Convention Centre site after clear-up will be destroyed. The Organiser & Venue bears no responsibility whatever in the event of loss or destruction of such items. SHELL SCHEME INFORMATION

5.2 SHELL SCHEME REGULATIONS

When planning the interior of the stand, the exhibitors should take into account the following stand building regulations:

1) No additional fitting of display material may be attached, nailed, screwed or drilled to the Shell

Scheme stand. If this instruction is ignored, dmg events may charge the exhibitor and or/contractor concerned for damage to the material. If you require assistance in hanging or displaying your exhibits, please consult the official contractor.

2) No painting or wallpapering on panels is allowed. Exhibitors who wish to have panels painted must inform the official contractor, who will provide a quotation and carry out the work.

3) No free-standing fitting should exceed a height of 2.5m at borders. This includes towers and logos/names etc.

4) No suspensions or attachments may be made from beams or rafters of the exhibition hall, or any fixing be made on the floor, columns, walls or any other part of the building.

5) An exhibitor occupying a corner stand (open to two or three sides) must get the Organisers approval before closing any side.

6) Contractors, other than the officially appointed contractor, carrying out shell scheme stand interior are responsible for removing their waste material daily during build-up period and all their material at the end of the exhibition.

7) The organiser will be responsible for the official identification and numbering of stand, please see Fascia Name board order form.

8) Alterations on site to the standard shell scheme package may be subject to a charge being made. Please notify any changes required direct to the stand builder prior to build-up.

1. TERMS OF REFERENCE

The terms and conditions set out herein shall be read andconstrued together with the contract particulars to form theContract between the Exhibitor and Organisers.‘Exhibitor’ shall include all employees, servants and agents

of any company, partnership, firm or individual towhom space has been allocated for the purposesof exhibiting;

‘Exhibition’ shall mean the event/exhibition(s) referred to inthe Contract overleaf;

‘Organisers’ shall mean the Organiser as specified in theContract;

‘Contract’ shall mean the contract particulars and theseterms and conditions.

‘Force Majeure’ shall mean acts of God, flood, drought,earthquake or other natural disaster, epidemic or pandemic;terrorist attack, civil war, civil commotion or riot, war, threat of orpreparation for war, armed conflict, imposition of sanctions,embargo, or breaking off diplomatic relations; nuclear, chemicalor biological contamination or sonic boom any law or any actiontaken by a government or public authority including withoutlimitation, imposing an export or import restriction, quota orprohibition, or failing to grant a necessary licence or consent;collapse of building, fire, explosion or accident; any labour ortrade dispute, strikes, industrial action or lockouts (other than ineach case by the party seeking to reply on this clause, orcompanies in the same group as that party); non-performanceby suppliers or subcontractors (other than by companies in thesame group as the party seeking to rely on this clause); andinterruption or failure of utility service.

2. APPLICATION FOR PARTICIPATION

All applications for participation shall be made on the prescribedcontract form, which shall be submitted to the Organisers ortheir authorized representative(s), as notified, and once theOrganisers receives the signed Contract and notifies theExhibitor, this will constitute the Exhibitor’s confirmation ofparticipation and acceptance of the terms of contract. TheOrganisers, though not bound by this Contract to do so, will tothe best of their ability attempt to meet the requirements of theExhibitors. The Organisers, reserve the right to accept or refuseany Contract without disclosing the reasons to the Exhibitor. NoExhibitor may refuse the space which is allotted to him, nor forsuch reason cancel his participation. If the participation of aprospective Exhibitor cannot be accepted due to lack ofavailable space, the prospective Exhibitor shall not be entitledto claim or receive any compensation.

3. ALLOCATION OF EXHIBITION SPACE

3.1 The Organisers shall allocate the space in accordance withthe nature of exhibits or in any manner they may deem fit. TheOrganisers reserve the right to change the space allocated tothe Exhibitor at any time prior to the commencement of theerection of the booth by the Exhibitor and, at the sole discretionof the Organisers, to alter the space or transfer or closeentrances or exits to the Exhibition facilities and to undertakesuch structural alterations as they may deem fit. The Exhibitorshall have no right to cancel his participation in the Exhibitionnor to claim for compensation as a result of such changes.

3.2 If prior to the Exhibition the Exhibitor requests an alterationin the exhibition space it previously requested the Exhibitorshall be liable to pay an amendment charge equivalent to 10%of the Contract value. The Organiser is under no obligation toaccommodate such request and at all times reserves its rightsunder Clause 3.1 above.

4. USE OF EXHIBITION SPACE

4.1 Exhibitors are entitled to exhibit only the announcedproducts and must man the stand or space with competentpersonnel during the opening hours of the Exhibition. Anyarticles exhibited without prior authorisation may be taken awayat the expense and risk of the Exhibitor. No change of items ondisplay may be effected during the opening times of theExhibition. Items may not be exhibited outside the limits of thespace rented by the Exhibitor;4.2 The Exhibitor is responsible for the cleaning, both insideand outside, of his stand(s) or space(s). Cleaning should not becarried out during the opening times of the Exhibition;4.3 Failure to observe these regulations may result in theOrganisers taking the steps they consider necessary againstoffenders, without assuming any responsibility whatsoever forthe consequences arising from such violations of regulations.4.4 The Organisers reserve the right to deny any visitor(s)admittance to the Exhibition as a whole or access to anyparticular stand(s) or space(s) or area(s) within it;4.5 Exhibitors are not allowed to sublet or assign the stand(s)or space(s) allotted to them to other parties either wholly or inpart without the written consent of the Organisers. Where suchconsent is given, each Exhibitor on a given stand or space willbe jointly and severally liable under the terms of this Contract,and one representative should sign this Contract on behalf of allExhibitors involved;4.6 Exhibitors shall be liable for any damage to the walls or toany part of the Exhibition premises in which their exhibits areplaced and shall not paint or otherwise alter the floors, ceilings,pillars or walls without the prior consent of the Organisers.

5. PAYMENT OF PARTICIPATION FEES

a. Exhibitors shall pay the percentage of the fees specified inthe Contract;

b. The balance of the fees shall be due by the date specified inthe Contract;

c. Any and all additional facilities requested by the Exhibitorshall be paid for in advance, without exception;

c. No Exhibitor may remove the products and samples from hisstand or space until all dues to the Organisers have beenpaid and only in the authorized hours for doing so;

d. Payments shall be remitted net of any bank charges to thebank details specified in the Contract.

6. TERMINATION OF THE CONTRACT

The Organisers may terminate this Contract if:a. The Exhibitor fails to comply with the payment terms of

participation as given above. The allotted space will becancelled and payment made to the Organisers shall not berefunded;

b. The Exhibitor gives written notice of his intention to withdraw,which the Organisers, in their discretion, may permit bywritten confirmation, subject to the payment of a percentageof their total contract price by the Exhibitor to the Organisersas consideration and compensation for release from thisContract as follows:

Initial deposit 25% non-refundable plus cancellation fee shown below:-

Cancellation with at least 10 months’ notice - 25% of total fees payable

Cancellation with at least 8 months’ notice - 50% of total fees payable

Cancellation with 6 months’ notice or less – 75% of total fees payable

The withdrawal of the Exhibitor will cause the Organisers lossand further costs in reselling the stand and the Organisers aretherefore entitled to charge these administration fees.

c. In case the Exhibitor fails to attend the exhibition for anyreason, he shall be liable for paying the full amount of thetotal participation fee.

7. CANCELLATION OR CURTAILMENT OF THE SHOW BYORGANISERS

In the event that the facility in which the show is to be held or isheld is destroyed or becomes unavailable for occupancy, due toa Force Majeure event and/or any reasons beyond thereasonable control of the Organisers and sponsors, or if for anyreason the Organisers is unable to permit the Exhibitor tooccupy the facility or the space, or if the show is cancelled orcurtailed, the Organisers and sponsors will not be responsiblefor any loss of business, loss of profits, damage or expense ofwhatever nature that the Exhibitor may suffer.

8. CHANGES

The Organisers have the unfettered right to modify the durationof the Exhibition or the opening and closing times thereof.Exhibitors shall not be entitled to any claim or compensation inconnection with such modifications.

9. STAND CONSTRUCTION & DECORATION

Exhibitors may decorate their stand(s) or space(s) inaccordance with the relevant guidelines and instructions issuedby the Organisers, but only after obtaining written approval bysubmitting detailed scaled plans in duplicate no less than 2months before the Exhibition.

10. MOVEMENT OF EXHIBITS

a. Exhibitors shall bear the responsibility and expenses for thetransport of exhibits to and from the Exhibition venue;

b. Exhibitors shall make their own arrangements for storageand warehousing of their exhibits;

c. Without prior authorisation from the Organisers, no articlemay be removed from a stand or space while the Exhibition isin progress, even if the said article has been sold (ifapplicable);

d. Exhibitors shall remove all exhibits from the Exhibition venuewithin the period stipulated by the Organisers and shallindemnify the Organisers against any loss by reason of delayor damage to the Exhibition venue;

11. SECURITY

Exhibitors and their representatives should be present at theirstands or spaces at all times during the opening hours of theExhibition. They may not close their stand or space before theappointed time of closing.

12. FIRE REGULATIONS

The use of inflammable materials for stand or space decorationis prohibited unless such materials have been treated with afire- retarding substance. All heating appliances should bemounted on fire-proof stands. All inflammable materials (suchas empty boxes and packaging) should be removedimmediately from the Exhibition venue.

13. INSURANCE, LIABILITY AND RISKS

a. All Exhibitors shall indemnify and hold the Organisers andthe venue owners harmless in respect of all costs, claims,demands and expenses to which they may be subject as aresult of the Exhibitors act, errors or omissions, loss or injuryarising to any persons howsoever caused while the saidpersons are upon or examining or passing the Exhibitionstands or spaces, during the period of the Exhibition. Theliability or risks of the employees, agents or exhibits shall atall times be the responsibility of the Exhibitors;

b. All Exhibitors shall indemnify and hold the Organisers andthe venue owners harmless in respect of all costs, claims,demands and expenses to which they may be subject as a

result of cancellation, postponement or partial opening of theExhibition;

c. The Organisers shall not accept any responsibility or liabilityin respect of any damage to or theft of the Exhibitorsproperty/items and the Exhibitor shall indemnify and hold theOrganisers harmless in respect of all costs, claims, demandsand expenses arising therefrom;

d. The Organisers shall not accept any liability whatsoever andthe Exhibitor shall indemnify the Organiser against all andany such losses that the Exhibitor may incur as a result of theExhibitors failure to be granted the appropriate visa/entryauthorisation of a particular Exhibition. This shall at all timesremain the responsibility of the Exhibitor;

e. All Exhibitors must obtain all approvals and licenses toenable the Exhibitors to legitimately exhibit and carry out theirintended activity at the Exhibition and must have theircorresponding operating licenses according to the rules andregulations of Dubai and the laws of UAE. Failure to do soresulting in any type of penalty or fine shall be at soleexpense of the Exhibitor;

f. All Exhibitors shall obtain all-risks insurance from aninsurance company of good standing. In addition, allExhibitors shall obtain third party liability insurance from alocal insurance company of good standing to coverequipment and/or exhibits, whether or not such articles aretheir property. Furthermore should the Exhibitor be operatingfrom its stand any sale of food or beverages it shall obtain therelevant liability insurance from a local insurance company ofgood standing in respect of any food and beverage storageand sale safety and hygiene requirements;

g. The Exhibitor shall produce certified copies of the insurancespolicies described hereunder at the request of theOrganisers.

14. SUPPLEMENTARY CLAUSES

a. The Organisers shall have the right, in all circumstances, toissue supplementary regulations, in addition to thesepresent Terms & Conditions, to ensure the smoothmanagement of the Exhibition. Such instructions shall beconsidered to be an integral part of the terms of theContract, provided that they are made available to theExhibitors in writing. The failure to object to any breach ofany clause herein, by the Organisers, shall not constituteagreement to modification of this Contract or a waiver of anysubsequent breach of such clause.

b. Any additional clauses, supplemental regulations or updatedTerms and Conditions are available to read on the officialExhibition website and we encourage the Exhibitors tocheck the same frequently.

15. GENERAL CONDITIONS

a. The Organisers shall have the right to cancel any Exhibitor’sparticipation in the Exhibition if the said Exhibitorcontravenes the regulations in any way, as determined inthe sole discretion of the Organisers, and this without theExhibitor having any claim to compensation orreimbursement for any or all financial commitmentsundertaken by him and still outstanding to the Organisers;

b. Exhibitors are bound by all and any regulations applicable toparticipants in fairs, shows and exhibitions in the UnitedArab Emirates and hereby confirm that they are familiar withthe same;

c. The Organisers make no representations or give anywarranties as to the success of the Exhibition, or in terms ofthe numbers or type of visitor or exhibitor attendance.

16. REGULATIONS

a. Exhibitors undertake to abide by all clauses whatsoever setforth by the Organisers herein or in any supplementarydocument(s). Such clauses are deemed incorporated and

are in no way to be regarded as merely commentary. Anybreach shall be adjudged in the Organisers sole discretion;

b. By their very participation in the Exhibition, the Exhibitoracknowledges the right of the Organisers, to jointly orseparately take unilateral measures for the defence andprotection of the interests of the Exhibition, and of all orsome of the Exhibitors; as well as any other measures thatthe Organisers deem useful or necessary to ensure thesecurity of the premises, the Exhibitors and the visitors.

17. FORCE MAJEURE

The Organisers shall not be responsible for the loss of ordamage to any property of the Exhibitor or any other personcaused by theft, fire, defect in the Exhibition venue, storm,tempest, war, labour disputes, lockout, explosions, acts of godand general causes of Force Majeure (as defined), whether ornot ejusdem generis within the Organisers control or for anyloss or damage sustained in the event that the opening orholding of the Exhibition is prevented, postponed or abandonedor if the exhibition venue becomes totally or partially unavailablefor the holding of the Exhibition due to any of the foregoingcauses, the Exhibitor shall hold the Organisers safe andharmless from all loss and damage and in no event shall theExhibitor have any claim of damages compensation of any kindagainst the Organisers; and if it transpires that it is impossibleto hold the Exhibition as scheduled due to any reasonwhatsoever, the already paid monies by the Exhibitor shall notbe refunded unless the Organisers decide otherwise byrefunding the payment after deducting their expenses.

18. NOTICE AND TIME OF THE ESSENCE

a. Any notice or other communication required to be given tothe other under or in connection with this Contract shall be inwriting and shall be delivered by hand at the address of theParties set forth in the Contract particulars or to such otheraddress provided in writing by the party to the other prior tothe Exhibitions close, or if sent by recorded delivery(providing proof of postage or proof of delivery) or sent byfacsimile or email to the other party's main fax number oremail address as particularised in the Contract;

b. Any notice or communication shall be deemed to have beenreceived if delivered by hand, on signature of a deliveryreceipt or at the time the notice is left at the proper address,or on the (5th) fifth Business Day after posting if sent byrecorded delivery or if sent by fax or email, on that BusinessDay provided it is sent before 5.00pm, otherwise at 9.00 amon the next business day. For the purpose of this clauseBusiness Day shall mean a day on which the Banks are openfor business in the UAE;

c. Time shall be of the essence in each and every provision ofthis Contract whereby something is required to be done on orby a specified day or within a specified period by theExhibitor.

19. ENTIRE AGREEMENT

a. The Contract together with these Terms and Conditions, andthe other documents referred to herein constitutes the entireagreement between the Organisers and Exhibitor andsupersedes all prior agreements or negotiations in connectionwith the subject matter hereof;

b. No variation or waiver of any of the provisions of thisContract shall be binding unless in writing and signed by aduly authorised person of the Organisers and Exhibitor.

20. SEVERANCE

In the event that any provision of this Contract is declared byany judicial or other competent authority to be void, voidable,illegal or otherwise unenforceable the parties shall amend thatprovision in such reasonable manner as achieves the intentionof the Parties without illegality or at the discretion of the

Organisers it may be severed from this Contract and theremaining provisions shall remain in full force and effect unlessthe Organisers decides that the effect of such declaration is todefeat the original intention of the parties in which event theOrganisers shall be entitled without liability to terminate bynotice in writing to the Exhibitor.

21. WAIVER

The failure of either Party at any time to enforce any of theterms, provisions or conditions hereunder or to exercise anyright hereunder shall not constitute a waiver of the same oraffect that party's rights thereafter.

22. INTERPRETATION

The headings of the clauses are inserted for convenience onlyand do not affect its construction.

23. AGENCY

Nothing in this Contract shall be construed as making theparties hereto partners or joint ventures or render either partyhereto liable for any of the debts or obligations of the otherparty and the Exhibitor shall in no way be considered as beingan agent or representative of the Organisers in any dealingswhich the Exhibitor may have with any third party and theExhibitor shall not act for or make any representation on behalfof the Organisers.

24. INDEMNITY

The Exhibitor shall indemnify and keep indemnified theOrganisers from and against any and all loss, damage, liabilityand legal fees and costs incurred by the Organisers arisingfrom any act, neglect, omission or default of the Exhibitor itsagents, employees, licensees or customers and/or any breachby the Exhibitor of its obligations under this Contract. Moreoverthe maximum Organisers liability to the Exhibitor in any eventshall be limited to the fee paid to the Organiser by the Exhibitor.

25. GOVERNING LAW

a. The governing law of this Contract shall be the laws of Dubaiand the UAE;

b. Any dispute arising out of or in connection with this Contract,including any question regarding its existence, validity ortermination, shall be referred to and finally resolved byarbitration under the Arbitration Rules of the DIFC-LCIAArbitration Centre, which Rules are deemed to beincorporated by reference into this clause. The number ofarbitrators shall be one (1). The seat, or legal place, ofarbitration shall be the Dubai International Financial Centre,Dubai. The language to be used in the arbitration shall beEnglish.

4. The hotel management reserves the right to ask any person to vacate the hotel premises, if found

inebriated or causing disturbance / nuisance. Use of abusive language / indulging in fights / influence of alcohol / littering the hotel premises or any public misconduct would lead to the above. 5. The hotel management shall not be responsible for any damages or loss to any equipment brought by the

event management company. The safety and security of such goods would lie on the event management itself. Quản lý khách sạn sẽ không chịu trách nhiệm về bất cứ thiệt hại hay mất mát gì về thiết bị do công ty mang vào. Sự an toàn và an ninh của các vật dụng do công ty chịu trách nhiệm.

6. Any damages to the hotel on account of faulty equipment / loose connections / fire hazard / scratches/stains

will be compensated for by the event management company. Bất cứ thiệt hại gì cho khách sạn gây ra bởi thiết bị hư hỏng/ mất liên lạc/ rủi ro cháy nổ/ va quẹt/ làm biến màu phải được đền bù bởi công ty tổ chức sự kiện.

7. Any set up in Grand Ballroom must not block over 04 service doors and 04 exit doors inside, any set up at Grand Ballroom foyer must not block staircase, in front of the bar and exit door near the bar due to safety reason. Các thiết kế và trang trí trong phòng Grand Ballroom phải chừa ít nhất 4 cửa cho nhân viên phục vụ cũng như 4 cửa ra vào của khách. 8. Any equipment may cause danger to people & facility (like pressure tanks…etc…) must have valid safety

có giấy phép kiểm định an toàn còn hiệu lực.

9. Hotel does not allow any action like nail, carve, tack, lean…on the hotel’s facilities (recommend to build a frame to do these kinds of action). The gaps between set up & hotel’s wall must be at least 20cm.

the event is over and transport it out of the hotel .Under no circumstances will any area of the hotel be used for storage of the equipments / material. The event company would clean the area at the end of the event. If the hotel does not receive any special instructions from vendors after dismantling time, the hotel will remove all material. Event Company will be responsible for paying the dismantling fee. 14. The event management company / contractor shall enter the hotel premises through the employee entrance

with a visitor pass and also endorse all their equipments. - The event management company representative needs to prepare a list of contractors with ID details in

advance and make sure all contractors bring their IDs for registration with hotel security department. - The event management company representative needs to prepare a list of equipments in advance for

registration with hotel security department. Công ty/ người thi công vào khu vực giới hạn bằng lối vào của nhân viên với thẻ ra vào cổng và giấy xác nhận thiết bị mang vào. - Người đại diện công ty tổ chức sự kiện cần chuẩn bị danh sách nhân công với thông tin CMND sẳn và nhắc nhở nhân công mang CMND để đăng kí với bộ phận bảo vệ của khách sạn. - Người đại diện công ty tổ chức sự kiện cần chuẩn bị sẵn danh sách các vật dụng, thiết bị để đăng kí với bộ phận bảo vệ của khách sạn.

15. The event management company will provide protection to the carpet / floor area before commencing any

activities i.e. painting / polishing or for construction of stages and dance floors. Back stage should be presentable at all times. Công ty phải chuẩn bị vật liệu để bảo vệ thảm/ khu vực sàn trước khi bắt đầu các hoạt động như sơn/ đánh bóng hoặc dựng sân khấu và sàn nhảy. Hậu trường phải đảm bảo trong tình trạng hoàn chỉnh trong mọi thời gian.

16. The event management company shall procure prior permission from the hotel management before

displaying any posters or banners of their own or the company within the hotel premises. Under no circumstances will any promotional material be allowed to be displayed in any other area than the one which has been booked for the event. All other areas by default would stand to be restricted for the same. Công ty phải có sự đồng ý của khách sạn trước khi trưng bày áp phích hoặc biểu ngữ trong khu vực giới hạn của khách sạn. Không có bất cứ mẫu quảng cáo nào được phép trưng bày ngoài phạm vi cho phép của hội nghị. Các khu vực khác được mặc định cũng bị hạn chế như trên.

17. Fireworks and Firecrackers are prohibited by the Government. The event management company shall notuse any damaging confetti blasts or fireworks. Hotel does not allow to use fire in any circumstance. Theorganiser or their representatives should inform the hotel in writing if smoke guns or any flammablematerials are used at any time. A charge of US$200.00++ will be levied should the organiser or theirappointed representatives use any materials, which would trigger off the hotel's fire alarmChính phủ nghiêm cấm sử dụng pháo hoa và pháo nổ. Công ty không được gây ra thiệt hại bởi hoa giấy vàpháo hoa. Khách sạn không cho phép sử dụng lửa trong bất kì trường hợp nào trong phạm vi khách sạn.Công ty có nhiệm vụ thông báo cho khách sạn bằng văn bản trong trường hợp cần sử dụng khói, các vậtliệu dễ cháy hoặc liên quan đến lửa. Nếu công ty làm kích hoạt hệ thống báo cháy của khách sạn vì sửdụng các vật liệu đó mà không thông báo trước, khách sạn sẽ áp dụng mức phạt VND 4,000,000++ chomỗi lần vi phạm.

18. The event management company shall ensure that none of the facilities meant for the guests will be utilizedby them under any circumstances.Công ty phải đảm bảo không để khách sử dụng thiết bị dưới bất cứ trường hợp nào.

19. The hotel will not be liable to provide tables, chairs or any other equipment to the event managementcompany. Any such requirements shall be required to be intimated well in advance and would lie solely onthe event manager’s discretion.Khách sạn không có trách nhiệm cung cấp bàn, ghế cho các thiết bị của công ty. Mọi yêu cầu phải đượcthông báo trước và phải có ý kiến của người quản lý hội nghị khách sạn.

20. Pre set work would be permitted at designated areas only and same should be discussed with the hotelpersonnel in the event planning meetings. Under no circumstances would any guest area be used forfabrication of props and decorations.Cho phép dàn dựng theo đúng thiết kế đã được thảo luận trong cuộc họp lên kế hoạch. Không được sửdụng cột giả trong thiết kế ở khu vực khách dưới bất cứ trường hợp nào.

21. The height limitation for any decoration, set up or booths…etc…for every area+ Ballroom: 6m+ Ballroom foyer 3.5m+ Phu Quoc, Cat Ba, Con Dao: 2.8m

22. Music in outdoor areas would have to be within the permissible sound levels, necessary permissions needto be procured by the event Management Company / client for any kind of entertainment and stage shows.Music in outdoor areas is permissible only till 10:30 p.m. Sound Level will be determined by hotel.Nhạc trong khu vực tổ chức ngoài trời phải có giới hạn về mức độ âm thanh. Giấy phép là cần thiết và đượccung cấp bởi công ty tổ chức/ khách hàng cho mọi hoạt động giải trí và biểu diễn. Âm thanh ở khu vực nàycho phép đến 22:30. Mức độ âm thanh sẽ được quyết định bởi khách sạn.

23. The event management company will bear legal responsibility for any accident/incident caused to theircontractors, hotel guests or associates.Công ty chịu trách nhiệm về pháp lý cho mọi sự cố bất ngờ / tai nạn gây ra cho người thi công, khách vànhân viên của khách sạn.

24. The event management company will bear responsibility for remind their customers to take care of theirchildren during the party.Công ty chịu trách nhiệm nhắc nhở khách của mình chăm sóc trẻ em của họ trong suốt buổi tiệc.

26. Electric Supply- The event management company shall comply with safety standards while taking

any electrical connections and will ensure proper connectivity, load requirement and proper masked wires.Any incident or accident arising out of negligence on the part of the event management company will bestrictly dealt with.Công ty phải tuân thủ tiêu chuẩn an toàn khi sử dụng dây dẫn điện và đảm bảo đúng quy cách kết nối,dung lượng điện phải phù hợp với dây điện. Bất cứ sự cố hay tai nạn gì xảy ra do cẩu thả của phía thi côngsẽ bị xử lý nghiêm.
