BOARD BRIEF-- The Executive Board met on April 20, 2009, at 6:30 p.m. at the home of Linda Patten. Regular business was conducted. The following motions were made:

Motion: It was moved by Fay Denny and seconded by Carolyn Magnuson that the Mentoring Program be discontinued as of June 30, 2009. Motion passed.

Motion: By the direction of the Investment Policy Task Force, it was moved by Frances Rozner that the Executive Board recommends to the Branch the adoption of the Proposed Investment Policy with suggested changes. Motion passed.

Motion: By the direction of the Investment Policy Task Force, it was moved by Frances Rozner that the Executive Board recommends to the Branch the adoption of the Proposed Policy and Standing Rules changes. Motion Passed.

One of our lovely long time members, Sybil Beach, passed away on April 1. Services were held on April 10. She will be greatly missed. A condolence card was sent to the family.

Our condolences were sent to Darlene Daclan whose brother passed away in April. Our thoughts and prayers are with her and her family. Heard that Jere Millington severely sprained her "good" knee, which required a cast. Unfortunately, she had to cancel a planned trip to Africa. Hope by this time she is on the way to a speedy recovery. A get-well card was sent. Give her a call to cheer her up at (714) 891-2183. Kee DeBoer will be having surgery on Monday, May 18, 2009. A get well card will be sent.

Our talented "Woman of Note", Carla Strandberg, is again offering a concert on Sunday, June 7, at St. Luke’s. Carla is the talented director of the group. Plan to attend this lovely (free) concert at 4 pm.

Just learned that a former member. Julie Boe, passed away on April 27. Services will be held on May 23 at St. Thomas of Canterbury Episcopal Church in Long Beach. A condolence card was sent to her son Carter.

May 23, 2009, will mark the 10th anniversary of Connie Wright Inskeep’s death and the Ex-its(past presidents) will honor and remember her by reading from the memory book compiled by Helen Sebring and Frances Magarian. The book contains tributes from various members. Copies were given to her family.

Remember Father's Day June 21. Birthday Greetings to all June honorees. (Any June brides?)

PRESIDENT’S MESSAGE

It was a lovely, breezy day for the annual Membership Garden Party. Many thanks go to the members who generously donated the refreshments; Jean Aldrich who kindly made her beautiful house and garden available, as well as the diligent Carol Smith and Fay Denny who organized and managed everything so perfectly. It was an opportunity to welcome new and prospective members; many of whom joined; it was truly one of the highlights of the year. And what an unforgettable year it has been! The writer has had the honor and privilege to serve with so many talented women: officers who unfailingly offered expertise and gentle guidance while successfully performing the duties of their positions, the dedicated board members who have shown such tireless devotion to the branch and their jobs, as well as all the valued members who support the meetings, events, fund-raisers, and special interest groups. Thank you to all of you – it has been a wonderful year. Sincere best wishes for continued success go out to the new officers and board members.

MENTOR PROGRAM Sadly, you will see in the Board Briefs that the Executive Board voted to terminate our Mentor Program next year. The status of this program will be voted upon at our June Branch Meeting. However, some members feel that with enough votes and some diligent effort, the program can be revived. The money in the mentor fund will be kept there for a few years to ensure that there is a financial base for the program if it is revived in the future. Any dispersal of that money would be brought to full membership for approval. You may recall that Deloris Mayuga and Linda Silver had devised a formula that worked well for them and, if we have committed administrative volunteers and mentors, there may be a rosy future for the program after all. In place are guidelines and the well thought-out framework that may need a little adjustment, administration, and dedication. To keep the program active, we would need someone to take over the administrative management duties of this program. Those duties may initially require as much as thirty hours of work a month. In addition to recruiting and training members to be mentors, the administrative manager would need to update the policies and procedures for the program, develop a two-year program of activities, and recruit mentees (which would be limited to 7th and 8th grade girls.) AAUW Long Beach member, Dr. Sherry L. Meinberg, has just published a new book, AUTISM

ABC. She hopes that this book will increase understanding, compassion, and empathy regarding autism. A number of studies show that a very little targeted attention can affect many people:

only one percent of the square root of a particular population is needed for a major change to occur! As such, in our world of over six billion people, we need only a little over 8,000 to make a difference. The more people who hold the same intention, the faster and greater the result.

Annual Garden Party: The weather may have been cool but the friendship was inviting and warm as about 45 members and guests greeted each other at the May 2, 2009 Annual Membership Garden Party. We were happy to welcome seven guests to the event, and four of these guests joined us as members during the Garden Party. Congratulations to the winners of the opportunity drawings: Two guests at the Garden Party, Candy De Fazio and Kay Hudnall each won a lovely azalea in bloom (Candy and Kay both joined our Branch during the event also). Pat Ferrer won two tickets to the Aquarium of the Pacific, and Garden Party guest, Norma Chinchilla, won a free membership to AAUW including membership in our Branch. Many thanks to all of the Branch members who helped to make the Garden Party a success by bringing refreshments and helping with setting up and cleaning up after the event, and many thanks to Jean Aldrich for offering her lovely home and garden patio as a site for the event. New Members This Year: This year, we've had the pleasure of welcoming 21 new members who joined our Branch between July 2008 and June 2009. Please help us involve these new members by looking for them at our monthly meetings and at our special interest groups. Their nametags have a bright pink stripe on them to help identify them as new or newer members of our Branch. Feeling welcome and greeted is so important for new members, and it will help them to become involved in our Branch and its activities. Renewal of Membership: It's time for membership renewal again, and Norma Grady mailed renewal forms to all of our membership this week. Our Branch is one of the most active AAUW Branches. We encourage you to renew both your membership and your commitment to be actively involved in the many programs and Interest Groups that our Branch offers to members. Tax Deductibility of AAUW Dues: Beginning this year, $46 of the $49 paid for AAUW Association dues will be tax deductible. Dues paid for the local Branch and for the California AAUW organization are not tax deductible. Honorary Life Member Winnie Sherer. Congratulations to Winnie Sherer from the Long Beach branch for being named an Honorary Life Member this year. An honorary life membership is given by Association to members who have been continuous members for 50 years in AAUW. Their association dues are now waived. It is a thank you for their outstanding commitment to the advancement of education and equity for women and girls. STATEMENT OF PURPOSE The purpose of this Statement is to establish a clear understanding of the intentions of the Board of Directors of the Long Beach Branch Inc., of AAUW (American Association of University Women) concerning the investment policies and objectives of the investment portfolio. This Policy Statement outlines an overall philosophy that is specific enough to create an investment strategy and sufficiently flexible to allow for changes in the economy and the securities markets. This Statement sets forth risk and return guidelines to construct and monitor a portfolio designed to meet the Branch’s goals. STATEMENT OF INVESTMENT OBJECTIVES The primary investment objectives of the funds of the Branch are safety, liquidity, and high yield. The primary objective of the investment policy of the Branch is safety. Most investments will be liquid. Maturities will be selected to anticipate cash needs, thereby avoiding the need for forced liquidation. Within the constraints of safety and liquidity, the highest and best yield will be sought. The Branch has adopted a policy that will require $150,000 to be invested in FDIC insured accounts, with varying maturities. Assets exceeding these amounts may be invested in one or more of the vehicles listed in appendix “A” attached. Funds that exceed $150,000 should be diversified at all times to provide reasonable assurance that investment in a single security or class of securities will not have a significant impact on assets. Specifically, the portfolio shall have diversified investment options with materially different risk and return characteristics. THE PRUDENT INVESTOR RULE When investing, reinvesting, purchasing, acquiring, exchanging, selling, and managing Branch funds, the Board of Directors shall act with care, skill, prudence, and diligence under the circumstances then prevailing, including, but not limited to, the general economic condition and the anticipated needs of the Branch that a prudent person acting in a like capacity and familiarity with those matters would use in the conduct of funds of a like character and with like aims, to safeguard the principal and maintain the liquidity needs of the agency.

• Diversification of the portfolio by investment type, • Quality standards for securities issuers, • Limits on the maximum maturity of investments, • Passive investment strategy of purchasing investments with the intent to hold them until

maturity. The Treasurer shall serve as liaison between the Board of Directors of the Branch and the Investment Advisor. The Finance Committee of the Board of Directors will monitor quarterly investment reports prepared by the Investment Advisor. June 2009 5

DEFINITION OF RESPONSIBILITIES

• The Investment Advisor shall recognize that the Branch Board of Directors’ stewardship responsibilities include the need to maintain safety of principal.

• Investment of assets will be segregated into a third-party custodial account, unless specific funds require a separate account be maintained. Approved investment vehicles and corresponding limits are designated in appendix “A”.

• The Investment Advisor shall work with the Finance Committee to determine the appropriate asset allocation models to be implemented for each account. The Finance Committee will make recommendations to the Executive Committee of the Board of Directors for approval of the management of assets in the individual securities and funds, within asset allocation guidelines established by the Board of Directors and this document.

• The Investment Advisor must have written approval from the Branch Treasurer prior to the execution of any transaction.

• The Investment Advisor shall provide the Branch Finance Committee with performance reports no less frequently than on a quarterly basis.

• The Investment Advisor shall meet with the Branch Board of Directors annually in January or February to review the investment policy and performance. Additional meetings may be called at the discretion of the Board of Directors.

ASSET ALLOCATION AND RE-BALANCING Asset allocation guidelines shall be consistent with its investment objectives and risk tolerance. These guidelines are designed to provide the highest probability of meeting or exceeding return objectives with the lowest possible risk. Investments in each of the asset classes shall be adhered to in the following ranges unless modified by the Board of Directors:

• Equities (20-30%); • Fixed Income (70-80%); • Cash & Equivalents (first $150,000 of Branch assets)

Should a segment violate the minimum or maximum guidelines because of market fluctuations, a review will be initiated. Unless a major shift occurs, it is anticipated that, if necessary, re-balancing of the portfolio will be done on an annual basis. PERFORMANCE MONITORING The Finance Committee shall work with the Branch Treasurer as the Board of Directors’ liaison to the Investment Advisor to monitor the overall performance of each asset class of securities or funds to insure that objectives are being met. Monitoring will include the following:

• Maintaining a short-term and a long-term perspective; • Determining whether each asset class and fund has:

o Performed satisfactorily when compared with the specific objectives for its portfolio; o Produced results that compare favorably to other investment managers or funds with similar

portfolios. June 2009 6

The Finance Committee will closely examine:

• Poor performance relative to objectives. A calendar year in which performance is below the 50th percentile of other similar investments or funds, and/or performance is below the relevant benchmark(s) will be evaluated. An asset class or fund that fails to meet the above hurdles for two consecutive calendar years will be evaluated for replacement;

• The departure of one or more key investment professionals; • Any change in ownership or control of any of the fiduciary organizations involved in the management of

the investments; • Growth of assets.

INVESTMENT ADVISOR The Finance Committee shall recommend for approval to the Board of Directors the services of a fee-only Investment Advisor for a period not to exceed 2 years, to provide assistance in setting policies, goals and guidelines; asset allocation and investment strategy; securities and fund selection; and performance reporting and monitoring. It is recommended that the Investment Advisor have no personal or professional relationship with any of the Board of Directors or Treasurer. APPROVAL This investment policy shall be reviewed periodically by the Board of Directors or their designee to determine if any revisions are warranted by changing circumstances – including, but not limited to, changes in financial status, risk tolerance, or changes involving the investment managers. INVESTMENT POLICY DEVELOPMENT COMMITTEE PROPOSED CHANGES TO POLICY AND STANDING RULES

Using the 2008-2009 Yearbook:

1. It was determined that no changes were needed for ARTICLE XVII Property as written on page A-6. 2. Proposed Change 1 – Insert the Investment Policy (when adopted by the Branch) on page A-9 to be

the new #8; renumbering all the subsequent items as appropriate. Rationale: Inserting the Investment Policy here puts it in a higher position over Finance, etc.

3. Proposed Change 2 – Under Finance, Subsection e – Strike the whole section. Insert a new

Subsection e that reads: “The Building Fund and the Ethel P.Black/Irene Holmes Fund will be managed as outlined in the Branch Investment Policy.” Rationale: This statement brings both funds under the governance of the Investment Policy Philosophy.

4. It was determined that no changes were needed for the Ethel P Black Fund Administrative Procedures

as written on pages A-9 and A-10. 5. Proposed Change 3 - On page A-12, Section 12 Other Duties of Officers, subsection Treasurer (e) The

Treasurer shall: add new responsibility as v 6 “serve as liaison between the Board of Directors of the Branch and the Investment Advisor as outlined in the Branch Investment Policy.” Rationale: This specifies the additional responsibility for the Treasurer.

6. Proposed Change 4 - On page A-13, section 15 Duties and composition of standing committees

Subsection d Finance Committee, insert “and investment” to amend as “The finance committee shall be responsible for branch financial matters and make recommendations regarding all financial and investment policies.” Rationale: To be consistent with having two separate sections for Investment Policy and Finance Policy.

7. Proposed Change 5 - Standing Rules of the AAUW Long Beach California Branch, Pages A-15, 16,

Section Finance, add a new subsection c: “The Branch Investment Policy may be amended with the approval of the Board of Directors and the Branch membership.” Rationale: It is good to specify that the policy may be amended or changed with approval of the membership.

8. It was noted that the Sections for the Standing Rules need to be renumbered starting with #1 and not

as #16 as it is currently written. Then all subsequent sections should be renumbered as appropriate. Barbara Gleason, Financial Secretary

Recently, the building fund committee did an inventory of our room at St. Luke’s. At the June Branch meeting, I will have a card table that has the surplus of yearbooks for anyone who wants an extra. (I carry one in my car along with my Thomas Guide.) Available are yearbooks from the following years: 2003-2004, co-Presidents Fay Denny and Lynn Rodriguez; 2004-2005, co-Presidents Diane Bradfield and Ellen Mathis, and the pocket-sized 2005-2006, co-Presidents Betty Thompson and Norma Grady. Leftovers will be shredded. Also available will be photos of members taken over the years. Many were taken at Conventions. For current members, I will sort yours and put them in an envelope for you to pick up. June 2009 8

PUBLIC POLICY

The Public Policy Legislative Positions for 2009 are available for discussion. The committee has listed all bills that fall within Association Public Policy principles and AAUW California Public Policy priorities. Below is just a sampling of the bills we will discuss at the next Public Policy meeting: There are a number of proposed bills dealing with health care – single payer health care coverage, family sick leave, paid sick days and many more. There are additional bills that relate to education, employment, and safety. To quote Linda Hallman, AAUW Executive Director “Our goal is to educate the public about the issues critical to women and girls and motivate action. We are absolutely nonpartisan, but we are unapologetically political about the issues that matter most to our mission. We recommitted to breaking through barriers so that all women have a fair chance.” Sharon Westafer, EF VP

EDUCATIONAL FOUNDATION UPDATE

The Long Beach branch contribution to EF in 2008 was $9,889.07. This amount was included in the California AAUW contribution of $431,540.12, to the Educational Foundation. Many thanks to everyone who supported the Educational Foundation this year and helped realize our goal of completing the Long Beach Branch Research and Projects Grant. Heartfelt thanks to the EF committee, Jean Aldrich, Barbara Cottrell, Fay Denny, Norma Grady, Judith Kaho, Deloris Mayuga, Sunny Meylor, Jere Millington, Gail Morrison, Linda Patten and Betty Thompson for your input and support. It has been a pleasure serving as EF V.P. for the past three years. Thank you to everyone who donated their money, time and energy to make the fundraisers successful and to make the job so enjoyable.
