Objective of RFEOI

Who Should Submit the EOI The interested party (“Applicant”) may be a private limited company/public limited company/joint venture company or any form of organization registered within India or outside India with a proven record in providing ground handling services and cargo handling services to various scheduled airlines (both International and Domestic) at International and Domestic Airports. (“AAICLAS”) undertaking ground handling services and cargo handling (including Operations and Management of Cargo Complexes including maintenance of existing infrastructure installed / available and other associated services), at Select Airports (“Select Airports”) managed and controlled by Airports Authority of India (“AAI”) with the joint venture partner (“JV Partner”) having proven record in providing ground handling services and cargo handling services at international and domestic airports.

The issue of this RFEOI does not imply that AAICLAS is bound to select a joint venture partner or establish a joint venture company and AAICLAS reserves the right to accept or reject all or any of the suggestions given by the Applicants without assigning any reasons whatsoever.

The Applicant shall bear all its costs associated with or relating to the preparation and submission of its response to the RFEOI including but not limited to preparation, copying, postage, delivery fees, expenses associated with any demonstrations or presentations which may be required by AAICLAS, or any other costs incurred in connection with or relating to its application. All such costs and expenses will be borne by the Applicant and AAICLAS shall not be liable in any manner whatsoever for the same or for any other costs or other expenses incurred by an Applicant in preparation or submission of the response to the RFEOI.

REQUEST FOR EXPRESSION OF INTEREST 1. BACKGROUND

Airports Authority of India (“AAI”), established under the Airports Authority of India Act, 1994 (“Act”), is a Category-I Mini-Ratna Public Sector Enterprise. The Authority is mandated under the Act, inter-alia, to manage the airports, civil enclaves and the aeronautical communication stations efficiently (other than airports and airfields belonging to, or subject to the control of, any armed force of the Union). AAI has formed a fully owned independent cargo subsidiary named AAI Cargo Logistics & Allied Services Company Limited (“AAICLAS”) on 11th August, 2016. AAICLAS has a vision to become the foremost Integrated Logistics network operator in India with primary focus on cargo handling, ground handling and allied services. AAICLAS has been incorporated with the objective to establish, operate as cargo terminals at airports, free trade zones, air freight stations, etc. The company has a registered office at Belmen Hanger 1, Hanger Building 1, Safdarjung Airport, New Delhi. Pin-110003.

Background of Ground Handling Policy: The National Civil Aviation Policy (NCAP), 2016 inter-alia provides for replacing the existing ground handling policy/instructions/regulations by a new framework as provided therein the NCAP 2016. Ministry of Civil Aviation vide its notification F.No. AV-24011/8/2017-AAI-MOCA dated 08.05.2017 issued (Draft) Ground Handling Services Regulations, 2017 (‘Draft Regulations’). The Draft Regulations mentions that:

“(d) At all airports having annual passenger throughput of 10 mppa or above, the airport operator shall ensure that there will be three Ground Handling Agencies (GHA) including that of the Airport Operator or its Joint Venture, Air India's subsidiary/Joint Venture and/or any other Ground Handling service provider appointed by the Airport operator. (e) At all airports having annual passenger throughput of less than 10 mppa, based on the traffic output and airside & terminal building capacity, the Airport Operator will decide on the number of GHAs, not exceeding three, including that of the Airport Operator or its Joint Venture, Air India’s subsidiary/Joint Venture and/or any other Ground Handling service provider appointed by the Airport operator” In pursuance to the Draft Regulations, AAICLAS (a wholly owned subsidiary of AAI) is exploring to venture into the business of ground handling services at Select Airports in India. Therefore, AAICLAS envisages the formation of a Joint Venture Company (“JVC”) with a partner who has experience in the ground handling business and cargo handling services and shall bring with it the expertise, competency and technology associated with this line of business.

2. PURPOSE OF EXPRESSION OF INTEREST (“EOI”)

The main object of JVC would be to undertake and perform end to end ground handling activities comprising ramp handling activities and traffic handling activities and other allied activities along with cargo handling services (including associated services and Operations and Management of Cargo Complexes, maintenance of existing infrastructure installed / available) (“Ground Handling and Cargo Handling Services”) at the following airports: Chennai, Kolkata, Trivandrum, Calicut, Ahmedabad, Trichy, Mangalore, Lucknow, Amritsar, Jaipur, Varanasi, Coimbatore, Guwahati and Bhubaneswar (“Select Airports”). AAICLAS reserves the right not to include cargo handling and associated services at some of the Select Airports.

The responsibility for provision of infrastructure for ground handling and cargo handling services would be as follows:

• Ground handling services – JVC would be responsible for making all necessary investments to buy / lease ground handling equipment, procurement of other movable / non-movable infrastructure for provision of ground handling services.

• Cargo handling services – Currently, at some of the Select Airports, cargo terminal infrastructure including equipment is available with AAICLAS. Such infrastructure and equipment will be provided to the JVC for provision of the cargo handling services.

The main objective of this RFEOI is to seek the interest and perspectives of established ground handling agencies with regards to partnering with AAICLAS in establishing a Joint Venture Company (JVC) which would provide Ground Handling and Cargo Handling Services at Select Airports in India. Through this EOI process AAICLAS intends to elicit the views of the Applicants on various aspects including airports under scope of the JVC, commercial structure of JVC, roles and responsibilities of the shareholders etc. AAICLAS shall carefully consider the views of the Applicants with regards to finalizing the bid documents. However, AAICLAS shall be free to accept or reject any suggestion and its decision in this regard shall be final.

3. CONTOURS OF THE ARRANGEMENT There would be a single JVC to provide Ground Handling and Cargo Handling Services at the Select Airports which would eventually form part of the bid. The tenure of operation for the Joint Venture (“JV”) shall not be less than 10 (Ten) years and shall be finalized by AAICLAS in the bid documents after carefully considering the views of the Applicants on the same. It is envisaged that AAICLAS would hold 26% stake in the proposed JVC and that the JV partner would hold the remaining equity in the share capital of the proposed JVC. It is further envisaged that the JV partner shall manage and run the day to day operations of the proposed JVC efficiently and effectively, in a professional and transparent way. AAICLAS would periodically check the actions / operations of the entity to ensure that it operates within its legal confines and in the best interest of AAICLAS and other stakeholders. The proposed JVC would be required to pay all such expenses including rents, royalties etc. to AAI / AAICLAS similar to other third party ground handlers and cargo terminal operators operating at arm’s length at the airport(s).

5. WHO SHOULD SUBMIT THE EOI

The interested party maybe a ground handling agency (“Applicant”) that is a private limited company/public limited company/joint venture company or any form of organization registered within India or outside India with a proven record in providing ground handling services and cargo handling services to various scheduled airlines at International and Domestic Airports. Therefore, it is desirable that only those companies/firms, who prima facie have technical and financial capability to enter into a Joint Venture (“JV”) with AAICLAS to provide Ground Handling and Cargo Handling Services at Select Airports shall reply to this RFEOI.

6. NO LEGAL CONTRACT The intention of this RFEOI is to invite views and inputs from various Applicants before preparation of bid documents. This RFEOI is a mere invitation to the Applicants to provide their views and inputs and AAICLAS reserves the right to accept or reject any suggestion and its decision in this regard shall be final. This RFEOI is not an agreement and would not be construed as a legal contract between AAICLAS and the Applicants.

7. EOI PROCESS FOR APPLICANT AAICLAS is inviting Expression of Interest from Applicants. Interested Applicants are requested to submit their responses through the forms annexed to this RFEOI (Annexures 1, 2, 3, 4, 5, 6, 7, 8 and 9). The Applicant shall submit the Expression of Interest in the following manner: 1) Emailing one copy to [email protected] 2) Submit one hard bound copy to the office of Chief Commercial Officer 3) Submit one copy in a pen drive Key dates for the EOI process are as follows.

i. Any EOI submitted after the above deadline will not be accepted and hence shall be

automatically rejected. AAICLAS shall not be responsible for any delay in the submission of the documents.

ii. Any attempt by an Applicant to influence the EOI process may result in the rejection of its EOI.

iii. Applicant are advised to study all instructions, forms, requirements and other information

in the RFEOI documents carefully. Submission of the EOI shall be deemed to have been done after careful study and examination of the RFEOI document with full understanding of its implications.

iv. The response to this RFEOI should be full and complete in all respects. Failure to furnish all information required by the EOI documents or submission of an EOI not substantially responsive to this document will be at the Applicant's risk and may result in rejection of its EOI.

v. All materials submitted by the Applicant will become the property of AAICLAS.

8. GENERAL TERMS

In addition to the points contained in the foregoing sections, the following terms and conditions shall also apply: i. All costs incurred by Applicant in responding to this RFEOI shall be borne by the

Applicant will not be reimbursed by AAICLAS.

ii. Incomplete documents without necessary details shall not be considered.

iii. The language for submission of document shall be English.

iv. The enclosed Annexures & Schedules should be filled in completely and wherever not applicable it should be written as Not Applicable (NA).

v. The person signing the documents to be submitted on behalf of the Applicant shall

enclose a Power of Attorney duly authorized and notarized. The Power of Attorney shall be backed by a copy of the board resolution in case of a Company/declaration signed by all partners in case of a Firm.

vi. Financial data, value of works etc. should be given in Indian Rupees (INR) or US Dollars

(US$) only.

vii. AAICLAS reserves the right to accept or reject any application or suggestion without assigning any reason.

viii. While submitting the Annexures & Schedules duly filled in, the Applicant shall enclose

the latest copies of firm profiles / brochures and experience documentation giving more information about the Applicant.

ix. In case the Applicant intends to give additional information for which specified space in

the given format is not sufficient, it can be furnished in an enclosed sheet.

x. All the corrections and over writings should be signed by the Applicant.

xi. AAICLAS reserves the right to cross check and confirm the information details furnished by the Applicants in the EOI document.

xii. Subsequent process of bid documents need not remain confined only to the persons who

respond to this RFEOI.

xiii. The Nodal Officer notified by the AAICLAS will endeavor to provide timely response to all queries. However, makes no representation or warranty as to the completeness or accuracy of any response made in good faith, nor does undertake to answer all the queries

that have been posed by the bidders.

xiv. Certified True Copy of the Documentary Proof/Certificates shall be submitted.

xv. Chartered Accountant certificate statements will not be considered in place of Audited Annual Accounts

xvi. AAICLAS reserves the right to accept or reject any or all the proposals and reserves the right to cancel this process without assigning any reason whatsoever.

xvii. At any time prior to the last date for receipt of EOI, AAICLAS may, for any reason,

whether at its own initiative or in response to a clarification requested by a prospective Applicant, modify the RFEOI Document by a Corrigendum.

xviii. The Corrigendum (if any) & clarifications to the queries from all Applicants will be posted on the organization website and emailed to all participants who have evinced interest in participating in the EOI process. Any such corrigendum shall be deemed to be incorporated into this RFEOI.

xix. In order to provide prospective Applicants reasonable time for taking the Corrigendum into account, AAICLAS may, at its discretion, extend the last date for the receipt of EOI Proposals.

xx. Each Applicant should, conduct its own due-diligence and analysis for preparation of their

response to this RFEOI. AAICLAS shall not provide any information in this regard.

9. HOW TO RESPOND

Interested parties should submit their Expression of Interest enclosing the following:

i. Copy of Certificate of Incorporation/licence of Applicant companies / firms.

ii. Profile of the Applicant companies / firms. Specific & detailed mention about GHS being carried out by the Applicant with the name of Key Personals.

iii. Statutory documents like Security Clearances, CIN, PAN, VAT and equivalent documents

for international Applicants.(If applicable)

iv. Full address of the Applicant (Registered office & operating office). Details of the Authorised Officer with name, designation & communication details.

v. Audited copies of the Balance Sheets and Profit & Loss Accounts for years i.e. 2015-16,

2014-15, and 2013-14.

vi. Copy of contract entered into by the airport operator and the Applicant for provision of ground handling services or any other document confirming the provision of ground handling services at the respective airport by the Applicant.

vii. Copy of contract entered into by the airport operator and the Applicant for provision of

cargo handling services or any other document confirming the provision of cargo handling services at the respective airport by the Applicant.

viii. The Applicants are required to submit an undertaking certifying that their agency has not

ever been blacklisted by any government organization/government undertaking etc. for any reason at any point of time.

ix. The entire eligibility documents being submitted should be bound into book format (hard

bound/spiral) and should be page numbered and sealed on all pages.

x. AAICLAS may, at its discretion, also ask the Applicant(s) to submit any further information/documents, clarification or modification in their application(s).
